Ordinary Resolutions Explanatory Notes

Each Ordinary Resolution must be passed as a whole and cannot be amended by motions from the floor of the meeting or divided into two or more separate resolutions. To be passed an Ordinary Resolution must receive votes in favour from not less than a simple majority of the Members who, being entitled to do so, vote in person at the meeting.

1 First Ordinary Resolutions

First Ordinary Resolutions Explanatory Notes

The purpose of the First Ordinary Resolution is to meet the disclosure requirements of Corporations Law and the Registered Clubs Act. It relates to expenditure shown under Club’s Annual Accounts under various headings in previous years and approved by the Members when the annual accounts have been adopted. The adoptions of this Ordinary Resolution by Members will confirm and set an upper limit on the amount to be expended.

First Ordinary Resolution

That Pursuant to the Registered Clubs Act;

(a) The Members hereby approve expenditure by the Club in a sum not exceeding $30,000 over the following twelve (12) months for the following expenses subject to approval by the Board of Directors.

i. Expenses involved in sponsorship of Club representation –

Annual expenses for Children’s Christmas Party

Expenses incurred at Induction meetings for new members

Sponsorship of Sporting Events and Charity Days deemed by the Directors to be of benefit to the Club and/or the Community

Expenses incurred in cadet programme

ii. Reasonable expenses incurred by Directors in travelling by either private or public transport, to and from Directors or other duly constituted Committee Meetings, either within the Club or elsewhere – as approved by the Board on production of documentary evidence of such expenditure.

iii. The cost of food and beverage for each Director at a reasonable time before or after a Board or Committee Meeting, on the day of that Meeting.

iv. Reasonable expenses incurred by Directors either within the Club or elsewhere in relation to such other duties including entertainment of special guests of the Club and other promotional activities approved by the Board on production of documentary evidence of such expenditure.

(b) The members acknowledge that the benefits in Paragraph (a) above are not available to Members generally, but for those who are Directors of the Club and those Members directly involved in the above activities.

2 Second Ordinary Resolution

Second Ordinary Resolution Explanatory Notes

The purpose of the Second Ordinary Resolution is again to meet the disclosure requirements of Corporations Law and the Registered Club Act. It relates to expenditure by the Club for the professional development and education of Directors as well as ensuring that Directors keep up-to-date with current Club industry development and that the Club is represent ted by selected Directors at various meeting of Associations of which the Club is a member. The adoption of this Ordinary Resolution by members will confirm and set an upper limit on the amount to be expended.

Second Ordinary Resolution

That pursuant to the Registered Clubs Act;

(a) The Members hereby approve expenditure by the Club in a sum not exceeding $8,000 for the professional development and education of Directors over the following twelve (12) months, including;

i. The reasonable cost of Directors attending Meetings of Associations of which the Club is a member.

ii. The reasonable cost of Directors attending Seminars, Lectures, Trade Displays and other similar events as may be determined by the Board from time to time.

iii. The reasonable cost of Directors attending other Clubs for the purpose of observing their facilities and methods of operation.

iv. Attendance at functions with spouses, where appropriate and required, to represent the Club.

(b) The members acknowledge that the benefits in Paragraph (a) above are not available to Members generally, but for those who are Directors of the Club

7 Decleration of the result of Special Resolution - Life Membership

The Members hereby endorse the recommendation of the Board of Directors that: Mr. Geoffrey Street Member No: 648 is granted Life Membership of Beverley Park Golf Club for services to the Club.

The financial pressure on Clubs continues as old business models don’t deliver to a changing market. One of the keys to success is having a forward thinking governance process, continuity and the right mix of people running the business. Following the Board’s formation last year and the appointment of each Director to their specific portfolio with key objectives, I can state the overall performance of the Directors who harmoniously and diligently went about their individual roles, greatly attributed to this Club’s resilience in the market of hospitality and sport, in our case golf.

As a result of the corrective and positive action taken by the Board and Management that not only attributed to the Club’s record financial return, but increased participation with greater numbers of loyal members and visitors returning to patronise the course and clubhouse on a more frequent basis. The combination of these facets contributed to the Club being in a more sound financial position as detailed in the 74th Annual Report for the year ended 31 March 2015.

It is very pleasing to work with Treasurer Dan Siely and his financial guidance that judiciously supported the pathways taken by the Board, Management and Course Superintendent. The Auditor’s financial report is a testimony to this positive support and result.

During the trading year the Board and Management continued to review operations, promote and introduce other revenue streams to give the Club the positive financial outcome. They included:-

• Course usage with additional special events

• Clubhouse facilities

• Membership Categories – Five (5) year memberships, Pathway’s Membership

• Catering

• Junior Golf development

• Advertising - Course and Clubhouse

• Graphics support

• Increased Corporate participation in sponsorship and trade days

• Website rebuild

• Review of the Club’s constitution and future management strategies

• Improved informative relations with members. Production of “Notes from the Boardroom”

• Review the need to appoint a marketing, event & partnerships person.

• Branded the front of the clubhouse with a new LED lit changeable event/function sign

• Bringing back the Egg & Bacon roll

Kogarah City Council has been very proactive with Club representatives since the later part of 2014 having driven their commitment to commence and complete the Beverley Park Channel diversion program incorporating Stage 1 of the Course Master Plan. The club recently supported the appointment of James Wilcher as the Project Manager who also designed the Member’s approved Master Plan. Work is proposed to commence in early September. Plans and Information on the Project will be displayed in the Clubhouse in August. This course transformation when completed will increase course patronage as Members, visitors and public take to the new PARK layout.

The Club also hosted the inaugural Kogarah Mayoral Golf Day, an initiate of Special Events Director Phill Bates AM. The event was supported by Federal and State politicians, local government representatives, local businesses and some members. The day was a success and the beneficiary, Cancer Care Centre at St. George Hospital.

In September 2014 the Club submitted an application for funding to NSW Club Grants in respect to the Men’s Shed – Course Staff/Maintenance Facilities, unfortunately as previously reported we were unsuccessful on this occasion. However a submission has been prepared for presentation to State and Federal governments for assistance and we will re-apply to the NSW Clubs Grants for 2015/16. I must thank member Nick Bucciarelli, who bought his architect’s equipment out of retirement and prepared some plans for the proposed complex. These plans will be displayed in the clubhouse in due course.

Course Management, Competitions & Memberships

I praise the efforts of Captain, Warren (Wedge) Emmerick for leading the Match & Course Team personnel, along with Ken Gardner, John Marriott and Patricia Wilson who continue to give their varied time, dedication and experience to ensure that Members and visitors are presented with the right competition formats, challenges, decisions and general golf competition facilities to enjoy. Warren virtually attends the Club on a daily basis overseeing all aspects of M & C and other Club duties. I commend the Captain’s report to you

I must thank Directors Patricia Wilson, Rennick Arnold, Head Professional Greg Green and Stuart Balderson for their time, initiative and personal training and qualifications that they had to meet to manage and progress the Junior Development squad of players into the strongest it has been for many years.

Membership options were also increased with the introduction of Pathways and Five (5) year Memberships. These options are in the growth stages and certainly offer some financial and golf tuition rewards. Thanks to Rennick Arnold and Patricia Wilson for their involvement with the Pathway’s initiative.

The course development continues to improve in-spite of the long bouts of wet weather, particularly after the $30.00 water levy was imposed on Members. The Course Superintendent, Daniel Metcalfe and staff have put the levy funds to great

use in preparing the fairway soils. Daniel and the course staff continue to provide the best possible track to play on every day I echo the accolades of the Captain on behalf of the Board, Members and public congratulations for your efforts, a job well done.

Professional & Pro Shop

Head Professional Greg Green recently renewed his contract for a further five (5) years. Greg and his staff continue to provide good service to the members, visitors and public. The Pro shop is regarded as the “face of golf” for all golfers visiting The PARk and we encourage first class service for the Members and visitors.

Greg carried out some alterations in the Pro Shop, by adding a hitting bay to cater for indoor club fitting, lessons and to trial demo clubs for Members and visitors.

Clubhouse

It reads like a book, the cover is looking good, the inside, well the use by date is getting up there and the décor is uninteresting. To be competitive in the market we are taking action to upgrade the Club’s facilities with the view to making some material alterations, paint, lighting, carpet, air conditioning. furniture upgrades and more disability friendly. It is so important in the current hospitality arena to provide such comfortable surrounds and ambience for member’s benefits and to actually increase patronage through good facilities and food.

The Club has just appointed Yianni’s Catering headed by Manny and Tim Kallimanis and we are sure that their menus and service from the Café and restaurant, Manny’s at The PARk, will provide Members and visitors with that alternative fare and flare.

The Bar Staff have provided a platform of good service and product, especially the quality of the beer and the selection of wines available. You have proved to be a valuable team over the past twelve months and I am sure the Members and visitors, like the Directors, appreciate your efforts.

Your Board is focused to continually bring varied events for Members, family and friends throughout the year and Thursday Night Trivia continues to grow at which meals are served, Christmas and Easter Functions, and planned events every month, contribute to the overall success of the Club.

Champions, representatives & events

Congratulations to all Members who either achieved Champion status or won Board events and to the Club representatives, managers and caddies on your efforts as ambassadors for The PARk. Thanks to Representative Director, John Marriott for overseeing this facet of club operations.

The Club staged the Sutton’s Hyundai Arncliffe Legend’s PRO AM in November in aid of the St. George Hospital Prostate Cancer Institute. I concur with the Captain in thanking member Mark Rigby, Sales Manager of the major sponsor who hosted the likes of Roger Davis, Mike Harwood, Tim Elliott and many more who finished behind Richard Backwell’s round of 65. The Club, sponsors and event received excellent media exposure courtesy of our Special Events & Media Director Phill Bates AM

The Club continued to host and support successful major annual charity events such as Make A Wish, St. George Children’s with Disability, St Vincent’s Hospital, Paul Rosey Memorial Golf Day, Guardian Funerals Hurstville Open Charity Day and St. George Medical Research Foundation. The PARk continues to attract many corporate and charity events throughout the year, a steady promotional and revenue stream towards the Club’s sustainability.

Unfortunately in May the St. George District Cricket Club of which the club is a silver sponsor had their day washed out, however the St. George Illawarra Dragons were back to hold their Annual Corporate Golf day.

Tributes

Our condolences are extended to the families and friends of Members who have passed away during this year. Members who have suffered illnesses and are on the mend we trust that you are back on the fairways or in the clubhouse real soon.

Sponsors of our Course Signage, Events, Clubhouse sponsors, trophy donors and Members who sponsored an event, we are most grateful and respectful of your support. Club sponsors are highlighted on the back page of your Annual Report, please support them.

Many thanks to the Vets group, permanent social clubs, Kogarah Bay, Beverley Park, Kogarah RSL, St. George Ladies, Beverley Birdies and WPT group, Your patronage, co-operation and camaraderie at BPGC is well recognised and we look forward to your continued presence at the Club..

Ladies Committee thank you for all their efforts through out the year, most appreciated. Our Cocktail night with the Board and WGSC members was most successful and informative. I trust your golfing and administration expectations have enjoyed a smoother journey during the past twelve (12) months.

Operation’s Manager Jason Rees, Administration Services Manager Sue Pennie your efforts in responding to the Board, WGSC, Course Staff and Pro Shop requirements is greatly appreciated whilst managing all facets of the club and serving the Members on a daily basis.

I look forward to leading the Club as President and Chairman of the Board during the next term, and to continue to work on current, new and review projects with your current Board for the betterment of the club’s future. I am grateful of the opportunity to represent Beverley Park Golf Club and its members in the wider community as an extremely proud and passionate Member and President. Treasurer’s Report 2014/2015Financial year ended 2012, loss of $144K

Financial year ended 2015, PROFIT of $179K

The profit includes a very attractive Insurance Claim Refund of $79K thus the actual trading profit is $100K, not a bad turnaround from previous years.

Add to this an increase in cash reserves by over $100K yes, a very good result, due to the increased patronage by our members & guests.

As in past years, the course has been a priority in regards to keeping it maintained to the best possible standard, I’m sure all members will agree our green keeping staff have excelled in this area.

Again the ageing club house is an area of concern, especially when it rains. Quite a bit of money has been spent & further allocated funds for repairs to the roof, guttering & related areas. Internally, over the course of the coming months we have budgeted for a fresh coat of paint and other works to give the interior an overdue lift, that should entice additional patronage.

In mid-June we appointed Yiannis Catering (Manny’s at the Park) to look after the catering requirements of the club after the former caterers were unable to comply with certain statutory requirements, whilst its early days, they appear to be popular with our members & guests.

Our running costs are fairly stable over the 12 month period, the volatile area is our revenue, we only need a weekend of rain & overnight the reduced revenue is noticeable. But on the other hand, it’s most pleasing to see that over the 12

month period, due to increased patronage our gross revenue has increased by $200k, so many thanks to those members & guest who have assisted in this increase.

The past twelve months have seen the new management team of Jason Rees & Sue Pennie look after the day to day operations, their enthusiasm and commitment with their new roles was evident right from the first day. The Board and I have always received positive backup from them and this type of support has also been a contributing factor to a profitable year.

The Club faces some challenges moving forward, but at least with a healthy financial period just concluded, we can face the future with a certain amount of optimism.

Captain’s Report 2014/2015With my fourth year as Captain coming to an end I would like to thank you all for the opportunity to be your Club Captain. This position continues to be very rewarding along with testing and challenging all facets of my golfing & administration background. I continue to be extremely honoured & proud to be representing you as Captain of Beverley Park Golf Club.

Match & Course Committee

Firstly to my Vice Captain & Handicapper, Ken Gardner who during his first year on the Board with his fresh approach, rules knowledge, pro shop experience and friendly attitude has proven to be a very valuable addition to our committee. Another new member to the Committee this year Patricia Wilson was charged with looking after junior golf and has really excelled and produced some great results. To John Marriott & Lucy Aller, Daniel Metcalf & Greg Green once again my sincere thanks & appreciation to you all for your friendship, knowledge & tireless contributions.

Course Staff

Course Superintendent Daniel Metcalfe’ supported by his staff Andy Dicker, Blake Fitzgerald, Hussein Hammoud, Archie Sterwardson and Ryan Parkes have managed to survive a very difficult year weather wise and yet continue to produce a golf course that receives praise from members and visitors alike. Working with these guys with budget constraints & unpredictable weather conditions continues to be a daily learning experience but they continue to strive to produce an exceptionable product under the circumstances. This year we welcomed trainee Ryan Parkes who has demonstrated good commitment & dedication which is great reflection on both Daniel & Andy’s teaching & leadership skills.

Match & Course Projects

Beverley Park Creek Program - At the April Board meeting, the Board approved the recommendation by Kogarah City Council Management to appoint James Wilcher from Golf by Design (Course designer of the BPGC Master Plan) as the Project Manager for the BPGC Creek Program. James Wilcher has proposed that the Creek Program be split into 2 Stages which will be continuous and believes it will have less impact on the operation of the course. The President, Course Super and myself have had numerous site and project meetings with the Council representatives and it is projected that work

will commence in late July to early August and take between 2-3 months.

75th Anniversary of Beverley Park Golf Club

Plans are well under way for the club’s 75th anniversary celebrations during 2016. The Board along with the 75th Anniversary Sub - Committee has been working now for many months on a range of initiatives & ideas that will hopefully make our 75th year a very special year for the club.

Communications

A couple of years ago the then M&C Committee commenced producing a monthly newsletter which due to its popularity has very quickly become the club’s. PARk NEWS. The Board relishes the opportunity to provide and promote to the members informative news and events happening around the club.

Volunteers

Our trusty group of volunteers continue to work Monday mornings. This service has now operated for the past 3 years assisting our course staff with carrying out set tasks that not only assists our green staff to focus on bigger projects but in turn provides you the members with a better manicured golf course. Congratulations to Phil Barlow, Geoff Eade and Greg Boyd for their continued enthusiasm and dedication in this area.

I must take this opportunity to congratulate Marilyn Meredith for her wonderful contribution as President of the Women’s Golf Sub Committee. During the year unfortunately Marilyn had to step down due to personal reasons and on behalf of the Board & all members we thankyou for your wonderful contributions to Women’s golf within the club and wish her all the very best for the future. Special mention to Lucy Aller who as Captain has stepped up to take on the position as Caretaker President along with training her new vice-captain Patricia Wilson.

2014 Suttons Hyundai Arncliffe Legends Pro-Am sponsored by club member Mark Rigby - This was our second year of this event in aid of the Prostate Cancer Institute at St George Hospital which made a profit of just over $5,000.

Members should be extremely proud and honoured that Greg & the boy’s are at the forefront of our operations.

Finally, to you the members if once again given the opportunity I look forward to continuing as Captain for the upcoming year. All golf clubs are becoming harder and harder to run due to our tough financial climate but with your help & assistance together the PARk will prosper.

Women’s Golf Sub-Committee ReportAt our last General Meeting, we have welcomed two new members to our Committee. Lucie Conroy and Marilyn Kinchin. Sue Gardiner stepped down as Handicapper. Marilyn Meredith served on Committee as Vice President and later President over the last 7 years. Due to ill-health she has cancelled her playing membership and resigned from her position as President. I have taken on the position, with Patricia Wilson becoming Captain and Carol McDonald Vice-Captain. Our Committee work well together, each taking on a role and assisting where required.

We congratulate Patricia Wilson on her election to the Board of Directors at the last AGM.

In 2014 we had great success with our Beverley Park Ladies winning the Bronze 2 Interclub Pennants and in October we won the Monomeeth Salver and the Massey Park Shield. Early this year our Ladies took out the Women’s Weekend Pennant Trophy. Congratulations and thanks to all who participated in our Interclub events.

Congratulations to all our Champions and Winners of our major events as shown in report.

Our ladies worked tirelessly for our Charity Day and Club Members were very generous in enabling us to present a cheque for $5,010.00 to the Children’s Ward at St. George Public Hospital for the purchase of Blood Pressure Monitors. On our Anniversary Day Members again showed their spirit by raising $455.00 for Breast Cancer Research.

Daniel and his staff have done a wonderful job in maintaining our course, especially with such adverse conditions over the last few months.

Thanks to Greg Green, Stuart and Andrew for their kind attention in looking after our Members.

Much appreciated are our efficient office personnel. Jason Rees and Sue Pennie for all their assistance.

To all Members, good health and enjoyable golf for the remaining year.
