A Letter from Brian Munroe, Chairman, Endo PAC

DEAR COLLEAGUES:

The past year was an important one for Endo with the integration of AMS, HealthTronics, and Qualitest

completing the transformation of Endo Health Solutions Inc. It was also a successful year for Endo PAC.

We received $119,780 in member contributions, and provided $135,450 in support to federal, state and

local candidates and political committees.

I’m pleased to share with you the Endo PAC 2012 Contributions Report. In the following pages you will

find a listing of the 63 federal, state and local candidates, political committees and Leadership PACs that

received contributions from Endo PAC. There is also a list of our Endo PAC members who voluntarily

made contributions to help ensure that policymakers hear our collective voice. I hope you will take a few

minutes to review this report and see which candidates Endo PAC supported in your state and region.

There’s much at stake in Washington this year for our industry. The deal reached by Congress on

January 1 to avert the fiscal cliff did not permanently resolve the automatic spending cuts required

under the debt-ceiling compromise reached in 2011. As Congress looks for ways to avoid the cuts

scheduled to begin this March, they will be taking an “everything’s on the table” approach. Possible

changes to Medicaid, Medicare, and other budget decisions that could be made in a budget deficit deal

will almost certainly impact Endo, and the broader pharmaceuticals, medical equipment, and health

solutions industries.

Endo PAC pools the contributions of Endo Health Solutions employees to support candidates for public

office who understand our industry and have a record of promoting public policy that supports medical

innovation and appropriate patient care. Endo PAC is bi-partisan, making contributions regardless of

party affiliation.

Endo Health Solutions Inc. will need allies in Congress who

understand the pharmaceuticals, medical device, and health solutions

industries, should this or a future Congress readdress healthcare or

Medicare. The PAC is a tool for building relationships with members

of Congress, which gets us a seat at the table when laws are being

crafted that affect our industry. We can’t afford not to be there.

Endo PAC:

WhAT IS A PAC?

A Political Action Committee (PAC) is a group of individuals–

usually within a specific population–who pool their resources

to enhance their legislative voice. According to federal laws,

companies cannot contribute directly to public candidates;

however, PACs are able to contribute to candidates at both the

state and federal level. Most Fortune 500 companies have PACs,

including most of our major healthcare competitors. Endo PAC

supports candidates who value access and innovation in healthcare.

WhO RECEIVES ENDO PAC CONTRIBUTIONS?

Endo PAC is bi-partisan. In 2012, Endo PAC supported 63

candidates and political parties. True to its bi-partisan values, Endo

PAC is committed to support candidates from both political parties

who share Endo’s vision and values for health care. When choosing

to make a contribution to a candidate, Endo PAC considers

candidates’ views on issues that impact Endo and its employees

as well as the presence of Endo facilities or employees in the

candidate’s district or state. Included in the Financial Statements

are tables that illustrate the bi-partisanship by level of government

both in terms of percent distribution by political party and percent

of total. A complete list of Endo PAC contributions for January –

December 2012 is included in this report.

Endo complies fully with all federal, state, and local laws and

reporting requirements governing PAC contributions.

Employee participation is completely voluntary, and employees

have the right to refuse to contribute without reprisal.

Contributions are not tax deductible for income tax purposes.

Endo PAC is governed by the Endo PAC Committee comprised

of both Officers and Committee Members representing cross

functional areas of the company. Officers are appointed by the

Chief Executive Officer and Committee Members are selected by

the Endo PAC Chairman. All Endo PAC contributions are reviewed

and approved by the Committee. Contributions are evaluated based

on a number of factors including individual candidate views on

issues that impact Endo and our industry.

A - J. Manuel (Manny) Arreguin is a practicing Obstetrician/Gynecologist in Tucson, Arizona. In February 2012, Dr. Arreguin announced he would run in 2012 for Congress in Arizona’s 3rd congressional district, challenging the seat held by the incumbent Raul Grijalva. On August 28, 2012, Dr. Arreguin lost the primary to the incumbent Raul Grijalva.

B - Rep. Edolphus Towns served in the United States House of Representatives from 1983 to 2013. A Democrat from New York, Towns was Chairman of the House Oversight and Government Reform Committee from 2009 to 2011. During his 30 years in

Congress, Towns represented districts based in Brooklyn: first New York’s 11th congressional district, from 1983 to 1993, and then the 10th district from 1993 to 2013. On April 16, 2012, Towns announced he would be retiring at the end of his 15th term.

C - Rep. Jason Altmire is the former U.S. Representative for Pennsylvania’s 4th congressional district, serving from 2007 until 2013. Following the 2010 census, Pennsylvania lost one congressional seat, and Altmire’s district was eliminated when Pennsylvania’s 4th congressional district was moved across the state. Altmire was forced into a primary battle in Pennsylvania’s 12th congressional district, represented by fellow Democratic congressman Mark Critz, who defeated Altmire 51% to 49% in the primary election. Critz went on to lose the 2012 general election to Keith Rothfus, Altmire’s 2010 opponent.

1. FUND DESCRIPTIONThe ENDO PHARMACEUTICALS INC. PAC (“the Fund”), was formed

by ENDO PHARMACEUTICALS INC. (“the Company”), to solicit

and receive voluntary political contributions from employees and

stockholders of the Company and certain subsidiaries to assist

candidiates for elective office. The Fund was registered with the

Federal Election Commission in June 2008.

2. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIESBasis of Presentation

The financial statement activities of the Fund were formed to comply with

certain federal and state laws. The accounts of the Fund are maintained

on an accrual basis. All administrative costs of the Fund are borne by the

Company in accordance with federal law.

Contributions Receivable

The Fund accounts for payroll deductions withheld from employees and

stockholders as contributions receivable until the funds are deposited in

the Fund bank account.

Tax Status

The Fund is registered as a political organization and, as such, is subject to

tax on non-exempt function income, which includes interest income, if any.
