CONSOL Energy’s asset base, assembled over our

140 year history, is an enviable one: 4.3 billion tons of

proven coal reserves; 1.3 trillion cubic feet of proven

natural gas reserves; $4.0 billion worth of property,

plant and equipment; and more than 7,200 experi-

enced, dedicated employees. We continually invest

our shareholders’ capital in both our physical and our

human assets in order to maximize the rate of return from

our operations and to enable all of our employees to

fully contribute to the success of our company.

We also have kept our balance sheet

sound, giving us considerable finan-

cial flexibility. At year end, we had

no short-term debt while long-term

debt, including the current portion,

was only $552 million. We had

nearly $225 million in cash on

hand and retain considerable bor-

rowing capacity on our bank facility

and through our accounts receiv-

able securitization program.

We believe that 2007 is a year in which opportunities to

acquire assets in coal and gas are likely to occur. We have

purposefully maintained as much financial flexibility as

we can so that we can act quickly if opportunities arise.

Longer term, I expect that we will undertake some finan-

cial re-engineering of the company, but, at the moment,

I like the agility that our financial position gives the

management team during this next twelve months or so.

A Y E A R O F A C C O M P L I S H M E N T S

We accomplished a number of key objectives in 2006:

■ We had our best year ever in safety perform-

ance. Injuries and the severity of injuries were

reduced substantially, and we had no fatal

injuries. We have no higher priority than the

safety of our employees and our performance

I am pleased to report that our company had one

of its best years ever in 2006. We reported net

income of $2.20 per diluted share. Net cash pro-

vided by operating activities was $664.5 million.

Coal production and sales for the year were somewhat

lower than last year, reflecting our decision to cutback

production to maintain proper supply/demand bal-

ance in our key markets. As a consequence, the aver-

age sales price on a ton of coal produced was $38.99,

an increase of 9.5 percent compared with last year. Our

operating maxim has been to reduce production where

market demand will not allow us to earn adequate

margins and a fair rate of return on our investment.

On the other hand, sales of company-produced gas

increased by 16 percent. The average sales price for

natural gas sold by our CNX Gas subsidiary was $7.04

per thousand cubic feet, an increase of 19.3 percent.

Higher prices outpaced increases in costs, allowing us

to post improved unit margins on both our products.

As I wrote last year, we are convinced, particularly in our

coal business, that increasing margins on stable produc-

tion is a better strategy than increasing volumes on flat

margins. We are not averse to increasing production –

so long as customers signal their need for additional

volumes through new sales agreements. But if we have

to choose between increasing margins and increasing

volumes, we will opt for margin expansion.

■ We completed a new five-year labor agreement

with the United Mine Workers of America, who

represent 39 percent of our employees. The new

agreement commenced on January 1, 2007 and

provided fair increases in wages for employees,

and increased company contributions to employee

benefit funds while allowing more flexible work

schedules that should enhance productivity.

■ Finally, on May 31, 2006, I personally certified to

the New York Stock Exchange (NYSE) that I was not

aware of any violation by CONSOL Energy of the

NYSE corporate governance listing standards exist-

ing on that date. Further, CONSOL Energy filed

with the Securities and Exchange Commission, as

an exhibit to our most recent Form 10-K filing, the

required Sarbanes-Oxley Act, Section 302 certifica-

tions regarding the quality of our public disclosures.

C H A L L E N G E S A N D O P P O R T U N I T I E S

Reaching Zero Accidents

Without question, ensuring the safety of our

employees is our most important challenge.

Most of our mines are underground. There, the environ-

ment is constantly changing. Proper planning, continu-

ous observation, and immediate correction of potentially

unsafe conditions are a predicate to preventing accidents.

The human element also is involved in preventing

accidents. We emphasize the importance of safety

to every employee through training and through

activities that continuously create safety aware-

ness. We have built a new training center that

results were not by chance. We focus manage-

ment time and resources on meeting or exceed-

ing our safety goals, and we are convinced that

our goal of zero accidents is achievable.

■ We completed four major, long-term sales agree-

ments with power generators for approximately 230

million tons of high-Btu, Northern Appalachian

coal with an initial value of $10 billion. These con-

tracts manifest the value of our investment in high

sulfur, high Btu mines in Northern Appalachia. As

customers finish retrofitting sulfur removal systems

(scrubbers) to their existing fleet of power plants

and the disincentive to using high sulfur coal is

removed, our high-Btu coal, because of its close

proximity to eastern power plants, becomes the

logical fuel choice for many buyers.

■ In conjunction with our Northern Appalachian

strategy, we expanded our river transportation

business by acquiring several smaller river opera-

tors on the Upper Ohio River, a move that more

than doubled our barge fleet and increased our

towboats more than three fold. We now have the

capacity to serve existing customers better as well

as to reach new customers with both coal sales

and transportation services.

■ We completed a 2-for-1 stock split, and initiated a

two-year $300 million share repurchase program.

■ Because of our continued operational and finan-

cial improvement, we received upgrades from both

Moody’s and Standard & Poor’s rating agencies.

Thus far, we have met our hiring goals. We offer com-

petitive salary and benefit packages to all employees;

our substantial reserve base of coal and gas allows us

to offer career opportunities, not just short-term jobs;

and our reputation as an industry leader, particularly

in safety, draws top quality recruits to us.

Once recruited, our challenge will be to train these

new employees to ensure that we utilize their talents

and that we provide them with the tools to work

safely and productively. We have initiated a number

of new programs to rapidly improve on the skills

that new employees bring to the job, and to match

new employees with experienced ones to provide a

transfer of working knowledge and work procedures.

G L O B A L C L I M A T E C H A N G E A N D

C A R B O N C O N S T R A I N T S

The most important external issue we will face in

the next few years will be the potential for statu-

tory or regulatory constraints on carbon dioxide

and other greenhouse gas (GHG) emissions into

the atmosphere.

The fuels we produce -- coal and gas -- are fossil fuels

that, when burned, emit carbon dioxide. Methane is a

GHG in its own right. But coal and gas also produce

more than two-thirds of the electricity generated in

the United States. As such, we believe that these two

fuels must and will continue to play an important

role in the energy mix of the United States.

I still believe that there is much left to be learned

regarding the role of natural forces in the numerous

allows us to provide year-round training for both

current and new employees.

In addition, we are in the process of developing a new

approach to safety awareness and training that we

believe will accelerate our drive to zero accidents. The

discipline of safety is joining the science of safety with

a culture of safety. We will use technology to help us

monitor conditions, to provide early identification of

problem areas, to improve communications between

sites underground and between the underground and

the surface, and to enhance the safety of equipment.

By deploying technology to augment the efforts of our

employees, we strive to eliminate the physical condi-

tions in a mine as a source of an accident.

The culture of safety, on the other hand, involves

engaging the mind of every employee and creating

safety as an accepted value. This involves constant

training regarding safe work practices, regular discus-

sion of safety issues, both at work and at home, and

developing programs to acknowledge and reward

safe work practices and safety achievements.

R E C R U I T I N G T H E N E X T G E N E R A T I O N

Our second challenge relates, in part, to the first.

During the next five to seven years, more than half

our current work force may elect to retire. As I noted

last year, we are in the midst of a significant effort to

hire and train a large number of new employees. We

have substantially enhanced our recruiting efforts,

including launching a new, regional advertising cam-

paign targeted primarily at potential employees.

watchful for acquisition opportunities, we expect to

continue to invest in our existing asset base.

We will invest in existing mines to improve safety and

efficiency of production as well as expand production

where the market warrants; we will continue to accelerate

the development of our proven gas reserves; we will con-

tinue to seek new opportunities for our service business-

es, such as Fairmont Supply and our river operations, to

provide more diverse revenue and income streams to the

company; we will continue to extract additional value

from our land assets; and we will continue to invest in

our most valuable asset – our employees.

We are committed to managing your assets and capital in

an ethical, responsible, safe and environmentally sound

fashion. We will manage the business to provide share-

owners with a sustainable, long-term investment, while

generating cash streams that allow shareowners to be

rewarded in the short-term as well. And we will manage

our human assets in a manner that respects the value that

each employee adds to our enterprise. We will help each

of them contribute to the success of the company while

providing them the opportunity to provide a rewarding

living for themselves and for their families.

Nevertheless, in the interest of our shareowners, the

company is prepared to provide policy makers with

the principles we believe should be incorporated into

any law proposing to address the climate change issue.

Our motivation is to allow our products, particularly

coal, to continue to serve a central role in the genera-

tion of energy in the United States while addressing

GHG concerns. Coal is our nation’s most abundant

domestic energy resource. Its location is known, we

have the means to mine it, the infrastructure to deliver

it to market, and the technology to convert it to a more

convenient form of energy. Moreover, coal provides

the nation with a degree of energy security unmatched

by any other source of energy available to us.

I N V E S T I N G I N O U R A S S E T S

Our business outlook remains very bright, despite the

challenges. The U.S. economy will continue to grow,

and with it, the demand for energy. The asset base of

CONSOL Energy is an enviable one: 4.3 billion tons

of proven coal reserves, much of which we own

rather than lease; 1.3 trillion cubic feet of proven nat-

ural gas reserves; more than 400,000 acres of land; $4

billion of property, plant and equipment investment;

and 7,200 experienced, dedicated employees.

My most important mission is to invest our owners’

capital in our assets in a way that maximizes our rate

The most challenging issue the company is like-

ly to face in the next several years is that of

global climate change. While we believe much

remains to be learned regarding the mechanisms

that cause changes in climate on a global scale,

in so far as political debate in the United States

is concerned, discussions surrounding any

uncertainties on the topic of global climate

change are over – at least for the present time.

Man-made greenhouse gas (GHG) emissions,

such as carbon dioxide produced from burning

fossil fuels, have been identified as the most

likely source of the recent warming and the

Company now must consider its response to

the possibility that the United States will adopt

limits on the emission of GHGs.

CONSOL already is involved in activities that

reduce GHG emissions. Our most important

activity is methane capture by our CNX Gas

subsidiary. Methane is a GHG whose impact

on atmospheric warming is greater by a factor

of 21 than that of carbon dioxide. Methane is

contained in the coal seams we mine. During

the mining process, this gas is expelled and, in

underground mines, must be swept away by

the ventilating system in order to eliminate

the threat of methane explosions. By remov-

ing methane from coal seams before the coal

is mined, we are able to avoid the release of

this gas into the atmosphere. In 2005, our

capture of methane avoided the equivalent

release of nearly 21 million metric tons of car-

bon dioxide, the third largest amount reported

to the United States Department of Energy by

any company.

In addition, we are involved in a number of

research programs that not only explore ways

to capture additional methane, but seek ways

to store carbon dioxide permanently under-

ground. For example, in Pennsylvania, in

cooperation with the U.S. Department of

Energy, CONSOL is developing several experi-

mental gas wells using vertical-to-horizontal

drilling technology. One part of the program

will drill into coal seams that will not be

mined, first draining the methane from the

seam and then pumping carbon dioxide into

the coal seam to enhance methane recovery

but also to test the ability of the carbon diox-

ide to adsorb into the coal where there once

was methane, thereby storing it permanently

underground.

Finally, CONSOL Energy is a founding company

of the FutureGen Industrial Coalition. This

public/private consortium of U.S.-based and

international companies as well as the United

States and several other countries, plans to

build the first near zero-emission coal-fired

power plant. One important component of this

effort will be to capture the carbon dioxide

emissions of the plant and permanently store

them underground.

Coal production in the United States continued

to grow in 2006 while modest temperatures

across the Northeast and Mid Atlantic regions

tempered demand, leading to higher than normal

inventories at power plants at year end.

In 2006, CONSOL Energy’s coal production was

down slightly from the previous year due in part

to the planned idling of the Shoemaker Mine in

Northern West Virginia to allow for the upgrade

from track haulage to a more efficient, belt

haulage system. The Shoemaker Mine’s belt

haulage project was started during the second

quarter of 2006. Also contributing to reduced

production was the idling of the VP8 Mine in

Virginia and the shutdown of the Mahoning Valley

Mine in Ohio due to the depletion of reserves that

can be economically mined. The company also

experienced adverse geological conditions at sever-

al mines during the year that resulted in sand-

stone and rock intrusions and falls on major belt-

lines that affected year-over-year production.

Three of our mines produced more than 10 mil-

lion tons each during the fiscal year; Bailey Mine

(10.2 million tons); Enlow Fork Mine (10.7 mil-

lion tons); and McElroy Mine (10.5 million tons).

These were the top three underground coal pro-

ducing mines in the United States in 2006. The

McElroy Mine set a record for production for the

second straight year and the company’s Loveridge

Mine tied last year’s record for production from

that complex (6.4 million tons). The Buchanan

Mine also set a production record by mining 5.0

million tons of metallurgical coal during the year.

Two major capital projects were completed during

the year. A new preparation plant was completed

during the year at the Robinson Run Mine and

placed into service in August 2006. The Robinson

Run slope and overland belt that is currently

under construction and slated to be completed in

2007 along with the new preparation plant is

expected to increase production capacity by

approximately 20 percent. An underground

bunker capable of storing 750 tons of coal also

was completed at the Loveridge Mine during the

third quarter. This bunker allows the mine to

efficiently manage coal inventories and belt avail-

ability and partially contributed to the record-

tying production at Loveridge during the year.

CONSOL Energy sold 68.9 million tons of

coal in 2006, down from 70.4 million tons of

coal sold the year before. More than 90% of

our sales were sold domestically and approxi-

mately 66% of our direct sales were to domes-

tic electricity generators.

An aggressive training and men-

toring program will enable CON-

SOL Energy to prepare a next gen-

eration of qualified employees.

Also during 2006, CONSOL Energy signed four

long-term sales agreements totaling more than

230 million tons of coal with an initial aggregate

value of more than $10 billion during 2006 with

American Electric Power, Duke Power, FirstEnergy

and PPL. The four agreements underscore the

value our customers place on the secure, long-

term supply of high-Btu coal available from the

company’s extensive reserve base as well as the

reliable and cost-effective transportation options

that are available to those power generators.

C O A L P R I C I N G

For 2006, CONSOL Energy’s average realized

price received for company-produced coal was

$38.99 per ton, up $3.38 per ton or 9.5%, from

2005. Our realized pricing continues a multi-

year trend of higher pricing for our steam and

metallurgical coal. One of the primary drivers

for the robust pricing for our steam coal is the

growing demand from existing coal-fired power

generators that are retrofitting their units with

flue gas desulfurization technology (scrubbers).

Scrubber technology is used to remove sulfur

dioxide (SO2) from the exhaust flue gases in

coal-fired power plants.

At year-end 2006, there were approximately 55

gigawatts of scrubbed coal-fired power generation

East of the Mississippi River with an additional

85 gigawatts scheduled to be scrubbed by 2012,

according to public announcements by electric

power generators. The additional 85 gigawatts

equates to an opportunity of more than 200

million tons for high-Btu, high-sulfur steam coal

for companies such as CONSOL, whose steam

coal has a typical heating value of 12,000 to

14,000 Btu/lb.

C O S T S

Total costs per ton of company-produced coal

were $32.53 in 2006, up $2.47 or 8.2 percent

from 2005. Operating costs per ton of coal com-

prised $24.79 or approximately 76.2 percent of

the total costs per ton, and were up 11.3 percent

versus 2005. Operating costs were up for the

year due to lower production, higher costs for

commodities that we use in our mines and

preparation plants as well as higher labor costs.

Non-operating costs per ton decreased to $4.55

from $4.93, or 7.7 percent, primarily due to lower

health and retirement benefit costs in 2006.

Depreciation, depletion and amortization costs

were $3.19 per ton up from $2.85 last year, prima-

rily reflecting projects that were placed into service

during 2006. Total capital expenditures for our

coal segment were $481.6 million for the year.

S A F E T Y

In early 2006, several mine accidents occurred at

competitors’ mining operations and encouraged

the U.S. Congress to enact the Mine Improve-

ment and New Emergency Response Act (MINER

Act). As an industry leader in safety, CONSOL

Energy worked with various mining associations,

regulatory agencies and labor during this period

to develop and improve mine safety legislation.

We know that a safe mine is a productive mine.

CONSOL Energy’s 2006 year-end incident rate for

our coal operations segment was 3.23 per

200,000 hours of exposure and compares to the

U.S. Department of Labor Mine Safety and

Health Administration’s underground bitumi-

Looking to the future, CONSOL’s management

team is in the process of developing a long term

strategic plan to continually improve safety per-

formance. This initiative, combined with one of

the best safety incident rates in the industry, will

be very instrumental in achieving our goal of

ZERO accidents. In addition to this strategic ini-

tiative, CONSOL Energy has established a leader-

ship training process that is designed to educate

and train our next generation of leaders, with safe-

ty being one of the major training components.

CONSOL Energy has a total of 12 mine rescue

teams that are trained in underground fire-fight-

ing techniques as well as search, rescue and recov-

ery in underground mine emergencies. These

teams have played a vital role in the emergencies

that have recently impacted the industry. Mine

rescue team participation is voluntary and high-

lights the commitment our miners have for the

safety and well-being of their fellow miner.

Company, owns and manages transportation and

terminal storage services that enhance our coal

operations and provide logistical services to vari-

ous third parties. We also provide industrial

services and research and development services

for use both in-house and to third-parties to aug-

ment the value of our energy products.

R I V E R A N D D O C K S E R V I C E S

In 2006, CONSOL Energy acquired the river assets

of Mon River Towing Company and J.A.R. Barge

Lines, LP. This strategic acquisition augmented our

existing river fleet, which presently consists of 17

towboats, 5 harbor boats and approximately 600

barges.

Located in Speers and Elizabeth, Pa., our river

operations primarily transport coal and, to a lesser

extent, other non-coal commodities from river

loadout facilities to power generation customers

that are mostly located along the Ohio and

Monongahela Rivers in northern West Virginia and

southwestern Pennsylvania. During 2006, our river

fleet transported approximately 24.5 million tons

of coal and other commodities, up from approxi-

mately 10.6 million tons of coal in 2005, reflecting

the capacity increase by the acquisition executed

earlier in the year. Approximately 11.1 million

tons of coal produced by CONSOL Energy mines

during the year was transported via our river ves-

sels and represents 16.5 percent of our 2006 total

company coal production.

CONSOL Energy also operates the Alicia Dock

along the Monongahela River in southwestern

Pennsylvania, whereby the company transfers

coal from rail cars to barges for customers that

receive steam or metallurgical coal on the river

system. The Alicia Dock has an annual capacity

of 9 million tons of coal and has dual rail access

by both the Norfolk Southern and CSX

Transportation Inc. The dock is also served by

several different river transportation companies.

In 2006, the Alicia Dock’s throughput tonnage

was approximately 6.5 million tons.

T E R M I N A L S E R V I C E S

CNX Marine Terminals Inc., a CONSOL Energy

subsidiary, owns and operates an exporting ter-

minal in the Port of Baltimore that offers cus-

tomers a range of transshipment options. The

terminal can load coal directly either from stor-

age or from rail cars into ocean vessels and is

served by two railroads, Norfolk Southern and

CSX Transportation.

The port affords CONSOL Energy a strategic

advantage by giving the company an alternative

export facility to ship steam and metallurgical

coal to the rest of the world. In 2006, approxi-

mately 5.7 million tons of coal were shipped

through our Port of Baltimore, up from 5.0 mil-

lion tons last year. Approximately 2.3 million

tons of the tonnage shipped in 2006 was pro-

duced by CONSOL Energy coal mines.

The terminal has ground storage capabilities of

1.3 million tons and an annual throughput

capacity of approximately 18 million tons.

R E S E A R C H S E R V I C E S

CONSOL Energy's Research & Development

department focuses on energy development,

improving energy efficiency and reducing emis-

sions through research, development, and

demonstration of new energy-related technolo-

gies and integration of existing technologies for

coal and gas production and consumption, as

well as evaluating the commercial viability of

numerous energy technologies.

The primary function of CONSOL R&D is to

identify, develop, and apply technology to sup-

port the production and marketing functions of

CONSOL Energy's coal and gas operations and

assist other departments with technical expertise.

CONSOL R&D is engaged in the development and

demonstration of emissions control technologies for

existing power plants, greenhouse gas reduction

technologies, and carbon sequestration technolo-

gies. CONSOL R&D also provides technical and

analytic expertise to government and private clients.

CONSOL R&D has been active for many years in

greenhouse gas reduction research and development.

At present CONSOL R&D has a DOE project involv-

ing carbon dioxide sequestration with simultaneous

enhanced coal bed methane recovery, a project involv-

ing utilization of vented coal mine methane for pro-

duction of power using a microturbine, and a project

demonstrating a commercial-size device known as a

thermal flow reversal reactor that is expected to oxi-

dize ≥95% of the methane in mine ventilation air

reducing its global warming potential by 87%.

CONSOL R&D is also involved in various other

technology projects and initiatives, including par-

ticipation in the FutureGen Alliance. FutureGen

is a public-private partnership between the U.S.

Department of Energy and major electric genera-

tors and coal producers that will design, build

and operate the world’s first coal-fueled, near-zero

emissions power plant. CONSOL’s R&D brings its

valuable technical expertise to this endeavor.

During 2006, CONSOL Energy was awarded two

contracts by the U.S. Department of Energy.

The first award demonstrates an innovative, multi-

pollutant control technology at the coal-fired, electric-

ity-generating AES Greenidge station in Dresden, NY.

CONSOL R&D is leading a team that includes AES

Greenidge LLC and Babcock Power Environmental

Inc. to install and test an integrated multi-pollutant

control system on one of the nation’s smaller existing

coal-fired power plants. The goal of the project is to

demonstrate that the control system being installed

can cost-effectively reduce emissions from coal-fired

electric generating units with capacities of 50 to 400

megawatts, which is small by industry standards.

Industry analysts estimate that there are approximate-

ly 440 coal-fired units in the U.S. with capacities of

50 to 400 megawatts that are currently not equipped

with multi-pollutant control technologies.

The second award is for a full-scale field trial of

CONSOL R&D’s Low-Temperature Mercury Control

(LTMC) process at Unit 1 of the PPL Martins Creek

Station. LTMC has the ability to reduce mercury

emissions by over 90%, as was recently demonstrat-

ed by CONSOL R&D on a slip-stream pilot plant at

the Allegheny Energy Mitchell Station.

Demonstration of the performance, operability, and

economics on a full-scale utility boiler is the next

step toward deployment of the technology.

INDUSTRIAL SERVICES

Fairmont Supply Company, a CONSOL Energy sub-

sidiary, is a distributor of mining and industrial sup-

plies in the United States. Fairmont supply also

provides integrated supply procurement and man-

agement services through 13 customer service cen-

ters nationwide. Fairmont Supply’s integrated sup-

ply procurement is a materials management strategy

that utilizes a single, full-line distribution approach

to minimize total cost in the maintenance, repair

and operating supply chain.

During 2006, Fairmont Supply provided various

mining supplies to CONSOL Energy’s mines.

Approximately 52 percent of Fairmont Supply’s sales

were made to CONSOL Energy coal mines.

WASTE MANAGEMENT SERVICES

CONSOL Energy operates an ash disposal facility

on a 61-acre site in northern West Virginia to handle

ash residues for coal customers that are unable to

dispose of ash on-site at their generating facilities.

The ash disposal facility can process 200 tons of

material per hour and disposes of approximately

120,000 tons of fly ash annually. CONSOL Energy

has a long-term contract with a cogeneration facility

to supply coal and take the residual fly ash and bot-

tom ash. The bottom ash is disposed of locally at

the cogeneration facility for road construction and

other purposes.

Through CONSOL Energy’s CNX Land sub-

sidiary, the company owns approximately

400,000 surface acres of land in the United

States and Canada.

CNX Land’s central goal is to develop surface

properties that support the company’s coal and

gas operations. CNX Land also generates operat-

ing income through mineral royalties, sustainable

timbering, farm rentals, retail development and

asset sales.

CNX Land continues its work on the University

Town Centre project in Morgantown, WV.

The development is located on acreage that

previously was the site of CONSOL’s Arkwright

Mine’s coal preparation plant and coal refuse

operations. The company’s reclamation efforts

at the University Town Centre were recognized

during the 2006 West Virginia Business

Summit, where the company was presented

with the West Virginia Business Environmental

Leadership Award in the Environmental

Stewardship Division.

In addition to commercial management of land

holdings, we also work with several conservation

groups and have a policy of donating property to

non-profit groups and local community organiza-

tions for various uses. For example, in 2006 CNX

Land made available more than 4,000 acres of

land through a cooperative management agree-

ment to the Ohio Department of Natural

Resources (ODNR) Division of Wildlife, whereby

the land will be used by the public for various

wildlife activities. The agreement with ODNR

was supported through partnerships and coopera-

tion of the Ruffed Grouse Society and the

National Wild Turkey Federation, in which CNX

Land is a certified member.

CONSOL Energy is the largest producer of

high-Btu bituminous coal and has the second

largest recoverable coal reserves among coal

producers in the United States. As of

December 31, 2006, we had 14 bituminous coal

mining complexes in six states with year-end

coal reserves of approximately 4.3 billion tons.

In 2006, approximately 97% of the company’s

coal production came from multiple under-

ground mines in Northern and Central

Appalachia as well as the Emery Mine in Utah.

The remaining 3% of the company’s coal pro-

duction came from various surface mining

operations in West Virginia and Virginia.

CONSOL Energy also is the majority sharehold-

er (81.5%) of CNX Gas Corporation. CNX Gas

produces coalbed methane gas from CONSOL

Energy coal properties in Pennsylvania,

Virginia and West Virginia and conventional

gas from properties in Tennessee and Virginia.

CNX Gas produces approximately 161 million

cubic feet of net average production per day

and had year-end net proved gas reserves of

The Virginia operation is CNX Gas’ traditional

area of operation where vertical wells are

drilled ahead of mining to capture coal bed

methane. The second developmental play is

‘Mountaineer’ in northwestern West Virginia

and southwestern Pennsylvania where vertical

to horizontal well technology is employed.

The two exploratory plays are: the ‘Nittany’, a

coal bed methane play in central Pennsylvania;

and the ‘Cardinal’, a New Albany shale play in

western Kentucky and southern Illinois.

CNX Gas engages in the exploration, develop-

ment and production of natural gas in the

Appalachian Basin, primarily in southwestern

Virginia. CNX Gas is also a leading developer

of coalbed methane, which is the gas that

resides in coal seams, and owns the rights

associated with coalbed methane from the

4.3 billion tons of proved coal owned or con-

trolled by CONSOL Energy.

In 2006, CNX Gas began its Mountaineer proj-

ect, where the company is drilling 15 vertical-to-

horizontal well on 523,000 acres in Northern

Appalachia that produces coalbed methane from

the Pittsburgh 8 coal seam. Additionally, the

Jewell Ridge Pipeline was placed into service in

October 2006. With a total daily capacity of

235,000 MMBtu, the 32 mile lateral pipeline

provides an alternative delivery point to the East

Tennessee Interstate Pipeline and is expected to

minimize the impact of pipeline curtailments

and transportation costs.

For 2006, CNX Gas had net income of $159.9

million, or $1.06 per diluted share. Of this

amount, $130.3 million was reported as income

by CONSOL Energy. CNX Gas produced 56.1

billion cubic feet of gas during the year, up 7.7

billion cubic feet from 2005. CNX Gas also

brought 316 wells online during the year bring-

ing the total to 2,636 net producing wells. The

gas company also had ten drilling rigs operating

at year end, up from six a year earlier.

CONSOL Energy currently holds approximately

123 million shares of CNX Gas.

$130 million was recorded as

income by CONSOL Energy.

According to William J. Lyons (above),

executive vice president and chief finan-

cial officer, CONSOL Energy turned in a

solid fiscal year 2006. Reasons for the

strong year, reported Mr. Lyons, were

an increase in demand for Northern

Appalachia coal, which helped to sustain

prices there, and CONSOL Energy’s

diversity of fuel products.

In addition, four large sales agreements

signed last year for coal supplies to

scrubbed generating stations, a commit-

ment to market discipline and several

capital improvement projects begun last

year will have positive effects on results

in the near term, Lyons said.

For gas, amounts include 100% of CNX Gas’ basis; they exclude the 18.5% minority interest reduction. Also for gas, Knox Energy makes up theequity earnings data in 2006, 2005, 2004, 2003 and 2002. Greene Energy was part of equity earnings in 2002. Our proportionate share of proved reserves for gas equityaffiliates is 2.2 bcf, 2.7 bcf, 2.4 bcf, 0.8 bcf and 0.6 bcf at December 31, 2006, 2005, 2004, 2003 and 2002, respectively. Sales of gas produced by equity affiliates were 0.22bcf in the year ended December 31, 2006; 0.23 bcf in the year ended December 31, 2005; 0.20 bcf in the year ended December 31, 2004; .08 bcf in the year endedDecember 31, 2003 and .22 bcf in the year ended December 31, 2002.

Although EBIT and EBITDA are not measures ofperformance calculated in accordance with generally accepted accounting principles, management believes that they are useful to an investor in evaluating CONSOLEnergy because they are widely used in the coal industry as measures to evaluate a company’s operating performance before debt expense and cash flow. Financialcovenants in our credit facility include ratios based on EBITDA. EBIT and EBITDA do not purport to represent cash generated by operating activities and should not beconsidered in isolation or as a substitute for measures of performance in accordance with generally accepted accounting principles. In addition, because EBIT and EBITDAare not calculated identically by all companies, the presentation here may not be comparable to other similarly titled measures of other companies. Management’s discre-tionary use of funds depicted by EBIT and EBITDA may be limited by working capital, debt service and capital expenditure requirements, and by restrictions related tolegal requirements, commitments and uncertainties. A reconcilement of EBIT and EBITDA to financial net income is as follows:

(J) For purposes of computing the ratio of earnings to fixed charges, earnings represent income from continuing operations before income taxes plus fixed charges.
