ELSEVIER SUBSCRIPTION AGREEMENT

This agreement ("Agreement'') is entered into as of Ist January 2020 by and between the Consortiurn of Swiss Academic Libraries c/o SLSP AG, Werdstrasse 2, 8004 Zürich (the "Consortium"), for and on behalf of its members identitied on Schedule 2, pursuant to an authorizing agreement substantiaJJy in the form set forth on ScheduJe 3 (the "lnstitutions") (all, collectively, the "Subscriber"), and Elsevier B.V., Radarweg 29, 1043 NX Amsterdam, The Netherlands ("Elsevier"). The contractual parties of this Subscription Agreement are Elsevier, the Consorti um and the lnstitutions. By signing the Power of Attorney Form in ScheduJe 3 and the signing ofthis Agreement ofthe hereby authorized representative of the Consortium each lnstitution enters into a direct contractual relation with Elsevier. The Fees are directly paid by the lnstitutions to Elsevier and the liability of each Institution is limited to the portion of the attributed Fees set forthin Schedule 1. The function of the Consortium is limited to the negotiation and signature of the Agreement and the representation of the Lnstitutions vis-a-vis Elsevier du ring fulfilment. The Consortium is neither directly liable for the payment of the Fees by the lnstitutions nor for the observation ofthe subscription terms and the fulfilment of the Subscriber perfonnance obligations by the lnstitutions. There is no joint liability for the Consortiurn or the lnstitutions.

The parties hereto agree as follows:

SECTION 1. SU BSCRIPTION.

1. 1 Subscribed Products. Elsevier hereby grants to the Subscriber the oon-exclusive, non-transferable right to access and use tbe products and services identified in Schedule 1 ('·Subscribed Products") and provide the Subscribed Products to its Authorized Users (as defined herein) subject to the terrns and conditions ofthis Agreement.

1.2 A uthorized Users/Sites. Authorized Users are the füll-time and part-time students, facuJty, staff and researchers of the Subscriber and individuals wbo are independent contractors or are employed by independent contractors of the Subscriber affiliated with the Subscriber's locations listed on ScheduJe 2 (the "Sites") and individuals using computer terminals within the library facilities at the Sites permitted by the Subscriber to access the Subscribed Products for purposes of personal research, education or other non-corporate use (''Walk-in Users").

l.3 Authorized Uses. Each Authorized User rnay:

• access, search, browse and view the Subscribed Products;

• print, download and store a reasonable portion of individual items from the Subscribed Products for thc exclusive use of such Authorized User;

• incorporate links to the Subscribed Products on the Subscriber's intranet and internet websites and in electronic coursepacks, reserves and course management systems and instructor websites. provided that the appearance of such links and/or statements accompanying such links will be changed as reasonably requested by Elsevier;

• provide print or electronic copies of individual items from the Subscribed Products to other Authorized Users and to third-party colleagues for their scholarly or research use;

• store individual journaJ articles from the ScienceDirect Subscribed Products in the private

library ofa social networking site for the Authorized.User' s own personal use only;

• share individual journal articles from the ScienceOirect Subscribed Products with third party colJeagues individually for their scholarly or research use;

• share individual journal articles from tbe ScienceDirect Subscribed Products with a limited nurnber of third party colleagues as part of an invitation only working group on non­commercial platfom1s or tools, for personal, scholarly or research use; and

• access, search, browse, view, print, make electronic copies and store for the exclusive use of such Authorized User or, if the Authorized User is a librarian/i nformation specialist, for the exclusive use of another Authorized User certain journal articles and book chapters from the ScienceOirect® online service that are not subscribed to as part of the Subscribed Products, with each twenty-four (24) hour access period for a selected article or chapter, a "Transaction".

The Subscriber may:

• print and deliver journal articles from Subscribed Titles (as defined herein) from the ScienceDirect Subscribed Products to fulfiU requests as part ofthe practice commonly known as "interlibrary loan" from non-commercial libraries located within the same country as the Subscriber by using Arie! or software with similar functionality. Secure e-mail may be used for the purposes of interlibrary loan provided that the e-mail is immediately deleted after request is met.

The Subscriber may:

access the text and data mmmg service online via an API at http://dev.elsevier.com to continuously and automaticaIJy extract and index and/or process inforrnation from the ScienceDirect Subscribed Products to which the Subscriber separately subscribes and load and integrate the results (the "TOM Output") on the Subscriber's text-mining system for access and use by Authorized Users; and

distribute the TOM Output exteroaUy, which may include a few lines of query-depen.dent text of individual füll text articles or book chapters which will be up to a rnaximum length of 200 characters surrounding and excluding the text entity matched ("Snippets") or bibliographic metadata. Where Snippets and/or bibliographic metadata are distributed, they should be accompanied by a 001 link that points back to the individual füll text article or book chapter. Where images are used the Subscriber should clear tbe rights for reuse with the relevant copyright owner and/or rights holder. Further the TOM Output should include a notice in the following form:

"© Same rights reserved. This work permils non-commercial use, di_stribution, and reproduction in any medium, provided the original auJhor and sow·ce are crediled. ··

The Subscriber will be primarily liable forthe compliance ofall Autborized Users and the engaged third party vendor with this Agreement.

Elsevier will be entitled, at its sole discretion, costs and expense, to audit the Subscriber' s and any engaged third party vendor' s entire TOM environment, which wouJd include thc cxtracted Data, the TDM Output, ihe hardware environment, software deployed and security controls in place and to ensure compliance with the terms and conditions of this Agreement.

Text and data mining service online may be accessed by, processed, or hosted by, vendors or other third parties retained by the Subscriber only with the express written permission of Elsevier and solely for the

index and/or process information purposes of the Subscriber. The independent contractor and/or vendor will not ingest the Dataset for any other reasons and will keep such extracted Data. the Sojppets, the TDM Output separate and segregated from any other data, and will have no right or ability to use the extracted Data, the Snippets and the TDM Output in any other product or service offering.

Independent contractors and/or vendors will agree in writing to agree and comply witb the terms and conditions of this Agreement and will provide Elsevier a copy of such written statement. The Subscriber will not appoint independent contractors and/or vendors which are located outside the European Union, Canada or the United States of Ame.rica.

Tbe Subscriber will exercise the same degree of care and apply the same level of security control with respect to the use of the text and data mining service online and the activities under this Agreement as with the Subscriber's own product and services.

As additional restriction in this usage grant, the Subscriber and irs Authorized Users may not: • use any robots, spiders or other automated downJoading programs, aJgorithms or devices to

search, screen-scrape, extract, or index any Elsevier web site or web application, other than the text and data mining service online via an API; nor

• utilize the TDM Output in a way that wouJd compete wjth the value of the final peer review journal article or the Subscribed Products, or have the potential to compete with, to substitute and/or replicate any other existing Elsevier products, Services and/or solutions or to enhance the products or services and/or solutions ofthe engaged vendor.

The Subscr.iber:

may extract and index Data from the Published Journal Articles/Published Book Chapters from Authors included in the Subscribed Products to index and store these in per_petuity in the Subscriber's lnstitutional Repository by implementing the ScienceDirect APis as outlined in the use case at: http://dev.elsevier.com/ir cris vivo.html ; and

Abstracts may only be displayed on the abstract records on the Subscriber data's websites, all other services ofthe lnstitutional Repository, such as (but not limited to) alerts, e-mail services and APl's may only display Snippets but not abstracts.

In connection with the storage ofData from the PubLished Journal Articles/Published Book Chapters from Autbors in the Subscriber's lnstitutionaJ Repository, the Subscriber will:

(i) integrate the lnstitutional Repository software with Elsevkr's APJs in accordance with the API Documentation;

(ü) display clear indicators informing users oftbe lnstitutional Repository in case they are entitled to the Published Journal Article/Publisbed Book Chapter next to each instance where Data are displayed;

(iii) ensure links to the relevant Published Journal Article/Published Book Chapter landing page in the Subscribed Product are available as part ofthe rusplayed Data. Jn the event links to multiple instances of the füll text article/book chapter are displayed, the Subscriber will ensure that the link to the Published Journal Article/Published Book Chapter is displayed more prominently than the Links to the other versions of the article/book chapter;

(iv) undertake reasonable efforts to ensure that Accepted Manuscripts bear a CC BY-NC-ND license and link back to the Published Journal Article/Published Book Chapter on ScienceDirect;

(v) ensure the indexes only include Data aod oo other parts of the Published Journal Articles/Published Book Chapters; and

(vi) remove illicit versions of Published Journal Articles on the terms which are set out here: https://www.elsevier.com/about/company-information/policies/hosting upon Elsevier' s request and allow Elsevier to review the implementation of the Data into the lnstitutional Repository. Elsevier will have the right to suggest improvements to tbe display of the search results for the Published Journal Articles/Published Book Chapters that are avai lable on the Elsevier site.

Tbe Subscriber recognizes that Elsevier wants to ensure tbat the Institutional Repository will not share personal or private information, incJuding user identities. In the event tbe lnstitutional Repository coUects or otherwise processes or uses personal data the Subscriber will be responsibJe for complying with the relevant data protection and privacy laws.

In connection with the storage ofData from the Published Journal Articles/Published Book Chapters from Authors in the Subscriber' s Institutional Repository, Elsevier wiJJ:

(i) render and (if applicable) embed via a ScienceDirect API first page PDF previews and, subject to the user authentication, the Full PDFs of the Publ ished Journal Articles/Publ ished Book Chapters in the pages of the lnstitutiooal Repository.

As used in this section regarding tbe storage ofData from tbe Published Journal Articles/Published Book Chapters from Autbors in the Subscriber' s lnstitutional Reposüory:

"Authors" means employees, students and other staff of the Subscriber and independent contractors appointed by the Subscriber.

"Accepted Manuscript" means an author's version of the man.uscript of a journal article or book chapter that has been accepted for publication and which typically includes author-incorporated changes suggested during submission, and editor-author communications. Accepted Manuscripts should not be added to or enhanced in any way in order to appear more like, or to substitute for, the Published Journal Article/Published Book Chapter.

"CC BY-NC-ND" (Creative Commons Attribu1ion - Non Commercial - No Derivatives) means Creative Commons license for non-commercial purposes. CC BY-NC-ND allows others to distribute and copy the Accepted Manuscript for non-commercial purposes, as long as they credit the author(s) (with a link to the formal publication tbrough the relevant D01), provide a link to the license, and do not represent that tbe licensor endorses the use made of the article/book chapter. lf the user alters or revises the Published Journal Article/Published Book Cbapter in any way, it cannot distribute the modified version of the article/book chapter to others.

"Data" will be Iimüed to the following: index terms, bibliographic information, headers, references, digital object identifiers, embargo end dates, keywords, author affiliation, Snippets and abstracts, or any other data when included, ofthe füll text articles/book chapters.

"lnstitutional Repository" means the Subscriber' s secure database system that Subscriber uses to collect, preserve and disseminate information about the intellectual output of the Subscriber's institute(s).

"Published Book Chapter" means the definitive final record of published research that appears. or will appear, in the book and embod ies all value-adding publisher activities including copy-editing, formatting and (if relevant) pagination, and online enrichment.

"Publ ished Journal Article" means tbe definitive final record of published research that appears, or will appear, in the journal and embodies all value-adding publisber activities including copy­editing, formatting and (if relevant) pagination, and online enrichment.

"Snippets" mean a short contextually relevant query-dependent text or data whicb may include bibliograpbic metadata as well as a maxiqmm of 120 words of query-dependent text from individual Published JournaJ Articles/PubJished Book Chapters.

l.4 Restrictions on Use of Subscribed Products. Except as expressly stated in this Agreement or otberwise permittedin writing by Elsevier, the Subscriber and its Authorized Users may not:

• abridge, modify, translate or create any derivative work based on tbe Subscribed Products, except to tbe extent necessary to make them perceptible on a cornputer screen eo Authorized Users;

• remove, obscure or modify in any way any copyright notices, other notices or disclaimers as they appear in the Subscribed Products;

• use any robots, spiders, crawlers or other automated downloading programs, algorithms or devices to continuously and autornatically search, scrape, extract, deep link, index or disrupt the working ofthe Subscribed Products;

• substantially or systematically reproduce, retain, redistribute or disseminate online the Subscribed Products; or

• post individual items from tbe Subscribed Products on social networking sites.

Autborized Users wbo are individuals who are independent contractors or are employed by independent contractors may use the Subscribed Products only for the purposes ofthe contracted research work for the Subscriber.

1.5 lntellectual Property Ownership. The Subscriber acknowledges that all right, trne and interest in and to the Subscribed Products remain with Elsevier and its suppliers, except as expressly set forth in this Agreement, and that the unauthorized redistribution or dissemination online of the Subscribed Products could materially and irreparably harm Elsevier and its suppliers.

Notwithstanding anything to the contrary contained in this Agreement, more extensive usage terms migbt be permitted for open access content in the Subscribed Products as identified in the individual journaJ article as stated in tbe applicable user (e.g. CC) license.

SECTION 2. ELSEVIER PERFORMANCE OBLIGATIONS.

2.1 Access lo Subscribed Products. Elsevier will make the Subscribed Products accessible to the Subscriber and its Authorized Users from the internet address set forth on Scbedule l or as may be otberwise set fortb herein.

2.2 Qua/ity o/Service. Elsevier will use reasonable efforts to provide tbe Subscribed Products with a quality of service consistent with industry Standards, specifically, to provide continuous service with an average of 98% up-time per year, with the 2% down-time including scheduled maintenance and repairs performed at a time to minimize inconvenience to the Subscriber anö its Authorized Users, and to restore service as sooo as

possible in the event of an interruption or suspension of service. lf, due to causes within its reasonable control, Elsevier is unable to provide the Subscriber with access to the service for a period exceeding five (5) consecutive days, tben Elsevier wiJI refund to the Subscriber the amount of the Fees cakulated by dividing the number of days of downtime by 365 and multiplied by the amount ofthe Fees for tbe then current year.

2.3 Withdrawal ofContent. Elsevier reserves the right to withdraw from the Subscribed Products content that it no longer retains the right to provide or that it has reasonable grounds to believe is unlawful, hannful, false or infringing. Ifthe withdrawal represents more than ten ( 10%) percent of the number of titles comprising the Subscribed Products, Elsevier wi II refund to the Subscriber the amount of the Fees that is proportional to the amount of content withdrawn and the remaining unexpired portion of tbe period for which the Fees were paid. Elsevier will inform the Subscriber if any titles during the Term are removed.

2.4 Usage Data Reports. Elsevier will make usage data reports on the Subscriber' s usage activity accessible online on a monthly

basis. Elsevier will make commercially reasonable efforts to comply with the then currently valid COUNTER Code of Practice. Elsevier shall maintain as confidential and not disclose to aoy non-affiliated third party witbout the Subscriber's prior written consent or as required by law any search or other usage data except in aggregated, coUective or anonymized form.

SECTION 3. SUBSCRIBER PERFORMANCE OBLIGATIONS.

3. l Auiheniication. Access to the Subscribed Products will be authenticated by the use offnternet Protocol ("IP") address(es) and/or usernames and passwords and/or a delegated authentication mechanism requiring at least two different credentials, as identified on Schedule 2. Distribution of usernames, passwords, credentials or otherwise providing remote access to tbe Subscribed Products by Autborized Users who are Walk-in Users is not perrnitted.

3.2 Protection.from Unauthorized Access and Use. Tue Subscriber will:

• take appropriate measures to protect against the misuse or unauthorized access, whether by the Subscriber or any third party, through or to (a) the Subscriber's credentials used to access the Subscribed Products; and (b) the Subscribed Products and/or information derived therefrom;

• manage identification, use, access and control of all credentials used to access the Subscribed Products in an appropriately secure manner, including, but not limited to, by:

• limiting access to and use of the Subscribed Products to Authorized Users and notifying all Authorized Users of the usage restrictions set forth in this Agreement and that they must comply with such restrictions;

• issuing any passwords or credentials used to access the Subscribed Products only to Authorized Users, not divulging any passwords or credentials to any third party, and notifying all Authorized Users not to divulge any passwords or credentials to any third party; and

• providing true, complete and accurate IP addresses, as identified on Schedule 2, (if any) for the exclusive use by the Subscriber (including, if requested by Elsevier, written confirmation by the relevant third party internet service provider) and proactively inform ing Elsevier of any changes to the Subscriber IP addresses, incl uding the addresses no longer being used exclusively by the Subscriber.

• without undue delay, deactivate any credentials when no longer needed or where access . presents a security risk;

• implement appropriate policies and procedures to seek to ensure that all use ofthe Subscribed Products is for its legitimate business purposes andin compliance with all terms and conditions herein;

• implement and maintain its own appropriate program for credentials management and will use commercially reasonable efforts· to follow tbe policies and procedures for account maintenance as may be communicated to the Subscriber by Elsevier from time to time in writing;

• on an appropriate basis, revi<:;w access to the Subscribed Products by its passwords or credentials used to access the Subscribed Products to ensure that such access was in compliance with al l terms and conditions herein; and

• promptly upon becoming aware of any unauthorized use of the Subscribed Products, inform Elsevier and take appropriate steps to end such activity and to prevent any recurrence.

fn the event of any unauthorized use of the Subscribed Products, Elsevier may suspend the access and/or require that the relevant lnstitution(s) suspend the access from wbere the unauthorized use occurred upon notice to the relevant lnstitution(s). In the event that Elsevier detects unauthorized use, Elsevier will promptly notify the relevant Institution by email and/or telephone and request its cooperation to resolve and avoid recurrence of the unauthorized use and wiJJ promptly restore any suspended access once the unauthorized use has ceased and the relevant has taken corrective actions t.o ensure that such unauthorized use does not recur. Tbe relevant fnstitution(s) will not be liable for unauthorized use of the Subscribed Products by any Authorized Users provided that the unauthorized use did not result from the relevant Institution(s )' own negl igence or wil lful misconduct and that the relevant lnstitution(s) did not permit such unauthorized use to continue after having actual notice thereof. The relevant lnstitution(s) will be responsi ble for the adherence to the terms and conditions of this Agreement by a third party provider the Subscriber engages, in particuJar, if such third party provider supplies and manages TP addresses.

3.3 Security Requirements. Tue Subscriber agrees that the Subscriber will have in place documented policies and procedures, which may be reviewed, covering the administrative, pbysical and technical safeguards in place and relevant to the access, use, loss, alteration, disclosure, storage, destruction and control of information. The Subscriber wi ll promptly notify Elsevier if it determines that there has been a breach of such safeguards if such breacb results in a compromise of any information provided bereunder and cooperate with Elsevier's reasonable requests surrounding such breach including taking appropriate steps to end such activity and to prevent any recurrence.

SECTJON 4. FEES AND PA YMENT TERMS.

Each Institution will pay to Elsevier the fees set forthin Schedule I (the "Fees") within thirty (30) days of date of invoice. Late payments will be subject to interest charges of 1 % per month on the unpaid balance, however the total annual aggregated interest charges will not exceed the default interest rate of 5 % set by the Swiss Code of Obligations for commercial contracts. The Fees will be exclusive of any sales, use, value added, withholding or similar tax and the relevant Institution will be liable for any such taxes in addition to the Fees.

SECTION 5. TERM.

5.1 Term. The term of this Agreement wiU commence on l •• January 2020 and continue until 31 st December 2023

("Initial Term").

5.2 Renewal. After the Initial Term, this Agreement may be renewed upon mutual agreement of the parties in writing for an additional one-year term(s) (a "Renewal Term"). The Jnitial Term and each Renewal Term are collectively the "Term."

5.3 Removal of Institulions Due To Insufficient ßudgetary Allotment From Government. An Institution may be removed from Schedule 2 upon ninety (90) days notice given by the Consortium to Elsevier if sufficient funds are not provided or allotted in future government-approved budgets of the Institution (or reasonably availab!e or expected to become available from other sources at the time its payment obligation attaches) to permit tbe Inst itution, in the exercise of its reasonable administrative discretion, to continue to participate in this Agreement. Tn the event that an Institution no longer participates in this Agreement, its journal titles will no longer be accessed by the Subscriber. The Subscriber may terminate this Agreement upon thirty (30) days' notice given by the Subscriber to Elsevier if sufficient funds are not provided, allocated or allotted in future government-approved budgets of the Subscriber or reasooably available or expected to become available from other sources at the time the Subscriber's payment obligation attacbes to permit the Subscriber, in tbe exercise of its reasooable administrative discretion, to continue this Agreement. Notwithstanding the foregoing, if access to the SubscrLbed Products was provided but not yet paid for prior to termination, Elsevier will be entitled to receive a pro rata portion ofthe Fees attributable to tbe period oftime tbat access was provided.

SECTION 6. ELSEVIER WARRANTIES AND INDEMNITIES.

6.1 Warranties. Elsevier wauants that use of the Subscribed Products in accordance with the terms and conditions herein will not infringe the intellectual property rights of any third party.

6.2 Indemnities. Elsevier will indemnify, defend and hold hannless the Subscriber and its Authorized Users from and against any loss, damage, costs, Iiability and expenses (including reasonable attomeys' fees) arising from or out of any third-party action or claim that use of the Subscribed Products in accordance with the terms and conditions herein infringes the intellectual property rights of such third party. Jf any such action or claim is made, tbe Subscriber will promptly notify and reasonably cooperate withElsevier. Tbis indemnity obligation will survive the termination ofthis Agreement.

6.3 Disclaimer. EXCEPT FOR THE EXPRESS WARRANTlES AND INDEMNITIES STATED HERElN AND TO THE EXTENT PERMITTED BY APPLlCABLE LA W, THE SUBSCRIBED PRODUCTS ARE PROVIDED "AS fS" AND ELSE VIER AND ITS SUPPLIERS EXPRESSL Y DJSCLAIM ALL WARRANTlES AND REPRESENTA TIONS OF ANY KIND WlTH REGARD TO THE SUBSCR1BED PRODUCTS AND ANY OTHER DATA, DOCUMENTATION OR MATERIALS PROVIDED IN CONNECTION WlTH THIS AGREEMENT, fNCLUDJNG BUT NOT LJMTTED TO ANY ERRORS, INACCURACIES, OMJSSIONS, OR DEFECTS CONT AINED THEREIN, AND ANY lMPLIED OR EXPRESS WARRANTY AS TO MERCHANTABLLITY OR FITNESS FOR A PARTlCULAR PURPOSE.

6.4 Limitation of Liability. Except for the express warranties and indemnities stated herein and to the extent permitted by applicable law, in no event will Elsevier or i~ suppUers be Uable for any indirect, incidental, special, consequential or punitive darnages including, but not limited to, loss of data, business interruption or loss of profits, arising out of or in connection with this Agreement, or will the Uability of Elsevier and its suppliers to the Subscriber exceed a sum equal to the Fees paid by the Subscriber hereunder during the twelve (12) month period immediately preceding the date on which the claim arose, even ifElsevier or any supplier has been advised ofthe possibility ofsuch liabili ty or damages.

SECTION 7. GENERAL.

7. l ForceA1ajeure. Neither party's delay or failure to perfonn any provision of this Agreement as a result of circumstances beyond its control (including, but not limited to, war, strikes, fires, floods, power failures, telecommunications or Internet failures or damage to or destruction of any network facilities or servers) wil l be deemed a breach of this Agreement.

7.2 Severability. The invalidity or unenforceability of any provision of this Agreement will not affect any other provisions of this Agreement.

7.3 Entire Agreement. This Agreement contains the entire understanding and agreement of the parties and replaces and supersedes any and aU prior and contemporaneous agreements, com.munications, proposals and purchase orders, written or oral, between the parties with respect to the subject matter contained herein.

7.4 Modification. No modification, amendment or waiver of any provision ofthis Agreement wi ll be valid unless in writing and s igned by the parties, except for changes reflecting IP addresses, authentication mecha.nisms, invoicing and contact address details which may be confinned by Elsevier in an email notice sent to the Subscriber.

7.5 Assignment. The Subscriber wiU not assign, transfer or license any of its rights or obligations under this Agreement unless it obtains the prior written consent ofElsevier, which consent will not unreasonably be withheld.

7.6 Privacy. Elsevier will not, without the prior written consent of the Subscriber, transfer any personal information received by Elsevier from the Subscriber U11der this Agreement to any non-affil iated third party, except (i) to applicable service providers to the extent necessary to perform their functions for Elsevier in support of this Agreement; (ii) where reasonably necessary to address security, safety, fraud or other legal issues; and (iii) ifthe Subscribed Products are acquired by another company, or use it for any purpose other than as described in this Agreement.

7.7 Notices. All notices given pursuant to this Agreement will be in writing and delivered to the party to whom such notice is directed at the address specified below or the electronic mail address as such party will have designated by notice hereunder.

7.8 Confidentiality. No financial information contained in this Agreement and its Schedules and Annexes may be disc'losed to third parties, except i) if, and to the ex:tent compelled by law to do so such as the mandatory duties of disclosure accord ing to Federal or Cantonal Swiss law (e. g. in accordance with BGÖ, BöB, fDG of the Canton of Zurich) or i i.) after prior consultation with Elsevier.

7.9 Execution. This Agreement and any amendment thereto may be executed in counterparts, and signatures exchanged by facsimi le or other electronic means are effective to the same ex:tent as original signatures.

7.10 Contracting Authority. Bach Institution bas authorized the Corisortium to enter into this Agreement on its behalf and to enforce this Agreement against it pursuant to an authorizing agreement substantially in the fonn set forth on Schedule 3, as attached hereto as Schedule 3.1.

7. I I Governing Law. . This Agreement will be governed by and construed in accordance with the laws of Switzerland and the parties irrevocably consent to the exclusive jurisdiction of the courts of Zurich with respect to any action or suit arising out of or pertaining to this Agreement ( except where local law requires ).

7 .12 Comp/iance with Laws. Each party will comply with all applicable laws and regulations relating to its duties and obligations under this Agreement. Elsevier reserves the right to deny access to the Subscribed Products to any person or entity who is prohibited from receiving such access based on any applicable export control and trade sanctions laws or embargo programs.

7.13 Gold Open Access Pilot. Parties have agreed to a gold open access pilot which form an integral part of this Agreement as detailed in Schedule l .2 ("Elsevier Gold Open Access Pilot terms").

Titles identified in Annex A: Electronk access to the füll text of all articles from tbe Elsevier journal t itles published since 1 January 1995, as may be updated annually with the changes effective as of 1 January of the following calendar year ofthe Term ofthe Agreement.

Final Title Selection for Archival Rights Conditional upon füll payment of the Fees identified in Scbedule 1, at the end of tbe Term, the Consorti um may make an individual selection ofjournal titles for archival access ("Archive Titles") for thei r lnstitutions (exc)uding·Cell Press), max. number oftitles as seen below. The Consortium may select the Archive Titles from Annex A to Schedule 1.1 , Subscribed Titles, provided that Elsevier continues to hold the electronic rights thereto. The content access years for Archive Titles will range from 2020 to 2023. lf requested by the Consortium, the definitive !ist of Archive Titles will be confirmed in an Amendment to this Agreement.

Upon termination of all of the Subscribers' annual subscriptions to ScienceDirect online, the Subscriber may, at its option, (1) acquire, load and technically format on a server that enables access and use by its Authorized Users an electronic copy ofall or part ofits Archive Titles for theJublication years paid and/or (2) continue to access such Archive Titlesonl ine for an annual access fee■I- per ]nstitution forthe Subscriber' s access to the ptatform, and/or (3) access such Archive Titles online through the Portico® electronic archiving service provided by Portico (in which case the Subscriber will execute a separate license agreement witb Portico whose terms and conditions will also govem tbe Subscriber' s use of such Archive Titles and take precedence in the event of any conflict or inconsistency with this Agreement), in accordance with the usage provisions of this Agreement, whicb provisions will survive the termination of the Agreement. Elsevier will make available for inspection by a duly authorized auditor ofthe Institution, at the lnstitution' s sole expense, the records conceming the calculation of the annual access fee once per year during regular business hours upon thirty (30) days written notice to Elsevier. lf an electronic copy is selected, the Subscriber will for a period offive (5) years from delivery ofthe electronic cöpy provide, on a monthly basis, to Elsevier complete and accurate usage data reports on the Subscdber' s on-site usage activity in a mutually agreed upon format Elsevier will be entitled to inspect the Subscriber's records of usage once per year during regular business hours upon reasonable notice to the Subscriber. The electronic copy may not contain links and other features and ftmctionality associated with the onUne version. If a particular Archive Title is witbdrawo by Elsevier or not renewed by the Institution, but the lnstitution remains a ScienceDirect online subscriber, the Institution may continue to access onl ine, at no additional charge, such formerly Archive Title for the publication years paid provided that Elsevier cootinues to hold

the electronic rights thereto.

For e-only lnstitutions: Deep Discounted Price for Print Subscriptions . . Provided that the Fees have been paid, the Institution will have the option to place orders for annual subscriptions to a selection of Elsevier print pubUcations at a price reduced from the list price ("Deep Discouilted Price" or "DDP"), by I Augustprior to the statt ofthe next calendar year from Elsevier or its affiliate directly and from ortly one ( 1) authorized subscription agent, which will be selected by tbe Subscriber, and Elsevier or its affiliate will fulfill such orders in accordance with its customary practices. The Consortium will cause the Institution to notify Elsevier of its subscription agent's contact information upon placing such orders. The Institution may change its subscription agent no more than once annually by giving Elsevier noti~ by 1 Augustprior to the start ofthe next calendar year. The Institution will not place orders for such DDP subscriptions on behalf of any other person or entity or with the intent to resell, rent, license, lease or otherwise transfer them to another person or entity.

Scbedule 1.2 Elsevier Gold Open Access Pilot Terms

Scope and Commercial Terms 1. Corresponding authors of the Swiss academic institutions ("Institutions") that are part of the

Consortium ofSwiss Academic Libraries (the "Consortium"), shall be referred to as "Corresponding Author (s)" and shall bave the right, during the term ofthe underlying subscription agreement dated Ist January 2020 ("Agreement"), to publish a number of joumal articles per year for Gold Open Access, if accepted for publication, and subject to the terms of this Elsevier Gold Open Access pilot (''Pi lot").

2. The Fees for 2020 and total Fees for fµture years ofthe tenn oftbe Agreement will include Article Publishing Charges ("APCs") for accepted articJes, which can be used in applicable Elsevier­publ ished hybrid and fully gold journals ( e.g. excluding Cell Press and The Lancet and certain society titles) in accordance witb the below:

o For year 2020: 2.850 APCs are included;

o For year 2021: 3.000 APCs are included;

o f or year 2022: 3 .150 APCs are included.

For every published Gold Open Access article in excess of the above indicated maximum number of articles for tbe years 2020, 2021 aod 2022, the following applies:

Tbe Standard APC rate will be set at the then current list price set forth at https://www.elsevier.com/books-and-joumals/journal-prici.ng/apc-pricelist ("Standard APC Price").

For year 2023 al l APCs are included.

Workflow 3. In Elsevier's journal workflow, Corresponding Authors will specify their affiliation and the researcb

funding. Based on this data, Elsevier will provide tbe Corresponding Authors with the relevant publishiog options on the Elsevier Open Access platform (tbe "EOA Platform").

4. In the event a Corresponding Autbor bas chosen Gold Open Access, the journal article, if accepted for publication in tbejournaJ included in the Pilot, shall be published under aCC-BY, or CC-BY-NC­ND license as determined by the submitting Corresponding Author, subject to the conditions and process set forth herein.

5. The lnstitutions will have access to t he EOA Platfonn to validate the eligibility ofthe author for tbis Pilot. Tbe EOA Platform will present tbe Consortium representative with all information needed to validate, on behalf ofthe Consortium and its 'lnstitutions, validate the eligibility ofthe Corresponding Author for the Pilot, such as the details oftbe Correspooding Author, DOJ, article title, article type, jouroal title, research funding and the APC, to tbe extent that the Corresponding Author has provided such information.

6. lf in any year the maximurn number of APCs is exceeded, Elsevier will, upon positive val idation and subject to the payment terms ofthe Agreement, invoice tbe Corresponding Autbor at the relevante­mail address provided by tbe Corresponding Author. In the aforementioned situation, the Corresponding Author shall have been informed on tbe EOA platform that it is requireQ to pay for additionaJ APCs for Gold Open Access publishing.

7. The lnstitutions are responsible for informing Corresponding Authors who wish to submit journal article manuscripts that they are required to identify themselves as a Cörresponding Author in the cour.se ofElsevier's publishing worktlow.

8. The EOA Platform requires the fnstitutions to validate that the relevant Corresponding Author js af filiated with the relevant Jnstitution.

9. Elsevier shall on a month]y basis, provide each Institution witb a report of the Gold Open Access journal articles published under tbis Agreement, includLng the corresponding author's institutional affil iation per [nstitution. The report sball Lnclude the following information: Corresponding author name and institutional affi liation; joumal title, ISSN, article title, article type, D01 link, APC paid. Tbe verification date of the article submission can be down loaded through the EOA Platform as part of the CSV file.
