decided not to renew our Affinity Agreement dated November 1, 2003,as the same may have been

amended C'Agreement' '

This letter serves as FIA's written notice of non-renewal of the Agreement, as required by Section 9 of the

Agreement.

The Agreement's expiration date is November 1, 2011.
