MINUTES DALLAS AREA RAPID TRANSIT

PLANNING COMMITTEE MEETING January 24, 2012

The Dallas Area Rapid Transit Planning Committee meeting convened at 12:33 p.m., Tuesday, January 24, 2012, at DART Headquarters, 1401 Pacific Avenue, Dallas, Texas, with Chair Carlson presiding.

The following committee members were present: Scott Carlson, Bill Velasco, Gary Slagel, William Tsao, and Faye Moses Wilkins.

Other Board members present: John Danish, Claude Williams, Mike Cheney, and Randall Chrisman.

Others Present: Gary Thomas, Shirley Thomas, David Schulze, Mike Miles, David Leininger, Todd Plesko, Steve Salin, John Hoppie, Lupe Hernandez, Nancy Johnson, and Yvette Martinez Medina.

1. Approval of Minutes: December 13, 2011

Ms. Wilkins made a motion to approve the December 13, 2011 Planning committee meeting minutes with no additions, deletions, or corrections.

Mr. Tsao seconded the motion and it was approved unanimously.

2. Interlocal Agreement with North Central Texas Council of Governments (NCTCOG) for Reimbursement of Operation of High Occupancy Vehicle Lanes Outside of the DART Service Area

Mr. Todd Plesko, Vice President of Planning and Development, briefed the Committee (slides on file with the Office of Board Support) as follows:

Mr. Chrisman asked if an ILA was already in place for the HOV lanes outside of DART's service area that are currently being operated. Mr. Plesko replied that there is an ILA in place for operation through TxDOT but financing from the NCTCOG is needed for the funding. Mr. Chrisman then asked when the previous ILA for funding was done. Mr. Plesko responded that the previous agreement was for 2007,2008 and 2009.

Mr. Chrisman asked when the funds for the last two years would be transferred to DART once the ILA was signed. Mr. Plesko stated that the money is available now for transfer. Mr. Chrisman inquired as to when the 2012 ILA expires. Mr. Plesko responded that a new ILA was needed quickly because the funding allotted for 2012 will be depleted shortly. Mr. Chrisman expressed his concern over repayment for the services DART provides and asked if the new ILA will address timely payments. Mr. Plesko stated that DART has received a letter of promise to pay, but some flexibility is needed to get the funds from different sources. Mr. Chrisman made the point that promise of payment is fine but a definite date or time period for repayment would be beneficial. Mr. Plesko replied that it is reasonable to include in the ILA payment terms.

Ms. Wilkins stated that she agrees with Mr. Chrisman's concerns. She asked whose idea it was for DART to be paid in arrears. Mr. Plesko replied that initially DART asked to be paid in advance, but in practicality it hasn't been done. Ms. Wilkins asked if any penalty was charged for payment in arrears. Mr. Plesko replied no. Ms. Wilkins requested to know if the contract could be made for the remainder of 2012 with the payment language or if the numbers are set. Mr. Plesko responded that the money cannot be increased. Ms. Wilkins asked if carrying money on DART's books costs additional money and if it is then that amount should be recovered. She recommended that the item be approved with language included stating interest penalties for behind payments.

Mr. Tsao asked if the Texas Prompt Payment Act could be included in this ILA. He continued by asking if once the funding source is identified if this ILA will have to be negotiated every year. Mr. Plesko stated that staff is seeking a multi-year agreement. Mr. David Schulze, Senior Assistant General Counsel, addressed Mr. Tsao's second question by stating that the Texas Prompt Payment Act language could be included in the ILA, but previous attempts haven't worked because NCTCOG has been reluctant to commit without a funding source being identified.

Ms. Wilkins asked what conclusion was reached. Chair Carlson stated that staff is directed to change the model being currently used to avoid payments in arrears.

Mr. Danish reiterated that clauses allowing late payments should be eliminated from the ILA.

Mr. Chrisman asked how much time would be spent to keep the HOV lanes outside of the service area in operation without payment before DART decides to halt operations for non-payment. Mr. Gary Thomas, PresidentlExecutive Director replied that staff will bring to the N CTCOG the concerns of the Board and decisions will have to be made as to the next steps.

Mr. Tsao made a motion to forward the Agenda Item to the Committee-of-the­Whole Initial Consideration Agenda with a recommendation that states that the PresidentlExecutive Director or his designee is authorized to execute an Interlocal Agreement (ILA) with the North Central Texas Council of Government (NCTCOG) for reimbursement of expenses incurred in the operation of HOV lanes outside the DART

service area in FY 2010, FY 2011 and part of FY 2012 in substantially the form attached to this resolution as Exhibit 1.

Ms. Wilkins seconded the motion and it was approved unanimously.

3. Call for Public Hearing for a Service Plan Amendment to Modify the Alignment and Grade Separations on the DART Orange Line DFW Airport Light Rail Transit (LRT) Extension (lrving-3)

Mr. John Hoppie, Project Manager III, briefed the Committee (slides on file with the Office of Board Support) as follows:

Ms. Wilkins made a motion to forward the Agenda Item to the Committee-of-the­Whole Final Consideration Agenda with a recommendation that states that the PresidentlExecutive Director or his designee is authorized to conduct a public hearing, at a date and time to be determined, to receive public comments on the proposal to modify the alignment and grade separations for the Orange Line DFW Airport Light Rail Transit (LRT) Extension (Irving-3).

Mr. Tsao seconded the motion and it was approved unanimously.

4. Renaming Three Rail Stations

Mr. Cheney entered the meeting at 1: 15 p.m.

Mr. Michael Miles, Senior Manager of Government Relations, briefed the Committee (slides on file with the Office of Board Support) as follows:

Mr. Cheney questioned the estimated total cost to make the name changes to the stations. Mr. Miles replied that the station name change would be timed to coincide with the service change to minimize costs. Mr. Cheney then asked what the cost is to change the

website to reflect the station name change. Mr. Miles replied that changing the website is part of the internal process. Mr. Thomas restated that the changes would be made at the same time as the service changes when the website would have to be updated as well. Mr. Thomas pointed out that the name changes to the station is different than station naming rights. Mr. Cheney concluded that he didn't believe that the estimated cost was all inclusive.

Mr. Danish agrees with the name changes but expressed the need to use naming rights to generate revenue. Mr. Miles replied that naming rights have been discussed and will be further looked into.

Ms. Wilkins stated that she supports the recommended name changes but isn't sure that the estimated cost is correct. She also suggested that staff look into the current policy and procedure as it relates to naming rights and station name changes.

Mr. Chrisman asked if there were any dissents to the name changes. Mr. Miles replied that the changes came from the request of city council members. Mr. Miles added that staff will look at other agencies and how naming rights work for them.

Mr. Slagel thinks more discussion should be geared toward the benefit of name changes.

Mr. Tsao recommended that the Marketing department be included in decisions regarding name changes.

Ms. Wilkins made a motion to forward the Agenda Item to the Committee-of-the­Whole Initial Consideration Agenda with a recommendation that states that the PresidentlExecutive Director or his designee is authorized to take all actions necessary to rename the following rail stations in compliance with DART Board Policy V.06, Station Naming Policy:

Section 1: "Cityplace Station" shall be renamed "Cityplace/Uptown Station";

Section 2: "Pearl Station" shall be renamed "Pearl/Arts District Station"; and

Section 3: "South Irving Station" shall be renamed "Downtown IrvinglHeritage Crossing Station"

Mr. Tsao seconded the motion and it was approved unanimously.

This item was deferred to the next meeting.

Mr. Cheney related his concern regarding the calculations presented and asked that another presentation be made at a slower pace with a showing of different variables included.

Mr. Chrisman asked for further explanation of the calculations used. Mr. Plesko attempted to answer Mr. Chrisman's questions.

Ms. Wilkins asked if the mentioned local dollars are the member city dollars. Mr. Plesko replied that the amount is the difference between total cost and federal grants. Ms. Wilkins then asked if when capacity per mile is determined are subsidized grants and subsidized local dollars included? Mr. Plesko replied that the cost does not included the federal grants received.

Chair Carlson asked if operational costs were included. He suggested that this topic be brought back to the committee with another attempt at explaining the cost and how it will be presented to the public. Mr. Thomas stated that a type of chart could be used to explain the costs to cities.

Mr. Velasco entered the meeting at 2:12 p.m.

   Amendment to DART Board Policy IV.14 Relating to Access Policy forNon-Resident Services

RECOMMENDATION

Approval of a resolution modifying Board Policy IV.14 Access by Non-DART Shuttle Service toinclude both DART and Non-DART operated non-resident transit services of all modes and toincorporate a uniform definition of the access fee for non-resident services connecting to DART.

FINANCIAL CONSIDERATIONS

. The subsequent agreements entered into under this policy will result in additional revenue fromnon-resident entities operating transit service which connect to DART transit services. Theamount of revenue will vary by agreement and will be proportionate to the number ofnon-resident transit services operated, the number of passengers connecting to DART and theaverage trip distance traveled by passengers boarding at each respective station.

BUSINESS PURPOSE

. This access policy will help DART achieve the Board Strategic Priority II: Manage SystemDevelopment & Maintain Infrastructure, and; Priority III: Build and Maintain DART's RegionalTransportation Leadership.

. On April 22, 2003, Board adopted Policy IV.14 Access by Non-DART Shuttle Services fromOutside of the Service Area.

. On April 12, 2011 Board adopted Policy III.07 authorizing non-resident cities to contract withDART to operate bus service from outside service area.

. Both policies required a "connection fee" to offset the subsidy for use of the connecting DARTservice where the fee must include all direct and indirect expenses, allocated administrativeexpenses as well as applicable capital expenses including debt service.

. Policy IV.14 requires a connection fee only if passenger volume exceeds 30 passengers per hour.Policy III.07 requires a connection fee without regard for the passenger volume per hour.

. It is recommended that DART Policy IV.14 be modified to define a uniform access fee fornon-resident services connecting with DART including those operated by DART or thoseoperated by a non-DART provider.

. Two approaches will be presented for determining the fully allocated expense of the service towhich the non-resident service connects. The approach, presented on January 24, 2012determined the fully allocated cost of the service consumed by non-resident passengers but didnot assign the allocated costs of unused capacity on the DART system.

. An alternative method of calculating the access fee determines the fully allocated cost for eachpassenger using the DART system, including non-resident, but adjusts the cost by distancetraveled. This method assigns the cost of all unused DART capacity to the passengers using thesystem adjusted by distance traveled.

. The recommended access policy will incorporate the following principles:

. An access fee shall be paid by the non-resident city or third party entity when non-resident transitservice connects with DART transit service operating during the weekday peak direction and peakperiod.

. The access fee shall recover the full, unsubsidized cost of the transit service consumed bynon-resident passengers using the connecting DART transit service in the weekday peak period,peak direction. Costs will include all direct, indirect expenses, allocated administrative expensesand allocated capital and debt service, net of federal, state and farebox revenue.

. An access fee shall not be required by the non-resident city or third party entity whennon-resident services connect to DART transit during the non-peak hours or in non-peakdirection. The peak period is defined as the hours in the AM and PM peaks where DART isoperating its peak period frequency. All other hours are defined as non-peak.

. The peak direction is defined as transit service operating toward the Dallas Central BusinessDistrict in the AM peak and away from the Dallas Central Business District.

. The per passenger access fee shall reflect the average trip distance traveled by passengersboarding at each respective station. The recommended access fee does not include the cost ofunused DART capacity to each passenger trip.

. The mileage adjusted per passenger access fee shall be multiplied times the number of annualpassengers brought to DART by the non-resident transit service. In the absence of actualpassenger counts, the access fee will be calculated by multiplying the number of trips in the peakperiod times 70% of the seating capacity of the non-resident service.

. The access fee will be adjusted annually to incorporate changes in all costs and changes in thenumber of passengers connecting to DART services.

. Access fees will be required for DART and Non-DART operated services connecting to DARTtransit facilities if ridership exceeds an average of five (5) passengers per hour.

LEGAL CONSIDERATIONS

Section 452.054 of the Texas Transportation Code authorizes DART to exercise all powers necessaryor useful in the construction, repair, maintenance or operation of the public transportation system.

Planning IV.14

Section 1: Purpose

1.01 The purpose of this policy is to establish guidelines regarding access to DART bus and rail facilities by non-DART shuttletransit services operating from outside of the DART service area. using DART or non DART operated vehicles.

Section 2: Policy Statement 2.01 DART provides transportation services within

its service area in order to support mobility, air quality and economic development objectives. DART supports utilization of it’sits transit services by individuals residing outside of the DART service area, but expects reasonable compensation.reimbursement of the fully allocated costs of peak period, peak direction DART service consumed by nonresidents from cities not participating in the funding of DART.

2.02 “Nonresident transportation services” includes bus, paratransit, street car, commuter or regional rail that connecting to DART transit services including bus, light rail, regional or commuter rail.

Section 3: Administration

ModerateVery Low Ridership ShuttlesTransit Services:

Shuttle service3.01 Transit services operating from outside of the DART service area that is expected to transport low to moderate levels of riders, in the range ofdelivering less than 306 passenger trips per hour, to DART transit services will be allowed toexempt from access DART bus or rail facilities, to the degree thatfees as long as they do not negatively

affect service for DART member city service area residents, if they agree to. A city or third party operator must enter into an access agreement with DART that addresses the following terms and conditions:

a. Minimum insurance levels, including $1,000,000 commercial general liability insurance for bodily injury and property damage, and $5,000,000 comprehensive automobile liability insurance.

b. Indemnification of DART relative to claims arising from the shuttletransit operation or failure of the licensee to comply with and perform all requirements of the agreement.

c. Definition of routing, station access times and bay assignment at the DART facility. Changes in station routing and schedule will only be made with DART approval.

d. Requirement that shuttleservice operator will have on-going responsibility for ADA requirements of the shuttletransit service and for complementary paratransit requirements of their respective service area from origin to destination of the trip as well as the return trip.

e. Requirement that shuttletransit service operator will have responsibility for fare inspection of transferring customers.

f. Provision that agreement can be terminated with a 30 day notice for convenience or a 3 day notice in cases of default.

3.02 All such access agreements will require

authorization by the DART Board of Directors.

3.03 DART will have final authority infor

approving shuttleservice schedules and dwell time as they apply to station or transit center access. Access times will be

regulated by DART to minimize negative impacts on transit center operations and rail system passenger loads. ShuttleTransit services may be required to share a bus bay at the rail station or transit center with other shuttlesDART or Non DART services. If there is insufficient capacity at the requested rail station or transit center to accommodate a shuttlean additional transit service provider, access at the next station or transit center with available capacity may be offered to the shuttle provider.

3.04 Where proposalproposals are received from

multiple shuttletransit service providers desiring to access DART stations within a given rail corridor, a detailed evaluation of cost and rider impacts will be completed by DART. Based on this evaluation, DART may disapprove access by additional shuttle service providers or modify access agreements to include cost-sharing provisions relative to the impact of these shuttle services.

High Ridership Shuttles:

Shuttle Other Transit Services 3.05 Nonresident transit service proposals that

would exceed 30 delivering 6 or more passengers per hour will require an interlocal service agreement or third-party if the service is operated by DART or an access agreement with DART that addressesif operated by a non DART provider which includes an access fee. The agreements must incorporate the items required in the access agreements specified above, but that also addressesin this Policy.

3.06 Access agreement will include an annual

access fee that shall be paid by the nonresident city or third party entity when nonresident transit service connects with DART services during the peak period and in the peak direction

3.07 The access fee shall recover the unsubsidized cost sharing responsibilities of the shuttletransit service provider relative toconsumed by nonresident passengers on the incremental connecting DART transit service.

3.08 DART costs incurred by DART as the

result of the shuttle service.

DART costs to be consideredincluded in the interlocal access fee in the agreement or third-party agreement willshall include all direct and indirect expenses, but may also include appropriate indirect operating expenses and and allocated administrative overhead as well as , and applicable capital expenses including debt service for the service consumed.

For each proposed shuttle 3.09 DART service

meeting the above criteria, a preliminary assessmentcosts will be preparednet of all federal or state revenues (capital or operating) and farebox revenue paid by DART to determine the impact on DART the transit patron.

3.10 An access fee shall not be required for nonresident services and costs,connecting to DART transit in non peak hours or in the non peak direction.

3.11 The peak period is defined as well as what costs would be the responsibility of hours in the shuttle provider. AM and PM peaks where DART is operating peak period frequency. All other hours are defined as non peak. The peak direction is defined as service operating in the direction of the Dallas Central Business District in the AM peak and away from the Dallas Central Business District in the PM peak.

If3.12 The access fee shall reflect the results of costs for the preliminary assessment are not acceptable toaverage distance traveled by passengers boarding at each respective station or bus facility.

3.13 The per passenger access fee shall be

multiplied times the interested shuttle provider, no further action will be taken. If the results are not acceptablenumber of annual passengers delivered to DART, by the nonresident the governing body of transit service. In the interested shuttle providerabsence of actual historical passenger counts, the access fee will be calculated by multiplying the number of trips connecting during the peak period, and peak direction times 70 % of the seating capacity of the nonresident service.

3.14 The access fee will be so advisedadjusted

annually to incorporate changes in costs and actual passenger volumes. Passenger counts will be determined from samples or total daily passenger counts certified by DART. The access fee costs and methodology will be certified by the DART finance department annually.

If, based on the preliminary assessment, staff determines that the project appears feasible, and that there is some indication of potential benefit to DART, the project will proceed to more detailed planning and evaluation. The detailed plan will include a description of the type of service and capital projects to be provided along with appropriate design and engineering efforts as well as necessary environmental clearances and description of any project impacts requiring mitigation. Detailed cost estimates, as well as ridership projections will also be included in the detailed plan.

An interlocal agreement or third-party agreement detailing the service proposal, cost impacts to DART and cost-sharing arrangements will be presented to the DART Board of Directors for final consideration. Section 4: Implementation

4.01 The President/Executive Director or his designee is authorized to implement this policy and to issue more detailed procedures to facilitate implementation of the policy, as needed. Amendment to DART Board Policy IV.14 Relating to Access Policy for Non-ResidentServices

WHEREAS, DART provides public transportation services within its service area in order tosupport mobility, air quality and economic development objectives, and;

WHEREAS, DART funds the operation of bus, rail, paratransit and HOV services that areincreasingly attractive to non-residents outside DART's service area, and;

WHEREAS, increased demand has prompted requests for access to DART facilities by transitservices connecting DART facilities from non-resident cities, and;

WHEREAS, increasing demand for DART services by non-residents has resulted in increasedoperating and capital costs for DART and reduced seating capacity for service area residents onDART's bus and rail system during the peak period and peak direction, and;

WHEREAS, the non-resident demand for peak period DART service negatively impacts DART'sfinancial ability to invest in improved transit service within the service area, and;

WHEREAS, DART supports utilization of its transit services by individuals residing outside ofthe DART service area as long as such usage does not negatively impact DART services withinthe service area, and;

WHEREAS, DART Access Policies (Policy III.07 and Policy IV.14), requires equitablereimbursement of the fully allocated costs of services consumed by non-residents from citieswhich do not participate financially as a member of DART; and

WHEREAS, The subsequent agreements entered into under this policy will result in additionalrevenue for DART from non-resident entities operating transit service which connect to DARTtransit services.

Section 1: Purpose

1.01 The purpose of this policy is to establish guidelines regarding access to DART bus and rail facilities by transit services operating from outside of the DART service area using DART or non DART operated vehicles.

Section 2: Policy Statement 2.01 DART provides transportation services within

its service area in order to support mobility, air quality and economic development objectives. DART supports utilization of its transit services by individuals residing outside of the DART service area, but expects reasonable reimbursement of the fully allocated costs of peak period, peak direction DART service consumed by nonresidents from cities not participating in the funding of DART.

2.02 “Nonresident transportation services” includes bus, paratransit, street car, commuter or regional rail that connecting to DART transit services including bus, light rail, regional or commuter rail.

Section 3: Administration

Very Low Ridership Transit Services:

3.01 Transit services operating from outside of the DART service area delivering less than 6 passenger trips per hour to DART transit services will be exempt from access fees as long as they do not negatively affect service for DART service area residents. A city or third party operator must enter into an access agreement with DART that addresses the following terms and conditions:

a. Minimum insurance levels, including $1,000,000 commercial general liability insurance for bodily injury and property

damage, and $5,000,000 comprehensive automobile liability insurance.

b. Indemnification of DART relative to claims arising from the transit operation or failure of the licensee to comply with and perform all requirements of the agreement.

c. Definition of routing, station access times and bay assignment at the DART facility. Changes in station routing and schedule will only be made with DART approval.

d. Requirement that service operator will have on-going responsibility for ADA requirements of the transit service and for complementary paratransit requirements of their respective service area from origin to destination of the trip as well as the return trip.

e. Requirement that transit service operator will have responsibility for fare inspection of transferring customers.

f. Provision that agreement can be terminated with a 30 day notice for convenience or a 3 day notice in cases of default.

3.02 All such access agreements will require

authorization by the DART Board of Directors.

3.03 DART will have final authority for approving

service schedules and dwell time as they apply to station or transit center access. Access times will be regulated by DART to minimize negative impacts on transit center operations and rail system passenger loads. Transit services may be required to share a bus bay at the rail station or transit center with other DART or Non DART services. If there is insufficient capacity at the requested rail station or transit center to accommodate an additional transit service provider, access at the next station

or transit center with available capacity may be offered to the provider.

3.04 Where proposals are received from multiple

transit service providers desiring to access DART stations within a given rail corridor, a detailed evaluation of cost and rider impacts will be completed by DART. Based on this evaluation, DART may disapprove access by additional shuttle service providers.

Other Transit Services 3.05 Nonresident transit service proposals delivering

6 or more passengers per hour will require an service agreement if the service is operated by DART or an access agreement if operated by a non DART provider which includes an access fee. The agreements must incorporate the items required in the access agreements specified in this Policy.

3.06 Access agreement will include an annual

access fee that shall be paid by the nonresident city or third party entity when nonresident transit service connects with DART services during the peak period and in the peak direction

3.07 The access fee shall recover the unsubsidized

cost of the transit service consumed by nonresident passengers on the connecting DART transit service.

3.08 DART costs to be included in the access fee in

the agreement or third-party agreement shall include all direct and indirect expenses, and allocated administrative overhead, and applicable capital expenses including debt service for the service consumed.

3.09 DART service costs will be net of all federal or

state revenues (capital or operating) and farebox revenue paid by the transit patron.

3.10 An access fee shall not be required for nonresident services connecting to DART transit in non peak hours or in the non peak direction.

3.11 The peak period is defined as the hours in the AM and PM peaks where DART is operating peak period frequency. All other hours are defined as non peak. The peak direction is defined as service operating in the direction of the Dallas Central Business District in the AM peak and away from the Dallas Central Business District in the PM peak.

3.12 The access fee shall reflect the costs for

the average distance traveled by passengers boarding at each respective station or bus facility.

3.13 The per passenger access fee shall be

multiplied times the number of annual passengers delivered to DART by the nonresident the transit service. In the absence of actual historical passenger counts, the access fee will be calculated by multiplying the number of trips connecting during the peak period, and peak direction times 70 % of the seating capacity of the nonresident service.

3.14 The access fee will be adjusted annually to

incorporate changes in costs and actual passenger volumes. Passenger counts will be determined from samples or total daily passenger counts certified by DART. The access fee costs and methodology will be certified by the DART finance department annually.

RECOMMENDATION

Approval of a resolution authorizing the President/Executive Director or his designee to implementservice changes no later than December 2012 as described in Exhibit 1 attached to the resolution.

FINANCIAL CONSIDERATIONS

. Sufficient funds for the 2012 service modifications – which decrease overall bus service levels byapproximately $1.3 million per year – will be included in the FY 2013 Operating Budget and theOperating Expense line item of the FY 2013 Twenty-Year Financial Plan.

BUSINESS PURPOSE

. This resolution will help DART achieve the Board Strategic Priority I: Strive to Exceed CustomerExpectations and; Priority II: Manage System Development and Maintain Infrastructure.

. On December 13, 2011 (Resolution No. 110140), the Board of Directors approved a call forpublic hearing on the 2012 service modifications.

. 11 community meetings, including a Saturday meeting at DART, were conducted throughout theDART service area to allow comment and discussion on the proposed changes with 158 totalattendees. Additionally, staff held several extra meetings by request at other locations. DARTreceived over 434 comment cards (via mail and electronically) associated with service changeissues.

. A Public Hearing on the proposed changes was conducted on January 24, 2012, with 38 speakersoffering comments on the proposed changes.

. In response to feedback received during the meetings, staff carefully reviewed and analyzedcomments stated by customers during the public meeting process and via comment cards. Ananalysis of these common threads is included in Exhibit 1. A number of changes to preliminaryrecommendations have been made as a result of comments received.

. The proposed service changes affect routes in Addison, Carrollton, Dallas, Farmers Branch,Garland, Highland Park, Irving, Plano, Pleasant Grove, Rowlett, and University Park.

. The proposed 2012 service changes are associated with the opening of the Orange Line in Irving,the Blue Line extension to Rowlett, the new Northwest Plano P&R, introduction of enhanced busservice changes, and service reductions to low-performing routes that would meet DARTFinancial Plan targets.

. The proposed 2012 service changes would be implemented in two phases: the first on July 30,2012, and the second on December 3, 2012. The first phase would include service changesassociated with the Orange Line (Phase 1; from Bachman to the Irving Convention Center),Northwest Plano Park & Ride, and bus service changes in other parts of the service area. Most busservice changes in Irving and Plano would occur in Phase 1. The second phase would includePhase II of the Orange Line (to the Belt Line Station) and extension of rail service to Rowlett.

. The final recommendations move a number of proposed service reductions from July toDecember. Other time adjustments were made to better synchronize bus operations with railstation openings. Attachment 1 lists specific timing of each change.

. These modifications reduce existing hours, miles, and annual cost of service.

. Recommended Rail Changes:

. Under the proposed Orange Line rail operating plan, Orange Line LRT service will operate fromIrving Convention Center Station (Phase I) or Belt Line Station (Phase II) to either Parker RoadStation in Plano (morning and afternoon peak hours Monday-Friday) or LBJ/Central Station inDallas (other times). Trains would operate every 15 minutes during peak Weekday hours, every20 minutes midday and early evening, and every 30 minutes late night and Weekend mornings.Between Plano and Downtown Dallas, Orange Line trains would replace some extra Red Linetrains, but 7.5 minute peak service frequency would be maintained.

. Under the proposed Blue Line rail operating plan, Blue Line LRT service would operate fromRowlett Station to Ledbetter Station. Current service frequencies and hours would continue.

. Recommended Bus Changes:

. Based upon public comments received, preliminary recommendations for route and/or schedulechanges have been modified for a number of routes, including: 31, 155, 210, 377, 385, 400, 404,451, 452, 501, 503, 511, 514, 521, 528, and 887.

. Because of revisions to financial targets, elements of proposed service Options 1 and 2 will beincluded in the final recommendations. This includes full implementation of enhanced bus serviceon Route 487 and more frequent airport shuttle service for Routes 500 and 524.

. Many bus routes will see modifications to allow direct transfer connections to rail service,continuing our efforts to ensure overall connectivity throughout the DART system. Other routesthat parallel rail lines would be discontinued with the introduction of the Orange Line expansionand the Blue Line expansion to Rowlett.

. With the opening of the new Northwest Plano P&R, many routes in the area will be modified toserve the new facility and the key employers in the Legacy and Granite Park areas.

. Recommendations also include service reductions, based upon a detailed review of performanceof service by route, day of week, and time period. Reductions respond to the impact of a reductionin sales tax revenues and ridership changes.

. On January 24, 2012, a public hearing was held.

LEGAL CONSIDERATIONS

Section 452.056 authorizes DART to determine routes.

Section 452.115 of the Texas Transportation Code requires DART to hold a public hearing on servicechanges involving 25 percent or more of the number of transit route miles of a transit route; or 25percent or more of the transit revenue miles of a transit route, computed daily, for the day of the weekfor which the change is made; or the establishment of a new route.

Final Recommendations for Route and Schedule Modifications

Update Since Preliminary Proposals

Since preliminary proposals for the 2012 service changes were released for public discussion and

feedback, DART has received a significant volume of comments on the changes. 158 attendees

visited one of the 11 pre-proposal public meetings held in different parts of the community. 434

written comments were received by mail, e-mail, or through the DART web site. We conducted

a Twitter-hosted meeting online with some discussion. Finally, 38 spoke at the Public Hearing

on January 24th

to conclude the public input process.

Service Planning & Scheduling staff has reviewed all of the comments received on the proposed

changes. A large number of the comments were focused on a few of the changes, particularly

the proposal to reduce service on Route 210, an express route serving Jack Hatchell TC in Plano.

With these comments, we have reviewed each of the original proposals, and this revised

document reflects a number of changes.

We have been aided by one other notable change involving financial targets. Originally, the

DART Financial Plan called for a net reduction in bus service of approximately $2.6 million per

year, and the preliminary recommendations fit within this target. Since that time, however,

analysis by DART Finance staff suggests that savings in other areas will allow us to adjust that

target down to a net reduction of $1.1 million per year. This new target has given us the ability

to address many of the comments received, and the final recommendations correspond to the

new target.

The new target has also allowed us to include the most customer-friendly parts of both of the

Options presented in the preliminary recommendations. Specifically, the final recommendations

include both full service on the new Route 487 enhanced bus and more frequent service on the

new Route 500 and 524 airport shuttles to DFW and Love Field.

There are some other notable changes to our initial recommendations. Some of the highlights

include:

Restoration of four additional trips on Route 210 and preservation of a lower level of service

for Route 155, which was proposed for discontinuation. The additional stop at

Frankford/North Dallas Tollway for Route 210 has been removed from the recommendation

due to negative feedback.

Additional weekend service for Routes 452 and 521, requested by a number of riders who are

now using DART service in the affected areas. We have also adjusted two proposed route

alignments in Irving to address similar weekend service concerns.

Additional weekday service for portions of the new Route 404 proposal to address concerns

about peak ridership and safe access at night to adjacent apartments in the

Groveview/Pentagon area.

Several route and/or schedule modifications to address specific concerns raised by the public

and riders.

Timing of some of the proposals has been adjusted to reflect these modifications.

With these changes, the package of final recommendations results in net annual savings of

approximately $1.3 million. We anticipate that one or more of the proposed services will

become eligible for Job Access and Reverse Commute (JARC) grant funds that will reimburse

up to half of the operating costs for three years, moving the cost well within the adjusted target.

JARC grants are scheduled for award from the North Central Texas Council of Governments in

March.

Details on the proposed changes follow. Maps are included in Attachment 2.

Overview

2012 will mark another milestone in DART’s expansion, with rail openings, a new bus Park &

Ride facility, and introduction of a new small bus program among the highlights. As a

consequence there will be an unusually large number of service changes, implemented at

different times during the year to correspond with facility openings. This attachment describes

the proposed changes in detail.

The proposed changes strive to balance two somewhat contradictory goals: introducing changes

that strive to improve ridership while meeting financial goals that require reduction in overall

service levels. While some of the service reductions are achieved by replacement of bus service

with new rail extensions, other net reductions will be required to meet our financial targets.

Proposed changes include a mix of reductions of less productive services and improvements

aimed at building ridership.

Generally, 2012 service changes fall into one of six key categories:

Orange Line expansion and Irving bus changes

Blue Line expansion and Rowlett/Garland bus changes

Northwest Plano Park & Ride opening and Plano bus changes

Enhanced bus service development

Service reductions

Small bus program

An introduction to each of these categories follows.

Orange Line Expansion, Irving Bus Changes: 2012 changes for Irving build upon the first two

phases of the Orange Line LRT. Phase 1 will extend rail service to Irving Convention Center

Station in July, and Phase 2 will further extend rail service to Belt Line Station. In concert with

the rail changes, staff has conducted an extensive review of current bus services in Irving, and

we are proposing numerous changes. Most of the bus changes are designed to better link bus

service and rail operations, expanding the reach of rail service to a wider range of destinations.

Express bus service from North Irving Transit Center to Dallas will be replaced by rail

operations. Feeder bus service to DFW Airport would be available.

Blue Line Expansion, Rowlett/Garland Bus Changes: 2012 changes for Rowlett and Garland

build upon the extension of the Blue Line LRT to Rowlett in December. Associated with the rail

extension will be related bus changes, including discontinuation of express bus service to

Rowlett and other bus service modifications.

Northwest Plano Park & Ride, Plano Bus Changes: The Northwest Plano Park & Ride facility

is expected to open in July. With that facility, staff has conducted a comprehensive review of

bus services in Plano. Proposed changes include direct express bus service to the Northwest

facility, expanded and improved bus service to key employment and shopping destinations in the

Legacy area, more direct route operations, and other modifications.

Enhanced Bus Service Development: DART long-range plans speak to the development of

enhanced bus service in key corridors with high ridership potential. Enhanced bus service

involves various techniques to speed up bus service, improvements to bus stops, and related

enhancements aimed at building ridership. 2012 service changes include two early steps in the

introduction of enhanced bus service: new limited-stop crosstown service in the Forest Lane

corridor (connecting the Blue, Red and Green Lines) and consolidated crosstown service in the

Westmoreland corridor.

Service Reductions: In accordance with our current financial situation, proposed changes would

result in a net reduction of $2.6 million in annual service. Approximately $1.1 million represents

bus services replaced by new rail extensions, while the remaining $1.5 million represents new

reductions. Most of the reductions come from proposed discontinuation of unproductive service,

changes in service levels, or consolidation of overlapping services.

Small Bus Program: DART will introduce a new small bus program in late 2012. The new

buses will begin operation on existing FLEX routes and On Call zones in October, and then will

be introduced on a number of new and existing fixed-route services in December. For the most

part, the new buses will operate on regular fixed routes in the same way that large buses have

operated in the past – but the equipment will be more appropriately sized for the levels of

ridership. The assignment of the small buses will be based upon ridership levels, and is

generally not discussed in these proposals.

With rail expansion, a number of the proposed bus changes are linked. As is normally the case,

when we make adjustments to serve new rail segments, most of the changes fall into the

following categories:

Service that parallels the rail line may be reduced or eliminated.

Routes may be extended or shortened to connect at rail stations.

Routes may be diverted to serve nearby rail stations.

New feeder service may be created in the vicinity of rail stations.

Where possible, connecting bus frequencies should match or be an even multiple of train

frequency.

No change in route is proposed. Most of these changes would happen in December.

Rail Changes

This section describes specific rail changes that would be implemented in 2012. With these

changes, peak period service on the Red Line corridor between Plano and Downtown Dallas

would operate every 7.5 minutes during peak periods.

Orange Line LRT – Opening of the first two phases of Orange Line service. Phase 1 (July)

would operate between Irving Convention Center Station and either Parker Road Station or

LBJ/Central Station. Phase 2 (December) would operate between Belt Line Station and either

Parker Road Station or LBJ/Central Station. Weekday morning and afternoon rush hour trains

would operate to Parker Road; trains at other times would operate to LBJ/Central. Frequency of

service and hours would match other light rail services. Trains would operate every 15 minutes

Weekday peak hours, every 20 minutes midday, and every 30 minutes late evening and Weekend

mornings.

Blue Line LRT – Opening of Rowlett extension in December. Trains would operate between

Rowlett Station and Ledbetter Station. Blue Line train frequencies and hours would not change.

July 2012 Bus Changes

This group of bus changes would be expected to occur in July. Major bus restructuring in Irving

and Plano is included in this phase.

RECOMMENDATION

Approval of a resolution authorizing the President/Executive Director to a execute two-yearsite-specific shuttle agreement with the McKinney Avenue Transit Authority (MATA), in an amountnot to exceed $325,000 per year, for a two-year total of $650,000.

FINANCIAL CONSIDERATIONS

. Funding for this shuttle service agreement is included in the Planning and DevelopmentDepartment's FY 2012 operating budget.

. Sufficient funding for this shuttle service agreement in the amount of $650,000 is included in boththe Planning and Development Department's FY 2012 Operating Expense budget and theOperating Expense line item of the FY 2012 Twenty-Year Financial Plan.

BUSINESS PURPOSE

. Approval of this shuttle service agreement will assist DART in achieving the Board StrategicPriority I: Strive to Exceed Customer Expectations.

. On April 14, 1998 in Resolution 980078, the Board approved DART Board Policy III.16, SiteSpecific Shuttle Service Policy, which allows the Board to consider partial funding (up to 50%) ofcirculator services which connect to real stations or transit centers and are operated by employersor other private entities.

. The McKinney Avenue Transit Authority (MATA) is a non-profit corporation currently managingand operating a vintage trolley transportation service along McKinney Avenue, with connectionsto downtown Dallas at the intersection of St. Paul and Ross Avenue.

. A shuttle agreement between DART and MATA has been in existence since 2002.

. Current ridership on the McKinney Avenue Transit is 27,800 per month, an increase of about3,500 riders over last year's average.

. The current agreement expires April 2012 and needs to be renewed (see Exhibit 1).

LEGAL CONSIDERATIONS

Section 452.056(a) of the Texas Transportation Code authorizes DART to construct, develop, plan andoperate a public transportation system within the service area.

Section 452.055 of the Code authorizes DART to enter into contracts with any person.

Section 1 of DART Policy III.16, Site Specific Shuttle Service Policy, provides for Boardconsideration of joint-funding arrangements for privately operated shuttle service. The policy allowsDART to consider funding up to 50% of the service cost in circumstances where the service meetsDART's service standards and where the service is an enhancement to the DART system.

SHUTTLE SERVICE AGREEMENT

BETWEEN

DALLAS AREA RAPID TRANSIT

AND

MCKINNEY AVENUE TRANSIT AUTHORITY INC.

THIS AGREEMENT, by and between DALLAS AREA RAPID TRANSIT ("DART"), a

Texas regional transportation authority organized and existing pursuant to Chapter 452, Texas Transportation Code, whose address is 1401 Pacific Avenue, Dallas, Texas 75202 and

MCKINNEY AVENUE TRANSIT AUTHORITY (“MATA”), a Texas nonprofit corporation

501(c)3, whose address is 3153 Oak Grove Avenue, Dallas, Texas 75204,

WITNESSETH:

WHEREAS, MATA desires to provide vintage electric trolley service (the "Electric

Trolley Service") along portions of McKinney Avenue, connecting to DART’s CityPlace

Station on the North Central LRT Line and to St. Paul and Ross in Downtown Dallas; and,

WHEREAS, MATA has requested certain management services and financial

participation from DART in order to continue expansion and operation of the Electric Trolley

Service; and,

WHEREAS, DART Board Policy III.16, Site Specific Shuttle Service Policy, permits

the partial funding by DART of circulator shuttle services operated by employers or other

private entities that connect to rail stations or transit centers that enhance the DART transit

system and meet DART standards for performance; and,

WHEREAS, DART analysis predicts the attraction of new riders to the DART transit

system through provision of such Electric Trolley Service;

NOW THEREFORE, for the consideration herein-described, the receipt and sufficiency of which is acknowledged by the parties, DART and MATA agree as follows:

1. Term and Termination.

1.01. The term of this Agreement shall begin on the day___ of_____, 2012 and terminate at midnight on the ___ day of _____, 2014.

1.02. This Agreement may be terminated by (a) written agreement of both parties; or (b) by

either party giving thirty (30) days written notice to the other party of the termination.

2. MATA Duties and Responsibilities. MATA covenants and agrees as follows:

2.01. For the Electric Trolley Service, MATA shall provide, or cause to be provided,

vintage electric trolley vehicles (“Electric Trolley Vehicles”) and operations necessary to offer a frequency of fifteen minute Electric Trolley Service during peak

hours (7:00 a.m. - 9:00 a.m., 11:30 a.m. to 1:30 p.m. and 4:30 p.m. to 7:00 p.m.) and

at least thirty minute Electric Trolley Service during off-peak hours (9:00 a.m. to 4:30

p.m. and 7:00 p.m. until 10:00 p.m.) A 30 minute Electric Trolley Service will operate on Saturday and Sunday from 10 a.m. to 10 p.m.

2.02. MATA is exempt from the requirements of the Americans With Disabilities Act of

1990 (42 U. S. C. 1210-1213).

2.03. MATA’s operating authority is derived from an operating agreement with the City of Dallas. To the extent applicable, each Electric Trolley Vehicle shall be operated by

an operator who has successfully completed a course of training to operate vehicles of

the type and size described herein and certified by MATA to safely operate the

vehicle. MATA shall furnish DART with a current written description of MATA’s certification program, including any subsequent amendments or supplements thereto.

Additionally, each operator shall be appropriately dressed in a uniform selected by

MATA.

2.04. Every operator permitted to operate one of the Electric Trolley Vehicles used in

providing the Electric Trolley Service must have continuous possession of a valid

motor vehicle driver's license or state identification card for the prior three (3) years,

must have received not more than one (1) traffic citation for a moving violation within the prior two (2) year period, and must have received no DWI/DUI conviction.

2.05. The Electric Trolley Service shall operate on a fixed schedule along the trolley line,

initially with a terminus at CityPlace Station on the north and St. Paul and Ross on

the south. With the completion of the southern extension of the trolley line, the route will operate between CityPlace Station and the new terminus point between St. Paul

Station and Pearl Station.

2.06. MATA has developed and proposed to DART service quality standards for the Electric Trolley Service along with a methodology for assuring the attainment of such

standards. MATA agrees to maintain such service quality standards throughout the

term of this Agreement. Any change in the Electric Trolley Service, either in routing,

scheduling or in service quality standards shall be at MATA's discretion and must be presented to DART not less than ninety (90) days prior to the date of implementation

of such change.

2.07. The Electric Trolley Service hereunder shall be available to any passenger at no fare cost, provided, however, that pets (except animals needed for assistance), or

passengers with alcoholic beverages shall be denied boarding.

2.08. Exterior and interior advertising on the Electric Trolley Vehicles shall be managed by

MATA at its sole discretion. MATA shall allocate at least ten percent (10%) of interior advertising inventory to DART for purposes of DART service promotion and

advertising at no cost to DART. All revenues generated by the sale of Electric

Trolley Vehicle advertising shall belong to MATA.

2.09. For the Electric Trolley Service, MATA shall conduct counts of passenger boardings and shall respond to any and all reasonable requests from DART for the Electric

Trolley Service operations information (e.g. boardings and alightings).

2.10. At all times when operations are being conducted, MATA shall be solely responsible

for the safe operation of the Electric Trolley Vehicles and the protection of the passengers and others using the Electric Trolley Vehicles.

2.11. MATA shall provide, or cause to be provided, all mechanical repairs, maintenance

and upkeep required to keep the Electric Trolley Vehicles in a safe operating condition. MATA will also provide, or cause to be provided, all maintenance of way

required for trolley operation. Additionally, MATA shall be solely responsible for

operating the Electric Trolley Service in a safe operating manner.

2.12. MATA shall secure or cause to be secured, all permits and other governmental authorizations that may be required to provide the Electric Trolley Service from each

governmental entity having jurisdiction over MATA and the Electric Trolley Service.

2.13. MATA, its agents, employees and contractors shall abide by and be governed by all

laws, ordinances and regulations of any and all governmental entities having jurisdiction over such operations.

2.14. MATA shall be solely responsible for providing security for passengers on the

Electric Trolley Vehicles and at the Electric Trolley stops.

2.15. DART shall have the right to periodically audit and/or perform a quality assessment

survey of the Electric Trolley service in order to monitor service delivery.

2.16. MATA shall secure, with or without DART’s financial assistance, capital funding

necessary for rehabilitation of equipment and extension of the trolley line.

3. DART Duties and Responsibilities. In consideration of the performance by MATA of

each and all of the obligations set forth in Section 1, DART covenants and agrees as follows:

3.01. DART shall reimburse MATA for up to 50% of operating cost for a maximum

not to exceed $325,000.00 per year for providing the Electric Trolley Service.

3.02. DART shall provide planning, scheduling, marketing and promotional

services as agreed upon by the parties.

3.03. DART agrees to include the promotion of MATA fixed route trolley service

as a part of its overall marketing program.

4. Billing and Payment for the Electric Trolley Service. During the term of this Agreement, MATA shall submit to DART via e-mail on a monthly basis, an original

invoice in a form acceptable to DART, properly documented, summarizing and

verifying the costs by description, e.g. cost per hour, reflecting the total amount then

due and owing. Unless DART questions a MATA operating cost sought to be paid under this Agreement (a “Questioned Cost”), DART shall make payment to MATA

within thirty (30) days after receipt of MATA's invoice, provided the invoice is

properly prepared, executed and documented, subject, however to the total maximum

reimbursement amounts stated in Sections 3.01 and 3.02 above. MATA agrees that DART shall have the right to not pay to MATA a Questioned Cost, unless and until

such Questioned Cost is resolved as between DART and MATA. DART and MATA

agree to resolve any Questioned Costs as reasonably promptly as possible.

5. Audit; Retention of Records. DART, upon giving five (5) business days advance notice

to MATA, shall have the right to request, at DART's expense, an audit of MATA's

records reflecting the costs of providing the Electric Trolley Service. MATA shall

retain adequate cost accounting records for auditing purposes for a period of three (3) years after payment by DART of the invoice for which the cost accounting records

support.

6. Insurance. MATA shall, at all times during the term of this Agreement and extended terms thereof, provide and maintain, or cause to be provided and maintained, the

following types of insurance protecting the interests of MATA against any loss, cost

or expense, of any kind arising out of the Electric Trolley Service to be provided

hereunder. DART shall be named as an additional insured and shall be provided with a certificate of insurance from an insurance company or companies acceptable to

DART, at least twenty (20) days prior to the commencement of performance

hereunder. Said policy or policies shall bear an endorsement giving DART thirty (30)

days’ advance notice of cancellation. In the event MATA allows any coverage to lapse during the terms hereof, DART shall have the right to terminate this Agreement.

6.01. Workers' Compensation Insurance. MATA shall provide or cause to be provided,

Workers' Compensation Insurance providing benefits comparable to those provided

under the Workers' Compensation Act of the State of Texas and/or any other State or Federal law or laws applicable to MATA's employees, contractors, agents or assigns

performing work under this Agreement. This insurance must be endorsed with a

Waiver of Subrogation endorsement, waiving the carrier’s right or recovery under

subrogation or otherwise from DART.

6.02. Employers' Liability Insurance. MATA shall provide or cause to be provided,

Employers' Liability Insurance with limits of liability of not less than $500,000.00

each accident, $500,000.00 each employee for disease and $500,000.00 policy limit

for disease. This insurance must be endorsed with a Waiver of Subrogation Endorsement, waiving the carrier's right of recovery under subrogation or otherwise

from DART.

6.03. Commercial General Liability Insurance. MATA shall provide or cause to be

provided, Commercial General Liability insurance providing limits of not less than $1,000,000.00 for bodily injury and property damage per occurrence with an annual

aggregate of $2,000,000.00. There shall not be any policy exclusions or limitations

for Contractual Liability covering MATA's obligations herein, Personal Injury,

Advertising Liability, Medical Payments, Fire Damage Legal Liability, Broad Form Property Damage and Liability for Independent Contractors.

6.04. Comprehensive Automobile Liability Insurance. MATA shall provide or cause to

be provided, Comprehensive Automobile Insurance, covering all owned, hired and non-owned vehicles used in connection with this Agreement with a combined single

limit for bodily injury and property damage liability of not less than $1,000,000.00.

6.05. Additional Insured Endorsement. The policy or policies providing Commercial

General Liability, Automobile Liability shall be endorsed to name DART, their

directors, officers, representatives, agents and employees as Additional Insureds as

respects operations performed by MATA in performance of this Agreement.

6.06. No Recourse. Companies issuing the insurance policies herein described shall have

no recourse against DART for payment of any premiums or assessments for

deductibles, such premiums and deductibles being the sole responsibility and risk of

MATA as between MATA and DART.

7. Indemnification.

7.01. Electric Trolley Service. MATA shall indemnify and hold DART, its directors, officers, agents, servants and employees, harmless from all loss, cost and expense by

reason of injury (including death) to any person or damage to property, arising out of

or from any accident or other occurrence in connection with the operation of the

Electric Trolley Service during the performance of this Agreement, which injury or damage results from negligence, gross negligence or intentional misconduct on the

part of MATA, its agents, employees, contractors, visitors or invitees. In the event

that joint or concurring negligence or fault of MATA and DART are found by the

final judgment of a court of competent jurisdiction against the parties to this Agreement, responsibility and indemnity, if any, shall be apportioned comparatively

in accordance with the law of the State of Texas. The costs of the defense of such

joint or concurring negligence claims shall be shared equally by the parties. The

provisions of this Section are solely for the benefit of the parties hereto and not intended to create or grant any rights, contractual or otherwise, to any other person or

entity, nor limit the right of DART to assert any governmental immunity defense to

any claim and such provisions shall survive termination of this Agreement.

9. Miscellaneous.

9.01. Assignment. Neither party may assign this Agreement in whole or in part, without

first obtaining the written consent of the other party.

9.02. Notices. Any notice by either party to the other shall be in writing and shall be deemed to have been duly given only if delivered personally or sent by United States

mail, certified, return receipt requested, in a postage paid envelope addressed to the

party at the address set out below:

9.03. Binding Effect. The provisions of this Agreement shall be binding upon and inure to

the benefit of MATA, DART and their respective successors and permitted assigns.

9.04. Headings. The paragraph headings in this Agreement are intended for convenience only and shall not be taken into consideration in the construction or interpretation of

this Agreement.

9.05. Number and Gender. Whenever used herein, unless the context otherwise provides,

the singular number shall include the plural, the plural the singular, and the use of any gender shall include all other genders.

9.06. Partial Invalidity. Any portion of this Agreement being declared by law to be invalid

shall not invalidate the remaining provisions which shall remain in full force and

effect.

9.07. Merger and Amendment. This Agreement constitutes the entire agreement of the

parties with respect to the matters contemplated herein and it may be modified or

amended only in writing, signed by all parties hereto.

9.08. No Kickbacks. DART warrants that no trustee, officer, employee, or agent of MATA

has been or will be employed, retained or paid a fee, or otherwise has received any personal compensation or consideration by or from DART or any of DART's

directors, officers, employees or agents in connection with the obtaining, arranging,

negotiation or performance of this Agreement. Similarly, MATA warrants that no

director, officer, employee, or agent of DART has been or will be employed, retained or paid a fee, or otherwise has received any personal compensation or consideration

by or from MATA or any of MATA's directors, officers, employees or agents in

connection with the obtaining, arranging, negotiation or performance of this

Agreement. 9.09. No Partnership or Joint Enterprise. The parties hereto acknowledge and agree that

the relationship described herein between the parties is not intended to be either a partnership, a joint enterprise or any other relationship wherein one party is the agent for the other or liable to a third-party for the other's obligations of any nature. Specifically, the parties disclaim that there is any common purpose, any equal right of control or pecuniary interest regarding their relationship described in this Agreement.

BUSINESS PURPOSE

. This resolution will help achieve the Board Strategic Priority III: Build and Maintain RegionalTransportation Leadership.

. The LAP and LAP/Congestion Management System (CMS) programs expired on September 30,2004; however, some cities still have unexpended balances remaining from those programs thatare available to implement projects that enhance transit. A request has been received from theCity of Cockrell Hill.

. The City of Cockrell Hill requests the reprogramming of unprogrammed funds to the CockrellHill Road project. The project is approximately 1.0 mile in length and the boundaries are SouthCity Limit to North City Limit. The project is in the Dallas County Municipal CapitalImprovement Program (MCIP), and the LAP funds will serve as the City of Cockrell Hill's localcontribution for the Cockrell Hill Road MCIP project. See Exhibit 1 attached to the Resolution.

RECOMMENDATION

This is a briefing item. No action is required at this time.

BUSINESS PURPOSE

. This briefing will help achieve the Board Strategic Priority II: Manage System Development andMaintain Infrastructure.

. On October 26, 2006 (Resolution No. 060177), the Board approved the 2030 Transit System Plan(TSP) which included the Cotton Belt Corridor.

. On May 11, 2010 (Resolution No. 100065), the Board authorized the execution of aMemorandum of Understanding (MOU) between DART and the Regional Transportation Council(RTC) concerning the identification of funding sources to implement passenger rail service on theCotton Belt Corridor.

. Under this MOU the RTC is responsible for identifying funding sources and developing afinancial plan to design, build and implement passenger rail service on the Cotton Belt Corridor.

. Under this MOU DART is responsible for planning, preliminary engineering and theenvironmental review process for the project.

. In July 2010 DART initiated the environmental planning process with Agency and PublicScoping meetings.

. The Planning Committee will be briefed on the status of the Cotton Belt Regional Rail Project.
