In a dedicated and pioneering spirit, we have long been in the pursuit of innovation and entrepreneurship. Having experienced the international financial crisis, we are now embarking on a new journey of Sinochem Shanghai.

Sinochem Shanghai made its first move on the construction of overseas marketing platform for pesticide in 2011, when the world was racked by precarious global economy and deteriorating export environment, which resulted in retarded adjustment of the overall pesticide industry… Despite the fierce market competition, we have witnessed encouraging progress in all tasks thanks to the guidance of strategic objectives, the continuous improvement of business concept, the steady strategic transformation and the comprehensive promotion of administration. Under the impacts to varying degrees from external environment on the commodity marketing sector of the company in 2011, we still managed to make a robust step and optimize the product structure after adjustments to the market owing to the guidance of the company and the Sinochem Agrochem, which resulted in further progress in the market competitiveness of our major business. The first overseas branch of the company – Sinochem Agro Argentina S.A. was put into operation, marking a practical step forward on its way to overseas markets. Here, on behalf of the management lineup of Sinochem Shanghai, I would like to extend my heartfelt thanks and sincere greetings to our honest partners from all circles both at home and abroad and to all the staff who have been dedicated to our company.

In 2012, we are expecting a major step forward to “accelerate overseas layout, implement focused strategy and encourage pattern transformation”. New missions entrusted to us on the new journey will cultivate new hopes from a new start. In order to harvest sustainable development, we have to distinguish opportunities from challenges and crave for development, even in predicament. Breakthroughs should be made in the acquisition of resources, the innovation of operating patterns, and the construction of projects. 2011 年，中化上海踏上了建设农药海外营销平台的征程。作为中化农化中心的农药营销平

Established in July 1949, Sinochem Shanghai is a wholly-owned subsidy of Sinochem Group.

In 2011, Sinochem Shanghai embarked on a new journey of overseas pesticide marketing. As a pesticide distribution platform of Sinochem Agrochem, Sinochem Shanghai not only adhered to the established strategies, but also made adjustments to market development in a proactive manner. In this way, the product structure started to be shifted towards the group’s own products and the competitiveness of its major business was further improved. The first overseas branch – Sinochem Agro Argentina S.A. was founded and put into operation, coupled with the establishment of some overseas outlets and the registration and orderly promotion of independent overseas projects, indicating practical progress of overseas marketing channel development of the company.

The company is the third Vice President of Shanghai Chemical Industry Association. It is also elected as Vice Chairman of Glyphosate Coordination Team in China Chamber of Commerce for Importers and Exporters of Metals, Minerals and Chemicals and is honored with a title of “Top Ten Honest Exporters in Pesticide Industry”. 2011 is the first year since the company's joining the Sinochem Agrochem. Facing the intensely changing external environment, according to the arrangements at the working meeting at the beginning of the year, the company, guided by the corporation and the Sinochem Agrochem, kept improving the operational connotations around the primary business, steadily promoted the strategic transformation, effectively reinforced risk control, carried out all-around management improvement and successfully fulfilled various tasks.

管理层报告Management Report

（一）沉着应对挑战，利润指标超预算进度，经营质量有所改善。总体上讲，2011 年公司

累计实现销售收入14.48亿元，公司经营基本达到了预期的目标。在成绩的背后，是

全体员工和经营管理单位持续推进战略转型，培育核心业务，加大市场开拓力度，不断进

行管理改善的结果。

2011 年是公司加入农化中心后的第一年。面对急剧变化的外部环

境，在集团公司及农化中心的带领下，公司根据年初工作会议的

各项部署，围绕主营业务持续改善经营内涵，扎实推进战略转型，

有效强化风险控制，全面实施管理改善，较好的完成了既定的各

项工作目标。

（二）根据战略发展要求调整组织架构。随着公司纳入农化中心统一管理，从去年年底开

始公司按照功能化的原则对现有组织和团队进行了有效整合。科创国际贸易营销团队的成

功加入，使得沈阳科创以及中化上海两家单位在农化中心的领导下，实现了生产与营销的

一体化协作。

（三）中化农化阿根廷公司正式设立，海外渠道建设取得初步进展。公司加入农化中心后，

肩负起打造农药海外营销平台的任务。随着 5 月 23 日中化农化阿根廷公司的设立，中化

上海近几年一直秉持的“走出去”战略迈出了坚实的一步。2012 年将有草甘膦、精�唑禾

草灵、虱螨脲等自主品牌产品实现上市销售。目前中化农化巴西公司的设点计划已经获集

团批准，澳大利亚分支机构也将于 2012 年完成开设，并且在美国、俄罗斯等区域市场做

好设点前的准备，力争明年完成 5-6 个国家分支机构的设立，2012 年实现在 20 个国家设

分支机构，覆盖全球 65% 以上农药市场的目标。未来十年公司的发展思路是：通过海外设

点、并购、与跨国公司合作的方式在 2012 年完成海外布点工作，2013 年乃至今后一段时

期重点把中化自有产品以及中国其他企业生产的农药产品导入到现有的营销体系中，提升

整体营销能力和水平，最终打造一个技术驱动型、能够为客户提供高技术产品和服务的全

球领先的农药企业。

(I) The profit target outperformed the plan and the operation quality was improved as a result of calm confronting the challenges. In general, the company’s operation target in 2011 was basically achieved by the accumulated operating revenue of RMB 1.448 billion. Such performance is the result of the continuous promotion of the strategic transformation by the whole staff and the management unit, the development of core businesses, the expansion of market exploration and the continuous management improvement.

(II) The organizational structure was adjusted according to the requirement of strategic development. With the company’s being brought to the uniform management under the Sinochem Agrochem, the company carried out effective integration on the existing organization and team following the principle of functionality. The successful introduction of the marketing team of Shenyang Sciencreate Co., Ltd. allowed Shenyang Sciencreate and Sinochem Shanghai to achieve integrated collaboration of production of marketing under the leadership of the Sinochem Agrochem.

(III) The formal foundation of Sinochem Agro Argentina S.A. promoted the preliminary progress of the company’s construction of overseas channels. After joining the Sinochem Agrochem, the company has shouldered the burden of creating the overseas marketing platform. With the foundation of the Sinochem Agro Argentina S.A. on May 23, Sinochem Shanghai strode a solid step forward on its way of “going global” in recent years. In 2012, the company launched products, including Glyphosate, Fenoxaprop-P-ethyl and Lufenuron, with its independent brand, to the market. Now, with the project of Sinochem Agro Brazil Ltda. approved by the corporation, the Australian branch to be initiated in 2012, and preparations for projects in the US and Russia etc. ongoing, the company is trying to set up branches in 5-6 countries in the next year and 20 countries in 2012 so as to cover over 65% of the global pesticide market. The development idea of the company in the next decade is to: complete the overseas layout in 2012 through setting up branches abroad, merger, acquisition and cooperation with multinational companies, to focus on incorporating products manufactured by Sinochem and other

Chinese enterprises into the existing marketing system in 2013 and even a further period of time thereafter so as to enhance the overall marketing ability of the company and finally build the company into a tech-driven leading pesticide manufacturer of the world capable of providing customers with hi-tech products and services.

四）抓紧引进和培养公司转型人才。2011 年，人力资源工作围绕各项重大战略及经营举措，

不断拓宽招聘渠道，加大行业高端人才、外籍员工和目标市场本土人才的引进力度。同时，

针对未来以农药为基础的复合型人才的培养，公司为每位员工都建立了培训档案，制定了

职场加油站计划，分层次对现有员工、新进员工进行针对性的专业培训及岗前培训，为公

司既定的战略能够顺利实施提供人才保障。

五）安全、节能减排形势良好。2011 年公司建立健全安全制度体系，进行安全现场检查

16次，开展了安全生产月活动，组织全体安全员在真陈仓库进行消防应急技能培训。

2011 年 5 月，公司被上海市表彰为“平安单位”先进集体。在节能减排方面，公司各项节

能减排指标均控制在集团下达的范围之内，认真履行了国有企业的社会责任。

(IV) The focus on introducing and cultivating talents for the transformation of the company. In 2011, centering on various strategies and operation measures, the HR department of the company kept expanding recruitment channels and reinforcing the introduction of high-end talents, foreign employees and local talents of target markets. In the meanwhile, as for the cultivation of inter-disciplinary talents on the basis of pesticide in the future, the company established the training archive for each employee and established the “Career Gas Station” program for professional layered training and pre-job training for existing employees and new recruits so as to provide talents for the successful implementation of the company’s existing strategies.

(V) Safety, energy conservation and emission reduction situation was sound. In 2011, the company established a sound safety system, carried out 16 times of site safety inspection, launched the safe production month program and organized all safety inspectors to receive the training of emergency fire control skills at Zhenchen Storage. In May 2011, the company was titled the “Outstanding Performers of Safety” by the government of Shanghai. As for energy conservation and emission reduction, the company managed to control various indexes within the scope stipulated by the corporation and seriously fulfilled its social responsibilities as a state-run enterprise.

With its own railway siding and a 100-ton electronic truck scale, the company can provide customers with transit service of liquid chemicals that can be described as "the vessel leaves upon arrival of the truck, and the truck leaves upon arrival of the vessel”.

的第十二届中国国际农用化学品及植保展会（以下简称 CAC2011展览会）系列活动。中化上海的展台位于 1B09-1C10 区域，集中

展示了草甘膦、双甘膦以及农药原药、助剂、生物农药、中间体等

各类农用化学品。中化上海将进一步拓宽海外渠道，了解客户需求，

Sinochem Shanghai Co., Ltd. attended the 12th China International Agrochemical and Crop Protection Exhibition

On 16-18 March, Sinochem attended the 12th China International Agrochemical and Crop Protection Exhibition (CAC 2011) held in Shanghai Everbright Convention & Exhibition Center. Located in IB09-1C10, Sinochem booths displayed all kinds of agrochemical products such as glyphosate, PMIDA, TC, pesticide adjuvant, bio-pesticide and intermediate. Sinochem Shanghai would further expand overseas channels and understand customer’s demand. It will further cooperate with key customers and grow with them together to create an excellent overseas pesticide sales platform for the Sinochem Group.


In order to deliver thankfulness to government, customers and friends in various cycles, Sinochem Shanghai held the “Spring Concert Night of Sinochem Shanghai 2011” at the Shanghai Concert Hall during the CAC exhibition in 2011. Mr. Li Bin, Vice President of Sinochem with over 1000 customer representatives and guests from relevant government departments and all walks of life as well as employee representatives attended the concert. Performers from Shanghai Philharmonic Orchestra presented a wonderful music concert to audiences. This concert also aimed to extend Spring Festival greetings to our customers through artistic music. 乐乐团的艺术家们为观众们献上了一场精彩绝伦的音乐盛宴。

此次“中化上海之夜”专场演出，旨在用音乐传递新春祝福，

用艺术回馈客户，同时，有力的宣传了公司，进一步扩大了公

司在业内的影响力。

In 2011, HSE system and routine management system in the company have gradually improved. Based on the “Production Safety Year”, we implemented the classified and diversified management approach according to the production and operation features and current HSE situation of subsidiary companies. We monitor the production of key companies. The HSE responsibilities are assigned to each specific individual in both horizontal and vertical structural lines within the company. We standardize the HSE management system, constantly improve the management of HSE and strive for the production safety.

In 2011, we took the opportunity of the national activity—“Production Safety Month” and carried out all-staff safety education activities during which a documentary on the theme of “Caring for Life and Safe Development” was shown to all employees, and the fire safety workshops were held and common sense about occupational safety and health was publicized by all kinds of means. Security personnel were sent to the Zhenchen Storage to receive the Firefighting Emergency Skill Training. The subsidiary companies held firefighting and emergency rescue trainings respectively. All the corrective measures were implemented instantly.

2011 年，我们以全国“安全生产月”活动为契机，全面开展全员安全教育培训，组织观看

“关爱生命、安全发展”的主题宣传片，举办消防安全知识讲座，利用各种渠道宣传职业

安全健康的常识，组织公司安全员前往真陈仓库进行《消防应急技能培训》，各下属企业

分别进行消防演练或应急救援预案的演练，各项整改措施均能及时落实。

为服务社会奉献爱心，由公司 15 名员工组成的志愿者团队参加了“海上慈怀”义卖活动，

并将义卖收入定向捐赠给君爱特殊青少年康复中心，用于为四川震区伤残儿童提供康复训

练和心理干预治疗。此公益行动受到公司领导的大力支持和各部门同事的积极响应。

为架接与特殊群体的沟通桥梁，我司 10 多名员工参与了“随手执梦”手语教室活动，学习

了手语基本日常会话及简单的手语歌曲，为日后进一步向听障人士提供志愿服务奠定了基础。

为关爱农民工子女，我们的团委青年开展了“传递温暖关爱农民工子女”主题活动，看望

与慰问农民工子女，传递我司团员青年的关心与爱心。

为密切联系职工群众，坚持重大节日走访制度，我们每年为离退休职工举办富有公司特色

的“金婚志喜”、“逢十祝寿”、“中秋茶话会”，受到了离退休职工及家属的好评和赞扬。

To serve the society and devote our love, a 15-employee voluntary team was established to organize the charity sales entitled the “Offshore Care”. The revenue of the charity sales were donated to UniLove Rehabilitation Center for Disabled Children and Youth specially used for the recovery training and psychological intervention treatment for disabled children injured in the Sichuan Earthquake. This charitable activity was actively supported and widely participated by the managers and employees in the company.

To better communicate with the special-needed groups, more than 10 employees participated in the “Pursuing Dreams with Hands”—a sign language learning activity. They learned the basic daily dialogues and simple songs in the sign language, which provide basic skills for them to provide voluntary services to the deaf people in the future.

In order to care for the children from the migrant worker family, the company’s Youth League Committee organized the activities on the theme of “passing on warmth and caring for migrant worker’s children”. The youth league members visited these children and passed on our care and love.

In order to strengthen the ties between the company and the employees, we persistently visit employees during the festivals. We organize many activities with the company’s characteristics, such as the Golden Marriage Celebration, birthday party for retired employees turning their 60, 70, 80, 90 and 100, and the Middle-Autumn Tea Party, which are highly praised by retired employees and their family members.

On July 29-30, the company convened the middle of 2011 work conference and summarized the first-half year work. The work conference analyzed the issues existed in the current macro-environment and business operation and further clarified the work objectives in the second-half of 2011.

On August 19, the opening ceremony of Shenyang Research Institute of Chemical Industry (Nantong) Chemical Science and Technology Co., Ltd. was held in Nantong, which our company holds the shares. Mr. Hu Hanchun, General Manager attended the opening ceremony.

On September 13, the company won the title of “the advanced company in taxation and final accounting within the Group”.

On September 21, the company launched the tasks of 2012-2014 strategic planning and formulating 2012 operating planning/financial budget.

On October 20-22, the company attended the 11th AgroChemEx. Mr. Li Bin, Vice-President and Mr. Hu Hanchun, General Manager attended the exhibition and visited key accounts and suppliers at home and abroad. Wei Hanhan, General Manager Assistant hosted the 2011 China Pesticide Acquisition and Service International Forum.

On November 23, the company signed the strategic cooperation framework agreement with the Venezuelan pesticide company at the 10th Sino-Venezuela Senior Commission Summit held at the Venezuelan presidential palace. Both sides agreed to expand the cooperation at the technological level and in related agricultural investment product areas such as pesticides and fertilizers.

On December 15, the company received the “Organizing Contribution Award” for providing excellent cases and case editing in 2011 from the Group.

On January 24-26, the company convened the 2011 work conference entitled “Improving inventory, strengthening the synergy, accelerating the transformation and steadfastly promoting the construction of overseas pesticide marketing platform” and further clarified the work objectives in 2011.

On March 16-18, the company participated in the 12th China International Agrochemical and Crop Protection Exhibition. Mr. Li Bin, Vice President and Mr. Hu Hanchun General Manager attended the exhibition and visited key accounts and suppliers at home and abroad.

On March 17, the company held the “Spring Concert Night of Sinochem Shanghai 2011".

On March 22, the share of Fujian Jinshi project was transferred.

On May 11, the company was awarded the advance company of “the Safe Organization" by the Shanghai government.

On May 23, the first overseas subsidiary—Sinochem Agro Argentina S.A. was established.

In May-June, the company organized a series of activities to celebrate the 90th anniversary of China Communist Party, such as democratic evaluation of party members, article competition, workshop, red song chorus and red trip.

In July, the registration of Sinochem Agrochem Brazil Ltda. proceeded after the approval by the Group.
