Team Bios: Adam Nicolopoulos
Adam Nicolopoulos , President and Founder, ADN Capital Ventures, Inc.
Mr Nicolopoulos founded ADN in 2007 to deliver advisory services to private and public clients on the development, financing and implementation of transportation infrastructure, energy and related projects using the concession/PPP (public-private-partnership) or BOO/BOT (Build, Own and Operate/Transfer) as well as other models of delivery and implementation.
Prior to ADN, Adam spent well over 17 years with UBS Investment Banking Division (London, Zurich, New York and San Francisco) focusing on funding transportation infrastructure including roads, airports, ports and mass transit systems and energy/power generation assets. His clients included DOTs, government authorities, public bodies and private sector firms. In addition to UBS, Adam worked for NatWest Markets (presently known as RBS) from 1994 until 1997 in London as Associate Director leading the execution of international and UK project advisory mandates.
In the US he advised and worked on over 10 PPP-type and concession deals, including working with bidders on their tender for the Indiana Toll Road and Northwest Parkway, Indiana Toll-Road, Chicago Skyway and the development of two greenfield container port terminals in the Gulf of Mexico. His services included advising public authorities and government enterprises, including NJ DOT, on the application of suitable PPP models for their infrastructure sector.
On the private side, he has advised investors, international contractors and developers in structuring optimal financing solutions (bonds, bank debt and/or equity financing) and implementing selected financing. In 2003, his brought the first ever rated project bond to the market for a road project in Eastern Europe. He led the team that advised a number of governmental entities (including ministries of finance and transportation) on the application of PPPs and concessions across a wide range of economic sectors.
Mr. Nicolopoulos holds an MBA from Stern School of Business at NYU (graduated with honors on a full university scholarship), an MSc in Mechanical Engineering from the University of California, Berkeley (honors) and a BSc in the same field from Columbia University. Certifications include Series 7 and 63. He is a Visiting Scholar at Stanford University (since 2007 – present). He is a member of the International and the US Who-is-Who and he has had speaking engagements at over 20 national and international conferences on topics relating to PPPs and financial innovation.

Lisa Amini , Chief Financial Officer and Vice President of Corporate Strategy, ADN Capital Ventures, Inc.
Ms. Amini has worked with ADN since its inception in 2007. In addition to managing ADN’s financial, tax, accounting, insurance and legal matters, she is integrally involved in developing corporate strategy and providing advice on management of corporate relationships, client mandates and projects.
Prior to working with ADN, Ms. Amini spent close to 10 years working in projecting financing first for Bechtel Enterprises in San Francisco and in London, and then as Director of Finance, in London for InterGen, a prominent international independent power project developer, owned by Bechtel andShell Oil at the time. While working with Bechtel Enterprises, Ms. Amini worked on the development and implementation of commercial and financial structures for a variety of large projects internationally, including infrastructure, power generation, oil and gas and mining and metals projects. During this time, she received a “special performance award ” for assisting a client in structuring and arranging a limited recourse financing for a novel aqua-farming project in Thailand. She also assessed the financial and economic feasibility of various projects, and advised a US government institution on the development of a financial model for the evaluation of independent power projects internationally.
While with InterGen, Ms. Amini, as Director of Finance in the Europe, Africa, Middle East and South West Asia regions, led efforts in the structuring and arranging of multimillion dollar project financings of independent power projects owned by InterGen, most notably the 775 MW gas-fired Coryton Power Project in the UK, the 770 gas-fired Rocksavage Power Project in the UK, and developing financing plans for InterGen’s successful bids for the 685 MW gas fired Sidi Krir Power Project in Egypt and 3 major power projects in Turkey. She also led efforts on the structuring, arranging and negotiating of the project financing for the successful closing the Sidi Krir project financing with local Egyptian and international banks.
From 1987 through 1990, Ms. Amini worked in highly leveraged transactions and corporate finance at Swiss Bank Corporation (now UBS) after completing the training program there, which she completed with “outstanding” performance evaluations.
She holds an MBA from UC Berkeley’s Haas School of Business, where she focused her studies on international finance, and she was awarded membership in the Beta Gamma Sigma National Business Honors Society upon graduation for her outstanding academic performance. She also holds a BA in Biology from UC Santa Barbara, where she graduated with “highest honors”.

Michael Adda , Senior Advisor
Mr. Adda is Senior Advisor and resource to ADN Capital Ventures, is currently Managing Director of CFAS Ltd., Michael Adda was an investment banker with S. G. Warburg and SBC Warburg for 20 years, a Director for 10 years and Managing Director of S. G. Warburg & Co. (Netherlands Antilles) NV. Mr. Adda was Chairman of the Caribbean Trade Advisory Group for the British Government from 1992 to 1997 and Treasurer of the Caribbean Council, the Caribbean Foundation and the West India Committee from 1992 to 2000 since when he has continued to serve as Trustee.
Mr. Adda led numerous privatization teams in emerging markets and successfully concluded a number of high profile privatization mandates. After several years in the Warburg’s Corporate Finance department, in 1979 he joined the Warburg’s Overseas Advisory Division to work to work as financial advisor to governments in French speaking Africa including Zaire, Togo, Senegal, often with the African Development Bank. From 1983, he managed Warburg’s sovereign advisory work in state sector restructuring, privatisations and major project financings for the Governments of Curacao, Aruba, Jamaica, Guyana, Antigua and advised the British, Italian and Russian Governments on regional high profile debt and aid projects. He became a Director of CFAS Ltd. following its creation by Warburg to take over this business in 1995.
Mr. Adda was educated at Harrow, graduated from Cambridge University in Law, and qualified as a Chartered Accountant with Deloitte & Touche, specialising in computer audit and fraud investigations. He was seconded for two years to the Cabinet Mazars in Paris and later, for a year to Lazard Freres, Paris. He is fluent in French.

John Richter , Senior Advisor
Mr. Richter, Senior Advisor and resource to ADN Capital Ventures, is currently a Principal Instructor at the specialist financial modeling and project finance firm, Financial Mechanics. John has over 20 years experience in financial modeling and infrastructure finance.
Upon receiving his MBA in 1992, John joined Bechtel’s ownership and development group. In 1995 Bechtel co-founded InterGen, an independent power developer, and John transferred to the new company at its inception as a Director of Finance.
In 1999 John co-founded F1F9, a financial modeling services company that focused initially on training and soon grew to supporting organizations in numerous aspects of financial modeling. As well as co-developing F1F9’s approach to financial modeling, John was F1F9’s principal instructor and led the development of proprietary software used for checking models. With F1F9’s exit from financial modeling training, John transferred the F1F9 approach to Financial Mechanics, which has adapted it as the FAST standard –flexible, accurate, structured, and transparent.
John graduated from Princeton University in 1985 with a BSc in Mechanical and Aerospace Engineering and received his MBA from Harvard Business School in 1992. Prior to getting his MBA, John worked for Instron Corporation, a materials testing systems manufacturer, and for a venture capital firm in the United Kingdom.

Roberto A. Gutierrez III, Senior Advisor
Mr. Gutierrez has over fifteen (15) years of experience as a senior developer of civil transportation infrastructure projects in aviation, water and waste water, and surface transportation under Public-Private-Partnership (PPP) and non-recourse finance basis.
He has been involved in thirteen (13) aviation projects leading the business developing efforts and formulating and implementing revenue enhancing strategies to airports and air cargo concessions. Additionally, he has collaborated with the governments of the Republic of Costa Rica, the Mexican United States, and the Republic of Panama in the formulation of airport law, corresponding regulations, and the strategy and process to divest government aviation assets. Mr. Gutierrez has been the senior developer for air cargo concessions requiring the formulation of strategies to integrate the airport and corresponding air cargo operations within the region of influence of the airport and involve all stakeholders.
Mr. Gutierrez holds a Master in Business Administration with focus in Engineering Finance, Strategy and Policy, Institute of Technology and Higher Studies of Monterrey; a Bachelors degree in Civil Engineering, Santa Clara University. He is a founding member of the Aspen Institute US – Mexico Forum, Institute of Policy, Research and Implementation, Graduate School of Public Affairs, University of Colorado where he participated in the development of strategies based on commitments from private and public sector parties, financial institutions, multilaterals and developing banks to prepare and organize public sector assets in civil transportation infrastructure as PPP and concession contracts.

Alexis Broadbent, Senior Advisor
Mr. Broadbent, Senior Advisor, currently based in London and resource to ADN Capital Ventures has over ten (10) years of experience in corporate and project advisory, structuring and finance of transportation infrastructure and renewable energy projects.
Prior to working with ADN Capital Ventures, Mr. Broadbent headed the project finance advisory team at Cascadia Capital, a regional investment banking firm active on the West Coast US focusing on renewable energy and clean technology. In 2011, Alexis secured $85m of commitments for development capital and project equity, in spite of challenging market conditions. He also advised on senior debt and tax exempt bond financings, as well as managing sale processes for operational project assets and companies. The strong relationships he holds with major institutional cleantech investors in the US and the EU allows him to successfully position opportunities outside traditional project investments, and to structure and complete capital raises within growth equity, venture capital.
Mr. Broadbent’s career in project finance started at Macquarie Bank in London in 1998, where he advised on PPP/PFI projects, focusing on transportation and social infrastructure. He has also worked in the industry, and led the finance team at Amey UK Plc that focused on transportation and education projects. Outside of the US and the UK, he has completed transactions in healthcare and energy within the EU and emerging markets.
Mr. Broadbent has strong financial modeling skills, and he led the financial modeling PFI team for Grant Thornton in Leeds, UK, where he advised public sector clients on the procurement of PFI projects, and the refinancings of existing assets.

Adam J Potter, Associate Advisor
Mr. Potter joined ADN in 2012 and provides analytic service in the form of financial analysis, project management consulting, market research, and general due diligence. Having recently completed his Master’s at Stanford University’s Graduate School of Business as a Sloan Fellow, he is positioned to service a wide array of business needs with a focus of studies in Infrastructure and Real Estate Assets.
Prior to joining ADN, Adam was a Major in the United States Marine Corps specializing in civil-military affairs. His ten year career encompassed multiple combat tours in Iraq, Afghanistan and humanitarian missions across the Pacific. As such, he is experienced in developing or rehabilitating public works infrastructure and organizing public solutions that can be managed to the capacity of the local government and set the foundation to relieve distressed populations. In parallel to serving public needs, Adam was an intelligence officer in Special Operations units with profound experience in the due diligence of understanding organizations and developing plans to service their needs with timely and efficient delivery.
Adam Potter ‘s personal awards include two Bronze Stars, one Navy Marine Corps Commendation Medal, and three Navy Marine Corps Achievement Medals. He is also a Pat Tillman Military Scholar (2012) and National Security Education Scholar (2000). He speaks multiple dialects of Arabic as well as French.
