thefollowingrightsorremedies:A.Toissueproceedingagainstthepurchaserfordamagesforbreachof contract.B.Torescindthesaleof thatoranyotherlotsoldtothepurchaseratthesameoranyotherauction.C.Toresellthelotbypublicorprivatesale.Anydeficiencyresultingfromsuchresale,aftergivingcredittothepurchaserforanypartpayment,togetherwithallcostsincurredinconnectionwiththelotshallbepaidtoBethunesatWebb'sbythepurchaser.Anysurplusovertheproceedsof saleshallbelongtothevendorandinthisconditiontheexpression'proceedsof sale'shallhavethesamemeaninginrelationtoasalebyprivatetreatyasithasinrelationtoasalebyauction.D.Tostorethelot,whetheratBethunesatWebb'sownpremisesorelsewhere,atthesoleexpenseof thepurchaserandtoreleasethelotonlyafterthepurchasepricehasbeenpaidinfull,plustheaccruedcostof removalandstorage,andallothercostsconnectedtothelot.E.Tochargeinterestonthepurchasepriceatarate2%aboveBethunesatWebb'sbankers'thencurrentrateforcommercialoverdraftfacilities,totheextentthatthepriceoranypartof itremainsunpaidformorethansevendaysfromthedateof thesale.F.Toretainpossessionof thatoranyotherlotpurchasedbythepurchaseratthatoranyotherauctionandtoreleasethesameonlyafterpaymentof moneydue.G.Toapplytheproceedsof saleof anylotthenorsubsequentlyduetothepurchasertowardssettlementof moneyduetoBethunesatWebb'soritsvendor.BethunesatWebb'sshallbeentitledtoapossessorylienonanypropertyof thepurchaserforanypurposewhileanymoniesremainunpaidunderthiscontract.H.ToapplyanypaymentmadebythepurchasertoBethunesatWebb'stowardsanymoneyowingtoBethunesatWebb'sinrespectof anythingwhatsoeverirrespectiveof anydirectivegiveninrespectof,orrestrictionplacedupon,suchpaymentbythepurchaserwhetherexpressedorimplied.I.Titleandrightof disposalof thegoodsshallnotpasstothepurchaseruntilpaymenthasbeenmadeinfullbyclearedfunds.WhereanylotpurchasedisheldbyBethunesatWebb'spending(i)clearanceof fundsbythepurchaseror(ii)completionof paymentafterreceiptof adeposit,thelotwillbeheldbyBethunesatWebb'sasbaileeforthevendor,riskandtitlepassingtothepurchaserimmediatelyuponnotificationof clearanceof fundsoruponcompletionof purchase.Intheeventthatalotislost,stolen,damagedordestroyedbeforetitleistransferredtothepurchaser,thepurchasershallbeentitledtoarefundof allmoniespaidtoBethunesatWebb'sinrespectof thatlot,butshallnotbeentitledtoanycompensationforanyconsequentlosseshowsoeverarising.12.BIDDERSDEEMEDPRINCIPALS.Allbiddersshallbeheldpersonallyandsolelyliableforallobligationsarisingfromanybid,includingbothphoneandabsenteebids.AnypersonwishingtobidasagentforathirdpartymustobtainwrittenauthoritytodosofromBethunesatWebb'spriortobidding.13.SUBJECTBIDS.Wherethehighestbidisbelowthereserveandtheauctioneerdeclaresasaletobe'subjecttovendor'sapproval'orwordstothateffect,thehighestbidremainsbindinguponthebidderuntilthevendoracceptsorrejectsit.If thebidisaccepted,thereisacontractualobligationuponthebiddertopayforthelot.
