    TheChairCrHohnenwelcomedMrNeilDouglas,aPartneratMcLeodswhoattendedonCounciltoprovidelegaladviceontheimpactoftheproposedmetropolitanlocalgovernmentreformontheWMRCEstablishmentAgreement,andWMRCdeliveryagreement.The Chair asked that Item 14.1 be brought forward to allow Mr Douglas to begin hispresentation to Councillors. This item has been renumbered 8.1. The presentationcommencedat5.35pminopensessionasthepresentationwasforinformationanddiscussionpurposesonly.

    8.1 REGIONALCOUNCILESTABLISHMENTAGREEMENT

    TheChiefExecutiveOfficerdeclaredanImpartialityinterestinthisitemduetohisassociationwithMcLeods.

    REPORTSUMMARY

    PurposeofReportExecutivedecisionSubstantialdirectionforWMRCservices.(e.g.adoptingstrategicplans,acceptingtenders,settingbudgets)KeyIssueAt itsmeetingon2October2014 theWMRCauthorised theCEO toobtain legaladviceonhowappropriate the establishment agreementwas for the possible scenarios for local governmentreform in thewestern suburbs.Consequentlyat itsmeetingheldon4December2014Councilresolved: Thenecessaryapprovals forabrief seeking legaladvice on theWMRC establishmentagreementbesoughtoutofsessionsothislegaladviceisavailableintimefortheFebruary2015meetingofCouncil.

    KeyImplicationAreviewoftheEstablishmentAgreementwillassistdecisionmakingonthefutureoftheWMRCfollowingtheLocalGovernmentReformprocess.

    RecommendationThatCouncilreceivethereportgivenbyMrNeilDouglasofMcLeodsSolicitorsandthereportbeusedaspartofaglobalunderstandingofWMRCsfuturelegalstandingandpossibleobligationsfollowingtheLocalGovernmentReformprocess.

    DiscussionA draft brief toMcLeods Solicitorswas subsequently sent tomember CEOs for comment andacceptance.OnememberCEOincludeditemnumber7(seefollowing)whichwasincludedinthedraftbrief.ThedraftbriefwasthensenttomemberCouncillorsoutofsessionforcommentandacceptance.TheacceptedbriefhasnowbeensenttoMcLeodsandisasfollows:

    The Premier and theMinister for Local Government have announced the State GovernmentspositionontheLocalGovernmentreforms.InessenceitisproposedtheCityofSubiacoandtheCityofCambridgemergewithnoactionatthispointontheShireofPeppermintGrovenortheTownsofClaremont,CottesloeandMosmanPark.

    TheWMRCCouncillorshaveauthorisedMcLeodstobegivenawiderangingbrieftoresearchandadviseonthepossibleimplicationsoftheproposedLocalGovernmentreformprocess,inparticular,butnotrestrictedto,WMRCsEstablishmentAgreementandWasteDeliveryAgreement.

    InadditiontheWMRChasengagedAshurstsolicitorstoadviseontheWasteServicesAgreementwiththeplantoperatorsDiCOM.TheremaywellbecrossoverpointsbetweentheMcLeodsbriefandtheAshurstbrief.Assuch,McLeodsarerequestedtoidentifyifthereareissueswiththeWasteDeliveryAgreementduetoamalgamationsthatmayimpactontheWasteServicesAgreementandliaisewithAshurst inordertoprovidetheWMRCwitha legalappreciationtothepossibleglobalimpactofthereforms.ItisenvisagedthatMcLeodswouldfacilitateaworkshopwiththeWMRCsCouncillorsinordertowalk through thepossible reformpermutationsand their subsequenteffectson theWMRCandmemberCouncils.

    Aspartofthisbriefsomequestions/concernshavebeenlistedforresearchanddiscussion.Thislistisbynomeansexhaustive.

    1. When theamalgamationof theCityofSubiacoand theTownofCambridgeoccurswhatwouldbethemembershipeffectontheWMRCiftheoldCityofSubiacoceasestoexist?iegiven that theTownofCambridge iscontracted to theMRCand theCityofSubiaco isamemberoftheWMRCwouldthenewentitybe legallyobligedtohonourthenowdefunctCityofSubiacoscommitmenttotheWMRC?

    2. IftheCityofNedlands,theShireofPeppermintGroveandtheTownsofClaremont,CottesloeandMosmanParkareamalgamatedastheCityofRiverseathen:2.1 Is theCityofRiversea legallyobliged tohonour theCityofNedlands existingwaste

    disposalcontract?2.2 Would theCityofRiversea, in turn, stillbe legally responsible tohonour thecurrent

    constituentmemberswastedeliveryagreementwiththeWMRC?3. Giventhatthewastedeliveryagreementhasatermoffiveyearsfromthecommissiondate

    andoneyearhaspassedwhatarethepossibleramificationsofextendingtheagreementwith theCityofRiversea? ie is itpossible that theCityofRiverseawouldnotextend theagreementandtheWMRCremainscontractually liabletosourcetonnagestotheDiCOMplant?Thismaywellbeacrossoveritem.
