TRANSACTION DETAILS

1. Based on Mandalay’s closing share price of C$0.90 as at June 3, 2014 2. Based on Mandalay’s cash and cash equivalents of US$20.0m as at March 31, 2014, proceeds from debt offering and Elgin’s cash of US$12.5m as at March 31, 2014

Structure:

• Acquisition of all of the outstanding common shares of Elgin via court-approved Plan of Arrangement • Each Elgin shareholder can elect either C$0.37 in cash or 0.4111(1) of a Mandalay Share, subject to pro-

ration based on a maximum cash consideration of C$25.0 million and maximum number of Mandalay Shares issued of 50.0 million.

Offer Value: • Total equity value of approximately C$70 million • 85% premium to Elgin’s last close on the TSX on June 3, 2014 (C$0.20) • 53% premium to Elgin’s 20-d VWAP on the TSX on June 3, 2014 (C$0.24)

Financial Position:

• Mandalay existing cash and cash equivalents of US$80 million as at March 31, 2014 (inclusive of debt) • US$60 million new gold-linked facility available to finance the acquisition and for general corporate

purposes • Transaction not subject to financing(2)

Other Terms:

• Customary non-solicitation covenants, subject to normal fiduciary outs • Right to match • Termination fee of C$2 million payable to Mandalay in certain circumstances • Unanimous support for the transaction and lockup agreements covering 41% of outstanding shares from

- If MND’s shares were held today, the potential returns for WCC and Coeur would be 165% and 222%, respectively (exclusive of dividend distributions)

OPERATIONAL IMPROVEMENTS AT CERRO BAYO

1. Restart from care and maintenance with localized management team– all residential, no fly-in fly-out

2. Changed from historic shrinkage stoping to fully mechanized open blast hole stoping mining method– similar production with half the people and much safer

3. Focused only on the large, higher grade veins– determined to operate mill at below capacity with only the most profitable mill feed.

4. Doubled reserves on existing veins in first year– first development revealed overly conservative manually interpreted ore shells from previous owner

5. Continued exploration has extended the reserves along existing veins by another 50% with another major increment discovered in late 2013 which will partly enter reserves in 2014.

6. Installed flotation automation system on plant to improve recoveries 7. Increased customer base from one at the restart to four at present, with improved

OPERATIONAL IMPROVEMENTS AT COSTERFIELD

1. Restart from care and maintenance 2. Brought modern planning standards to bear– in year 1, completed first ever

NI 43-101 compliant resource and reserve Technical Report 3. Brought into compliance with noise, dust, water management standards and upgraded

operating permits 4. Shifted to local workforce, training people who wanted to live in the community to become

miners, rather than compete for FIFO miners. 5. Improved relations and commercial terms with Chinese smelter 6. Shift from cut and fill to long hole stoping with cemented rock backfill 7. Replace aged underground mining fleet 8. Discovered and developed two new orebodies– N-lode (deep), and now Cuffley, both with

higher gold grades than historic mining 9. Focused on improving flotation recoveries by abandoning ineffective leach plant and

temporarily suspending gravity gold production 10. Over time, replaced/resized all pumps and motors in the plant to provide excellent

availabilities, narrower operating variabilities, and improved recoveries 11. Introduced fine ore crushing (low-cost mobile crusher) to maintain fine grind size to flotation

at 2-3X previous throughput– 5000 tpm nameplate rising to 12,000 tpm. 12. Commissioned new, automated gravity gold room to reintroduce producing gravity gold

product at high rate with better commercial terms
