OVERVIEW - MAHINDRA   &   MAHINDRA   LIMITED

(M&M) is the flagship company of the Rs. 6200 crore Mahindra Group, which has a significant presence in key sectors of the Indian economy. A consistently high performer, M&M is one of the most respected companies in the country.

Set up in 1945 to make general-purpose utility vehicles for the Indian market, M&M soon branched out into manufacturing agricultural tractors and light commercial vehicles (LCVs). The company later expanded its operations from automobiles and tractors to secure a significant presence in many more important sectors. The company has, over the years, transformed itself into a Group that caters to the Indian and overseas markets with a presence in vehicles, farm equipment, information technology, trade and finance related services, and infrastructure development.

An organizational restructuring exercise in 1994 arising from a Business Process Re-engineering programme resulted in the core activities of manufacturing utility and light commercial vehicles and agricultural tractors remaining with the flagship company.

All other activities were spun off into separate entities and organized under business groups. These groups are in the areas of Hospitality, Trade and Financial Services, Automotive Components, Information Technology, Telecom and Infrastructure Development.

Today M&M has two main operating divisions: The Automotive Division manufactures utility vehicles, light commercial vehicles and three wheelers.

The Tractor (Farm Equipment) Division makes agricultural tractors and implements that are used in conjunction with tractors. This division has also ventured into manufacturing of industrial engines. They follow a unique business model of creating empowered companies that enjoy the best of entrepreneurial independence and Group-wide synergies.  This principle has led their growth into a US $11.1 billion multinational group with more than 117,000 employees in over 100 countries across the globe. Today, their operations span 17 key industries that form the foundation of every modern economy: aerospace, aftermarket, agribusiness, automotive, components, consulting services, defense, energy, farm equipment, finance and insurance, industrial

equipment, information technology, leisure and hospitality, logistics, real estate, retail, and two wheelers.

Their federated structure enables each business to chart its own future and simultaneously leverage synergies across the entire Group’s competencies.  In this way, the diversity of their expertise allows them to bring their customers the best in many fields.

M&M's outstanding manufacturing and engineering skills allow it to constantly innovate and launch new products for the Indian market. Proof of this expertise is the launch of the Bolero, Scorpio, a new-generation utility vehicle, and the Arjun, a sophisticated agricultural tractor.

The Company's commitment to technology-driven innovation is reflected in the setting up of the Mahindra Research Valley, a facility that will house the Company's engineering research and product development wings, under one roof.

The M&M philosophy of growth is centered on its belief in people. As a result, the company has put in place initiatives that seek to reward and retain the best talent in the industry. M&M is also known for its progressive labtheir management practices. In the community development sphere, the company has implemented several programs that have benefited the people and institutions in its areas of operations.

HISTORY

Page 6: Mahindra and Mahindra

Mahindra and an independent India began their rise together.  In 1945, two enterprising brothers named J.C. Mahindra and K.C. Mahindra joined forces with Ghulam Mohammed and started Mahindra & Mohammed as a steel company in Mumbai. Two years later, India won its independence, Ghulam Mohammed left the company to become Pakistan’s first finance minister, and the Mahindra brothers ignited the company's enduring growth with their decision to manufacture Willys jeeps in Mumbai.  The company’s new name?  Mahindra & Mahindra, of ctheirse.

The Mahindra brothers believed that new modes of transportation could be a key to India’s prosperity, so one of their first goals was to build rugged, simple vehicles capable of tackling the Indian terrain.  Early pioneers of globalization, the brothers collaborated with a wide range of international companies and before long, Mahindra’s reach extended to steel, tractors, telecom, and more.

Now, after 65 years, Mahindra has grown from a humble local outfit to a US $11.1 billion corporation employing more than 117,000 people around the world.  As they accelerate into the 21st century, they continue to pursue innovative ideas that enable people to rise.  They’ve come a long way, but the jtheirney has just begun.

J C Mahindra :

Jagdish Chandra Mahindra was born circa 1892 in Ludhiana, Punjab.  The eldest of nine children, the loss of his father at an early age placed the responsibility for the family on his shoulders.  He believed strongly in the power of education and ensured that all his brothers and sisters studied hard.

J.C. received his degree from Veermata Jijabai Technological Institute (VJTI) Mumbai, one of India's premier engineering and technical institutes.  He sent his brother K.C. to Cambridge.  The brothers were very close and the love and trust between them was extraordinary.

J.C. started out his career with Tata Steel, serving as the senior Sales Manager from 1929 to 1940.  When the steel industry became critical during World War II, the Government of India appointed him as the first Steel Controller of India.

As Independence approached, J.C. was prescient about the opportunities that Indian entrepreneurs would have to contribute to the growth of the newborn nation.  His vision and ambition led him to start Mahindra & Mohammad in partnership with K.C. and Ghulam Mohammed.

His vision and insight into India’s post-independence economic development enabled Mahindra & Mahindra to grow to the size, scope, and impact it has reached today.

J.C. died tragically of a heart attack in 1951.

K C Mahindra:

Kailash Chandra Mahindra was born in 1894 in Ludhiana, Punjab, the second of nine children.  When their father died at an early age, his older brother J.C. stepped into the role of head of the family.  K.C.’s deep lifelong friendship with J.C. was remarkable.

K.C. studied at Government College, Lahore where he showed early promise of a brilliant scholastic career.  Continuing his studies at Cambridge, UK, he earned Honors, played hockey, and took a keen interest in rowing.

When K.C. graduated from Cambridge, Mr. Sachinanda Sinha, Vice Chancellor of Patna University, introduced him to Mr. R.N. Mukherjee, Senior Partner of Messrs. Martin & Company.  He quickly rose through the company, editing the monthly magazine INDIA and, briefly, the Hindustan Review.

In 1942, K.C. was appointed Head of the Indian Purchasing Mission in the United States.  Returning to India in 1945, he was appointed the Chairman of the Indian Coal Fields Committee of the Government of India and also of the Automobile and Tractor panel.  His contribution to developing strategic coal policies and applying the latest methods of coal mining in India helped shape the industry, and his Coal Commission Report became a seminal document in the industry.  During these years, he also wrote a biography called “Sir Rajendranath Mookerjee: A Personal Study.”

In 1946, K.C. moved to Bombay with his brother J.C. to found Mahindra & Mohammed. Under his 13-year leadership as Chairman, Mahindra & Mahindra established itself as a major Indian industrial house in several sectors.  He also served as Director of RBI, Air India, and Hindustan Steel and Chairman of Indian Aluminium Company.

 K.C. died in 1963.

DIVERSIFICATION

Aerospace

The Mahindra Aerospace division was created in 2007 to expand their existing automotive design and manufacturing expertise to the growing aerospace industry. Through their Components sector (known internally as the Systech sector), they acquired several companies with design and manufacturing experience. The combination of their acquired experience with their existing technological capabilities has come to fruition rapidly; completed aircraft are already flying in the Middle East and Australia.

In the next few years, they seek to become leaders in the global market for aerospace components, assemblies, and completed aircraft. Their locations in India and Australia give the advantage of lower operating costs than traditional Western European and North American-based companies, and their existing technological expertise compares favorably against other emerging manufacturing locations. They are preparing

Agribusiness

Despite a diminishing share in the India's GDP, agriculture remains a key sector of the economy and continues to play a vital role in driving India's economic growth. About 60 percent of India's population lives in its villages and a majority of rural households depend on agriculture and related activities for their livelihood. Agriculture continues to support numerous downstream linkages with industry by becoming a supplier of vital industrial raw material.

The Mahindra Group's close linkage to rural India and agriculture is almost as old as the company itself. The vehicles we've been building for the past six decades are extensively used in rural and semi-urban India as a stheirce of transportation of people and goods. their tractor business, more than forty years old, continuously sets new benchmarks for reliability and quality—a fact reflected by their 40 percent market share in India. As they entered the new millennium, they embarked on expanding their basket of offerings for the Indian farmer and entered the agribusiness sector.

Their agribusiness activities support farmers at every step, from seed supply to crop care to distribution. they contribute to the growth of Indian agriculture by helping farmers enhance their productivity and prosperity with their products and services.

Aftermarket

They entered the aftermarket industry in 2001 to create a business ecosystem for pre-owned cars that mirrors the ecosystem for new cars.  The market for used cars already equals the market for new ones in size, and it’s growing rapidly—but only about 10 percent of car sales take place in the organized sector.  They set about to professionally organize the pre-owned car industry in India so that you can trust you’re getting a quality vehicle.

Mahindra First Choice Wheels is India’s first multi-brand pre-owned car business.  Their aftermarket services also extend to financing and exchange platforms, building and distributing spare parts for Mahindra vehicles, and providing maintenance services

Page 10: Mahindra and Mahindra

through Mahindra First Choice Services.  Together, their aftermarket businesses bring their customers comprehensive service for all their automotive needs.

AutomotiveIn 1947, they introduced India to the utility vehicle.  More than 65 years later, they're still India's premier utility vehicle (UV) company, but’ve also grown quite a bit. In addition to making ground-breaking UVs like the Scorpio and Bolero, Mahindra offers cars, pickups, and commercial vehicles that are rugged, reliable, environmentally friendly, and fuel-efficient. Their global presence means you can find Mahindra vehicles on the roads—both paved and unpaved—of Australia, Europe, Latin America, Malaysia, and South Africa. And we're seeking out new terrain every day.

Mahindra is also there for you through the construction of excellent components, provision of spares, and commitment to superior service.  Their automotive businesses cover all ytheir transportation needs thanks to strategic synergies between their expertise in design, manufacture, and service.

ComponentsThey entered into the components industry (known internally as Systech) as India's global competitiveness took off. Leveraging their domain expertise in the automotive and farm equipment sectors and a series of acquisitions, have grown rapidly in skill and scale.

Today they run art-to-part manufacturing units across India, Germany, Italy, and the UK which help companies around the world build better products using their expertise in processes like forgings, castings, gears, stampings, steel, ferrites, contract stheircing, composites, and more. More than 12,000 of us are at work on a full range of

components for use in industries like electrical, medical equipment, power, defense, aerospace and more.  They also provide full service art-to-part solutions to their customers by integrating design, manufacturing, and stheircing capabilities.

Agri Equipment

They began manufacturing tractors in the early 1960s for the Indian market.  Nearly 50 years later, are one of the top three tractor companies in the world with annual sales above 150,000 and over 1.6 million tractors sold to date.  Their products are making farms more prosperous in more than forty countries on six continents. Following their vision of farm-tech prosperity, ’ve also expanded into farm-support services, including agri-mechanization solutions under Mahindra AppliTrac; seeds, crop protection, and market linkages and distribution  through Mahindra ShubhLabh; and agri-support information and counseling through the Samriddhi Initiative.

Through this network of services, they aim to empower the rural farmer and transform rural productivity, income, and living standards.  they want to improve farm lifestyles by making hard work easier, increasing yields, and increasing returns.  All their tractor brands, ranging from the 15 HP engine to 75 HP, have been designed in close communication with farmers about their day to day tractor usage and farming practices.  Their farm equipment and services provide a comprehensive support system to help farmers prosper.

They see a tremendous latent demand for tractors in India.  Less than 10 percent of all farmers own tractors, and 93 million of 116 million farm plots smaller than five acres.  Their small, low-cost tractors have the potential to revolutionize these farmers’ productivity and work experience by mechanizing small farms for the first time, and their larger tractors help farmers continue to grow.  They’ve been the market leader in India for nearly three decades with a market share above 40 percent.

This close relationship to Indian agricultural development has given us extensive expertise in designing and manufacturing farm equipment in response to local conditions, enabling them to enter foreign markets across the world.  Today, they have footprints in the United States, China, Australia, New Zealand, Africa (Nigeria, Mali, Chad, Gambia, Angola, Sudan, Ghana, Morocco), Latin America (Chile, Argentina, Brazil,

Venezuela, Central America and the Caribbean), South Asia (Sri Lanka, Bangladesh, Nepal), the Middle East (Iran, Syria) and Eastern Europe (Serbia, Turkey, Macedonia).  They have a customer base of 1.45 million—and growing.

Consulting Services

Their consulting services spread across two key areas in the evolution of the Indian business environment: information security and infrastructure development. As the business environment becomes more complex, competitive, and challenging, companies increasingly need expert guidance to optimize their non-core activities.

Through their consulting services, they help companies keep up with the fast-changing business climate. Their Special Services Group is constantly reevaluating its information security and risk management processes as the environment shifts, dealing with known threats and anticipating future risks.  Mahindra Water Utilities is partnering with the government to provide high quality water to businesses and homes in Tirupur, a critical region for the textile industry.  And Mahindra Consulting Engineers is shaping the development of infrastructure across the country, influencing the building blocks for regional economic growth. We are on the crest of the wave of the changing business world, smoothing the way forward for their clients across many key industries

DefenseIndia's national security challenges are varied and complex, ranging from contested borders to regional peacekeeping to domestic unrest and natural disasters. As they become an economic and political leader in Southeast Asia and across the globe, we need better defense solutions to support us in their growing roles. Since the late 1990s, India has begun a systematic modernization and upgrade of its military equipment. A key component of this push is the indigenization of their defense supplies.

They've been involved with defense systems since 1947 when they became importers, assemblers, and then adapters of the iconic Willys Jeeps used in WWII.  From there, we moved into designing and constructing their own line of armored vehicles to become the largest private sector supplier to the government.  they've now expanded into defense systems like sea mines, surveillance solutions, weapons, ammunition, and more. As India improves its national security capabilities, they want to be there providing cutting-edge technology based on decades of experience and care.

Their expertise, manufacturing strengths, and cost-efficient production also make their products useful to foreign governments and security organizations. they partner with

Energy

The power sector in India presents a fascinating array of challenges and opportunities. As the economy grows rapidly, the need for a reliable and quality power supply becomes critical. Although the government has been paying increasing attention to the power sector in the last 10 years, demand continues to grow faster than supply capacity build-up. The demand-supply gap has created a huge demand for power back-up solutions across the industrial and economic spectrum of India.

Their line of diesel generators offers electricity backup to remote locations to power banks, hospitals, schools, businesses, and industry. And their Home Uninterrupted Power Supply (UPS) systems maintain reliable power when you experience an inconsistent supply at home.

Second, the advance of green energy technology is opening up a new path forward for India to install sustainable energy infrastructure the first time around. Drawing on their existing capabilities and market penetration, they are exploring ways to help India move directly to clean energy using solar power technologies.

Financial Services

They entered into rural finance and insurance because we saw an opportunity to provide services in areas where the demand for financial products and services is higher than the formal banking system can supply.  By making credit available, we open opportunities for people to improve their own lives and create lasting systems of livelihood.

Leisure & Hospitality

When they entered Leisure & Hospitality in 1996, very few affordable vacation options were available for Indian families.  They saw a tremendous opportunity to open up a new industry and bring real benefits to a large segment of underserved customers. They pioneered the vacation ownership concept in India to bring Indian families affordable and memorable vacations every year.  Members enjoy one week of vacation each year at any of their 33 stunning holiday destinations across India and Southeast Asia or thousands of RCI affiliated partner resorts across the world.

Today, they’re moving into exciting new spaces.  They offer leisure boats, camping vacations, corporate retreats, and homestays

Logistics

Page 17: Mahindra and Mahindra

The transportation needs of their automotive sector drew us into the logistics business in 2000.  The success of their internal strategic operation led their expansion to serve a variety of corporate customers across many industries.  In today’s increasingly competitive business landscape, they take care of the entire span of transportation and logistics needs so that their clients can focus on their core competencies

Real Estate

They entered real estate in 1994 because we saw an opportunity to transform the way society thinks about living and work space.  Today, their real estate initiatives are enhancing living standards and pioneering environmentally friendly construction in India.  Through their green developments, they’re demonstrating that sustainability and good living go hand in hand.  They partner with the Clinton Climate Initiative and Indian Green Building Council to create certified, state-of-the art green communities.

Their innovative integrated business cities are revolutionizing the way Indians work, live, and play.  Working with the Indian government’s Special Economic Zone scheme, we’ve created two brand-new cities designed to facilitate business excellence and a relaxed, healthy lifestyle.  They're excited to contribute to India's economic development with infrastructure that has positive impact on environmental and personal health.

Retail

Organized Indian retail grew at 20 percent over the last five years, and we expect it to continue to expand at a scorching rate in the next five. Indian consumers are increasingly looking at shopping as an experience, not just a process of acquiring necessary items. With their entry into retail, we seek to provide their customers with a holistic experience that satisfies their desire for an enriching and pleasant experience as well as for excellent products.

Their first retail foray, the Mom & Me retail chain, positions us as first movers in the market for maternity and baby needs. Before their entry, Indian mothers had to visit an array of shops to buy maternity clothes here, baby healthcare supplies there, and nursery furniture at a third place.  In the future, Mahindra Retail will continue to seek opportunities to expand into other categories of lifestyle retailing. We understand the need for excellence in front end, back end, and support functions, and Mahindra’s longstanding expertise in IT, Finance, Logistics, and Supply Chain Management have prepared us well for entry into new areas of retail.

Two Wheeler

Page 18: Mahindra and Mahindra

They entered the Two Wheeler industry in 2008.  We’ve developed rapidly since then by focusing on brand-building via new product development guided by consumer insights, strategic partnerships, service orientation, and building scale.

Within eight months of entering the industry, they launched a portfolio of PowerScooters to critical acclaim in September 2009.   Less than a year later, their PowerScooters had captured a double digit market share.  They followed this up with new motorcycles built to redefine the biking experience in India through striking design, technology, and features. They aim to grow into a major player in the Indian Two Wheeler industry with a robust presence in all product segments.

Education

We believe education is the single most powerful intervention for transforming lives.  Knowledge and skills impact not only earnings, but self-esteem; not only the standard of living, but how the life is lived.  By bringing quality education to more people, we help build a more tolerant, healthy, just, and connected society.

Nanhi Kali

Page 19: Mahindra and Mahindra

Anand Mahindra founded Nanhi Kali in 1996 out of the conviction that empowering women through education would have a tremendous positive impact on the nation in the long run.  Girls’ education correlates with a reduction in child and maternal mortality, improvements in child nutrition and health, lower fertility rates, better economic production, and female empowerment.  Through Nanhi Kali, Mahindra hopes to play a small but significant role in shaping India’s future by empowering girls through education.

Mahindra United World College:

At Mahindra United World College,we teach their students critical thinking so that they can engage with the world’s diversity thoughtfully and positively.  We bring together students from more than 75 countries to study foreign languages, sciences, performing and visual arts, mathematics, and sociology.  The focus on academics is rigorous and challenging, but the focus on exchange across race, religion, ethnicity, class, caste, gender and nationality is just as important.

Health

Good health is the foundation on which we build happy, prosperous, and meaningful lives.  Their efforts enable people to live healthier through education and medical services.  We organize workshops on HIV/AIDS, dental care, and hygiene and run medical camps providing free care.  Their disaster relief response to the 2008 Bihar floods touched 10,000 lives.  And their Lifeline Express, Call 108, and 104 Advice services are expanding medical care into more and more regions that are not well served by the formal system.  By bringing knowledge and treatment to new regions, we are laying the foundation for millions of people to lead stronger, more prosperous lives.

Sports

With a zest for competition and challenge, Mahindra is helping kickstart several sports India.  We partner with the American NBA (National Basketball Association) and the Scottish Premier League Celtic Football Club (CFC) to start community basketball and football leagues in India.  In 2010, we became the first Indian company to partner with FIFA for the soccer World Cup through Mahindra Satyam.  And in 2011, we brought India into the world motorcycle racing circuit by entering their own Mahindra Racing team into the Moto Grand Prix.

MERGERS AND ACQUISITIONS

Page 20: Mahindra and Mahindra

According to Mahindra & Mahindra, Mergers and Acquisitions (M&A) form the basic growth mantra. With greater exposure to markets abroad and increased competitiveness, Corporates have successfully faced the challenges of competing on foreign front and have achieved success and self-confidence. Foreign institutional funds have provided crucial support to a long-term rally in the Indian capital market, pumping a record US $10.7 billion into the market in 2005, and buying shares worth over US $3.37 billion thus far this year. Indian firms are becoming global and, if the trend continues, there will be a flood of homegrown multinational companies operating all around the world.

Inorganic growth forms a key part of the Group’s basic philosophy of enhancing global reach and competitiveness. For the Mahindra Group, which is fast establishing its international footprint, Mergers & Acquisitions are at the core of the growth strategy, they have now become a continuous process.

In order to respond to these challenges, a special Merger & Acquisition Cell has evolved in the last two years. It is notable that most organizations use the services of Investment Bankers, who are specialists in arranging M&A transactions. However, with its in-house expertise, M&M’s M&A Cell itself most often carries out such activities traditionally carried out by Investment Bankers themselves, thus saving millions of dollars for the organization.
