2013 was a year of both achievements and challenges. Throughout the year, we were able to add value to our clients, thanks to our sustained recent investments in people, assets, technology and geographic presence, both organically and by acquisition. Our year-end backlog stands at €16.6 billion and is profitable and well diversified by segment, client and geography. Our relatively high level of visibility on our business outlook has enabled us to set out realistic and achievable financial targets for these two years. These targets are reiterated in full today. Accordingly, following the growth in 2013 of our revenues, profit and cashflow, we propose to shareholders a 10% increase in our dividend to €1.85 per share.

Looking forward, our clients’ capex continues to increase globally, even if at a more moderate rate than in the past decade. Some themes remain clear in our industry - amongst them the fast depletion of older reservoirs, the abundance of new finds potentially to replace them, a longterm trend towards gas production, the importance of shale oil and gas to the US onshore market. We see the benefits of our positioning today in our ability to take many projects on the basis of our added-value.

Our focus in the year ahead will be on demonstrating our execution capability, delivering our projects safely and reliably, so as to drive profitable growth over 2014, 2015 and beyond.

To further strenghen our relationship with you, we are continuing our efforts to modernize how we share information with you through this new format of the shareholder letter. More modern and highlighting Technip skills and technology, this revamped letter also has a specific double page looking back on our best time together. A final comment to thank you for your trust, especially throughout 2013, which was difficult for the oil and gas industry, on financial markets. In the last month of 2013, Technip has seen its share price drop. Even in this situation, you have remained faithful, keeping in mind the fundamentals of the company which as figures show are positive and growing.

The oil & gas industry has always had a complex relationship with sustainable development. It is often portrayed as “the bad guy” in debates about the environment and climate change. however, its role in meeting worldwide demand for energy and contributing to economic growth is rarely recognized.

The priority was to draft a clear sustainable development strategy built around delivering added value to all stakeholders.

Currently, the sustainable development network has three main priorities:

supporting education and national content, integrating environmental protection deeper into our activities, finding breakthroughs in product design and business operation

at technip, sustainable development (also referred to as Corporate Social Responsibility or CSR) is defined as

meeting the energy requirements of the world’s population in a sustainable way, while maintaining the profitability of our projects without neglecting safety, national content or environmental considerations.” having a pragmatic approach to sustainable development, deeply rooted in our values, is paying-off.

We have been awarded several times and highly ranked in numerous countries. These rankings and awards are important because they increase the visibility of our sustainable development actions to stakeholders. As an example, Technip has been highly ranked in the Dow Jones sustainability Indexes for more than a decade, as well as Vigeo, Csr rating agency, in 2011 and 2013.

What is your role?CC : My role is to raise awareness of sustainable development within our day-to-day business so that it will be increasingly incorporated into Technip’s culture.

Can you tell us about the organization you have implemented?CC : The team is composed of strong sustainable development believers. Each region has assigned a coordinator to apply the Group SD strategy. At Group level, we have also set up a team to impulse a clear and coordinated strategy. The SD Board, led by Thierry Pilenko, alongside the sD Committee that I lead will reinforce our actions.

interview with Stéphane Solé, Ghana Country manager until october 2013.Our involvement in this promising country is fully in line with the Group’s commitment to contribute to sustainably developing the countries where we operate; of course the partnership with a key actor in development, such as UNDP, is critical to ensure we undertake the right approach.

In 2011, Technip began working with the UN in Ghana during the Ivorian crisis, when refugees crossed the border into Ghana. We gave the UN use of our offices located near the refugees’ camp, which meant their teams could quickly help people. From this successful collaboration, we continued to talk to each other and found several synergies between our sustainable development program and the actions handled by UN Agencies, such as UNDP in Ghana. For example, for UN World Environment day in June 2013, we installed solar panels on the community library we built in Essikado. We also have common achievements: UNDP invited us to work with the regional Maritime University, and we delivered lectures to their students through a network of engineering schools. In July 2013, we took our collaboration with UNDP a step further by formalizing it through a Memorandum of Understanding which is in line with our Group SD Strategy.

Shareholders’ equity as of December 31, 2013, was €4,174 million compared with €3,962 million as of December 31, 2012, restated.

FLnG design requires prior knowledge of: natural gas liquefaction; the design and construction of large FpSos* that up until now have been used only for oil production; and the design of the riser and mooring systems that link offshore gas fields with floating platforms. Technip has the unique ability to provide expertise in all these key areas, with recent successful references through projects such as Yemen LNG, Akpo FPSO in Nigeria and the subsea project MAD6 in India. Many new design challenges have been overcome by our teams to have:

compact and motion resistant processes that produce high quality LNG;

layout features and passive and active safety systems that safeguard life and property;

piping and structural elements that resist the long term fatigue from the battering of wind and waves.

In July 2009, shell signed a 15 year umbrella contract with the Technip Samsung Consortium for a program of generic FLNGs. Today, the construction of Prelude FLNG is well underway in our partner’s shipyard in Goeje, South Korea, while the original agreement has been extended to cover innovations for the next generation of Shell FLNGs that are at design stage in Paris La Défense in France. Then, in June 2012, a contract to supply Petronas with a small capacity FLNG was signed with Technip and Daewoo, a project jointly managed by the Kuala Lumpur and Paris centers.

Technip, leader of a consortium with Subsea7, has been awarded by Tullow Ghana Limited two contracts for the TEN Project, located offshore Ghana, at a water depth reaching up to 2,000 meters. Together, those two contracts have a combined value of approximately USD 1.23 billion, with a Technip share of about USD 730 million.

The TEN Field is located in the Deepwater Tano Contract Area, 60 kilometers off the coast of Ghana and approximately 30 kilometers west of the Tullow Operated Jubilee Field. Technip has been operating in Ghana since 2009, when the Group was awarded the Jubilee project, the first deepwater field developed in the country. since then, Technip has been considerably investing to support Ghana’s industrial development, while also pioneering the oil and gas industry in the country.

In the frame of those contracts, Technip will be in charge of the engineering; the fabrication and the installation of different kind of pipes, to only name a few. The offshore installation is scheduled to be completed in the second half of 2016.

For the benefit of this project in ultra-deep water requiring technical innovation, Technip has mobilized its worldwide organization combining together know-how and various areas of expertise. Thus, Technip’s operating center in Paris, (France), will execute this project with the support of the Group’s offices in Accra, (Ghana) which now employs around 30 people, including 86% of Ghanaians.

While the oil and gas market is rapidly growing in Ghana, we are proud to continue to contribute to the development of this country. Today, this new award demonstrates our ability to mobilize worldwide resources to bring strong know-how and technological innovation meeting the challenges of projects in ultra-deepwater.

technip contract share: around uSD 730 million

technip was awarded by kuwait oil Company (koC) a contract, worth over uSD 400 million, for consultancy services for project management and engineering. This deals with the construction of new oil and gas infrastructure facilities, as well as the upgrading of existing facilities, in Kuwait. Technip will provide services for the next five years with an option for an additional period of one year.

Technip will accompany more specifically KoC through different services, including project management, feasibility studies, front-end design, project controls, planning, engineering, procurement, construction management and training of KOC project staff.

The services will mainly be performed by Technip’s teams in an operating center created specifically for the occasion and housed at the offices based at KoC’s headquarters in Ahmadi, Kuwait, with the support of Technip’s organization in the Middle East, while the Group’s operating center in Milton Keynes, United Kingdom, will execute the feasibility studies and front-end engineering and design.

In 2013 Technip, in a joint venture with Malaysia Marine and heavy Engineering (MMhE), won a contract for engineering, procurement and construction of a Tension Leg Platform (TLP) for Shell’s TLP Malikai Deepwater Project, to be installed 110 km offshore Sabah, Malaysia. the contract marks technip’s first TLP delivery contract, and is a new step to develop the market in the Asia Pacific Region for deepwater floating production facilities. Technip leads the joint venture: engineering and procurement are carried out at its operating center in Kuala Lumpur, Malaysia; and hull and moorings engineering are performed by TM (owned 50/50 by Technip/MMhE).

technip was present at the 16th edition of the actionaria exhibition in paris, in november 2013. This exhibition allows individual shareholders to meet a range of public traded companies and to obtain information directly from them. Given the market context and following the third quarter financial result, our booth was most of the time full. Close to 1,500 visitors came to meet our teams, composed of several managers.

our shareholders asked lots of questions about Technip's activities, flagship projects, our strategy and also the evolution of the share price which has decreased in the last couple of months. They were reassured by Technip staff who reminded them of Technip good fundamentals with global revenue increasing and with a record backlog. At the "Agora des Présidents" held on the afternoon of November 22, Arnaud real, Technip strategy VP and Deputy CFO gave a live interview attended by more than 250 people. This was an opportunity for him to pass on key messages including our strategy for profitable and sustainable growth.

"it's always very interesting to meet a technip expert who explains in simple terms the wealth of activities led by technip in ethylene. i thought the conference was very well prepared, very comprehensive and allowed us to understand the positioning of technip in relation to the competitors. there was an excellent balance between economic and technological aspects." Individual shareholders were invited on January 30, 2014 to attend a technological conference on ethylene. The objective of this event was to present and explain our expertise in this field and allow our shareholders to meet managers of the company with which they were able to discuss around a coffee break.

Based on its proprietary technologies, Technip is a world leader in designing steam crackers, from concept stage through construction and commissioning for both grassroots plants and plant expansions. With respectively 70 years of expertise for Stone & Webster and 40 years for Technip with a total of 150 grassroots plants, technip is the leader in the field of ethylene.

The event was organized for Technip Shareholders' Club which aims to enable its members to improve their knowledge of the Group through dedicated services and educational tools.

On June 11, 2013 a shareholders meeting was held in Marseille, France during which Technip and three other main oil & gas companies in France (Bourbon, CGG, Vallourec) presented their activities and their latest financial figures. Almost 300 people attended this meeting and all of them were glad to be able to ask their questions to the management of each company.

This meeting was the second event held in Marseille, France this year. The first one was the visit of Cybernetix (acquired by Technip in 2011) organized in October 2013.
