(COPEC) Convention19 May 2011 – Amended on 15 December 2014

III AMENDMENT

TO THE COPEC CONVENTION

Between

the European Investment Bank (hereinafter "the Bank")

represented by Mr Werner Hoyer, President

of the one part

and

the Staff Representatives,

represented by Ms Nathalie Dessi, appointee at COPEC

of the other part

together referred to as "the Parties"

Having regard to the convention signed on 19 May 2011 between the Bank and the StaffRepresentatives, setting up a "Joint Committee on Equal Opportunities between men andwomen (COPEC)" (hereinafter "the COPEC Convention") with the aim of overseeing theimplementation of the equal opportunities policy for the staff of the Bank in matters ofrecruitment, career development, training and social welfare infrastructure;

Having regard to the proposal voted by the COPEC members on 19 June 2014 to remove"for Men and Women" from the name of the COPEC;

Whereas the Parties agree that the new name better reflects the mandate of the COPEC,which has broadened to encompass a variety of issues relating to diversity and extendingbeyond gender balance;

IT IS HEREBY AGREED AS FOLLOWS:

ARTICLE 1

The COPEC Convention is amended by replacing the name "Joint Committee on EqualOpportunities for Men and Women" with the name "Joint Committee on EqualOpportunities".

The change applies to the COPEC Convention and to any other official document basedon or related to it.

IIIARTICLE 2

The present Amendment shall enter into force on the day it is signed by the Parties.

Each page of each copy of this Amendment has been initialled by Mr Werner Hoyer,President, on behalf of the Bank, and by Ms Nathalie Dessi, appointee at COPEC, onbehalf of the Staff Representatives.

Thus agreed and signed in two (2) originals in the English language in Luxembourg on15 December 2014.
