1. EXHIBIT LOCATION: LAICO REGENCY CRYSTAL BALLROOM 2. EXHIBITOR REGISTRATION: l persons represen ng the Exhibitor MUST be registered for the

conference. ooth exhibit fee includes registra on waivers for two representa ves for the Main Conference; table fee includes one waiver. Exhibit Hall-only passes are available. The registra on badge is necessary for admi ance to the exhibit hall and conference sessions. ll exhibit personnel must check in/register at conference exhibit hall, with exhibit coordinator, upon arrival, before exhibit set-up. Exhibi ng company must iden fy its representa ves by June 3, 2016. sh 1,500/= processing fee will be assessed for each registra on submi ed or changed a er July 31, 2016.

3. INSTALLATION OF EXHIBITS: Only designated exhibitor personnel will be allowed access to the exhibit hall during installa on hours. If assembly of an exhibit has not begun by 4:00 p.m.on Tuesday,

may order the exhibit to be assembled, and the exhibi ng

company will be billed for all charges incurred. ll exhibits must be ready for inspec on by 5:30 p.m. on Tuesday,

4. REMOVAL OF EXHIBITS: Dismantling of exhibits may not begin un the closing of the

exhibit hall, on Friday, 11th Nov , at 6:00 p.m. Materials not removed by Saturday, 12, 6.00 p.m. will be removed and stored at the Exhibitor’s expense. There will be a

sh 7,500 fee charged to any exhibit re uiring early removal from the Exhibit Hall. bsolutely no dismantling is allowed during exhibit hours.

5. EXHIBIT LIMITATIONS: Exhibitors shall display professional products that are in character with the theme of the conference. Character of the exhibits is sub ect to the approval

of C . C reserves the right, in its sole discre on, to refuse any applica on based upon the product to be exhibited. Further, C also reserves the right to re uire the Exhibitor to remove any product from the exhibit which C , in its sole discre on, determines is not a conference- related product.

6. SUBLETTING OF SPACE: Exhibitors may not assign, sublet, or share exhibit space without

the expressed wri en consent of C .

9. CARE OF EXHIBIT SPACE: Exhibitors are, at their own expense, responsible for keeping their

exhibit space clean and in neat order. C will provide cleaning of the aisles and walkways.

10. ADMITTANCE TO EXHIBIT HALL: dmi ance during exhibit hours is open only to all persons persons wearing “exhibitor” & Visitor registra on badges.

11. OVER-THE-COUNTER SALES: Over-the-counter sales RE permi ed by Exhibitors at the Trade Fair. Exhibitors shall be solely responsible for having a seller’s permit and for the collec on and remi ance to the enya Government sales tax due and owing on the sale of their products.

12. SIZE OF EXHIBIT/SPECIAL EFFECTS AND DEVICES: ll Exhibitor ac vi es and demonstra ons

must be kept within the bounds of the contracted exhibit space and may not infringe on the aisle space. ny exhibit exceeding 3M in height must no fy C about speci c height re uirements. ll audio e ects, visual e ects, and a en on-a rac ng devices must be kept at a low enough intensity so as, in the opinion of C , to not create condi ons that are ob ec onable to neighboring Exhibitors. Table-only exhibits may not extend beyond the front or

14. EXHIBITOR’S WARRANTIES: Exhibitor represents that its use or sale of goods at the Conference & Trade Fair will not infringe upon or con ict with the rights held by any third party under any patent, trademark, copyright, trade secret, or proprietary right. Exhibitor warrants that it accepts the exhibit space provided hereunder upon its own inves ga on and that the Exhibitor has not relied on any representa on made by C or any of its agents or employees in making its decision to enter into this contract.

17. FORCE MAJEURE: Neither party shall be liable for defaults or delays due to acts of God or the public enemy, acts or demands of any government or governmental agency, strikes, res, ood accidents, or other unforeseeable negligence. Each party shall no fy the other of the cause of such delay immediately a er the beginning thereof.

18. SUBSEQUENT WAIVER: waiver of any provision by C under this contract shall not be deemed a subse uent waiver of that same provision or of any other provision.

19. NOTICES: ll no ces re uired to be in wri ng hereunder shall be deemed served on the receiving party when personally served or deposited into the enya Postal Mail or sent via e-mail.

20. RELEASE: The Exhibitor, in par al considera on of being allowed to par cipate in the 2016 4TH Interna onal nnual Corporate ellness Conference Trade Fair & does hereby release and forever discharge C , its employees, agents, successors, and assigns and LaicoRegency and its agents, employees, successors, and assigns from any claims or causes of ac on which the Exhibitor may now have or which may subse uently accrue to the Exhibitor by reason of any ma er connected with the Exhibitor’s par cipa on in the 2016 ellness ConferenceTrade Fair

21. GENERAL: ll issues not addressed by these regula ons are sub ect to the decision of C . These regula ons may be amended at any me by C and all such amendments will be e ually binding to all par es. C will provide wri en no ca on of any amendments or addi ons to all Exhibitors ected by them.

22. VIOLATIONS: Viola ons of these regula ons on the part of the Exhibitors, their employees or agents, shall annull the right to occupy space and such Exhibitor will forfeit to C all monies that may have been paid. C has the right to terminate the right to occupy space and remove all persons and goods at the Exhibitor’s expense and risk. The Exhibitor shall pay all of such expense and damages that C may incur and forfeit all monies paid or due C on account thereof. Exhibitor expressly waives the service of wri en no ce to re-enter and terminate.

Cancella ons postmarked prior to June 1, 2016, will receive a full refund of monies paid, less the 30% non-refundable deposit. No refunds for cancella ons postmarked or later.

26. FINAL AGREEMENT: This agreement, together with any a achments hereto, is intended by both par es to be a nal expression of their understanding and as a complete exclusive statement of the terms thereof. It can only be modi ed in wri ng and signed by both par es.
