I would like to wish all of you a very Happy New Year and express my gratitude for the opportunity to serve this association as your President in 2013. The new IAP board is a very talented, enthusiastic group of women that I am proud to serve with. We are preparing for the year ahead and using your opinions from the Directional Survey responses from the Annual Meeting and Fall Seminar as our guide.

When IAP has its election of officers, the membership is presented with a slate and biographies of the candidates seeking leadership positions. A few members of the current board, including me, were nominated at the Annual Meeting rather than through the typical process. I would like to introduce those board members to you, so you may get to know us better.

Shannon Menard has been a member of IAP since 1995 and is currently serving as the Vice President of Policy and Public Affairs. Shannon is not new to Board experience and has previously served as the VP of Education and as a Board Advisor. Shannon has just made a transition with other members of her firm to help found Andersen Banducci PLLC after almost 13 years as a litigation paralegal at Holland & Hart. Shannon has a Bachelor’s degree and a paralegal certificate from Boise State University.

Kim Schwisow joined IAP in 1999 and is currently serving as the Vice President of Education. Kim has a Bachelor’s degree and paralegal certificate from Boise State University. Lisa Warren is currently serving as the Secretary for IAP. Lisa joined IAP in 2009 and has a Bachelor’s degree and a paralegal certificate from Boise State University. Lisa works for the Attorney General’s office in the Medicaid Division. Lisa previously served on the IAP Board as Secretary. Lisa has had the experience of moving around the country for her husband’s career and was able to find paralegal positions in Buffalo, NY, Pittsburgh, PA and Atlanta, GA! Fortunately for us, Lisa found her way back to Boise and back onto the IAP Board for 2013.

I am Beth Rountree and I joined IAP in 1996. I have a Bachelor’s degree and a paralegal certificate from Boise State University. I served on the board for many years as President, VP of Education and VP of Membership. I also served on the Advisory Board for BSU’s Paralegal Studies Program and was an adjunct instructor in the program. My career has come full circle: I started my career in a law firm, went to the Attorney General’s office, then to Albertsons, Inc. and back to private practice to work part time at Murphy Law Office – for 9½ years! In November 2011, I joined Cantrill Skinner Lewis Casey & Sorensen, LLP. I have many close friends in IAP and believe my membership enhances my career and allows me to network in many different ways.

Many of you already know the members that are continuing from last year’s Board: Lesa Thomas, our VP of Membership, Sara Gronberg as National Affairs Representative, BryonAnn Green as Treasurer and Board Advisors Bernice Myles and Maryann Duncan. We are privileged to have such dedicated volunteers to help direct and grow our organization.

I look forward to the upcoming events, including next month’s CLE at Tucker to learn more about

the different ways to utilize realtime transcription during a deposition. Mark your calendars for a CLE in Jackpot, Nevada, tentatively set for May 3, 2013!

Last, but not least, we would like to thank those members who brought new books for the City Light Home for Women and Children to our Holiday event in December. We collected over three dozen new books, from infant books to chapter books, for City Light. I hope that our small gift will make a difference to a needy family. I delivered them to City Light along with the following letter on behalf of IAP:

At the January 14, 2013, board meeting, the board approved Colleen Young’s application for Active-Status Pending membership. Colleen is currently working remotely for Gunderson, Palmer, Nelson & Ashmore, LLP as a Senior Paralegal, Probate and Trust Specialist and has over 20 years of legal experience. Colleen attended South Dakota School of Mines and Technology and received her Associates of Arts in Paralegal studies from Western Dakota Technical Institute. The board is excited to welcome Colleen as a new member.

IAP currently has 50 members: 46 Active members, 2 Active Status Pending members, 0 Student members, 1 Retired member and 1 Supporting member.

As a reminder, all Active and Active Status Pending members are required to obtain at least six hours of continuing legal education each fiscal year (October 1 to September 30). If you have attended non-IAP-sponsored CLEs, please remember to fill out the CLE form that can be found on the IAP website (www.idahoparalegals.org) prior to submitting the CLE materials to IAP for credit. You can e-mail your completed CLE information at any time during the year to [email protected]. Furthermore, IAP Bylaws require CLE forms to be submitted with proper documentation to receive credit.

We see the orange barrels and the warning signs of “Construction ahead for the next 5 miles”, cautioning travelers to be safe in construction zones.

I started with the Idaho Transportation Department in the fall of 2005 when the construction season was winding down for the winter. I quickly realized how little I knew about highway construction contracts. I had the customary contract law in my paralegal classes and I thought government contracts are pretty specific. However, like civilian contracts, government contracts may also have some ambiguities. A highway/road construction contract provides the specifications and requirements of the project and the timeline from start to finish, but each person has their own interpretation.

GOVERNMENT HIGHWAY CONTRACT: A government road construction contract is created by a state transportation department or a local

highway municipality providing the where, when and what of a road project. I like to think of a contract as an onion, the tunic, which holds all the smaller layers; sometimes one is lucky to have lateral bulbs contained within the same onion. The tunic layer is where we have the federal level, starting with the U.S. Department of Transportation (US DOT) and an underlying thicker single layer, the Federal Highway Administration (FHWA).

Federal Regulations include Title 49, United States Code – Transportation and includes sections for: Transportation Programs Interstate Transportation Rail Programs Motor Vehicle and Driver Programs Aviation Programs and Pipelines

Title 23, United States Code – Highways and includes sections for:

FHWA and Federal Highway Traffic Safety.

The FHWA is divided into regions and is charged with assisting state and local governments in developing and building projects.

The next layer of the onion contains the state statutes. There are very few state statutes that discuss highway contracts and appropriations which are mostly contained in Title 40 – Highways and Bridges.

The next layers, as I like to describe as the first of the twin bulbs contains the multiple manuals at the Idaho Transportation Department (ITD) to discuss everything from construction specifications to traffic management. Here is a list the ITD maintains:

The other lateral bulb contains the local highway districts, such as Ada County Highway District or Lakes Highway

District. The local jurisdictions have policy manuals to follow as well as advisory committees to help set policies for road projects. If a project has to involve some business developers or home owner associations, this creates a smaller bulb, where the developers need to comply with local ordinances and zoning requirements; because these roads are donated to and maintained by the local highway jurisdictions.

CONTRACTOR RESOURCES:

To assist a contractor who wants to bid for a project they may consult someone at any one of the layers. They also can look at the different treatises that provide opinions for government highway construction. Treatises include:

The government highway contract has many layers to consider as one sees a road project progress from design, examining

environmental conditions, conducting public meetings, developing a contract, sending out for bids, awarding to a bidder and the execution of the project from start to finish.

Now as I go down the road and I see the orange barrels and construction signs I have a better understanding of what all the basic parts of a road construction contract contains or where a contractor may go for assistance in bidding for a road project.

Mechanic’s Liens - Improper Notarization By Teresa Turner

If you routinely file or defend against mechanic’s liens in Idaho, you need to be aware of a recent decision by the Idaho Supreme Court in which a lien was invalidated for having an improper notarization: First Federal Savings Bank of Twin Falls v. Riedesel Engineering, Inc., 2012 WL 4055357 (September 14, 2012). Case link: http://www.isc.idaho.gov/opinions/correction%20copy.pdf In Idaho, a mechanic’s lien may be filed against real property when a contractor provides services or materials to improve the real property for which payment is owed. The lien form is called a Claim of Lien, and the authority and process for filing such liens is set forth in Idaho Code Title 45 Chapter 5. Mechanic’s liens can be foreclosed judicially, as with mortgages.

In the case cited above, First Federal Savings Bank had been granted and recorded two mortgages against real property, and it sued to foreclose them after the borrower defaulted. Riedesel Engineering had recorded a mechanic’s lien against the same property and filed a counterclaim, cross-claim, and third-party claim to foreclose its lien. The district court ruled in favor of Riedesel Engineering as to lien priority and validity, but the Idaho Supreme Court reversed that decision.

Idaho Code Section 45-507(4) requires that a Claim of Lien “must be verified by the oath of the claimant, his agent or attorney, to the effect that the affiant believes the same to be just.” In the lien filed in the First Federal Savings Bank case, the notary certificate did not satisfy the requirement of Section 45-507(4) because the notary “did not certify that [the affiant] was sworn before the notary.” The notary only certified that the affiant was the person who signed the Claim of Lien. In other words, the notary executed an acknowledgment rather than a jurat. The Supreme Court held that the acknowledgment in the particular lien did not satisfy the verification requirement, and the Claim of Lien was therefore invalid. Were it not for the improper notarization of the Claim of Lien, the lien claimant could have prevailed in priority over the first

mortgage filed by First Federal Savings Bank. The unfortunate result for the claimant was that no recovery could be made from the improved property.

To properly notarize a sworn statement, the verification portion of a Claim of Lien must include the words: “SUBSCRIBED AND SWORN to before [the notary]” or “signed and sworn to before me [the notary].” However, the Supreme Court did not hold that a mechanic’s lien cannot or should not include an acknowledgment for recording purposes. This is important because Idaho Code Section 55-805 requires that “[b]efore an instrument may be recorded, unless it is otherwise expressly provided, its execution must be acknowledged by the person executing it, or if executed by a corporation, by its president or vice president, or secretary or assistant secretary, or other person executing the same on behalf of the corporation . . . or if executed in a partnership name, by one (1) or more of the partners who subscribed the partnership name thereto, or if executed by a limited liability company, by the manager, member or other person executing the same on behalf of the limited liability company, or the execution must be proved and the acknowledgment or proof, certified in substantially the manner prescribed by chapter 7, title 55, Idaho Code . . . .”

Claim of Lien filings require both the verification and acknowledgment because they serve two different purposes. The verification says – I read this and it’s true, and it was signed under oath by someone with authority to administer oaths. The acknowledgment says – this person is who they say they are. The best practice is to include both the jurat and the acknowledgment in every Claim of Lien filing.

Welcome to a new year, with new opportunities, new education, new networking prospects, and new challenges. As your National Affairs Representative, I hope to bring you news from around the nation…news about laws and regulations that affect us all, news about crimes involving paralegals (so we learn what NOT to do), news about developing software and technology, and news about the latest trends regarding paralegals. Please let know if there are any topics you are interested in and I will do some research.

Upcoming national paralegal events include:

1) The 2013 Joint Conference – Regulation/ Leadership/ Certification April 19-21st in New Orleans. The Regulation portion of the conference includes topics such as “Regulation Update” and “Lobbyists: How Can They Help?” The Leadership Conference includes topics such as “Developing Your Own Leadership Style, and Potential” and “Using Social Media to Engage and Retain Your Membership.” In addition, the Certification portion of the conference discuss the PACE exam and what it can do for your career.

2) The National Federation of Paralegal Associations is hosting its annual convention in Hartford, CT October 3-6, 2013. Check www.paralegals.org for updates.
