PART A: CONDITIONS OF TENDER

1. Introduction

1.1. Invitation to Tender

The Kiribati Facility is seeking the establishment of a Prequalified Supplier Panel (PSP) from which the Skills for Employment Program (SfEP) can choose to purchase a variety of Technical and Vocational Education and Training (TVET) services to support the training and course delivery as well as the local capacity development needs of the Kiribati Institute of Technology (KIT). A particular emphasis will be on increasing the local KIT academic and administration staff competencies to meet a variety of Australian, regional and local professional standards.

The Kiribati Facility, is an Australian Aid Investment Program managed by Scope Global, on behalf of the Department of Foreign Affairs and Trade, comprising of the SfEP and the Flexible Support Facility.

The SfEP builds on the Kiribati TVET Sector Strengthening Program operated from January 2011 to September 2016. The SfEP is primarily aimed at developing a more capable, qualified and mobile I-Kiribati workforce. It will support the Government of Kiribati to provide labour market demand-driven skills development to young people who seek to work in domestic and offshore labour markets.

The SfEP has four outcomes:

Increased (equitable) participation of 16-24 year-old women and men in skills development programs;

Graduates have improved skills for employment in domestic and overseas markets; KIT is a high quality regionally recognised organisation; and Improved management and coordination of the Kiribati skills sector.

1.1.1. Scope Global invites training providers experienced in TVET or educational capacity development to tender to participate in the SfEP through the PSP.

1.1.1. The focus of the services which will be provided by service providers registered on the PSP is to support the SfEP KIT to make KIT a high quality, regionally recognised and registered training organisation by providing specialist technical services as required. This may require the provision of courses that are quality assured and assessed under Australian and/or Pacific standards and/or the provision of specialist consultancy services to support the capacity development of KIT. Further details are provided in Part B: Statement of Requirements.

1.1.2. Successful Respondents will be required, as a condition of joining the PSP to execute a Deed of Standing Offer in the form set out in Part C of this Request for Tender (RFT) (subject to any alternative terms being agreed by Scope Global). Scope Global may issue a request for services (RFS) to some or all service providers registered on the PSP from time to time in respect of the provision of specific SfEP services. A preferred provider of the specific SfEP services will be selected by Scope Global on the basis of quote provided in response to the RFS. The preferred provider will be required to enter into an Agreement for the Supply of Services in relation to the provision of the specific services. The terms and conditions of an Agreement for the Supply of Services will incorporate the terms of the Deed of Standing Offer and the Terms and Conditions for the Supply of Services annexed to that deed (unless otherwise agreed in writing by Scope Global).

1.3. Structure of this Request for Tender

1.4. Form of Deed and Agreement for Supply of Services

Scope Global proposes to enter into a Deed of Standing Offer with successful Respondents that is substantially in the form of the Deed of Standing Offer provided at PART C. Respondents are advised to examine the terms and conditions of the deed carefully. A Respondent may propose amendments to the terms of the Deed of Standing Offer in its Tender. Proposed amendments will be considered by Scope Global in good faith, but may be accepted or rejected by Scope Global in its absolute discretion.

1.5. Status of the RFT

1.5.1. This RFT sets out the terms on which a Respondent may provide a Tender. By submitting a Tender the Respondent agrees to be bound by the conditions set out in this RFT.

1.5.2. Scope Global and its officers, employees, agents or advisers will not be liable to any Respondent or any other person for any loss, damage or other liability arising from, or in connection with, the RFT,

or as a consequence of any matter relating or incidental to this RFT or a Respondent’s participation in this RFT process, including liability arising from:

(a) a Respondent not being engaged to undertake the provision of Scope Global requirements;

(b) a Respondent not being invited to participate in any subsequent process as part of or following completion of this RFT process;

(c) Scope Global varying the RFT process;

(d) Scope Global electing to enter into a contract for all or any of the Services with any party, whether or not that party was a Respondent in this RFT process;

(e) Scope Global deciding to terminate the RFT process or not to contract for all or any of the requirements; or

(f) Scope Global exercising or failing to exercise any of its other rights under or in relation to this RFT.

1.5.3. Participation in any stage of this RFT or in relation to any matter concerning this RFT will be at each Respondent’s own risk, cost and expense. Scope Global will not be responsible in any circumstance for any costs or expenses incurred by any Respondent in preparing or lodging a Tender or in taking part in the RFT process or taking any action related to the RFT process.

1.6. Governing law

This RFT is to be construed in accordance with, and any matter related to it is to be governed by, the law of South Australia. The courts of that State have non-exclusive jurisdiction to decide any matter related to this RFT.

2. Registration of Interest 2.1. Registration of Interest

2.1.1. Persons or organisations interested in this RFT should register their interest by emailing the Contact Email by the Monday, 3 February 2020.

2.1.2. A failure to register interest under this clause may result in you not being aware of information regarding the RFT, addendum to the RFT or other relevant information.

2.1.3. Scope Global has no obligation to issue information regarding this RFT other than by email to the addresses registered under this clause.

3. Clarifications 3.1. Requests for clarification

3.1.1. All requests for clarification of this RFT should be directed to the Scope Global Contact Officer via the Contact Email no later than the Deadline for Respondent’s Questions. No other process for seeking clarification of this RFT is permitted.

3.1.2. Scope Global will respond to questions by issuing a clarification response to all registered Respondents no later than close of business Wednesday, 5 February 2020.

4. Variation of RFT 4.1. Amending the RFT

4.1.1. Scope Global may amend this RFT or the RFT process at any time (including extending the Tender Closing Time) by issuing an addendum to all Respondents via the email addressed registered under clause 2.1.

4.1.2. Any addendum issued by Scope Global becomes part of this RFT and all conditions of this RFT (including as amended by an addendum) will apply to addendum.

4.1.3. Respondents should ensure that information in any addendum is taken into account in formulating a Tender. A Respondent will not be allowed to amend its Tender after submission as a result of failing to take any addendum into account.

4.1.4. Scope Global will accept no responsibility if a Respondent fails to become aware of any addendum notice issued in accordance with clause 4.1.1.

4.2. Termination of the RFT

4.2.1. Scope Global may terminate the RFT process by notice emailed to Respondents.

4.2.2. If Scope Global terminates the RFT process, Scope Global is not liable for any costs or compensation for the preparation or lodgement of a Tender.

4.3. Notification of errors or omissions

4.3.1. If a Respondent believes it has identified an error or omission in the RFT or in any other information provided by Scope Global in relation to this RFT, the Respondent must notify Scope Global as soon as possible via the Contact Email, providing sufficient details so that Scope Global can assess the claim and take appropriate action.

4.3.2. If Scope Global determines that there is an error or omission then Scope Global will notify all other Respondents of the error or omission by email. If the error or omission is identified after the Closing Time, Scope Global will allow Respondents to amend submitted Tenders in response to the identified error or omission.

5. Lodgement of Tenders 5.1. Tender response requirements

5.1.1. Interested persons or organisations may tender for some or all of the services covered by this RFT.

5.1.2. Respondents should complete all parts of the Tender Response Form (Attachment 2 to this Part A: Conditions of Tender) and submit their Tender by the Closing Time.

5.2. The Respondent to inform themselves

5.2.1. A Respondent will be taken to have:

(a) examined the RFT, any documents referred to in this RFT and any other information made available in writing to the Respondent for the purpose of tendering;

(b) examined all further information which is obtainable by the making of reasonable enquiries relevant to the risks, contingencies and other circumstances having an effect on its Tender; and

(c) satisfied themselves as to the correctness and sufficiency of its Tender.

5.3. Status of a Tender

5.3.1. Lodging a Tender will constitute an offer by the Respondent to provide the Services on the terms and conditions set out in the Deed of Standing Offer, subject to any amendments requested within the Respondent’s Tender and agreed to by Scope Global. On this basis the Tender is capable of acceptance by Scope Global in its absolute discretion during the Tender Validity Period.

5.3.2. A Tender is only accepted by Scope Global once a Deed of Standing Offer has been executed by the Respondent and Scope Global.

5.3.3. Notice by Scope Global to any Respondent that it is, or is not, a preferred or successful Respondent does not constitute an acceptance or rejection of any Tender.

5.4. Electronic lodgement of Tender

5.4.1. Tenders must be lodged electronically via the Contact Email before the Closing Time and in accordance with this RFT.

5.4.2. All queries and requests for assistance must be directed to the Contact Email.

5.4.3. Tenders lodged by any other means than via the Contact Email (including by hand delivery or facsimile) will not be considered.

5.4.4. It is the responsibility of a Respondent to ensure its infrastructure, including operating system and browser revision levels will enable the Respondent to meet the requirements for lodging a Tender set out in clause. Scope Global does not take any responsibility for any problems arising from a Respondent’s infrastructure or internet connectivity.

5.5. Preparing to lodge a Tender

5.5.1. Virus checking

In submitting its Tender electronically, the Respondent warrants that it has taken reasonable steps to ensure that Tender response files are free of viruses, malicious code, worms or other disabling features which may affect Scope Global’s computing environment. Tenders found to contain viruses, worms or other disabling features may be excluded from evaluation.

5.5.2. Language

All Tenders (including supporting material) must be in English with all monetary amounts expressed in Australian dollars.

5.5.3. Tender file formats, naming conventions and sizes

(a) The Respondent must lodge its Tender in accordance with the requirements set out in this clause 5.5.3 for file formats, naming conventions and file sizes. Failure to comply with any of these requirements may result in the Tender not uploading successfully and/or being excluded from evaluation.

(b) Any documents should be lodged in PDF format.

(c) The Tender file name/s must:

(i) incorporate the Respondent’s company name;

(ii) should reflect the various parts of the Tender they represent, where the Tender comprises multiple files;

(iii) not contain \ / : * ? " < > | characters; and

(iv) not exceed 100 characters.

(d) Attached files may not be more than 3MB in size.

5.5.4. Tenders must be completely self-contained. No hyperlinked or other material may be incorporated by reference.

5.6. Scanned or imaged material, including declarations

5.6.1. Scanned images of signed pages within the Tender, including declarations and deeds of confidentiality where they are required, are permitted.

5.6.2. In the event that clarification of a lodged Tender is required by Scope Global, the Respondent may be required to courier or security post the originals of signed or initialled pages to Scope Global addressed to the Contact Officer to an address specified for the purpose.

5.7. Lodgement process

5.7.1. Before submitting a Tender, the Respondent must:

(a) ensure that its Tender is complete and any and all addenda have been reviewed;

(b) take all steps to ensure that the Tender is free from anything that might reasonably affect usability or the security or operations of Scope Global’s computing environment;

(c) ensure that the Tender does not contain macros, script or executable code of any kind unless that specific material has previously been approved in writing by Scope Global; and

(d) ensure that the Tender complies with all file type, format, naming conventions, size limitations or other requirements specified in this RFT.

5.7.2. The Respondent must allow sufficient time for submission of its Tender, including time that may be required for any problem analysis and resolution before the Closing Time.

5.8. Late Tenders, incomplete tenders and corrupted files

5.8.1. Submission of Tenders before the Closing Time is entirely the Respondent’s responsibility.

5.8.2. The Respondent must ensure that transmission of all files is completed and receipted before the Closing Time.

5.8.3. A Tender submitted after the Closing Time is a Late Tender. Late Tenders will not be evaluated by Scope Global.

5.8.4. Tenders:

(a) that are incomplete due to a failure to submit all files by the Closing Time or a failure to provide all information requested in this RFT,

(b) with electronic files that cannot be read or decrypted; or

(c) which Scope Global believes to potentially contain any virus, malicious code, worms, other disabling features or anything else that might compromise the integrity or security of Scope Global’s systems,

may be excluded from evaluation in Scope Global’s absolute discretion.

5.9. Licence of Tender

5.9.1. By submitting a Tender the Respondent grants a perpetual, world-wide, royalty free licence to Scope Global on the terms of this clause 5.9.

5.9.2. The licence granted under this clause 5.9 includes permission for Scope Global to use, reproduce, adapt, modify or communicate the Tender, including for the purposes of:

(a) this RFT, a Deed of Standing Offer or an Agreement for the Supply of Services; and

(b) engaging agents, contractors and advisers to assist Scope Global in relation to this RFT, a Deed of Standing Offer or an Agreement for the Supply of Services.

6. Evaluation of Tenders6.1. Evaluation process

6.1.1. Following the Closing Time, Tenders will be evaluated in the manner described in this clause 6.

6.1.2. Tenders will be evaluated against the criteria set out in Attachment 1.

6.1.3. Scope Global may exclude a Tender from further consideration if Scope Global considers that the Tender does not satisfy a Mandatory Criterion as identified in Attachment 1.

6.1.4. In evaluating Tenders, Scope Global may:

(a) use material provided by the Respondent in response to one evaluation criteria in the evaluation of other criteria; and

(b) consider additional information available to Scope Global, but not provided by a Respondent in relation to any evaluation criteria.

6.1.5. Scope Global may, in its sole, absolute and unfettered discretion, admit to evaluation any Tender notwithstanding that it does not satisfy all or any:

(a) minimum content and format requirements;

(b) conditions for participation; or

(c) other requirements of this RFT.

6.1.6. Scope Global’s decision to admit or reject a Tender for evaluation will be final. No correspondence will be entered into in relation to Scope Global’s decision, other than to inform the Respondent of that decision.

6.2. Clarification, short-listing and other information

6.2.1. Scope Global may in its absolute discretion:

(a) seek clarification or additional information from any Respondent regarding its Tender for the purposes of Tender evaluation;

(b) seek presentations from, or interviews with, Respondents as part of its evaluation. Respondents will be notified of any requirements for a presentation or interview no later than 7 days prior to the presentation or interview. At a presentation or interview, Scope Global may ask questions relevant to any aspect of the Tender or the Respondent’s participation in the RFT process; or

(c) make independent enquiries about any matters that may be relevant to the evaluation of a Tender.

6.2.2. A Respondent must nominate in its Tender an authorised person for the purpose of responding to any clarification requests which may arise during Tender evaluation. The name, address and contact details of that person should be included in the Tender Response Form. The person nominated by a Respondent must be authorised to represent and bind the Respondent in relation to this RFT.

6.3. Security, financial, probity and other checks

6.3.1. Scope Global may perform such security, probity and financial investigations and procedures as Scope Global may determine are necessary in relation to Respondents, their employees, officers, partners, associates, subcontractors or related entities and their officers, employees and subcontractors.

6.3.2. Respondents should promptly provide Scope Global with such information or documentation that Scope Global requires in order to undertake such investigations. Scope Global may exclude a Tender from further consideration if the Respondent does not promptly provide all reasonable assistance to Scope Global in this regard, or based on the outcomes of the investigations or procedures.

6.3.3. The Tender evaluation may involve:

(a) visits to some or all Respondents' sites;

(b) demonstrations or testing of equipment or systems that are proposed as, or proposed to be used in connection with the Services; and

(c) discussions with, or visits to, customers or subcontractors of some or all Respondents, whether or not the customers are provided as referees by the relevant Respondent.

7. Negotiations with RespondentsFollowing the Closing Time, Scope Global may:

(a) enter into negotiations or discussions with one or more Respondents in relation to this RFT, the Respondent’s Tender, a Deed of Standing Offer and an Agreement or Agreements for the Supply of Services; and

(b) discontinue negotiations or discussions with a Respondent at any time, whether or not the Respondent has been notified that it is a preferred Respondent.

8. Information management8.1. Scope Global’s confidential information

8.1.1. Respondents should not, and should ensure that their employees, agents or subcontractors do not, either directly or indirectly record, divulge or communicate to any person any confidential information concerning the affairs of Scope Global or a third party acquired or obtained in the course of preparing a Tender, or any documents, data or information provided by Scope Global and which Scope Global indicates to Respondents is confidential or which Respondents know, or ought reasonably to know, is confidential, except as permitted by this clause 8.1.

8.1.2. A Respondent will not be taken to have breached any obligation to keep information provided by Scope Global or a third party confidential to the extent that the information:

(a) is disclosed by the Respondent to its advisers, officers, employees, agents or subcontractors solely in order to assess and respond to this RFT or to negotiate or comply with any Deed of Standing Offer or Agreement for the Supply of Services;

(b) is authorised or required by law statutory reporting process or Parliamentary convention to be disclosed; or

(c) is in the public domain otherwise than due to a breach of the relevant obligations of confidentiality.

8.1.3. Scope Global may at any stage require that all electronically stored information, whether confidential or otherwise and without regard to the type of media on which such information was provided to Respondents, (and all copies of such information made by Respondents) be:

(a) returned to Scope Global - in which case Respondents will be required to promptly return all such information to the address identified by Scope Global; or

(b) destroyed by Respondents - in which case Respondents will be required to promptly destroy all such information and provide Scope Global with written certification that the information has been destroyed.

8.1.4. If a Respondent is unable to comply with clause 8.1.3 because it is not technically feasible to return or destroy material held in electronic form or compliance would place the Respondent in breach of a legal obligation, then the Respondent must notify Scope Global of the relevant circumstances (including identifying the information which will be retained by the Respondent). The Respondent agrees that obligations to maintain the confidentiality of confidential information of Scope Global or a third party will continue for so long as the Respondent has that information in its possession.

8.1.5. Scope Global may exclude from further consideration any Tender lodged by a Respondent who has engaged in any behaviour contrary to this clause 8.1.

8.2. Respondent’s confidential information

8.2.1. Subject to this clause 8.2, Scope Global will treat as confidential any information that is provided by a Respondent in its Tender which is clearly identified as confidential information. Scope Global will only consider a request for confidentiality where:

(a) the information to be protected is identified in specific rather than global terms; and

(b) the information is by its nature confidential.

8.2.2. Scope Global will not be taken to have breached any obligation to keep information provided by a Respondent confidential to the extent that the information:

(a) is disclosed by Scope Global to its advisers, officers, employees, agents or subcontractors solely in order to conduct the RFT process or to prepare and manage any Deed of Standing Offer or Agreement for the Supply of Services;

(b) is disclosed to Scope Global’s internal management personnel, solely to enable effective management or auditing of the RFT process, any Deed of Standing Offer or Agreement for the Supply of Services;

(c) is authorised or required by law, statutory reporting process or Parliamentary convention to be disclosed;

(d) is disclosed as procurement information for annual reporting purposes; or

(e) is in the public domain otherwise than due to a breach of the relevant obligations of confidentiality.

9. Policy and law9.1. Ethical dealing

9.1.1. Scope Global’s policy is to engage in the highest standards of ethical behaviour and fair dealing throughout the Tender process. Scope Global requires the same standards from those with whom it deals.

9.1.2. Tenders should be compiled without improper assistance of current or former officers, employees, contractors or agents of Scope Global and without the use of information improperly obtained or obtained in breach of an obligation of confidentiality.

9.1.3. A Respondent should not:

(a) engage in misleading or deceptive conduct, or make false or misleading claims or statements, in relation to its Tender or the RFT process;

(b) engage in any collusive tendering, anti-competitive conduct, or any other unlawful or unethical conduct with any other Respondent, or any other person in connection with the preparation of its Tender or the RFT process;

(c) attempt to solicit information from or influence improperly any current or former officer, employee, contractor or agent of Scope Global, or violate any applicable Australian laws or policies regarding the offering of inducements in connection with the RFT process; or

(d) otherwise act in an unethical or improper manner or contrary to any law.

9.1.4. Scope Global may exclude from consideration any Tender lodged by a Respondent that, in Scope Global’s reasonable opinion, has engaged in any behaviour contrary to clause 9.1. In addition, Scope Global may refer the matter to relevant Commonwealth, State or Territory authorities. This right is in addition to any other remedies Scope Global may have under law or in any Deed of Standing Offer or Agreement for the Supply of Services with a successful Respondent.

9.2. Conflicts of interest

9.2.1. A Respondent must identify in the Tender Response Form whether, at the time of lodging its Tender, an actual, potential or perceived conflict of interest concerning itself or a related entity exists, or might arise during the term of the Deed of Standing Offer in respect of the Deed, an Agreement for the Supply of Services or in relation to the Tender. If an actual, potential or perceived conflict of interest exists, the Respondent must propose a strategy for managing the conflict of interest. Scope Global will consider the proposed strategy in good faith, but may at its absolute discretion reject or suggest modifications to the strategy proposed by the Respondent.

9.2.2. An actual, potential or perceived conflict of interest means any matter, circumstance, interest, or activity affecting the Respondent (including the officers, employees, agents and subcontractors of the Respondent) which may or may appear to impair the impartial evaluation of the Respondent’s Tender or the ability of the Respondent to perform Services under an Agreement for the Supply of Services diligently and independently.

9.2.3. A conflict of interest may exist, for example, if:

(a) a Respondent (including any of their officers, employees, agents and subcontractors) has a relationship (whether professional, commercial or personal) with Scope Global’s personnel involved in the evaluation of Tenders; or

(b) a Respondent (including any of their officers, employees, agents and subcontractors) has a relationship with, and obligations to, an organisation which would affect the performance of the contract or would bring disrepute to or embarrass Scope Global.

9.2.4. If at any time before entering into the contract, an actual, potential or perceived conflict of interest concerning itself or a related entity arises or may arise for any Respondent, that Respondent should immediately notify Scope Global via the Contact Email.

9.2.5. If an actual, potential or perceived conflict of interest arises, Scope Global may:

(a) exclude the Tender from further consideration;

(b) enter into discussions to seek to resolve the conflict of interest; or

(c) take any other action it considers appropriate.

9.3. Complaints

9.3.1. Any complaints regarding the RFT process should be directed to the Contact Email.

9.3.2. Scope Global will acknowledge receipt of the complaint and contact the relevant Respondent with a view to resolving the complaint as soon as practicable.

9.3.3. If the complaint remains unresolved, Scope Global will refer the complaint to an Executive Member of Scope Global, who is independent of this RFT process.

10. Debrief10.1.1. Respondents may request a Tender debriefing following the award of a contract. Respondents

requiring a debriefing should contact the Contact Officer. Scope Global will determine whether a verbal or written debrief will be provided.

10.1.2. Respondents will be debriefed against the evaluation criteria set out in this RFT. A Respondent will not be provided with information concerning other Respondents or Tenders, except for publicly available information such as the name of the successful Respondent. No comparisons with other Tenders will be made in any debriefing.

11. General matters for Tenders11.1. Prices, units and language

11.1.1. A Tender must be written in English.

11.1.2. All measurements included in a Tender must be expressed in Australian legal units of measurement.

11.1.3. Scope Global policy requires Scope Global to effect payment to its suppliers via electronic funds transfer direct to suppliers’ bank accounts, unless exceptional circumstances exist where a supplier has limited access to banking facilities in remote areas.

11.2. Legal status of respondents

Scope Global may not consider a Tender from a Respondent that does not operate a business as a service provider/consultant as at the Closing Time. Evidence of registration of the business under the law of the country in which the business is established should be provided. For example, for Australian businesses an ABN and, if applicable, evidence of incorporation should be provided.

11.3. Subcontracting

11.3.1. Details of any subcontractor proposed for the provision of the Services should be identified in the Tender.

11.3.2. Respondents acknowledge that specific requirements will apply to the engagement of subcontractors under the terms of the Deed of Standing Offer. The acceptance of a Tender which identifies proposed subcontractors does not relieve a Respondent from complying with the requirements under the Deed of Standing Offer or imply that the subcontractor has been approved by Scope Global under the Deed of Standing Offer for the provision of any Services.

12. Other matters12.1. Public statements

12.1.1. Except with the prior written approval of Scope Global, a Respondent should not make a statement, issue any document or material or provide any other information for publication in any media, concerning Tender evaluation, the acceptance of any Tender, commencement of negotiations, creation of a shortlist or notification that a Respondent is the preferred Respondent.

12.1.2. Scope Global may exclude a Tender from further consideration if the Respondent does not comply with the requirement in clause 12.1.1.

12.1.3. For the avoidance of doubt, participation in the RFT process does not limit a Respondent’s right to enter into public debate or criticism of Scope Global or its agencies.

12.2. Additional rights of Scope Global

12.2.1. Without limiting other rights contained in this RFT or limiting its rights at law or otherwise, Scope Global may do any or all of the following at any time:

(a) seek amended Tenders or call for new Tenders;

(b) forward any clarification about this RFT to all known Respondents on a non-attributable basis and without disclosing any confidential information of a Respondent;

(c) allow or not allow another person or legal entity to take over a Tender in substitution for the original Respondent where an event occurs that has the effect of substantially altering the composition or control of the Respondent or the business of the Respondent;

(d) provide additional information to Respondents;

(e) add to, alter, delete or exclude the goods or services to be supplied; and

(f) negotiate with one or more persons who have not submitted Tenders or enter into a contract or other binding relationship for similar services to the Services outside the RFT process.

12.2.2. Where negotiations to limit a Respondent’s liability occur after the nomination of a preferred Respondent, any additional direct or indirect costs borne by Scope Global arising out of this limitation of liability may be reflected by Scope Global in a commensurate adjustment to the terms of any Agreement for the Supply of Services.

12.2.3. Without limiting its other rights under this RFT or at law, if Scope Global concludes that a Respondent has retracted, or attempts to retract, information, representations, agreements or understandings under which material, technical, commercial, financial, corporate, relationship

Risk

Risks inherent in the Respondent and its Tender including without limitation:

Other risks identified in evaluating the Respondent and the Tender.

This criterion is not weighted. Scope Global will assess whether the risk in a Respondent or Tender is appropriate for participation on the PSP.

Part B: Statement of Requirements

1 BackgroundThe Kiribati Facility (KF), managed by Scope Global, is a key investment of the Australian Government in Kiribati, comprised of the Skills for Employment Program (SfEP) and the Flexible Support Facility (FSF). The SfEP will support the development of a capable, qualified and mobile I-Kiribati workforce, and consolidates progress already made through the past investment in skills development in Kiribati. SfEP will focus on developing the Kiribati Institute of Technology (KIT) as a demand-driven training provider catering for domestic, regional and international labour markets and aligning the source, level and rigour of qualifications accordingly.

Australia’s investment in SfEP supports the Government of Kiribati to provide labour market demand-driven skills development for young people who seek to work in domestic and offshore labour markets.

Since 2009 KIT has been upgrading its course delivery by providing pathways towards Certificate III and Certificate IV programs through the Australia Pacific Technical College. From 2014, Certificate III units for the construction trades were also introduced.

In 2015 the Kiribati School of Nursing and Health merged with KIT, with the Nursing course being offered at a Diploma level.

KIT continues to increase its graduate numbers year on year, having trained over 1,449 I-Kiribati since 2012 (excluding short courses). With the inclusion of short course delivery, KIT has trained over 4,908 I-Kiribati.

A key focus of KIT and the program is its focus on employment for KIT graduates, both domestically and internationally. To assist this process KIT has established an Employment Support Services (ESS) program that is designed to assist prepare graduates for both the domestic and international employment markets.

KIT also provides a range of customised short courses for the public and existing workers. Courses included customer service, management and leadership training, Welfare Health and Safety, English language, and entry-level technical skills (accounting, solar trouble shooting, aged care, motor vehicle servicing, basic construction). English language and accounting were the highest in demand.

KIT courses have been outlined in Part B Item 6 below and Scope Global is seeking the services from qualified organisations and individuals to join the preferred supplier panel (PSP) from which Scope Global can purchase specialist services to continue the development of KIT.

The procurement of services will be for accredited and/or non-accredited courses as well as for specialist inputs to build the capacity of the KIT management, student management systems as well as their labour mobility programs as well as to support the introduction of new courses as identified by the annual Labour Market Study. All activities will be consistent with delivering fit for purpose qualifications/activities that are relevant to the skills supply/demand with a focus on providing a strong foundation for supporting and increasing employment outcomes for KIT Graduates as well as strengthening the sustainability of KIT.

Scope Global will arrange and pay the following costs for adviser/staff mobilisation:

2 ScopeThrough this request for tender, Scope Global is undertaking a procurement process to identify Education and Training Organisations and/or providers of consultancy services for the PSP of preferred suppliers from which Scope Global can purchase specialist education and training services for the KIT.

3 Register to provide some or all of the following services:The Respondent may choose some or all of the activities listed below. Scope Global will assess the Respondent’s ability based on the response to the Statement of Requirements to deliver some or all of the services that they have registered for below. The Respondent will be notified of the services that they have been selected for and, following execution of a Deed of Standing Offer, will be placed on the PSP. Please note that Scope Global may add to, remove or otherwise revise the services to be provided, and that being selected on the PSP does not guarantee the awarding of any service contract.

Scope Global will notify some or all of PSP participants of opportunities for service delivery by issuing a request for services (RFS). Quotes in response to a RFS will be evaluated and the preferred service provider will be required to enter into an Agreement for the Supply of Services with Scope Global for the provision of the services. The template Deed of Standing Offer (including an outline of the Agreement for the Supply of Services) is attached as Part C of the RFT.

Scope Global reserves the right to call for additional organisations to be added to the existing PSP from time to time to ensure the PSP composition remains current and is able to respond to the emerging needs of KIT and the Government of Kiribati.

The services will be provided in Australia and Kiribati as agreed with Scope Global. The Respondent may choose to nominate for some or all of these services by completing the tables in the Tender Response Form (Attachment 2, Part A, RFT).

The Respondent will be expected to work within a partnership approach with KIT to provide services under the Statement of Requirements (Part B). To this end, the Respondent may be required to participate in joint planning and operations meetings as required by Skype or videoconferencing. The composition and frequency of these meetings will be determined in the Supply of Services, these are expected to include senior KIT and Scope Global staff.

Training Provider Activities:

accredited and non-accredited training programs through formal training services agreements with KIT;

develop strategies and costing models for new and existing courses; maintain Lecturer qualifications and skills for the delivery of KIT programs; review and transition KIT courses to new Training Packages (as required); and development of short course and customised program to meet existing and emerging

industry/employers demand.

An Australian qualification equivalent is listed in the following table. Qualifications to be provided by KIT, however, are not necessarily limited to those registered in Australia. Service providers registered to provide qualifications which are equivalent to the Australian qualifications in other countries and regions are encouraged to submit a Tender. The qualifications to be provided will be determined by KIT.

4 The Respondent will provide and if applicable be reimbursed, at cost for the following specific requirements:

Medical clearance to travel to Kiribati. Scope Global will provide the requirements of the medical clearance. The certified clearance documents will be provided to Scope Global 7 days prior to any travel being undertaken. Scope Global has a medical provider that the successful bidders can use in the absence of their own provider.

To obtain and maintain current police checks. A copy of the current police checks must be provided to Scope Global a minimum of 7 days prior to any travel.

Airfares (economy class) and any transit travel and accommodation costs. Medical Insurance for program travel outside of Australia. The insurance cover needs to be specified

in the Respondents response. Daily travel allowance (per diems) that will be aligned with the approved Kiribati Facility rates (as

revised from time to time).
