INTRODUCTIONThese terms and conditions:• form the basis of an Eminence Auction House

contract with a buyer or seller• apply to all sales conducted (and services

provided) by Eminence Auction House• apply to any goods held by Eminence Auction

House for valuation, storage or any other purposes

• may be amended by printed sale room notices or by verbal announcements before and during the sale.

By bidding at the auction a buyer agrees to these terms and conditions.

Definitions

• Agreed reserve means the confidential, minimum sale price at which a lot may be sold, as agreed in writing by Eminence Auction House

• Auctioneer means the person conducting the auction

• Buyer means the person with the highest bid accepted by the auctioneer

• Buyer’s premium means the charge payable by the buyer to Eminence Auction House as a percentage of the hammer price

• Catalogue means any advertisement, brochure, price list or other publication produced by Eminence Auction House

• GST means the tax payable under the New Tax System (Goods and Services Tax) Act 1999, as amended

• Hammer price means the price (including GST) of the highest bid of a lot that is accepted by the auctioneer (unless it is auctioned again at a second auction as a result of a dispute, in which case it means the price, including GST, of the highest bid of a lot that is accepted by the auctioneer at the second auction)

• Lot means any item in the auction, and in particular, the item(s) described against any lot number in the catalogue

• Lot number means the number allocated by Eminence Auction House to a lot before the auction

• Premium means 15% of the hammer price (plus GST) paid by the buyer, unless otherwise stated

• Purchase price means the aggregate of the sale price, premium, any GST payable on the sale price and/or the premium and charges

• Reserve means the minimum price at which the lot can be sold

• Sale means any private treaty or auction sale at which a lot is offered for sale

• Sale price means the hammer price (if sold at auction) or the price agreed by the buyer by private treaty (including GST, if any)

• Seller means the person (or other entity named as the seller on the front page of the Consignment Agreement Form) who offers the lot for sale

All values expressed in the Eminence Auction House catalogue (or in any other format) are in Australian Dollars (AU$). The hammer price, the buyer’s premium, all bids and reserves, and all other expressions of value are understood to be in AU$, unless otherwise specified.

BEFORE THE AUCTIONBuyer’s responsibility

Prospective buyers are strongly advised to examine the items in which they are interested (in person) before the auction.

Lots are sold ‘as is’ without representation or

warranty of any kind by Eminence Auction House. Buyers are responsible for satisfying themselves regarding the condition of the property and the matters referred to in the catalogue by requesting a condition report or by examining a lot before the sale.

It is the buyer’s responsibility to ensure the lot matches any written or verbal description provided by Eminence Auction House.

Catalogue and other descriptions

All statements made by Eminence Auction House in the catalogue or in the condition report are statements of opinion and are not to be relied on as statements of fact. This includes verbal statements, or any in writing found elsewhere. Such statements do not constitute a representation, warranty or assumption of liability of any kind by Eminence Auction House.

Any absence in statement regarding condition does not imply an item is free from defects or restoration. A reference to a particular defect does not imply the absence of other defects.

Illustrations are provided as a guide only and should not be relied upon as a true representation of colour or condition, or to reveal imperfections. Images are not shown at a standard scale.

Eminence Auction House is not responsible for any errors or omissions in the catalogue or any other material.

The seller acknowledges Eminence Auction House is entitled to rely on the accuracy of a description of a lot provided by (or on behalf of) the seller.

Estimated selling price

Eminence Auction House publishes the estimated price range for each lot in each catalogue. Estimates of the selling price should not be relied on as a statement that this is the price at which the item will sell (or its value for any other purpose). The estimated selling price is prepared well in advance of the sale and may be subject to revision.

Eminence Auction House reserves the right to revise the estimated selling price at any time, with the agreement of the seller.

Interested parties should contact Eminence Auction House before the auction for updated pre-sale estimates and starting prices.

Currency converter

Eminence Auction House offers a currency converter for the convenience of bidders. The conversion rates are indicative only, and Eminence Auction House is not responsible for any error or omission in the converter.

Governing laws

These terms and conditions are governed by (and construed in accordance with) the law of the state in which the sale is conducted. All parties submit to the exclusive jurisdiction of the courts of the sale state.

Privacy

The following buyer information is collected by Eminence Auction House:

• name• company name and ABN (if applicable)• residential and business addresses• email address

• telephone numbers• driver’s licence details• credit card details• bank account details.

Eminence Auction House:

• uses personal information only for the purpose for which it was provided it, unless consent is received

• will not disclose personal information to third parties unless consent is received, or where such disclosure is required or authorised by law

• provides access to the information held at a buyer’s request, for the purpose of correcting or updating that information

• stores information in a manner that ensures security against unauthorised access, alteration or deletion at a level commensurate with its sensitivity.

Withdrawal fees

A seller may only withdraw a lot from sale by signed written notice. They are liable for the withdrawal fee payable to Eminence Auction House. The withdrawal fee comprises 15% (plus GST) of the reserve or of the average between the highest and lowest estimated selling price, whichever is higher. The percentage is determined by how long in advance the lot is withdrawn.

It is the seller’s responsibility to arrange for collection and removal of the lot within two business days after the withdrawal date. Collection and removal may only proceed when the withdrawal fee has been received in full by Eminence Auction House.

AT THE AUCTIONRefusal of admission

Eminence Auction House reserves the right to:

• refuse admission to the auction premises• refuse participation in any auction• reject any bid.

Registration before bidding

Any prospective new buyer must complete and sign a registration form and provide photo identification before bidding. Eminence Auction House may request bank, trade or other financial references to substantiate this registration.

International registrations

All international clients not known to Eminence Auction House are required to scan and email an accredited form of photo identification. They may be asked to pay a deposit in cleared funds before the auction.

Bidding as a principal

When making a bid, a bidder accepts personal liability to pay the purchase price, including the buyer’s premium, all applicable taxes and all other applicable charges, unless it has been explicitly agreed in writing with Eminence Auction House before the start of the sale (that the bidder is acting as an agent on behalf of an identified third party, who must be acceptable to Eminence Auction House).

It must be agreed that Eminence Auction House will only look to the principal for payment.

Absentee bidding

Eminence Auction House uses reasonable efforts to execute written bids delivered to us

within a reasonable time-frame before the sale. This is for the convenience of clients who are unable to attend the auction in person. If we receive identical written bids on a particular lot, and at the auction these are the highest bids, the lot is sold to the person whose written bid was received and accepted first.

Execution of written bids is a free service but is subject to other commitments at the time of the sale. Eminence Auction House does not accept liability for failing to execute a written bid or for errors or omissions which may arise. It is the bidder’s responsibility to check with Eminence Auction House after the auction if they were successful in their bidding.

Telephone bidding

Priority is given to overseas and interstate bidders. Arrangements for this service must be confirmed within a reasonable time-frame before the start of the auction. Eminence Auction House accepts no responsibility whatsoever for any errors or failure to execute bids.

A telephone bidder agrees to all the Eminence Auction House terms and conditions and accepts that Eminence Auction House cannot be held responsible for any miscommunication in the process. The success of telephone bidding cannot be guaranteed due to unforeseen circumstances. Buyers should be aware of the risk and accept the consequences if contact cannot be made at the time of the auction.

ONLINE BIDDINGEminence Auction House offers an online bidding service. We accept no responsibility whatsoever for any errors or failure to execute bids.

An online bidder agrees to all the Eminence Auction House terms and conditions and accepts that Eminence Auction House cannot be held responsible for any miscommunication in the process.

It is the online bidder’s responsibility to ensure the accuracy of the relevant information regarding bids, lot numbers and contact details.

Reserves

All lots are offered subject to a reserve, unless otherwise indicated. The reserve may not exceed the estimated selling price printed in the catalogue.

The auctioneer may open the bidding on any lot below the reserve by placing a bid on behalf of the seller. Only the auctioneer may place a bid on behalf of the seller and may continue to do so up to the amount of the reserve, either by placing consecutive bids, or by placing bids in response to other bidders.

Where the reserve for a lot is $5,000 or less and the lot is unsold, Eminence Auction House reserves the right to lower the reserve at each subsequent auction for the lot by up to 15% for each subsequent auction.

Auctioneer’s discretion

It is at the auctioneer’s absolute and sole discretion to:

• refuse any bid• advance the bidding in the way he decides• withdraw or divide any lot• combine any two or more lots

• determine the successful bidder (in the case of error or dispute, during or after the sale)

• continue the bidding• cancel the sale• re-offer and resell an item in dispute in a

second auction (or offer the lot for sale by private treaty).

Eminence Auction House’s sale record is conclusive if any dispute arises after the sale.

Successful bid and passing of risk

Subject to the auctioneer’s discretion, the highest bidder (accepted by the auctioneer) is the buyer.

The striking of the hammer marks the acceptance of the highest bid and the conclusion of a contract for sale between the seller and the buyer.

Risk and responsibility for the lot pass immediately to the buyer.

AFTER THE AUCTIONBuyer’s premium

In addition to the hammer price, the buyer agrees to pay the buyer’s premium to Eminence Auction House. This is 15% of the hammer price plus GST, where applicable.

GST

The seller is registered for GST, so the sale of a lot is taxable and subject to GST. Eminence Auction House issues a tax invoice to the buyer for the sale of the lot, on behalf of the seller.

Refunds and exchanges

All sales are final. No refunds or exchanges will be given.

Payment from the buyer

The buyer must pay a deposit equal to 15% of the purchase price on the fall of the hammer. If the buyer fails to do so, Eminence Auction House may rescind the sale and resubmit the lot for a second auction.

The buyer must pay the full amount due (hammer price, buyer’s premium and any applicable taxes and GST) not later than five days after the auction date.

Payment may be made by:

• direct bank transfer• cheque• cash• EFTPOS• Visa• MasterCard• American Express.

The credit card fee for Visa and MasterCard is 1.5% and 2.5% for American Express. A credit card may not be used without prior arrangement where the card holder is not present. The buyer is responsible for any bank fees and charges.

Ring resizing

Eminence Auction House offers complimentary resizing for any ring purchased. This is valid for six months after the auction.

Payment to the seller

Eminence Auction House is liable for payment of the sale to the seller when full payment has been received from the buyer.

Passing of title

The buyer does not acquire title for the lot until Eminence Auction House receives full payment in cleared funds. Goods are not released under any circumstance without confirmation is received of cleared funds. This applies even if the buyer wishes to send an item(s) interstate or overseas.

COLLECTION OF PURCHASES AND INSURANCEEminence Auction House may retain any items sold until full payment is received in cleared funds. Insurance is the buyer’s responsibility at the fall of the hammer.

The buyer is responsible for all customs clearance charges, duties, taxes and other charges in their countries outside of Australia.

The buyer is liable for removal and storage fees if full payment in cleared funds is received more than five days after the auction.

If full payment in cleared funds is not received within two weeks of the auction, Eminence Auction House may:

• resell the lot by auction, private treaty or any other means provided that two days’ notice is provided to the buyer

• remove, store and further insure the lot at the buyer’s expense

• charge the buyer interest until full payment in cleared funds is received for the second sale

• issue legal proceedings against the buyer reject a future bid from the buyer.

Packing, handling and shipping

Eminence Auction House can pack and handle goods purchased at the auction by agreement with the buyer. There is a charge for this service (packing, shipping, insurance, postage and associated charges).

Risk

In the event of a loss (except where the loss is as a result of Eminence Auction House and its employees or agents not acting with due care), the seller may claim an amount up to the reserve or estimated selling price (in the absence of a reserve). This only applies to unsold lots.

If the loss occurs after the fall of the hammer and the lot is sold (but Eminence Auction House has not yet received full payment from the buyer in cleared funds), an amount equal to the net proceeds which would have been due to the seller may be claimed.

A purchased lot is at the buyer’s risk in all respects from the fall of the hammer, whether or not payment has been made. The buyer indemnifies Eminence Auction House and the seller against any loss or damage of any kind, except where Eminence Auction House and its employees or agents has not acted with due care and skill.

Unsold lots

The seller must ask Eminence Auction House to confirm if a lot was sold. If a lot was unsold, the seller must:

• advise Eminence Auction House that they wish to collect it

• arrange for its removal from the Eminence Auction House
