Lead Plaintiff California State Teachers ' Retirement System ("CaISTRS" or "Lead

Plaintiff') and Joseph J . Shew ("Shew"), John M . Giesecke, Jr . ("Giesecke"), John D. DeSimone

("DeSimone '"), Sophia Losh (Lush'"), Jeffrey M . Kalina ("Kalina") and David Rosenblatt

("Rosenblatt'"} submit the following Stipulation and Proposed Order modifying certain dates in

the April 14, 2005 Amended Order , Preliminarily Approving Settlements and providing for

Notice of Settlement ("Amended Order"), attached hereto as Exhibit A:'

RECITALS

A. Whereas, on December 23, 2004 , the Court entered an Order preliminarily

approving Lead Plaintiffs settlements with Slew, Giesecke , DeSimone, Losh and Kalina and

ordered that notice be provided ;

B. Whereas, on or about January 20 , 2005 , Lead Plaintiff finalized its sett lement with

Rosenblatt ;

C. Whereas , on or about February 4, 2005 , Lead Plaintiff filed its Motion for :

(1) Preliminary Approval of Class Settlement with David Rosenblatt; (2) Entry of an Amended

Order Preliminarily Approving Sett lements ; and (3) Application for Partial Distribution from the

Settlement Fund ("Motion ") and submitted therewith the proposed Amended Order, which

contained ce rtain deadlines ;

D. Whereas, on February 25, 2005 , the Court took Lead Plaintiff's Motion set for

February 28, 2005 off calendar and the Motion under submission ;

E . Vy'hereas, the Court entered the Amended Order on April 14, 2005; and

F. Whereas, by virtue of the fact that the Amended Order was signed 48 days after

the Motion was taken under submission , the deadlines for opting out and objecting, and filing

claims must be modified to allow sufficient time for notice and anew date set for the Final

Approval Hearing .
