We propose that the PBG will be issued within 21 days of execution of the mutually agreed contract and will be valid throughout the period of the contract. We request that department may invoke the PBG only upon termination of the contract due to Bidder’s failure to rectify the material breach of the contract within 90 days of receipt of written notice mentioning the material breach that is required to be cured. Until such time, we request that CIDCO deducts monies from the payables due to Bidder for recovery of LD's or other penalties.

System is required for 4 months and cost is to be considered for 4 months only. Please ignore the mention of 5 yr. support.

The System Integrator agrees to indemnify and hold harmless Police Commissionerate, Nasik City, its officers, employees and agents (each a “Indemnified Party”) promptly upon demand at any time and from time to time, from and against any and all losses , claims, damages, liabilities, costs (including reasonable attorney’s fees and disbursements) and expenses (collectively, “Losses”) to which the Indemnified Party may become subject, in so far as such losses directly arise out of, in any way relate to, or result from (i) any miss-statement or any breach of any representation or warranty made by the System Integrator or (ii) the failure by the System Integrator to fulfill any covenant or condition contained in

and 10 Indemnity & Third Party Claims

We propose the following alternate clause: Bidder shall defend (settle and/or pay damages awarded by the court) Nasik City against any third party claims arising from the following: a. claims for loss or damage to third party tangible property; b. claim by any person in respect of bodily injury or death; c. claims by any third party in respect of any IP infringement; brought against or recovered from Nasik City by reasons of any act or omission of the Bidder, his agents or employees in the execution of works or in the working of the same, provided that Nasik City: (i) promptly notifies Bidder of any such claim; (ii) cooperates with Nasik City in the defense or settlement of the claim and provides the Bidder with the assistance, information and authority reasonably necessary to defend or settle such claim; and






(iii) Purchaser does not make any statements or comments or representations about the claim without prior written consent of the Bidder. Remedies: In the event that such claims regarding any deliverables appears likely, Bidder may at its sole discretion, and as Nasik City’s sole and exclusive remedy, either: a) obtain for Nasik City the right to use the infringing deliverables; b) modify the infringing deliverables so that it is no longer infringing; c) obtain and substitute a functionally similar deliverables that are not infringing; or d) if none of the foregoing alternatives are reasonably available, refund pro-rata portion of the charges paid by Nasik City for the infringing deliverables upon return of the same to the Bidder. Exclusions: Bidder has no obligation for any claim of infringement to the extent arising from unauthorised use of products and services by Nasik City, its employees and its agents. Sole and Exclusive Remedy: This section states Bidder’s entire liability for claims of intellectual property infringement related to deliverables.

23 Section 15 MSA

In the event SI fails to execute the project as stipulated in the delivery schedule, or to the satisfaction of Police Commissionerate, Nasik City. Police Commissionerate, Nasik City reserves the right to procure similar services from the next eligible bidder or from other alternate sources at the risk, cost and responsibility of the SI. Before taking such a decision, Police Commissionerate, Nasik City shall serve a notice period of 1 month to the SI. Total Liability of the SI towards this Clause is limited to 50% of the contract value.

24 Section 16

The SI's liability under the resultant Agreement shall be determined as per the Law in force for the time being. The SI shall be liable to Police Commissionerate, Nasik City for loss or damage occurred or caused or likely to occur on account of any act of omission on the part of the SI and its employees, including loss caused to Police Commissionerate, Nasik City on account of defect in goods or deficiency in services on the part of SI or his agents or any person / persons claiming through or under said SI. However, such liability of SI shall not exceed the total value of the Agreement. This limitation of liability shall not limit the SIs liability, if any, for damage to Third Parties caused by the SI or any person or firm acting on behalf of the SI in carrying out the scope of work envisaged herein. Third Party Liability however is not applicable for the viewing man-power deployed by SI.

We request the clause be modified as follows.''The maximum aggregate liability of the SI to Police Commissionerate, Nasik for all claims which relate to loss or damage sustained by Nasik Police under or in connection with this MSA/RFP (including any liquidated damages paid or payable by the Supplier), whether based on contract, tort (including negligence), statutory duty or otherwise, shall be limited to the total contract value''.



Contract Clause 16

Limitation of Liability This limitation of liability shall not limit the SIs liability, if any, for damage to Third Parties caused by the SI or any person or firm acting on behalf of the SI in carrying out the scope of work envisaged herein. Third Party Liability however is not applicable for the viewing man-power deployed by SI.

Since the exclusions to the LOL are currently open-ended and broad, we request that the exclusions to the LOL as follows: unauthorized use of intellectual property, death or bodily injury caused by their negligence; acts of fraud; or any liability which may not be excluded or limited by applicable law. Bidder also requests inclusions of the following words: "Neither Nasik City nor Bidder will be liable for indirect, consequential, special and incidental damages".

Ownership and use of assets :The project is being executed on a rental model and system integrator shall own all the deployed or created as part of its deliverables except for the following data/documentation /manuals created or utilized by the SI or Police Commissionerate ,Nasik for the city surveillance project

Please clarify whether the SI is entitled to take back all the equipment supplied and installed by him like the cameras, ups, vms software etc. after the end of 4 months contract period or not.

Payment will be released within 30 days of submission of valid invoice subject to the condition that invoice and all supporting documents produced are in order and work is performed as per the contract signed.

Total fees to be paid to the Systems Integrator for the execution of this Contract is Rs. ---------------------. GoM shall pay the Systems Integrator the total fees in following manner : a) 10% of total cost against 10% Advance Bank Guarantee and Mobilization of the Project Team. b) 10% of total cost against UAT for the Infrastructure for Command Center at CP Office & Viewing Center c) 20% against Go Live of the project, which requires at least 90% of the cameras to be live and operational. d) 10% of total cost in 3 equal installments for 3 months during Kumbh Mela period, after successful operations for the duration 15th June 2015 to 15th September 2015. (Rs. -------------- /- per month). e) 20% of total cost after 4th month after successful operations f) 10% of total cost after completing all the deliverables as per this agreement.

Payment terms adds upto 80% of Cost. Request you to kindly clarify the same.

29 5.2.

Total penalty to be levied on the SI shall be capped at 15% of the contract value. Penalty to be levied during post implementation period shall be capped at 10% of the total contract value

We request the penalty for pre and post implementation be capped at 10% of the total contract value. Also request during the pre-implementation phase the penalty must be applicable on the undelivered portion only.

Measurement of SLA Total penalty to be levied on the SI shall be capped at 15% of the total contract value. However, Police Commissionerate, Nasik City would have right to invoke termination of the contract in case the overall penalty equals 15% of total contract value. Penalty to be levied during Post Implementation period shall be capped at 10% of the total contract value. Service Level Agreement (SLA) Police Commissionerate, Nasik City is looking at a professional approach in the project implementation and its operations. System Integrator is expected to match these expectations of the service levels given in the RFP. Any non-adherence to the SLAs would lead to the penalty, to be calculated as per the details given there-in.

Total penalty to be levied on Bidder shall be capped at 10% of the undelivered portion of the Per-Implementation SLA and 10% of the Opex value for Post-Implementation SLA. Please clarify that in the event of post-implementation penalties, if a single event triggers multiple penalties, only one set of penalties will be levied. Any penalties imposed for SLA breaches shall be the sole and exclusive remedy for the particular event of failure. We further request that such penalties must be levied subject to a cute period. Should any delay be caused by Nasik City or its representatives, such LDs / penalties will not be applicable to Bidder.

the pmc states that all project level implementation has to be decided by SI (like networking etc.) then does the PMC not know how or what way or which way or what standards are to be used does the PMC have done any BANDWIDTH calculation and survey if or any last mile connectivity is available if yes the why there is no basic idea given about connectivity , just an vague idea of "USE ANY MEANS" HOW will the PMC decide that the SI has passed all parameters correctly when the PMC has never given basics of operations and has put all responsibility on SI

If prospective bidders are unaware of the technicalities of the project and if the same gets reflected in the technical proposal, bidder may stand to get dis-qualified. However final decision in this regard shall vest with the tendering authority.

35 Annexure 11, Draft Contract Clause 15

Risk Purchase In the event SI fails to execute the project as stipulated in the delivery schedule, or to the satisfaction of Police Commissionerate, Nasik City. Police Commissionerate, Nasik City reserves the right to procure similar services from the next eligible bidder or from other alternate sources at the risk, cost and responsibility of the SI. Before taking such a decision, Police Commissionerate, Nasik City shall serve a notice period of 1 month to the SI. Total Liability of the SI towards this Clause is limited to 50% of the contract value.

We request that this clause is applicable only during the pre-implementation stage, and value capped at the affected value only. Also request the clause to be modified to read as applicable only in case of any material breach/deviation from contract to eliminate any subjectivity in assessment.






36 Section 3, 3.28

The Bidders shall fully familiarize themselves about the applicable domestic taxes (such as value added or sales tax, service tax, income taxes, duties, fees, levies, etc.) on amounts payable by the Purchaser under the resultant Agreement. All such taxes must be included by Bidders in the financial proposal. Should there be a change in applicable taxes, the prevailing taxes on the date of billing would prevail

We understand that, this project will be executed as temporary (rental) system for Kumbh Mela will attract only Service tax for all the supply of material and services. Kindly confirm if our understanding is correct?

SI shall pay the relevant taxes, as applicable.


Contract Clause 20

Consequences of Termination - In the event of termination of this contract, Police Commissionerate, Nasik City is entitled to impose any such obligations and conditions and issue any clarifications as may be necessary to ensure an efficient transition and effective continuity of the services which the SI shall be obliged to comply with and take all available steps to minimize the loss resulting from that termination/ breach, and further allow and provide all such assistance to Police Commissionerate, Nasik City and/ or succeeding vendor, as may be required, to take over the obligations of the SI in relation to the execution / continued execution of the requirements of this contract.

Please clarify - On Termination, Customer shall pay the Bidder for all products delivered and all the deliverables rendered up to the date of termination


38 2 Additional further : further the police Commissionerate Nasik may change the criteria at its own discretion

We request the change in eligibility criteria if any be known to all the bidders at the time of release of corrigendum .Otherwise if the criteria are changed post bidding there will be no sanctity left in the bidding process

In case Eligibility Criteria are changed, the same would be brought to the notice through a corrigendum. Eligibility Criteria won't be changed post bidding process.

None of the IT / Non IT equipment proposed by the bidder should end of life product. It is essential that the technical proposal is accompanied by the OEM certificate in the format given in this RFP, where in the OEM will certify that the product is not end of life product & shall support at least 6 years from the date of bid submission

If System will be installed for 3 months then why end of life letter require for six year?

OEM Certification stating that the product is not end of life product is required. Support for only 4 months post Go Live required.
