Until such time, we request that CIDCO deducts monies from the payables due to Bidder for recovery of LD's or other penalties.

(iii) Purchaser does not make any statements or comments or representations about the claim without prior written consent of the Bidder. Remedies: In the event that such claims regarding any deliverables appears likely, Bidder may at its sole discretion, and as Nasik City’s sole and exclusive remedy, either: a) obtain for Nasik City the right to use the infringing deliverables; b) modify the infringing deliverables so that it is no longer infringing; c) obtain and substitute a functionally similar deliverables that are not infringing; or d) if none of the foregoing alternatives are reasonably available, refund pro-rata portion of the charges paid by Nasik City for the infringing deliverables upon return of the same to the Bidder. 23 Section 15 MSA

In the event SI fails to execute the project as stipulated in the delivery schedule, or to the satisfaction of Police Commissionerate, Nasik City. Police Commissionerate, Nasik City reserves the right to procure similar services from the next eligible bidder or from other alternate sources at the risk, cost and responsibility of the SI. Before taking such a decision, Police Commissionerate, Nasik City shall serve a notice period of 1 month to the SI. Total Liability of the SI towards this Clause is limited to 50% of the contract value.

24 Section 16

The SI's liability under the resultant Agreement shall be determined as per the Law in force for the time being. The SI shall be liable to Police Commissionerate, Nasik City for loss or damage occurred or caused or likely to occur on account of any act of omission on the part of the SI and its employees, including loss caused to Police Commissionerate, Nasik City on account of defect in goods or deficiency in services on the part of SI or his agents or any person / persons claiming through or under said SI. However, such liability of SI shall not exceed the total value of the Agreement. This limitation of liability shall not limit the SIs liability, if any, for damage to Third Parties caused by the SI or any person or firm acting on behalf of the SI in carrying out the scope of work envisaged herein. Limitation of Liability This limitation of liability shall not limit the SIs liability, if any, for damage to Third Parties caused by the SI or any person or firm acting on behalf of the SI in carrying out the scope of work envisaged herein. Third Party Liability however is not applicable for the viewing man-power deployed by SI.

Since the exclusions to the LOL are currently open-ended and broad, we request that the exclusions to the LOL as follows: unauthorized use of intellectual property, death or bodily injury caused by their negligence; acts of fraud; or any liability which may not be excluded or limited by applicable law. Bidder also requests inclusions of the following words: "Neither Nasik City nor Bidder will be liable for indirect, consequential, special and incidental damages".

Measurement of SLA Total penalty to be levied on the SI shall be capped at 15% of the total contract value. However, Police Commissionerate, Nasik City would have right to invoke termination of the contract in case the overall penalty equals 15% of total contract value. Penalty to be levied during Post Implementation period shall be capped at 10% of the total contract value. Service Level Agreement (SLA) Police Commissionerate, Nasik City is looking at a professional approach in the project implementation and its operations. System Integrator is expected to match these expectations of the service levels given in the RFP. Any non-adherence to the SLAs would lead to the penalty, to be calculated as per the details given there-in.

Total penalty to be levied on Bidder shall be capped at 10% of the undelivered portion of the Per-Implementation SLA and 10% of the Opex value for Post-Implementation SLA. Please clarify that in the event of post-implementation penalties, if a single event triggers multiple penalties, only one set of penalties will be levied. Any penalties imposed for SLA breaches shall be the sole and exclusive remedy for the particular event of failure. We further request that such penalties must be levied subject to a cute period. Should any delay be caused by Nasik City or its representatives, such LDs / penalties will not be applicable to Bidder.

the pmc states that all project level implementation has to be decided by SI (like networking etc.) then does the PMC not know how or what way or which way or what standards are to be used does the PMC have done any BANDWIDTH calculation and survey if or any last mile connectivity is available if yes the why there is no basic idea given about connectivity , just an vague idea of "USE ANY MEANS" HOW will the PMC decide that the SI has passed all parameters correctly when the PMC has never given basics of operations and has put all responsibility on SI

If prospective bidders are unaware of the technicalities of the project and if the same gets reflected in the technical proposal, bidder may stand to get dis-qualified. However final decision in this regard shall vest with the tendering authority.

35 Annexure 11, Draft Contract Clause 15

Risk Purchase In the event SI fails to execute the project as stipulated in the delivery schedule, or to the satisfaction of Police Commissionerate, Nasik City. Police Commissionerate, Nasik City reserves the right to procure similar services from the next eligible bidder or from other alternate sources at the risk, cost and responsibility of the SI. We request that this clause is applicable only during the pre-implementation stage, and value capped at the affected value only. Also request the clause to be modified to read as applicable only in case of any material breach/deviation from contract to eliminate any subjectivity in assessment.

Consequences of Termination - In the event of termination of this contract, Police Commissionerate, Nasik City is entitled to impose any such obligations and conditions and issue any clarifications as may be necessary to ensure an efficient transition and effective continuity of the services which the SI shall be obliged to comply with and take all available steps to minimize the loss resulting from that termination/ breach, and further allow and provide all such assistance to Police Commissionerate, Nasik City and/ or succeeding vendor, as may be required, to take over the obligations of the SI in relation to the execution / continued execution of the requirements of this contract.

It is proposed that the Successful Bidder sets up entire Server Side Infrastructure in the Commercial Data Center within Nasik City or at Police Commissionerate, Nasik City premises. Following are the benchmark requirements which should act as guiding factors for the Bidders to propose the location of Data Center if commercial data center is proposed. Data Center (if not at Police Commissionerate, Nasik City) should be at least a Tier II Data Center as per Telecommunications Infrastructure Standard for Data Centers and should be 27001 Certified and should have access control system implemented.

We understand that, the civil building will be under the scope of Client for the Tier 2 Data center and SI scope of work will be limited to IT and NON IT Components for the completion of work. Please clarify. Please provide the area of civil building for the Tier 2 Data center. Since, a Pre-Qualification criteria has been mentioned for bidders which is more than enough to prove the bidders credentials. So please clarify why OEM selection criteria is mentioned.

The system shall support archiving or the automatic transfer of recordings from a cameras default database to another location on time programmable basis without the need for user action or initiation of the achieving shall allow the duration of the cameras recordings to exceed the cameras default database capacity. At outer parking locations only cameras in the respective outer parking would be viewed. For other 4 viewing centers following would be the cameras distribution: 100% cameras at command center, 40% of total cameras at 1 viewing center and 20% each of total cameras at other 3 viewing centers However, the simultaneous viewing, at any given point of time, at the viewing centers (4) and command center (1) has already been mentioned in the RFP
