I. INTRODUCTION

1.1 Overview

The Betting, Gaming & Lotteries Commission (BGLC) is an independent statutory body established in 1975 under the provisions of the Betting Gaming & Lotteries Act. The BGLC licences, regulates and monitors the Gaming Industry, facilitates its growth and development and protects the public from unfair, unscrupulous and illegal activities. Specifically, the BGLC:

1. regulates and controls the operation of betting and gaming and lotteries in the island;

2. grants permits, licences and approval to persons or entities considered fit and proper to conduct betting, gaming and lotteries activities;

3. examines in consultation with such organizations and persons as it considers appropriate, problems relating to the operation of betting and gaming and the conduct of lotteries in the island;

4. furnishes information and advice and makes recommendations to the Minister of Finance with respect to the exercise of his function under the Act;

5. conducts investigations, studies and surveys for the purpose of obtaining information for use in the exercise of its functions;

6. recommends legislative amendments pertaining to the Act, Regulations and Orders to ensure an orderly development of the industry.

The BGLC has a centralized processing facility utilizing client-server architecture. This architecture is based mainly on the use of Microsoft Products. Microsoft Windows 2008 Server is being used as the server platform along with Microsoft Windows 7 Professional and Windows 8.1 applications We currently use Cloud services (servers) to facilitate our current infrastructure through Digicel Business solutions and also use their Business Recovery services. Based on our policy of implementing best practice strategies, technologies and policies, the BGLC now invites sealed bids from eligible bidders for the acquisition of a Gaming Management Information System with specifications as detailed in the Terms of Reference at APPENDIX VI. The Proposal should also include, but is not limited to the scope of work, project approach & implementation methodology, deliverables, high level project schedule, client references, client responsibilities & key assumptions, project team description and resumes, pricing schedules, quality assurance techniques and overall project estimates. The solution will be collaboratively implemented by the Supplier & BGLC staff on computer and connected peripheral equipment designated for the purpose and sole use of the BGLC. The implementation site would be the offices of the BGLC.

The Supplier is expected to keep the BGLC’s Project Team abreast of all agreed stages of the project and obtain sign off and requisite approval for all project phases. All project phases should be clearly defined with requisite deliverables listed. The BGLC expects that there may be a need for customization of some systems and is not opposed to agreeing for a system to be developed where the scheduled of development timelines is given. However, all project phases with proposed timelines and deliverables must be clearly articulated. The end product must meet international gaming standards. The final outcome of the system along with all proof of concepts resources will be authenticated by the BGLC or independent testing laboratory, to ensure that the system will meet international gaming standards. This assigned test lab (if chosen) will also be engaged in the Acceptance Testing stage of the final product to also ensure that the solution maintains the expected standards. Ultimately, the GMIS will support the Central Management and Continuous Monitoring of the entire Gaming sectors within the mandate of the BGLC. To this end, the Betting, Gaming & Lotteries Commission (BGLC) located at 78cef Hagley park Road, invites qualified Vendors and System Designers with stringent Project Management capabilities to respond to a Request for Proposal (RFP) for the provision of Gaming Management Information Systems Design & Implementation for the BGLC. 1.2 Background

The BGLC currently uses a manually intensive gaming system that is now proven to be inadequate to provide for the recording, reporting and analytical needs of the Commission. The system does no remote monitoring and there is also a need to integrate other BGLC applications (for example the Financial Application) in order to further automate the reporting process. The BGLC Information and Communications Technology (ICT) Division has the mission to: “Provide a leading edge ICT Infrastructure to support the establishment and maintenance of new and existing Gaming Products, Services and Practices in the most cost effective way, through the use of technology, innovation and best practices”. The BGLC is also in the process of implementing an online Registration system which is also expected to be integrated with the proposed system. Within this context, the BGLC is undertaking to replace the current manually intensive methods used by its Operational Divisions. The new system, to be called the Gaming Management Information System (GMIS), will improve operations within service categories and will increase the flexibility, efficiency, speed and effectiveness of delivery and customer service. It is expected that on implementation, the system should integrate with Business Intelligence software to allow to further data analysis at varying levels within the organization.

GMIS is to be comprised of, but not be limited to the following functions and features:

• Licensing & Registration for: - Lottery - Bookmaking - Racing Promotions - Gaming Machines - Prize promotions;

• Billing and Collections; • Reporting & Business Intelligence; • AML/POCA reporting • Continuous Monitoring & Compliance of Licensees operations, including the “read only”

interfacing of data from Licensees systems (Electronic Data Interchange); • Auditing of both Financials and processes of licensees; • Enforcement

- Due diligence information processing on Licensees - Investigations into illegal activities

• Tax reconciliation; • Integration with Human Capital / Resource Management System • Integration with Financial Accounting System; and • Integration with Electronics Records Management (to facilitate the imaging of paper

documents and building schematics). (not yet in place) The GMIS is expected to be implemented on a phased approach according to BGLC priorities. The first phase will include a review of the specifications to ensure that the main processes are captured and any customization required documented in order to determine the scope of work required for completion. The GMIS will support the Central Management and Continuous Monitoring of the entire Gaming scope within the mandate of the BGLC. 1.3 Description of Services

This RFP sets forth the requirements and solicits a detailed response from Bidders to include methodology, deliverables, projected timelines and pricing.

1.3.1 General Requirements

The Bidder is responsible for meeting the specific terms and intent of the specifications. 1.4 BGLC’s General Terms and Condition of Contract

The BGLC General Conditions of Contract are contained in Appendix VII of this Tender Document.

1.5 Confidentiality/Non-Disclosure

Bidders are reminded that the information contained in this RFP (or accumulated through other written communication) is strictly confidential. It is for Proposal purposes only and is not to be disclosed or used for any other purpose. All information contained herein is subject to the restriction defined on the cover of this RFP.

The Successful Bidder will be required to sign a Proposal that fully addresses the requirements specified in this RFP, and then the same confidentiality agreement will apply to all participants of the consortium, if applicable.

2 INSTRUCTIONS TO BIDDERS

2.1 General Guidance

2.1.1 This RFP is not an offer to contract. Acceptance of a proposal neither commits BGLC to award a contract to any Bidder, even if all requirements stated in this RFP are met, nor limits BGLC’s right to negotiate, as it shall determine, in its sole discretion.

2.1.2 Failure to respond appropriately to any question or requirement in this RFP may

subject the Proposal to disqualification

2.1.3 All Bidder representations to BGLC must be in writing, must be factual and will be relied upon by BGLC in its evaluation.

2.1.4 LATE TENDERS WILL BE REJECTED.

2.2 Period of Validity

2.2.1 The pricing, terms and conditions stated in the Bidder’s Proposal must remain valid and irrevocable for a period not less than one hundred and twenty (120) days after the Proposal Due Date.

2.2.2 BGLC may solicit the Bidder’s consent to an extension period of bid validity. The

request and the responses thereto shall be made in writing. A bidder granting the request will not be required or permitted to modify its bid.

2.3 Bid Security

2.3.1 Along with the Bid Security Form (Appendix V), Bidders shall furnish a Bid Security in

the amount of Seven Hundred Thousand Jamaican Dollars (J$700,000) issued from a reputable financial institution by way of either:

- bank guarantee; - bid bond issued by a surety incorporated and domiciled in Jamaica; or - certified manager’s cheque.

The Bid Security shall accompany the bid and the validity shall correspond to the Bid Validity Period prescribed in the Tender Document.

2.4 Language and Currency of Offer

2.4.1 The Proposal submitted by the Bidder and all correspondence and documents relating

to this RFP and Proposals shall be written in English 2.4.2 Tenders should preferably be quoted in Jamaican Dollars (J$). Where a tender is

quoted in United States Dollars (US$), the rate of exchange (ROE) to the J$ used, will be the weighted average Bank of Jamaica (BOJ) selling rate on the day tenders are opened. Quotations must be valid for 120 days.

2.5 Application for Tender

2.5.1 Application for Tender form contained in Appendix 1 of this Tender Document must be

completed and submitted. 2.5.2 A Bid may be made by one bidder or by a consortium of bidders (Joint bid). In the case

of joint bids BGLC shall deal with only the Designate of the group.

2.6 Proposal Preparation

All responses should be organized as described below. Failure to comply with these instructions may result in your proposal being disqualified from consideration by the BGLC. 2.6.1 A duly authorized Officer of the company should submit the Proposal with the

attached declaration form signed. 2.6.2 The Bidder shall name the person(s) authorized to negotiate on the Bidder’s behalf

and state their designations.

2.6.3 The Bidder shall submit two (2) written copies of the Proposal in printed format. One of the printed copies should be stamped ‘Original’, and the other stamped ‘Copy’. If there are any discrepancies between copies, the Original will take precedent.

2.6.4 The pages must be numbered consecutively and subject headings identified in a table

of contents. 2.6.5 Bidders are encouraged to propose Options in their Proposals that could provide the

BGLC value and/or savings towards realizing the objectives of the GMIS , including software components that may meet the anticipated requirements set out in Appendix VI. Descriptions of any such Options must be provided in the Technical Proposal. Price information for any Options offered must be provided in the Financial Proposal.

2.6.6 The Proposal outline indicated below must be adhered to:

2.5.7 The proposal should be cross-referenced to the section/reference number of the RFP

requirements specified by BGLC. Alterations to the text of the requirements may be subject to disqualification.

2.6 Packaging Instructions.

2.6.1 The Bidder shall use “The Two Envelope System”. The “Financial Proposal” and “The Technical Proposal” must be placed in separate envelopes and clearly marked Financial Proposal and Technical Proposal, with the tender subject, name and address of the procuring entity on each envelope.

2.6.2 The outer envelope containing the Technical Proposal and the Financial Proposal shall bear the submission address and clearly marked:

2.6.3 Both the Technical and Financial Proposals shall be addressed using the submission address identified in point 2.6.2 above.

2.6.4 The envelope containing the Technical Proposal shall include:

2.6.5 The envelope containing the Technical Proposal shall indicate that it should not be opened before the Proposal Due Date and Due Time as specified in section 2.7.2 of this RFP.

2.6.6 All envelopes shall be sealed.

2.7 Proposal Submission 2.7.1 It is MANDATORY that all Proposals be physically delivered to the BGLC between the

hours of 8:30 am and 4:30 pm on any normal work day. The bids must be stamped by the BGLC’s receptionist who will issue a receipt stating date and time of receipt of the bids. Thereafter the Bidder’s designated representative shall place the bids in the Bid Box located at the reception desk.

2.7.2 Proposals must arrive at the BGLC no later than 3:00 p.m. (Eastern Standard Time).

on May 2, 2016. 2.7.3 Proposals should be addressed as follows:

2.7.4 Proposals or any part thereof, once submitted prior to the deadline, become the property of BGLC and will not be returned for any reason to the Bidder prior to the Tender opening.

2.7.5 A submitted Proposal in BGLC’s possession may be altered provided that the modification is received prior to the submission deadline and placed in the Tender Box appropriately marked. The Bidder’s authorized representative must sign the modification.

2.7.6 All entities intending to submit proposals must submit contact information inclusive of an email address. This will facilitate responses to any questions raised. This will ensure that all interested parties will be advised of any clarifications requested.

2.8 Modifications to RFP

2.8.1 BGLC may modify the RFP at any time prior to the close of the tender, for any reason,

whether at its own initiative or in response to a clarification requested by a Bidder. All bidders will be notified in writing of any amendments to the document.

2.8.2 To afford Bidders reasonable time in which to take the amendment into account when preparing their bids, BGLC may, at its own discretion, extend the deadline for the submission of Proposals.

2.8.3 Any area of the tender document may be subject to amendment prior to the deadline

for submission in the form of an addendum.

2.8.4 An authorized officer of the company must sign all tenders. 2.9 Tender Box Opening

2.9.1 The Tender Box will be opened at 3:30 p.m. on May 2, 2016

2.9.2 The opening will take place in the Conference Room at the BGLC or any other venue at the BGLC, determined at the time of the opening.

2.9.3 All bidders responding positively to this Request for Proposal are invited to attend the

tender opening at the time, date and place specified in 2.9.1 and 2.9.2.

2.10 Evaluation Procedure

2.10.1 Proposals received before the Proposal Due Date shall remain sealed and deposited in a secure environment (the Tender Box) until public removal. The Technical Proposals will be opened and evaluated prior to the opening of the envelopes that contain the Financial Proposals

2.10.2 The BGLC Procurement Committee will evaluate the Technical Proposals on the basis

of their responsiveness to the RFP, applying the selection criteria as mentioned herein.

2.10.3 Proposals not satisfying the mandatory requirements in the specifications of the RFP outlined in section 2.5.6 shall be deemed non-compliant and the Proposal shall not receive further consideration.

2.10.4 Bidders who obtain a minimum of 65 points on the technical evaluation will have their

financial proposals evaluated. The BGLC shall also list the bids that fail, for dispatch of rejection notices and return unopened their Financial Proposals along with all attachments.

2.10.5 It is understood and accepted by the Bidder that all decisions on whether a Proposal

satisfies the Mandatory Requirements and meets, or to what degree it meets, the stated evaluation criteria is for the judgment of the BGLC in its sole discretion.

2.10.6 Upon submission, Bidders may modify or withdraw their tender prior to the specified

deadline date provided that written notice of the modification or withdrawal is deposited in the tender box or prior to the prescribed time of deadline of tenders.

2.10.7 Arithmetic errors can be a basis for the disqualification of a bid. All totals must be

equal to the sum of component costs.

2.10.8 In the event that there is a discrepancy, BGLC will use the sum of the individual costs as the bid price.

2.12 Late Proposal

2.12.1 Bidders must allow sufficient delivery time to ensure receipt of their Proposal by the date and time specified.

2.12.2 If a Proposal is received after the deadline for submission BGLC will reject the Proposal. BGLC wishes to advise Bidders that there will be no right of recourse or appeal.

2.12.3 Proposals sent by facsimile, telex, post and email will not be accepted. All final

submissions must be in sealed bids and delivered to the commission before the stated deadline.

2.13 Cost Incurred Prior to Final Award of Contract

BGLC is not liable for any costs incurred by Bidders prior to execution of an agreement, contract or purchase order regardless of the outcome of the tendering process. BGLC will not be responsible for any expenses, including but not limited to travel, lodging or other out-of-pocket expenses of any Bidder prior to the execution of a written agreement for services in a form acceptable to the BGLC

2.14 Betting, Gaming & Lotteries Commission’s Disclaimer

The BGLC will not be held liable in the event tenders are misplaced or prematurely opened in the case where instructions are not properly followed by Bidders.

3 SELECTION PROCESS

3.1 Eligibility Requirement The Proposal will be considered to be substantially responsive if it conforms to all the terms and conditions of the RFP without material deviations. BGLC’s determination of the Proposal’s responsiveness is to be based on the contents of the Proposal itself without recourse to other resources.

In evaluating the Proposals, the BGLC will consider any deviations to the RFP. Any deviation, which in the BGLC’s opinion renders a bid substantially non-responsive, shall result in the Bidder’s Proposal being rejected.

3.2 Evaluation Criteria

The vendor must be able to provide good quality and cost effective service bearing in mind the following criteria, which will be used to evaluate the Proposals:

3.3 Evaluation Process

The evaluation process will consist of two (2) steps:

3.3.1 Technical Evaluation 3.3.1.1 The purpose of this task is to assess the degree of responsiveness of Technical

Proposals to the RFP and determine the scores for the Technical Proposals. Responsive Proposals will be assessed and ranked based on the evaluation criteria outlined at Appendix IV.

3.3.1.2 Non-responsive Proposals and Proposals not attaining minimum scores will be automatically eliminated, and Bidders notified in writing.

3.3.2 Financial Evaluation

3.3.2.1 A cost evaluation will be completed for the short-listed Bidders after the

Technical evaluation. The result of the (Technical and Financial Proposals) total scores will determine the successful bidder.

3.4 Evaluation Framework

3.4.1 The BGLC Evaluation Committee, on the basis of suitability of the services offered, will

evaluate the Proposals. This process will be completed within fourteen (14) days of

receipt of the proposal. During this time the Supplier may be requested to supply

supplementary information. Any such request shall be forwarded to other bidders for

the contract.

3.4.2 The specifications listed in APPENDIX VI are the minimum requirements. Suppliers

must match or are free to exceed the quoted specifications. Tenders not meeting the

minimum technical specifications shall be rejected.

3.5 Clarification and Waivers

In order to obtain the most advantageous offer, the BGLC reserves the right at its Sole discretion:

3.5.1 To waive formalities, minor irregularities and/or minor non-compliance by any Bidder

with the requirements of the RFP.

3.5.2 To request clarification from Bidders, at any time during the evaluation process. Bidders will be given forty-eight (48) hours, excluding weekends and Jamaican public holidays, to respond in writing. Failure to meet this deadline may result in the Proposal being considered non-compliant and given no further consideration.

3.5.3 To request clarification and/or further information from Bidders after the Proposal

Due Date and Time, if necessary.

3.5.4 To accept any portion or all items proposed, if deemed in the best interest of the BGLC.

3.5.5 To enter into negotiations with other Bidders based on their scores/rankings, or to discontinue negotiations and terminate the RFP, if negotiation with Successful Bidder does not result in a Final Agreement

3.5.6 To not undertake any subsequent public tenders for the remaining phases of the GMIS

project.

3.6 Rejection of Proposal

3.6.1 The BGLC retains the right to reject any or all proposals without incurring any liability to the affected Bidder and without any further obligation to inform the affected Bidder of the reasons for rejection.

3.6.2 The BGLC retains the right to declare the invitation for bid unsuccessful if there is sufficient evidence of lack of responsiveness to the requirements specified, or if the BGLC determines that the Bid prices are unreasonably high.

3.6.3 Any restrictions on the use of data contained within the Proposal must be clearly

stated in the proposal itself. All materials submitted regarding this RFP become the property of the BGLC and will not be returned to the Bidder.

3.6.4 The BGLC is not obligated to award any contract as a result of the RFP.

3.7 Final Award

3.7.1 The BGLC will notify the successful Bidder in writing that its tender has been

accepted as the one best suited to supply requisite GMIS Systems Design & Project Management Services.

3.7.2 The BGLC reserves the right to award without discussions.

3.7.3 The Successful Bidder may be invited to the BGLC, at the Bidder’s expense, to have

discussions relating to the final Contract, if the BGLC considers this appropriate.

3.7.4 After the Successful Bidder furnishes the documents required in the acceptance letter, the BGLC will notify the other short listed Bidders that their bids have been unsuccessful.

3.7.5 Proposals will be considered solely on the basis of a business arrangement with no

linkage to offers of donation, scholarships or similar quid pro quos. 3.7.6 At its sole discretion, BGLC may choose to exercise its option to purchase any or all

Options proposed by the Successful Bidder that it may deem provides value towards

realizing the objectives of the GMIS. The BGLC reserves the right to exercise such options at any point in the term of the awarded contract. Any Options proposed for phases subsequent to the 1st Phase will only be considered within the context of the requirements and design developed in the 1st Phase.

4 BIDDER’S ESSENTIALS OF THE PROPOSAL

7.1 General Guidelines

7.1.1 Bidders should provide very competitive pricing arrangements for services.

7.1.2 The proposed payment schedule must be clearly indicated. 7.1.3 Any Options proposed by a Bidder must be separately and independently

priced within the Financial Proposal. 8 NOTES

Issuance of this request does not constitute an award or commitment on the part of BGLC, nor does it commit BGLC to pay for the costs incurred in the submission of a Proposal. Further, BGLC reserves the right to reject any or all Proposals received. Response and Time Frame – It is in the best interest of BGLC to process the Bidders’ responses and to enter into a contract for these services in a timely and efficient manner. To provide Gaming Management Information System solution that will allow the BGLC to effectively licence, monitor and enforce all regulatory functions for all the Gambling sectors which it oversees. The solution should allow for data capture of information from all Licensees and should also provide timely reporting, which can easily interface and integrate with BGLC's financial application system, thereby creating a dynamic corporate solution. The system should contain a Central Management System with separate Intelligent IP Video Surveillance and Data Monitoring systems to continuously monitor regulatory compliance on particular gaming systems within the jurisdiction in both a real and near real-time manner. This secure and resourceful Gaming Management Information system (GMIS) will portray the appropriate image of the BGLC, while providing tangible secure online tools to assist in the capturing, storing, retrieving, reporting and dissemination of vital information. The BGLC GMIS should be a web-based application that enables activities including connecting business processes within the business and across the supply chain by unifying access to structured and unstructured data, integrating applications to support the business processes as well as effectively integrating back-office applications and providing access to real-time, current and consistent information. The complete GMIS should be an N-Tiered architecture consisting of:

• individual Data Monitoring Systems can be used providing the ability to monitor an individual gaming system (i.e.: Gaming Machines, Sports Betting, Lottery, Pari-Mutuel, etc.) in near real time to verify regulatory compliance

• Intelligent IP Video Surveillance solutions (An add on)

• License Management System providing tools in the administration and enforcement of gaming licenses

• Billing and Invoicing System handling all financial transactions related to taxes and gaming

payouts

• Intelligent Reporting capabilities illustrating the various activities and trends as they occur

• Data Warehousing capabilities to illustrate historical trends and to provide sufficient business intelligence to regulators in order to make informed decisions

These systems, when deployed in parallel, will provide an integrated, automated system for tracking and enforcing financial and regulatory requirements across the BGLC spectrum of gaming activities. A single Monitoring System should be outlined and deployed for a given gaming system and will monitor all transactions that originate or terminate on that system.

The Monitoring System, connected through a direct network node, will receive native-format transactions and analyze them for regulatory compliances. In addition to regulatory compliances, the Monitoring System will perform an independent calculation of prices for each gaming event. The automated comparison of Monitoring System calculations versus the gaming system calculations provides an independent audit of all game events and winning monies. All aspects of the game day, gaming events and financial information should be made accessible for examination and analysis via intelligent reporting and modern web-based interfaces. Each of these Monitoring Systems should function in standalone mode or be networked to the “higher tier” Central Management System. The roles of the Central Management System includes, but not limited to:

• Manages gaming permits across the regulatory jurisdiction by centrally managing the permit database to all networked Monitoring Systems

• Provides a mechanism for ensuring that regulatory information is consistent across all

Monitoring Systems in your jurisdiction

• Stores and reports on summarized financial information from all monitored gaming systems in the jurisdiction

• Manage the accounting of proceeds from the gaming activities including taxes

• Facilitate trend analysis, budget forecasting and business productivity Some of the primary benefits to the BGLC are:

APPENDIX VII:

GENERAL TERMS OF CONTRACT 1. GENERAL PROVISIONS 1.1 Definitions Unless the context otherwise requires, the following terms whenever used in this Contract have the following meanings: (a) “Acceptance” means BGLC ’s written certification that the goods have been tested and

verified as complete and in accordance with the Contract document.;

(b) “Applicable Law” means the laws of Jamaica and any other instruments having the force of law in Jamaica, as they may be enacted and in force from time to time;

(c) “Contract” means the Agreement for Procurement of Goods signed by the Parties, to which these General Conditions of Contract (GC) are attached, together with all the documents listed in Clause 1 of such signed Contract;

(d) “Contract Price” means the price to be paid for the goods, in accordance with tender documents, including any technical specifications;

(e) “Defects Liability Period” means a period of time, as stated in the Contract documents, during

which any defects or non-conformity in material or workmanship shall be made good at the expense of the Contractor;

(f) “Commencement Date” means the date on which this Contract comes into force;

(g) “Foreign currency” means any currency other than the currency of the Government of

Jamaica; (h) “GC” means these General Conditions of Contract;

(i) “BGLC” means Betting, Gaming & Lotteries Commission;

(j) “Local currency” means the currency of Jamaica;

(k) “Party” means BGLC or the contractor, as the case may be, and “Parties” means both of them;

(l) “Personnel” means persons hired by the Contractor as employees and assigned to the

performance of the contract or any part thereof;

(m) “Project Site” means the site for delivery of the goods and any incidental services; (n) Services” means any incidental services (including transportation, installation, after-sales

service, etc.) to be performed pursuant to this contract, as shown in the Contract documents; (o) “Third Party” means any person or entity other than BGLC or the Contractor.

Law Governing the Contract This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the Applicable Law.

Language This Contract has been executed in the English language, which shall be the binding and controlling language for all matters relating to the meaning or interpretation of this Contract. Headings The Headings in this Contract are for reference purposes only and shall not limit, alter or otherwise affect the meaning of the clauses in this Contract. Notices

Any notice, request, or consent required or permitted to be given or made pursuant to this Contract shall be in writing. Any such notice, request or consent shall be deemed to have been made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent by registered mail, to the registered business address of the party to whom it is being sent, or such other address as may be notified by that Party from time to time in accordance with this clause; or when sent by electronic mail or facsimile, to the correct electronic mail address or facsimile number of the Party to whom it is being sent as may be notified by that Party from time to time in accordance with this clause. In the case of personal delivery, notice will be deemed to have been received at the time of delivery to the registered address of the Party to whom the notice is being sent or to such other address as is notified by that Party to the sending Party.

In the case of notice being sent by registered mail, notice will be deemed to have been received five (5) days after the date of posting of that notice. In the case of notice being sent by electronic mail or facsimile, notice will be deemed to have been received twenty-four (24) hours after the date and time of the sending of the notice to the correct electronic address or correct facsimile number.

Authorized Representatives Any action required or permitted to be taken, and any document required or permitted to be executed, under this Contract by BGLC or the Contractor may be taken or executed by the officials who have executed this Contract document or their authorized representatives.

Taxes and Duties The Contractor shall pay such taxes, duties, fees, and other impositions as may be levied on it under the Applicable Law.

Tax Compliance Certification The Contractor shall present to BGLC, at the time of contract award, a valid Tax Compliance Certificate.

Corrupt or Fraudulent Practices BGLC requires that participants in its procurement processes observe the highest standard of ethics during the procurement and execution of its contracts. In pursuance of this policy, the BGLC:

(a) defines, for the purposes of this provision, the terms set forth below as follows:

(i) “corrupt practice” means the offering, giving, receiving or soliciting anything of value to influence the action of a public officer in the procurement process or in contract execution; and

(ii) “fraudulent practice” means a misrepresentation of facts in order to influence a procurement process or contract execution and includes singular or collusive practice among bidders (prior to or after bid submission) designed to unfairly influence the contract award process, and deprive the Government of Jamaica of the benefits of fair competition;

(b) shall reject a proposal for award if it determines that the Bidder recommended for award has

engaged in corrupt or fraudulent practices in competing for this contract:

2 COMMENCEMENT, COMPLETION, MODIFICATION AND TERMINATION OF CONTRACT 2.1 Commencement of Contract

This Contract shall come into force and effect on the effective date as specified in writing by BGLC, on which date the Contractor shall commence the provision of the goods.

2.2 Termination of Contract

Unless terminated earlier pursuant to Clause GC 2.6 hereof, this Contract shall expire at such time as directed by BGLC or such other period as the parties may agree in writing.

2.3 Entire Agreement

This Contract contains all covenants, stipulations and provisions agreed by the Parties. No agent or representative of either Party has authority to make, and the Parties shall not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein.

2.4 Modification

BGLC may at any time, by a written Order given to the contractor make changes within the general scope of the Contract for the goods to be supplied. Modification of the terms and conditions of this Contract shall only be made by written agreement between the Parties after each Party has given due consideration to any proposals for modification made by the other Party.

2.5 Force Majeure

(a) For the purposes of this Contract, “Force Majeure” means an event which is beyond the reasonable control of a Party, and which makes a Party’s performance of its obligations hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances, and includes, but is not limited to, war, riots, civil disorder, earthquake, fire, explosion, storm, flood or other adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or other industrial action are within the power of the party invoking Force Majeure to prevent), confiscation or any other action by government agencies.

(b) Force Majeure shall not include any event which is caused by the negligence or intentional

action of a Party or such Party’s agents or employees, nor any event which a diligent Party could reasonably have been expected to take into account at the time of the conclusion of this contract, and avoid or overcome in the carrying out of its obligations hereunder.

(c) Force Majeure shall not include insufficiency of funds or failure to make any payment required hereunder.

2.5.1 Breach of Contract The failure of a Party to fulfil any of its obligations hereunder shall not be considered to be a breach of, or default under, this Contract insofar as such inability arises from an event of Force Majeure; provided that the Party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, in the performance of this Contract and in conformity with its terms and conditions. 2.5.2 Measures to be Taken (a) A Party affected by an event of Force Majeure shall take all reasonable measures to remove

such Party’s inability to fulfil its obligations hereunder with a minimum of delay. (b) A Party affected by an event of Force Majeure shall notify the other Party of that event as

soon as possible, but not later than fourteen (14) days following the occurrence of the event. The affected Party shall provide evidence of the nature and cause of the event, and shall give notice to the other Party of the restoration of normal conditions as soon as possible.

(c) The Parties shall take all reasonable measures to mitigate the consequences of any event of Force Majeure.

2.5.3 Extension of Time Any period within which a Party is required by this Contract to complete any action or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure. 2.5.4 Consultation

Not later than fourteen (14) days after the Contractor, as the result of an event of Force Majeure, has become unable to perform a material portion of the contract, the Parties shall consult with each other with a view to agreeing on appropriate measures to be taken in the circumstances. 2.6 Termination 2.6.1 By BGLC

BGLC may terminate this Contract for the reasons stated below in this Clause by not less than twenty (20) days’ written notice of termination to the Contractor, except in the event listed in paragraph (f) below, for which there shall be a written notice of not less than thirty (30) days, such notice to be given after the occurrence of any of the events specified in paragraphs (a) through (f) of this clause GC 2.6. (a) if the Contractor fails to remedy a failure in the performance of its obligations hereunder

within (20) days of receipt of notification of the failure from BGLC;

(b) if the Contractor becomes insolvent or bankrupt or enters into any agreements with its

creditors for relief of debt or takes advantage of any law for the benefit of debtors or goes into liquidation or receivership whether compulsory or voluntary;

(c) if the Contractor fails to comply with any final decision reached as a result of arbitration

proceedings pursuant to Clause GC 6.3 hereof; (d) if the Contractor submits to BGLC a statement which has a material effect on the rights,

obligations or interests of BGLC and which the Contractor knows to be false; (e) if, as the result of Force Majeure, the Contractor is unable to perform a material portion of the

contract for a period of not less than sixty (60) days; or (f) if BGLC in its sole discretion and for any reason whatsoever, decides to terminate this

Contract. 2.6.2 By the Contractor

The Contractor may terminate this Contract for the reasons stated below in this Clause by not less than thirty (30) days’ written prior notice of termination to BGLC, such notice to be given after the occurrence of any of the events specified in paragraphs (a) through (d) below:

(a) If BGLC fails to pay any money due to the Contractor pursuant to this Contract and not subject

to dispute pursuant to Clause GC 6 within ninety (90) days after receiving written notice from the Contractor that such payment is overdue;

(b) If BGLC is in material breach of its obligations pursuant to this contract and has not remedied

the same within sixty (60) days (or such longer period as the Parties may have agreed in writing) following the receipt by BGLC of the Contractor’s notice specifying such breach;

(c) If, as the result of Force Majeure, BGLC is unable to perform a material portion of its

obligations under the contract for a period of not less than sixty (60) days; or (d) If BGLC fails to comply with any final decision reached as a result of arbitration pursuant to

clause GC 6 hereof. 2.6.3 Disputes about events of Termination

If either party disputes whether an event specified in paragraph (a) through (f) Clause GC 2.6.1 or in Clause GC 2.6.2 hereof has occurred, then that party may, within fourteen (14) days after receipt of notice of termination from the other party, refer the matter to arbitration pursuant

to clause GC 6 hereof: and this Contract shall not be terminated on account of such event except in accordance with the terms of any resulting arbitration award.

OBLIGATIONS OF THE CONTRACTOR 3.1. General Obligations 3.1.1 Standards of Performance

The goods and incidental services supplied under this Contract shall conform to the standards detailed in the Description of Goods/Terms Of Reference at Appendix VI. Proof of conformance shall reside with the Contractor. The Contractor shall carry out the obligations hereunder with due diligence, efficiency, and economy, in accordance with the contract documents. The Contractor shall ensure that good(s) conform to applicable technical, environmental and quality standards, that no chemical or other product/equipment is used in such a way as to cause negative impact on the environment in general and occupational health hazards for the personnel of BGLC in particular, and shall employ the most recent technology, safe and effective equipment, machinery, materials and methods, as necessary. The Contractor shall always act, in respect of any matter relating to this contract, to safeguard BGLC’s legitimate interests, pursuant to Conditions of this Contract.

Diligence and Due Care

The Contractor is responsible for, and obligated to conduct all contracted activities with due care and diligence, in accordance with the Contract and using state-of-the-art methods and exercising all reasonable means to achieve the performance specified in the Contract. The Contractor is responsible for managing the activities of its personnel and will hold itself responsible for any misdemeanours. The Contractor shall appoint an experienced Representative to manage its performance of the Contract throughout execution. The Representative shall be authorized to accept orders and notices on behalf of the Contractor, and to generate notices and commit the Contractor to specific courses of action within the scope of the Contract. The Contractor shall complete delivery, repairs and/or replacements in accordance with Contract requirements.

Prohibition of Conflicting Activities

During the terms of this Contract, the Contractor shall not engage, and shall cause their Personnel not to engage, either directly or indirectly in any business or professional activities, which would conflict with the activities assigned to them under this Contract.

Confidentiality

The contractor shall not, without BGLC’s prior written consent, disclose the Contract, or any provision thereof, or any specification or information furnished by or on behalf of BGLC in connection therewith, to any person other than a person employed by the Contractor in the performance of the

Contract. Disclosure to any such employed person shall be made in confidence and shall extend only as far as necessary for purposes of such performance. The Contractor shall hold all employees to the same level of confidentiality as provided herein.

Liability

The Contractor’s liability under this Contract shall be as provided by the Applicable Law, and BGLC shall be liable as pursuant to the applicable law for any breach of contract committed against the Contractor.

Insurance

The Contractor shall indemnify BGLC against all actions, suits, claims, demands, costs, charges and expenses arising in connection therewith on account of any injury, loss or damage, including to person and property, resulting from execution of this Contract and/or negligence of the Contractor.

BGLC shall indemnify the Contractor against all actions, suits, claims, demands, costs, charges and expenses arising out of the negligence of BGLC.

BGLC shall not be liable for any damages or compensation in respect of any accidents or injury to any workman or other person in the employ of the Contractor, save and except for accident or injury resulting from any act or default of BGLC, its agents or servants. The Contractor shall indemnify BGLC against any and all such damages, claims and or compensation for the duration of the contract period.

BGLC Security

The Contractor shall comply, in accordance with the applicable law, with BGLC’s security policies and regulations and shall take all necessary steps to protect and secure the confidentiality of information and materials that are the property of BGLC.

4. CONTRACTOR PERFORMANCE

4.1 Assignment

The Contractor shall not assign, in whole or in part, its obligations to perform under this Contract, except with BGLC’s prior written consent (such consent not to be unreasonably withheld).

4.2 Packing The Contractor shall provide such packing of the goods as is required to prevent their damage or deterioration during shipment and/or other transport. The Contractor shall promptly repair or

replace any goods that are damaged in transit due to inadequate packing or any other related causes. Packages shall be clearly demarked for easy identification.

4.3 Incidental Services

The Contractor is required to provide any or the entire incidental services required to effectively execute this contract.

4.4 Delivery

4.4.1 The Contractor shall deliver the goods to BGLC at the project site(s) during the contract

period. 4.4.2 If the Contractor fails to deliver all of the goods in accordance with the Contract on the

delivery date, then, without prejudice to BGLC’s rights for breach of Contract, BGLC may terminate the Contract pursuant to the GC.

4.4.3 Where delivery of any or all of the goods to be delivered under this Contract is less than the

agreed quantity, or otherwise does not conform to the terms and conditions of Contract and BGLC has not exercised its rights of termination under the GC, BGLC may either accept these goods and recover for the Contractor’s breach, or BGLC may require the Contractor promptly to deliver sufficient goods or to re-deliver the goods to comply with the Contract documents. BGLC may exercise these rights by written notice to the Contractor.

4.4.4 The Contractor shall rectify any and all defects immediately upon notification of such defects

by BGLC or its representative pursuant to the GC. 4.5 Inspection and Acceptance

4.5.1 BGLC, or its representative, shall have the right to inspect and/or test the goods supplied

and services performed to confirm their conformity to the Contract documents and shall notify the Contractor of the identity of any representative retained for these purposes.

4.5.2 Should any inspected or tested goods and/or services fail to conform to the specifications,

BGLC may reject the goods and/or services and notify the Contractor of such rejection in writing. The Contractor shall forthwith either replace the rejected goods and/or services or make alterations necessary to meet specification requirements free of cost to BGLC.

At BGLC’s discretion, inspection for acceptance shall also be performed on the replaced and/or altered goods and/or incidental services.

4.5.3 Nothing in this Clause shall in any way release the Contractor from any liability, warranty or other obligations under this Contract.

4.6 Contractor Warranty

4.6.1 The Contractor warrants that the goods supplied under the Contract are new and unused.

The Contractor further warrants that all goods supplied under this Contract shall have no defect arising from design, materials or workmanship or from any act or omission of the Contractor, and are of the desired quantity and quality, pursuant to the Contract documents.

4.6.2 BGLC shall promptly notify the Contractor in writing of any claims arising under the

Contractor’s warranty. Upon receipt of such notice, the Contractor shall forthwith repair or replace non-conforming goods or parts thereof or incidental services without cost to BGLC.

4.6.3 If the Contractor, having been notified, fails to forthwith remedy the non-conformance,

BGLC may proceed to take such remedial action as may be necessary, at the Contractor’s risk and expense and without prejudice to any other rights that BGLC may have against the Contractor under the Contract.

4.7 Manufacturer’s Warranty

The Contractor shall ensure that the Manufacturer’s Warranty on goods supplied under this Contract is available to BGLC, if required by the Contract documents.

4.8 Spare Parts and/or Accessories The Contractor shall supply the amount, number and/or type of spare parts and/or accessories, if required by the Contract documents, as part and parcel of this contract.

4.9 Operating Manuals The Contractor warrants that all operating manuals, as necessary for the successful operation and maintenance of the good(s) being supplied, shall be provided to BGLC, for its ownership and use, as part and parcel of this contract.

5. PAYMENTS GUARANTEES AND LIABILITIES

5.1 Contract Price The Contract Price is as stated in the Contract documents, a breakdown of which is as set forth in the Contractor’s Bid.

5.2 Currency of Payment The currency of payment shall be as specified in the Contract documents.

5.3 Performance Security

5.3.1 If required by the Contract documents, the Contractor shall furnish a Performance Security,

in the amount and form as specified. 5.3.2 The proceeds of the performance security shall be payable to BGLC as compensation for any

loss resulting from the Contractor’s failure to complete its obligations under the Contract.

5.3.3 The performance security shall be valid until discharged by BGLC and returned to the Contractor not later than thirty (30) days after the completion date.

5.4 Mode of Billing and Payment

Billings and payments shall be made as follows:

(a) Notwithstanding the following paragraphs, all payments shall be tied to Contractor performance.

(b) If any instalment payment to be paid to the Contractor by BGLC remains unpaid for a period in excess of ninety (90) days after submission of the Contractor’s request for payment, the Contractor may terminate this agreement upon expiration of thirty (30) days written notice to BGLC. This agreement upon said expiration shall terminate absolute and the Contractor’s obligations to BGLC shall cease without prejudice to the liability of BGLC in respect of the outstanding payment(s).

(c) In accordance with GC 5.9, BGLC reserves the right to withhold a percentage of the total contract price.

5.5 Contractor Payment Requests Subject to any advance payment, no payments shall become due until BGLC has received a request for payment from the Contractor. Requests shall be in writing and accompanied by an invoice describing the goods delivered and/or the services performed and upon fulfilment of any other obligations stipulated in the Contract.

5.6 Advance Payment “Not applicable.”

5.7 Delays in Contractor Performance If at any time during performance of the Contract, the Contractor should encounter conditions impeding timely delivery of the goods and services, the Contractor shall promptly notify BGLC in writing of the fact of the delay, it’s likely duration and its cause(s). As soon as practicable, after receipt of the Contractor’s notice, BGLC shall evaluate the situation and may, at its discretion, extend the Contractor’s time for performance, with or without liquidated damages, in which case the extension shall be ratified by the parties by amendment of the Contract.

5.8 Liquidated Damages Subject to Clause 5.7 of the GC, if the Contractor fails to deliver any or all of the services within the period(s) specified in the Contract, BGLC shall without prejudice to its other remedies under the Contract, deduct from monies due to the Contractor liquidated damages in the amount of 0.1% of the Contract sum per calendar day for each day of delay up to a maximum of 15% of the contract price.

5.9 Retention Monies BGLC shall withhold two percent (2%) of the Contract Price for the duration of the defects liability period as stated in the Contract documents.

(a) Should the Contractor correct identified defects/non-conformities in the goods(s) and/or incidental services, and these corrections be accepted by BGLC, BGLC shall pay over the retained monies to the Contractor at the end of the defects liability period.

(b) Should the Contractor fail to correct any defects in the good(s) and/or incidental services, BGLC shall use the monies retained for the correction of said defects/non-conformities, and the Contractor shall forfeit receipt of same.

6.0 SETTLEMENT OF DISPUTES

6.1 Amicable Settlement Any claim for loss or damage arising out of breach or termination of the Agreement shall be settled between BGLC and the Contractor by negotiation. If this negotiation is not successfully settled within fifteen (15) days after the date of initiation of the negotiation or within such longer period as the parties may mutually agree, then the parties will jointly agree, within ten (10) days after the date of expiration of the period in which the parties should have successfully concluded their negotiations, to appoint a Mediator to assist in reaching an amicable resolution of the dispute. This procedure shall be private and without prejudice. If the parties fail to agree upon the appointment of a Mediator within the stipulated period, then within seven (7) days of the expiration of this period, BGLC shall request appointment of a Mediator by the Dispute Resolution Foundation of Jamaica. The Mediator shall not have the power to impose a settlement on the parties. If the dispute is not resolved between the parties within thirty (30) days after the appointment of the Mediator by the Dispute Resolution Foundation of Jamaica, or after such longer period as the parties may mutually agree, the Mediator shall advise the parties of the failure of the Mediation. For the purposes of this clause, a negotiation is deemed to have been initiated as of the date of receipt of notice by one party of a request from the other party to meet and negotiate the matter in dispute. Such notice shall be given in accordance with Clause GC 1.5. For the purposes of this clause, a Mediator is deemed to have been appointed as of the date of notice of such appointment being given to both parties in accordance with Clause GC 1.5.

6.2 Dispute Settlement

In the event of the failure of the mediation between the parties, the Mediator will record those verifiable facts that the parties have agreed. Arbitration shall be conducted in accordance with Clause GC 6.3. The parties agree to accept the award of the Arbitrator as binding and irrevocable within the provisions of the Arbitration Act of Jamaica. The Mediator’s role in the dispute resolution process shall cease upon the appointment of the Arbitrator. During the dispute settlement process the Contractor shall continue to perform the work in accordance with this Contract. Failure to do so shall be considered to be a breach of this contract.

6.3 Arbitration The seat of the arbitration shall be Jamaica and disputes shall be settled in accordance with the Arbitration Act of Jamaica. Rules of procedure to be adopted shall be those as published by the United Nations Commission on International Trade Law (UNCITRAL).
