Jostens Inc. is killing its $486 million pur-chase of competitor American Achieve-ment Group Holding Corp. after regula-tors opposed the deal.

The Federal Trade Commission vot-ed last week to seek a federal court order to block the Bloomington-based year-book and class-ring maker’s proposed transaction.

The FTC opposed the deal because it would have hurt buyers of class rings, Bureau of Competition Director Debora Feinstein said. “A combination of two of the three leading manufacturers would

have led to high-er prices and low-er quality for the students and their parents who pur-chase these rings,” she said in a news release.

Jostens CEO Chuck Mooty would have led the com-bined organization.

Jostens’ Armonk, N.Y.-based parent company, Visant Corp., will not pay a termination fee to Austin, Texas-based American Achievement for the failed acquisition, Visant Chief Finan-cial Officer Paul Carousso said.

Regulators started their investiga-tion when Jostens announced the deal in November. The deal was expected to close by July.

Visant CEO Marc Reisch said the com-pany was “extremely disappointed” and disagreed “fundamentally” with the FTC.

“We continue to believe that based on current industry dynamics the combina-tion would not have an adverse effect on competition and that the significant syn-ergies and operating efficiencies from the proposed transaction would contribute to the competitive landscape. However, entering into a protracted litigation with the FTC and the inherent cost and distrac-tion is not in the best interests of our stake-holders,” he said in a statement.

1. Big G backs off on privacy changes: After a social-media outcry, General mills Inc. retreated on a new privacy policy that sought to bar consumers from suing the company if they engaged with it online.

2. $105M ‘green’ chemistry plant: Segetis Inc. wants to build a $105 million facility in Hoyt Lakes where it will make chemicals out of corn sugar. It’s seeking $21.5 million in financing.

3. Bartmann wants in at Loring Park: Restaurateur Kim Bartmann is planning a restaurant at the former Café maude site near Loring Park, but needs an OK on building changes.

4. New Rochester tower plan OK’d: The $110 million mixed-use project by Titan Ventures would be the city’s second-tallest building.

5. Honeycrisps all year long: A minnesota company has begun importing harvests of the popular apple variety, developed at the University of minnesota. Before now, it hasn’t been readily available during the spring or summer months.

6. All-night light rail: metro Transit said that Green Line light rail trains will run hourly between 1 and 4 a.m., the area’s first 24-hour LRT schedule.

Software for sniffing out sepsis and per-sonalized-medicine technology were among the Minnesota products winning over venture capitalists in the first quarter.

VCs invested about $83 million into 11 Minnesota companies during the first quarter of 2014, according to the Mon-eyTree Report, which is compiled by the National Venture Capital Association and PricewaterhouseCoopers using data from Thomson Reuters.

The largest round of funding, worth $25 million, went to Tendyne Holdings Inc., a Roseville-based startup develop-ing devices for treating leaky heart valves. Other med-tech deals went to Maple Grove-based NxThera Inc., which raised $5.8 million for clinical trials, and Inspire Medical Systems, which makes a device for treating sleep apnea. Maple Grove-based Inspire raised $3.5 million and recently posted strong results from a clinical trial.

The largest software deal went to TST Media Inc., which does business as Sport Ngin and makes Web and mobile software for sports organizations. The Minneapolis-based company raised $15 million.

Health care technology companies, including Gravie Inc. and Ambient Clini-cal Analytics, also raked in funds.

Ambient raised $1.1 million, which will go toward pursuing regulatory approvals and a product launch, said CEO Al Bern-ing. Mayo Clinic developed the company’s software, which analyzes patient data in real time. Ambient’s tools aim to alert phy-sicians when a patient is at risk of develop-ing serious health problems. It has already patented a sepsis-detecting feature it calls

“Septic Shock Sniffer.”Overall, the fundraising environment

has improved in recent years, said Bern-ing, a serial tech entrepreneur. “With IPOs up and the economy in a recovery mode, it’s certainly better than it was.”

One biotech startup, Celcuity, raised funds during the quarter. The company’s technology aims to anticipate if a drug will work on an individual patient. It is led by Brian Sullivan, a serial entrepreneur who previously led SterilMed and sold it to Johnson & Johnson for $350 million.

The company will start out targeting the cancer market, Sullivan said. The invest-ment reported by MoneyTree is part of a larger $4.75 million round.

Venture investment in the state was down compared to the fourth quarter, when companies raised $121 million. However, the first-quarter total remains above the low points Minnesota hit amid the recession, said Mark Scholtes, a part-ner at PricewaterhouseCoopers’ Minneap-olis office.

“I think we’re on track for another good year.”

Minneapolis-based Allina may allow water births as part of clinical trials in the future, though it has no studies immediately planned. Allina is a big birth-center player in the Twin Cities, with Abbott Northwestern Hospital delivering more newborns than any other hospital in the state.

So far, it appears unlikely that other Twin Cities health providers will follow Allina’s lead. Here’s a round-up of who’s staying in the water-birth game:

HealtHPartners Inc. will continue to offer water births at Regions Hospital in St. Paul, Methodist Hospital in St. Louis Park and at its western Wisconsin hospitals, a spokesman said. Methodist recently completed an $11 million renovation of its birth center that included four water-birthing suites.

FaIrvIew HealtH servIces, based in Minneapolis, will continue offering water births at the University of Minnesota Medical Center “when medically appropriate,” a spokesperson said.

st. Paul-based HealtHeast care system continues to offer water births at St. Joseph’s, St. John’s and Woodwinds hospitals.

HennePIn county medIcal center has no plans to cease water births.

Is Peoples Organic going to grow out of state? There’s a Florida group that is considering the concept … but in many ways, I am really slowing the process down. It’s not a race. It’s important that we really understand the customer. We want to focus on Minnesota this year, at least.

How are things going at next-door CC Club (which French Meadow bought in 2013)? We made a point of making few changes. We may paint the building this year, and that’s about the extent of the changes we’re making. We have retained most of the staff, but a few have left.

The CC Club, a dive bar, is so different than your organic cafe business. Initially I wasn’t interested in trying the food, but now that I own it, I sample the food. It’s not organic, but it’s really good, homemade bar food. So I was kind of surprised.

Real estate broker Carol March is behind the 10,000-square-foot, two-level restaurant across the street from Mears Park and next door to Barrio. A dining room will seat 180 and a below-ground lounge area will seat another 80. An outdoor patio will have space for 50. March, who has two silent partners, brought in Greg Johnson, executive chef from Kincaid’s St. Paul, to handle the kitchen. Expect an early summer opening.

Gary Bougie, the owner and chef at newly opened Pizzeria Pezzo in White Bear Lake, died at age 35 on April 18. Bougie was brought in from Chicago by the family who owns Kowlaski’s Markets to launch the pizzeria in December. Bougie is a St. Paul native. Before moving back to his hometown, he opened Slyce Coal Fired Pizza Co. in the Chicago area. His obituary says he died from complications following a surgery. The Bonfire Restaurant Co. chain has hired a new chef for the first time in its 18-year-history. Mitch Wachman, a former owner and operator at Champps Americana, will lead the six-location chain. Ryan’s big ‘air rights’ deal near new Vikings stadium could get even bigger

R yan Cos. US Inc.’s proposal for a hotel and apartment project next to the new Minnesota Vikings stadium could get bigger.

The initial $101 million proposal that Ryan submitted to the city of Minne-apolis in March described a 27-story tower anchored on the first 10 floors by a 150-room Radisson Red hotel (developed with Minnetonka-based Carlson Rezidor Hotel Group) and topped by 17 floors containing 200 apartments (developed with Chicago-based Magellan Development). The project would occupy the “air rights” above a new 1,600-stall parking ramp.

Ryan is exploring plans for more apartment units and a tower that could be up to 35 stories tall, according to sources familiar with the project who declined to be named because the plans are still fluid.

Ryan Cos. Vice President of Development Rick Collins declined to provide specifics on the potential increase in height. A final decision on the building’s scope should come by mid-to-late May, he said. “We’ll have a much better sense of how everything works and how it fits in. There are plenty of issues on the table and all those have a bearing on what we ultimately develop and build.”

In March, the Minneapolis City Council picked Ryan’s development plan over one proposed by Golden Valley-based Mortenson Development for the space above the park-ing ramp by the new Vikings stadium. Ryan is working on details of a development contract with the city as it tries to finalize the exact density of the project.

Westwood’s solar-energy experts get a lot more local calls these days.

The Eden Prai-rie engineering firm,

which historically performed most of its solar-site assessment and facility-design work outside of Minnesota, is among several Twin Cities companies benefit-ing from a flare-up in Minnesota solar development.

“We did some high-profile projects in Minnesota a few years ago, but then things really tapered off and most of our busi-ness was in almost every other state,” said Aaron Tippie, Westwood’s vice president of power. “With the revised legislation, interest in projects in the state has really started to pick up.”

The legislation that Tippie refers to requires investor-owned utilities in Min-nesota to generate 1.5 percent of their elec-tric sales from solar power by 2020. That percentage sounds small, but the infra-structure development required to meet it is big. Xcel Energy Inc., for instance, must increase its solar-electric capacity more than 20-fold over the next six years from about 14 megawatts now to between 270 and 300 megawatts. The develop-ment required to meet Xcel’s needs alone is expected to lure national solar players to Minnesota. And the combination of the state mandate, the declining cost of solar energy and state incentives will generate more

business for Twin Cities solar developers, professional-services firms and manufac-turers in the coming years.

Of course, as with any energy source that’s partially reliant on subsidies, there’s a risk that those opportunities will shrink or otherwise change along with govern-ment policy.

Project boomThere already are several solar projects

underway in Minnesota, and Xcel this week released a request

for proposals for up to 100 megawatts of solar capacity it wants to add by the end of 2016. That RFP is expected to attract national solar players to compete with local companies that are used to having the Minnesota market to themselves.

The state mandate automatically creates a market for development, but the overall declining cost of solar power also plays a big role, said Betsy Engelking, vice presi-dent of development for Geronimo Energy, an Edina-based company that’s planning a $250 million solar project in Minnesota.

Minnesota ranks No. 29 nationwide when it comes to solar capacity (see chart on page 12). It doesn’t have large swaths of sunny desert to develop, and farmland is often too profitable to convert into energy sites. Still, solar can become a meaning-ful part of the state’s energy portfolio, said Laura McCarten, Xcel’s regional vice pres-ident. “We don’t have desert, but I think developers know how to design solar and get the maximum capacity out of it.”

For instance, Geronimo will devel-op marginal and abandoned-industri-al property near cities across the state rather than build one massive solar farm, Engelk-ing said. “We’re choosing smaller, multiple sites that feed right into an area where custom-ers will absorb it.”

The project, the largest in the state’s his-tory, would i n c l u d e between

20 and 25 arrays that generate up to 100 megawatts of power combined. Geronimo is negotiating a power-purchase agree-ment with Xcel, which would buy energy from the project.

Other developers aim to profit from smaller “community-solar” projects. Riv-er Falls, Wis.-based Able Inc., for instance, plans a $2 million, 4,000-panel project in Woodbury that would generate energy to power 150 homes. It may build up to four more projects in Washington County and is scouting for sites in Hennepin County, said Ben Ganje, Able’s spokesman.

For now, most of the community-solar developers are local, but Ganje expects companies from Colorado and possibly California to move into the Twin Cities market over the next year.

Meanwhile, some Twin Cities compa-nies are going even smaller than Able, including Minneapolis-based Minnesota Community Solar. That company already sold out subscriptions for a rooftop project at the Northern Sun merchandising build-ing at 2916 E. Lake St. Those solar panels will power up to 10 homes.

Minnesota Community Solar on Tues-day announced an additional project that will place panels atop the roof of Bethel

Evangelical Lutheran Church in south Minneapolis.

Other examples of smaller projects in Minnesota include a rooftop array at Tar-get Corp.’s Midway store in St. Paul. That project was one of 16 solar developments funded by about $18 million in renew-able energy grants. Such rooftop projects have been popular with some business-

es, including Ikea, which has solar panels installed on its Bloomington store.

Local playersThe state Legislature last year passed a $150 million “Made in Minnesota” solar initia-tive, which provides incentives annual-ly over 10 years to businesses and home-owners who complete solar projects using locally made solar panels.

Energy, which has a manufacturing plant in Mount Iron, Minn.

The state received more applications than it anticipated and selected winners by lottery.

Silicon Energy expects much of its Minnesota sales to come through the pro-gram, said Vice President Grant Brohm. He declined to disclose the company’s reve-nue, but said the business continues to expand and recently opened a showroom and marketing office in Northeast Minne-apolis. The company employs 10 people there and expects to add between 10 and 15 more over the next two years, Brohm said.

“We’re on a trajectory for sustained year-over-year growth,” he said. “It’s pick-ing up and continues to pick up.”

Activity statewide will generate busi-ness opportunities for professional-ser-vices businesses like Westwood, the Eden Prairie engineering firm. Geronimo Ener-gy often hires Minnesota-based businesses or local offices of national companies, like architecture firm HDR Inc., for projects, Engelking said.

Other Twin Cities companies with solar expertise include Golden Valley-based Mortenson Construction. National players entering the market will generate more competition, but Tippie said Minne-sota has the expertise to compete.

For now, solar-energy services only make up about 8 percent of Westwood’s revenue, but Tippie expects that could increase to between 10 and 15 percent in the coming years.

How do you build a strong relationship with your portfolio companies? Credibility. We’re not finance guys anymore. Most people think of private equity and think of “Barbarians at the Gate” and what happened in the ’80s. That’s just not the way things work. Our pitch to these management teams is, “Let’s work together and build these businesses.” We have to buy and sell, but we’re going to treat the company like we’re going to own it forever.

What do you like about Apothecary and what’s your plan for the business? We feel like they have a very strong position in their market, and that gives us the opportunity to work on things to expand

that empire. More than anything else we want to do what they’re doing today, but try and improve on the execution. We don’t succeed by a stroke of genius; we succeed by a series of making things better.

Private equity firms are sitting on more than $1 trillion in available capital. How does that impact deal flow and how transactions get done? It’s a really difficult market to be a buyer in. It’s a wonderful market to be a seller in. The way we’ve responded to it is, if we find a really good business where we think we can really help grow it, you can pay a premium. You can’t pay too big a premium, otherwise you’ll never catch back up. But at least you have a plan.

Tell me about a time you took a pass on a deal and regretted it. There are too many to tell. This is a business where you have to balance taking advantage of opportunities with not making a mistake. We were really conservative about anything related to housing for about 10 years before the crash and it would have been nice to get half of that right.

Wells Fargo & Co. is your sole investor. What was your first reaction to the Volcker rule, which regulated how banks could invest in private equity? I think we recognized that we were fine right from the outset. I think the spirit of the Volcker rule is correct, but I think it could have been done in a much simpler fashion, with far fewer unintended consequences, and provided us with even more protection.

T im DeVries is the long-time lead-er of private equity firm Norwest Equity Partners, which has had a

busy spring thanks to two big deals. In March, it bought one Twin Cities business, pharmacy-supply distributor Apothecary Products Inc., and sold sports-equipment manufacturer Shock Doctor.

DeVries joined Minneapolis-based Norwest, which has nearly $5 billion in capital under management, in 1998, and served on the board of several of the firm’s Minnesota portfolio companies.

DeVries talked with the Business Jour-nal about getting deals done and building relationships. The following interview is edited for space and clarity.

Few of our lists generate as much contro-versy as The List: Private Equity Firms. No, it’s not about the veracity of the self-reported capital-under-management numbers. Rather, it’s about whether we should classify certain firms as private equity at all.

This year, Stephen Lewis, senior vice

president of Medallion Capital Inc., wrote us to clarify that his firm is a subordinat-ed-debt, or mezzanine, lender that some-times offers an equity co-invest. Medallion doesn’t call itself a private equity firm lest it attract deal flow that has an equity-only need.

Lewis isn’t the only one who is hesi-tant to be identified with the private equi-ty folks. Norwest Mezzanine Partners has made a similar observation, though it grudgingly agrees to participate.

Director of Marketing Heather Good-win has been quite persistent in drawing attention to this, having stated for years that Norwest Mezzanine Partners, a mez-zanine firm, is not the same as a private equity firm.

Lewis and Goodwin suggested that we move the mezzanine firms into their own, separate list.

There’s no time like the present. Thanks to Goodwin’s colleagues within the mezz group at Norwest Mezzanine Partners, we

have just such a list — the metro-area mez-zanine firms. From a similar list sent by Lewis, we’ve added Exmarq Capital Part-ners to what Norwest gave us.

A majority of these mezzanine firms are on this year’s The List: Private Equity Firms — or, at least, their umbrella firms are. The rest either declined to participate, did not respond or weren’t contacted for The List. Next year, perhaps, these firms will have their own list.

Harley Davidson was marketing firm Akquracy’s first client, and it still is one seven years later, said CEO Scott Petinga.

Think differently. Be innovative. Make a difference. Every CEO has said it, or something like it.

Scott Petinga, worldwide chairman and CEO of Akquracy, a Minneapolis-based data-driven marketing firm, built his compa-ny on these principles.

His strategies help clients increase customer loyalty, boost cross-sell opportunities and build long-term, profitable relationships.

The company achieved 200 percent growth in the past three years, glob-al expansion to Singapore and a port-folio of proven success stories. In this Q&A, we peer into what motivates him, his business philosophies and why he founded the company in the midst of a terrible diagnosis.

How do you approach business and risks? Ten years ago, when I was diagnosed with cancer, it changed the way I think and act. Life is short

and precious, and I wanted to do something that I was passionate about. I thought I had the perfect life until my diagnosis. Now my goal is to make life better for everyone around me. For example, health care is 100 percent covered for all of my employees, their spouses and their children up to the age of 26. We pick up long-term disability and match 401(k) contributions. Employees are vested from day one because they

contribute from day one.

Most people talk about how they would live their lives if today were their last day. You’ve actually been there. When you hear you have cancer, you don’t hear anything else for a long time. In 2007, I took my diagnosis and broke away from the mold to build my own company. I learned in the Marines that “nobody ever drowned in sweat,” and proved it: I grew it to a $1 million company in the first year. Within three years, it was $6 million, and now we are over $10 million with multiple locations. Work should be about doing what you love and being surrounded by people who share the same philosophies and passion about work and its impact on clients as you do.

How would you describe your company compared to other solutions in the marketplace? Our model is derived from an understanding that

the best relationships begin when an agency partner incurs monetary risk in the infancy of the partnership. Within the past 12 months, we won contracts from Bentley, Puma and about a half-dozen other companies as a result of that philosophy.

Tell me about the Think Different Foundation. I wanted to use all of my experiences to achieve something better and give something greater. I created the Think Different Foundation to help spark innovative ideas in under-served areas of housing and health care in the U.S.
