PREFACE

This application guide provides the industry with an overview of the practical steps related to who and

how payment services can be offered in Belgium. It aims to provide an introduction to the legal

framework as established by the Payment Services Directive.

It is organised in four distinct parts.

A first part explains what type of payment services can be offered and who can offer these in Belgium.

The second part sets out:

the procedural requirements on how to become either:

o a payment institution;

o an electronic money institution;

o a waived payment institution; or

o a waived electronic money institution.

the authorization requirements to be fulfilled.

The third part clearly sets out what the responsibilities and obligations of licensed or waived

institutions are, how to apply for passporting throughout the European Economic Area as well as

detailing what is expected in terms of reporting.

A specific chapter (4) is dedicated to licensed institutions in another EEA member state who might

seek to relocate their business to Belgium. Our approach to such applications is set out.

This Application Guide aims to provide the reader with an introduction to the legal framework of

payment and e-money services, and to facilitate the relationship with the National Bank of Belgium.

It provides links to all the information needed to have a comprehensive picture of the regime and

provides practical understanding of the authorisation requirements, our regulatory approach and how

our regulatory supervision will be exercised.

This Application Guide is not a substitute for the legal requirements as set out in the Belgian

Law of 21 December 2009 transposing the Payment Services Directive.

The current document describes the approach to the 2007 Payment Services Directive (PSD1)

and the 2009 revised Electronic Money Directive and the Belgian laws based upon these.

By 13 January 2018, the revised Payment Services Directive (PSD2) will have to be transposed

into Belgian law. Accordingly, the main changes are pointed out in this document through the

use of grey boxes.

Upon the entry into force of PSD2, this Application Guide will be updated to reflect the changes

in the legal framework.

1. UNDERSTANDING THE SCOPE AND CONTEXT OF PAYMENT SERVICES & ELECTRONIC MONEY

1.1 PAYMENT SERVICES

The inception of the regulatory and legislative framework for payment services took place in 2007 with

the adoption of the European Payment Services Directive (PSD)1

. The goal of the Directive is to foster

innovation and to increase the level of competition in the payments market by creating a harmonised

regulatory framework for payment services. The Directive was transposed in 2009 into the Belgian

Law of 21 December 20092

.

This common European framework lists the following seven payment services:

payment accounts.

7. Execution of payment transactions where the

consent of the payer to execute a payment

transaction is given by means of any

telecommunication, digital or IT device and the

payment is made to the telecommunication, IT

system or network operator, acting only as an

intermediary between the payment service user

and the supplier of the goods and services.

Mobile or fixed phone payments, where the payment is

made from the phone itself rather than the phone

being used as an authentication tool to send a

payment order to another payment service provider.

The payment is settled via the invoice sent by the

operator to the payer.

Future payment services

The revised Payment Services Directive3, which must be transposed into national law across the EEA

by 13 January 2018, removes the currently existing payment service number 7 and introduces the

following two new payment services:

a) payment initiation service: a service to initiate a payment order at the request of the payment

service user with respect to a payment account held at another payment service provider; and

b) account information service: an online service to provide consolidated information on one or more

payment accounts held by the payment service user with either another payment service provider or

with more than one payment service provider.

The Directive explicitly mentions certain services that are not to be considered as payment services.

Among others, these include the following:

- payment transactions made exclusively in cash directly from the payer to the payee, without

any intermediary intervention;

- professional physical transport of banknotes and coins, including their collection, processing

and delivery;

- payment transactions consisting of the non-professional cash collection and delivery within the

framework of a nonprofit or charitable activity;

- payment transactions based on any of the following documents drawn on the payment service

provider with a view to placing funds at the disposal of the payee: i) paper cheques, ii) paper

based draft, iii) paper vouchers, iv) paper travelers cheques and v) paper-based postal money

orders as defined by the Universal Postal Union;

- services based on instruments that can be used to acquire goods or services only in the

premises used by the issuer or under a commercial agreement with the issuer either within a

limited network of service providers or for a limited range of goods or services;

Except when the envisaged activity is explicitly excluded from the scope of the law, no payment or e-

money services may be offered in Belgium prior to obtaining a license or waiver by the National Bank

of Belgium.

What is electronic money? Electronic money’ means electronically, including magnetically, stored monetary value as

represented by a claim on the issuer which is issued on receipt of funds for the purpose of making

payment transactions as defined in point 5 of Article 4 of Directive 2007/64/EC, and which is

accepted by a natural or legal person other than the electronic money issuer (Art. 2, 2°, Directive

2009/110/EC).

1.2 PAYMENT SERVICE PROVIDERS Payment services can be provided by six different types of payment service providers (PSPs): payment institutions (PIs), electronic money institutions (ELMIs), credit institutions, European and National Central Banks, Member states or regional authorities and post office giro institutions. ELMIs issue electronic money and, on top of that, are allowed to offer all types of payment services whereas PIs may only offer payment services and cannot issue electronic money.

The term payment institution denotes firms who are authorized by a competent authority within the

European Economic Area (EEA) to provide at least one of the listed payment services. Payment

institutions are under prudential supervision by a regulator and have to meet specific requirements4.

Furthermore, they can also make use of the “EU passporting process”, which allows for providing

payment services across the entire EEA.

Besides harmonizing the payment services sector, the European Commission also set rules for the

issuance and management of electronic money. After having introduced a first directive in 20005

,

which coined the term electronic money institution (ELMI), a second piece of legislation was

introduced in 20096

. This second electronic money directive (EMD2) addresses capital requirements,

the outdated definition of electronic money and the lack of a level playing field across the EEA. EMD2

was transposed into the Belgian Law of 27 November 20127

, and integrated into the law of 21

December 2009 to guarantee a common approach regarding the authorization, operating conditions

and performance of both PI’s and ELMI’s. The NBB acts as the national competent authority (NCA) for

regulating and supervising payment services and electronic money activities in Belgium.

In order to stimulate innovation, the PSD also created a “waiver” regime that sets less stringent

requirements on the minimal capital levels, the reporting procedure and the internal control

mechanisms. The waiver, or ‘exemption’ status as it is referred to in Belgian law, does not enable such

an institution to passport its services to other EEA member states and is only granted to institutions

who remain beneath an average transaction volume of EUR 3 million per month in case of payment

services or to those whose activities do not generate an average outstanding total of electronic money

exceeding EUR 5 million in case of e-money services.

Furthermore, institutions that are licensed by another national competent authority within the

European Economic Area are also allowed to offer their services in Belgium8. In order to use this “EU Passporting Process”, institutions can either operate through an established branch, they can work with an established agent or via the free cross-border provision of services. A branch means a place of business other than the head office which is a part of a payment institution, which has no legal personality and which carries out directly some or all of the transactions inherent in the business of a payment institution. An agent means a natural or legal person which acts on behalf of a payment

institution in providing payment services. Institutions are also allowed to offer their services without having a permanent address or contact point in the host member state. This principle is called the free provision of services. The table below gives an overview of this hierarchy.

1.3 PAYMENT SERVICE USERS

Users of payment services can be classified into either payers or payees. The former refers to a

natural or legal person who holds a payment account and initiates a payment order from that payment

account, or, where there is no payment account, a natural or legal person who gives a payment order.

Payee, on the other hand, denotes a natural or legal person who is the intended recipient of funds

which have been the subject of a payment transaction.

In order to ensure a competitive, durable and safe payments landscape within the EEA, the PSD also

introduced a set of rules with which payment service providers need to comply in their relationship with

payment service users (Title 3 and 4). Among others, these rules relate to the transparency of

information in contracts and clearly defined execution times for finalizing the clients’ payments. Within

Belgium, the Federal Department of Economics acts as the competent authority for enforcing these

rules. Their contact details can be found in section 5.

2. APPLYING FOR A BELGIAN PAYMENT INSTITUTION OR INSTITUTION FOR ELECTRONIC MONEY LICENSE OR WAIVER

2.1. PROCEDURE

2.1.1. INTAKE MEETING

Prior to introducing a formal application, the NBB encourages each applicant to contact the Bank

informally in order to discuss its business plan and the payment or e-money services it envisages to

offer in the Belgian market. This will allow the applicant to gain a better understanding of the

regulatory environment in which they would be operating as well as the functioning of the process as

set out in this application guide.

See section 5.1. for concrete contact details.

2.1.2. SUBMISSION OF AN APPLICATION

Following the intake meeting, a formal application must be lodged with the NBB as a first official step

towards obtaining a PI or ELMI license. This application should take the form of an application letter

describing the request, i.e. the type of license the applicant is seeking, addressed to the following

person:

The application letter as such need not be accompanied by the actual application file. The file itself

may be sent via e-mail to the relevant persons as detailed in section 5.1. The letter should however

refer to the method and date by which the file was or is to be communicated to the NBB. There

should only be a very limited delay between submission of a letter and an application file.

The application file should contain all the information needed by the NBB in order to assess the

application in accordance with applicable law9.

2.1.3. COMPLETENESS CHECK

Following receipt of the application letter and corresponding file, the NBB will assess the

completeness of the application, in accordance with the requirements set out in section 2.2. below.

Several scenarios are possible:

Incomplete application: the NBB will send the applicant a request indicating the missing

information, and hence provide it with the opportunity to submit the missing information within a

reasonable timeframe; and

Unclear information in the application: the NBB may require an applicant to provide

clarification on and/or further details to assess the application.

The application file will be considered complete if it contains all the information required by the NBB in

order to assess the application in accordance with the applicable law.

Upon an application being assessed as complete, the NBB will inform the applicant of that fact,

together with the date of receipt of the complete application or, as the case may be, the date of receipt

of the information that completed the application.

The NBB will conclude on the requested license within three months as from its confirmation

that the application is deemed complete. If the license is granted, the registration will occur as

described in section 2.3.

Please note that an application may become obsolete when the information contained in the

application file becomes outdated. Accordingly, as the case may be, an application may be rejected by

the NBB.

2.2 AUTHORISATION REQUIREMENTS

2.2.1. General principles

The information provided by applicant should be correct, complete, accurate and up to date.

Institutions should take into account their size, internal organisation and the nature, scale, and

complexity of their activities when developing and implementing policies and processes.

2.2.2. Information required from applicants for the authorisation as a payment institution

1. Identification details

The applicant must provide the following identification details:

- the applicant’s corporate name and, if different, trade name;

- the applicant’s corporate registration number, if applicable;

- the applicant’s legal status and articles of association and/or constitutional document

evidencing the applicant’s legal status;

- the address of the applicant’s head office and registered office;

- the applicant’s electronic address and website, if available; and

- the person(s) in charge of dealing with the application file and authorisation procedure, and

their contact details;

2. Programme of operations

The applicant must provide a programme of operations that should contain the following information:

- a description of the type of payment services envisaged, including an explanation on how the

activities and the operations which will be provided are fitting into any of the legal categories of

payment services listed in Annex I of the law of 21 December 2009;

- a description of any ancillary services to payment services, if applicable;

- a description of the process for the execution of the different payment services, detailing all

parties involved, and including for each payment service provided a diagram of flow of funds

and flow of data; and

- a self-assessment demonstrating compliance with the requirements set out in Circular Letter

2016_29 containing the EBA-Guidelines concerning the security of internet payments.

As a general rule, the programme of operations must be sufficiently detailed and complete in order to

enable the NBB to fully understand the scope and processes of the envisaged operations.

3. Business Plan

The applicant must submit a business plan that includes a financial planning for the first three years,

demonstrating that he is able to employ appropriate and proportionate systems, resources and

procedures that allow the applicant to operate soundly.

In addition, said business plan should provide an analysis of three possible financial scenarios: a

positive one, a neutral one and a negative one. The neutral one should forecast the business plan as

envisaged by the applicant. The positive one should assume faster than expected growth. The

negative one should forecast slower than expected growth.

4. Evidence of complying with initial capital requirements

The applicant must submit evidence of complying with the initial capital requirement (EUR 125.000 for

activities 1-5, EUR 50.000 for activity 7 or activities 6 and 7, EUR 20.000 for activity 6).

Evidence of this initial capital is to be submitted in the form of the articles of association of the

company.

In addition of the minimum capital requirements the applicant must comply with the minimum own

funds requirements.

Calculation minimum own funds

Own funds of a payment institution should be calculated in accordance with one of the following

methods: Method A, B or C.

Applicants should indicate in the application file the method they propose. The decision will be made

by the NBB and notified to the applicant upon granting of the license.

For the purpose of applying Method A, the own funds requirements of the institutions shall be

calculated according to fixed overheads of the previous financial year. The own funds requirements of

the institutions shall amount to at least 10% of the fixed overheads of the preceding year.

For the purpose of applying Method B, the own funds requirements of the institutions shall be

calculated according to the total amount of Payment Volume (PV). The own funds requirements shall

amount to at least the sum of the following elements multiplied by the scaling factor k (see below):

- 4% of the slice of PV up to EUR 5 million; - 2.5% of the slice of PV above EUR 5 million up to EUR 10 million; - 1% of the slice of PV above EUR 10 million up to EUR 100 million; - 0.5% of the slice of PV above EUR 100 million up to EUR 250 million; and - 0.25% of the slice of PV above EUR 250 million

For the purpose of applying Method C, the own funds requirements of the institutions shall amount to at least the indicator (the sum of interest income, interest expenses, commissions, and fees and other operating income) multiplied by scaling factor k (see below) and multiplied by:

- 10% of the slice of the indicator up to EUR 2.5 million, - 8% of the slice of the indicator from EUR 2.5 million up to EUR 5 million, - 6% of the slice of the indicator from EUR 5 million up to EUR 25 million, - 3% of the slice of the indicator from EUR 25 million up to EUR 50 million, - 1.5% above EUR 50 million.

The own funds requirements calculated according to Method C shall not fall below 80% of the average own funds requirements of the previous three financial years calculated according to Method C.

The scaling factor k used in Method B and C is:

- 0,5 for activity 6 - 0,8 for activity 7 - 1,0 for activities 1 to 5

The NBB may require an increase of 20% on top of the own funds requirements as calculated by any

of the methods above or allow 20% less own funds then required by the method in case.

The NBB points out that hybrid payment institutions that are granting credits, should hold additional

own funds in proportion to their activities, beyond what is calculated based on any of the methods

above.

Detailed information regarding the calculation of own funds may be found in the Royal decrees of 5

February 2010 and 19 September 2013 (see annexes 9 and 10 respectively).

5. Measures to safeguard the funds of payment service users

The applicant must submit evidence demonstrating that the funds of the payment service users are

safeguarded as required by law.

In the case of safeguarding through depositing funds in a separate account in a credit institution, the

description of the safeguarding measures should contain at least a statement by that credit institution

including explicit declaration of compliance with article 22 of the law.

In case of safeguarding through other means (i.e. insurance, guarantees, etc.), the applicant must

provide evidence of payment service users’ funds being effectively safeguarded.

6. Governance arrangements and internal control mechanisms

The law requires two managers responsible for the management of the institution (Dutch: ‘effectieve

leiders’, French: ‘direction effective’).

The applicant must submit evidence demonstrating the following:

- appropriate management structure, administrative and accounting procedures, control and

security measures for electronic data and internal control. The applicant shall take into

account the nature, scale and complexity of his activities and the risks involved;

- an appropriate management structure, a coherent and transparent organizational structure,

including appropriate segregation of duties; a clearly defined, transparent and consistent set of

responsibility allocations as well as appropriate procedures for the identification,

measurement, management, monitoring and internal reporting of major risks to which the

payment institution could be exposed in pursuance of its (envisaged) activities;

- appropriate internal controls, the operation of which must be reviewed at least annually.

Regarding its administrative and accounting organization, the applicant must organize a

system of internal control which provides reasonable assurance regarding the reliability of the

financial reporting process, so that the financial statements are in accordance with the

applicable accounting regulations;

- an appropriate independent internal audit function;

- an appropriate independent compliance function to ensure compliance by the institution, its

directors, senior management, employees and agents with applicable law; and

- an appropriate independent risk management function.

The internal control set-up should respond to the requirements as set out in the NBB Regulation of 19

May 2015 concerning internal control and internal audit functions and as detailed in Circular Letters

2015_21 and 2012_14. Evidence of the implementation of a three lines of defense internal control

system within the applicant’s company should take the form of submitting, at least, an appropriate

Internal Audit Charter, Compliance Charter and Risk Management Charter.

The table below provides a high-level overview of the governance requirements.

physical persons only and are subject to a fit & proper assessment (see section 3.1.2. below).

7. Internal control mechanisms to comply with obligations in relation to money

laundering and terrorist financing (AML/CTF obligations)

The description of the internal control mechanisms that the applicant has established in order to

comply with the AML/CTF obligations should demonstrate compliance with the relevant detailed

guidance provided by the NBB.

The NBB has described in two Circular Letters the expectations regarding the Anti Money Laundering

and Counter Terrorism Financing obligations. Please find hereafter the link to the Circular Letters:

8. Structural organisation

The applicant should provide a description of the structural organisation of its undertaking consisting

of:

- a detailed organisational chart, showing each division, department or similar structural

separation, including the name of the person(s) responsible, in particular those in charge of

internal control functions. The chart should be accompanied by description of the functions

and responsibilities of each division, department or similar structural separation

- a forecast of the staff numbers for the next three years

- if activities are outsourced, a description of outsourcing arrangements consisting of:

o the identity and geographical location of the outsourcing provider;

o the identity of the persons within the Payment Institution that are responsible for each

of the outsourced activities;

o a clear description of the outsourced activities and its main characteristics;

- a copy of the (draft) outsourcing agreement(s). These should be in line with the requirements

detailed in the CBFA Circular Letter PPB 2004_5 which contains the framework for the NBB to

assess outsourcing arrangements.

- an indication of the national and/or international payment system which the applicant will

access, if applicable;

- a description of the branches and agents, where applicable, including:

o a mapping of the off-site and on-site checks that the applicant intends to perform at

least annually on branches and agents and their frequency;

o a copy of the (draft) mandate agreement(s) containing the full terms of the mandate

as well as the monitoring procedures and agents’ training.

The description of the branches and agents should be completed by submitting the filled-out forms

specifically dedicated to that purpose. See Section 6 for further details.

9. Identity and suitability assessment of persons with qualified holdings in the

applicant

All the required information is to be provided through the filling out of the Form labelled ‘Annex 5’. This

form can be found in Section 6 of this Application Guide.

10. Identity and suitability assessment of directors and persons responsible for the

management of the payment institution

For the purposes of the identity and suitability assessment (so-called “fit & proper”) of directors and

persons responsible for the management of the payment institution as well as persons responsible for

the independent control functions (i.e. internal audit, compliance officer and risk manager), the

applicant should provide the information requested in the specific templates.

See Section 3.1.2. for further details concerning the fit & proper assessments.

11. Statutory auditors and audit firms

The following information must be provided:

- name, address and contact details of auditors; and

- date of the appointment.

The contractual agreement with the external auditor should be submitted.

2.2.3. Information required from applicants for the authorisation as a waived payment institution (‘light’ payment institution)

Belgium has made use of the option foreseen in the Payment Services Directive to grant ‘waivers’ of

certain requirements in the law to certain payment institutions. This waiver is specifically designed for

start-up companies or companies that envisage only a very limited activity.

Any applicant seeking a waiver as defined in article 48 of the law has to fulfil two requirements:

- the average of the total amount of payment transactions the applicant and his agents for the

previous twelve months, does not exceed three million per month. This criterion will be

assessed on the basis of the business plan’s projected total amount of payment transactions,

taking into account any modifications to the plan requested by the Bank; and

- all of the individuals entrusted with the policy or exercise of the activities of the applicant are

deemed fit & proper.

The NBB will verify first of all whether the applicant fulfils both requirements listed above.

The NBB has set out its exemption policy in Circular Letter 2015_12.

Any applicant who is granted the status of ‘exempted payment institution’ may, at any time, apply to

the NBB to be granted the ‘full’ licensed status as either a payment institution or electronic money

institution subject to submitting an application file containing the information required for these

respective licenses.

2.2.4. Information required from applicants for the authorisation as an institution for electronic money

1. Identification details

The applicant must provide the following identification details:

- the applicant’s corporate name and, if different, trade name;

- the applicant’s corporate registration number, if applicable;

- the applicant’s legal status and articles of association and/or constitutional document

evidencing the applicant’s legal status;

- the address of the applicant’s head office and registered office;

- the applicant’s electronic address and website, if available; and

- the person(s) in charge of dealing with the application file and authorisation procedure, and

their contact details;

2. Envisaged Operations

The applicant must provide a programme of operations that should contain the following information:

- an indication of the e-money services the applicant intends to provide: issuance, redemption,

distribution;

- if applicable, a description of the type of payment services envisaged, including an explanation

on how the activities and the operations which will be provided are identified by the applicant

as fitting into any of the legal categories of payment services listed in Annex I of the Law;

- a description of any ancillary services to e-money services and, if applicable, to payment

services;

- a description of the procedures and mechanisms in place for the issuance, redemption and

distribution of e-money;

- a description of the execution of the different payment services, detailing all parties involved,

and including for each payment service provided a diagram of flow of funds and flow of data;

and

- as the case may be, a self-assessment demonstrating compliance with the requirements set

out in Circular Letter 2016_29 containing the EBA-Guidelines concerning the security of

internet payments.

As a general rule, the programme of operations must be sufficiently detailed and complete in order to

enable the NBB to fully understand the scope and processes of the envisaged operations.

3. Business Plan

The applicant must submit a business plan that includes a financial planning for the first three years,

demonstrating that he is able to employ appropriate and proportionate systems, resources and

procedures that allow the applicant to operate soundly.

In addition, said business plan should provide an analysis of three financial scenarios: a positive one,

a neutral one and a negative one. The neutral one should forecast the business plan as envisaged by

the applicant. The positive one should assume faster than expected growth. The negative one should

forecast slower than expected growth.

4. Evidence of complying with initial capital requirements

The applicant must submit evidence of complying with the initial capital requirement (EUR 350.000).

In addition of the minimum capital requirements the applicant must comply with the minimum own

funds requirements

Calculation minimum own funds

The own funds of institutions for electronic money should at all times be at least 2% of the average

outstanding electronic money.

If an institution for electronic money offers payment services, the calculation should include both the

calculation for payment services and outstanding electronic money.

Own funds for payment services should be calculated in accordance with one of the following

methods: Method A, B or C. Applicants should indicate in the application file the method they

propose. The decision will be made by the NBB and notified to the applicant upon granting of the

license.

For the purpose of applying Method A, the own funds requirements of the institutions shall be

calculated according to fixed overheads of the previous financial year. The own funds requirements of

the institutions shall amount to at least 10% of the fixed overheads of the preceding year.

For the purpose of applying Method B, the own funds requirements of the institutions shall be

calculated according to the total amount of Payment Volume (PV). The own funds requirements shall

amount to at least the sum of the following elements multiplied by the scaling factor k (see below):

- 4% of the slice of PV up to EUR 5 million; - 2.5% of the slice of PV above EUR 5 million up to EUR 10 million; - 1% of the slice of PV above EUR 10 million up to EUR 100 million; - 0.5% of the slice of PV above EUR 100 million up to EUR 250 million; and - 0.25% of the slice of PV above EUR 250 million

For the purpose of applying Method C, the own funds requirements of the institutions shall amount to at least the indicator (the sum of interest income, interest expenses, commissions, and fees and other operating income) multiplied by scaling factor k (see below) and multiplied by:

- 10% of the slice of the indicator up to EUR 2.5 million, - 8% of the slice of the indicator from EUR 2.5 million up to EUR 5 million, - 6% of the slice of the indicator from EUR 5 million up to EUR 25 million, - 3% of the slice of the indicator from EUR 25 million up to EUR 50 million, - 1.5% above EUR 50 million.

The own funds requirements calculated according to Method C shall not fall below 80% of the average own funds requirements of the previous three financial years calculated according to Method C.

The scaling factor k used in Method B and C is:

- 0,5 for activity 6 - 0,8 for activity 7

The NBB can may require an increase of 20% on top of the own funds requirements as calculated by

any of the methods above or allow 20% less own funds then required by the method in case or

decrease of 20% of the own funds then the calculated Method, based on this evaluation of the risk

management.

The NBB expects points out that hybrid e-money institutions that are granting credits, should hold

additional own funds in proportion of to their activities, beyond what is then calculated based on any

of the methods above.

More dDetailed information regarding the calculation of own funds may be found in the Royal decrees

of 5 February 2010 and 19 September 2013 (see annexes 9 and 10 respectively).

5. Measures to safeguard the funds of payment service users

The applicant must submit evidence demonstrating that the funds of the payment service users are

safeguarded as required by law.

In the case of safeguarding through depositing funds in a separate account in a credit institution, the

description of the safeguarding measures should contain at least a statement by that credit institution

including explicit declaration of compliance with article 78, §1 of the law.

In case of safeguarding through other means (i.e. insurance, guarantees, etc.), the applicant must

provide evidence of payment service users’ funds being effectively safeguarded.

6. Governance arrangements and internal control mechanisms

The law requires two managers responsible for the management of the institution (Dutch: ‘effectieve

leiders’, French: ‘direction effective’).

The applicant must submit evidence demonstrating the following:

- appropriate management structure, administrative and accounting procedures, control and

security measures for electronic data and internal control. The applicant shall take into

account the nature, scale and complexity of his activities and the risks involved;

- an appropriate management structure, a coherent and transparent organizational structure,

including appropriate segregation of duties; a clearly defined, transparent and consistent set of

responsibility allocations as well as appropriate procedures for the identification,

measurement, management, monitoring and internal reporting of major risks to which the

institution for electronic money could be exposed in pursuance of its (envisaged) activities;

- appropriate internal controls, the operation of which must be reviewed at least annually.

Regarding its administrative and accounting organization, the applicant must organize a

system of internal control which provides reasonable assurance regarding the reliability of the

financial reporting process, so that the financial statements are in accordance with the

applicable accounting regulations;

- an appropriate independent internal audit function;

- an appropriate independent compliance function to ensure compliance by the institution, its

directors, senior management, employees and agents with applicable law; and

- an appropriate independent risk management function.

Any applicant seeking a waiver as defined in article 105 of the law has to fulfil two requirements:

- the total corporate activities may not generate an average outstanding total of electronic

money exceeding EUR 5 million; and

- all of the individuals entrusted with the policy or exercise of the activities of the applicant are

deemed fit & proper.

The NBB will verify first of all whether the applicant fulfils both requirements listed above.

The NBB has set out its exemption policy in Circular Letter 2015_11.

Any applicant who is granted the status of ‘exempted institution for electronic money’ may, at any time,

apply to the NBB to be granted the ‘full’ licensed status as either an electronic money institution or a

payment institution subject to submitting an application file containing the information required for

these respective licenses.

2.3 REGISTRATION

In case of the license being granted, the applicant will be notified of the NBB Board of Directors’

decision to grant a license as a payment institution or institution for electronic money by official letter.

The applicant’s external auditor will at the same time be notified of this decision.

Immediately following the decision the NBB will update its register of licensed and waived payment

institutions and institutions for electronic money and add the applicant’s name and address to the

register.

Please note that by 13 January 2018 the revised Payment Service Directive11 must be transposed

into national law across the EEA.

As part of this Directive, the European Banking Authority (EBA) has been mandated to issue new

Guidelines on the information to be provided for the authorisation as payment institutions and e-money

institutions and for the registration as account information service providers.

The full draft Guidelines are currently available on the EBA website (https://www.eba.europa.eu).

Please note that upon the entry into force of these Guidelines, the requirements listed above to obtain

a Belgian license or waiver for both payment institutions and institutions for electronic money will

significantly alter.

Among others, several additional authorisation requirements have been added:

- having procedures to ensure security incident management & complaints

- having procedures in place for managing sensitive payment data

- business continuity arrangements

- security policy document for protecting payment service users

Accordingly, upon transposition into Belgian law of these Guidelines, the NBB will adapt the

information in this Application Guide.

3. REQUIREMENTS FOR LICENSED INSTITUTIONS

3.1 PRUDENTIAL REQUIREMENTS

3.1.1 Passporting procedures and Belgian agents/distributors

The NBB procedure and templates for ‘passporting’ payment and e-money services is based on a

multi-lateral agreement between National Competent Authorities.

A request for offering cross border services in other EEA countries may be submitted via either e-mail

or letter by use of the forms as provided in the Annexes 1 to 6 (page 29) to this Application Guide. The

request should be motivated and sent duly in advance. The institution has to install measures to

ensure that it complies with the rules of general conduct of the host country (mainly AML/CTF laws

and rules).

Passporting payment services in other EEA countries may be organised in one of the three following

options:

1. In order to passport payment services via a branch, the NBB expects the completed form (see

annexes 1 or 2 – see page 29) submitted either via e-mail or letter. Next to this form, the following

information should be included:

Fit and proper Form (see annex 6) of the responsible person(s) of the branch;

Curriculum vitae of the branch management;

Copy of the ID card of the branch management;

Recent extract of the judicial record of the branch management;

Organigram of the branch;

Expected activities and schematic overview with connection with Belgian financial

prospects of the branch (small business plan - target market, why host country,

strategy...);

AML procedures of the branch and/or alignment with the host country AML regulation;

Description of the accounting and administrative organisation of the branch;

Internal control measures of the branch and person responsible for Internal control and

compliance Outsourcing of certain activities; and

Person in charge of the External control function of branch

2. In order to passport payment services via agent(s), the NBB expects the completed form (see

annexes 3 or 4) submitted either via e-mail or letter.

3. In order to passport payment services under the regime of free provision of services, the NBB

expects the completed form (see annexes 5 or 6) submitted either via e-mail or letter.

By 13 January 2018 the revised Payment Service Directive12 must be transposed into national law

across the EEA.

The European Banking Authority (EBA) has issued new Regulatory Technical Standard (RTS) that will

also apply. This implicates the use of new templates.

3.1.2 Fit & proper procedures

In accordance with Belgian law, all the institution’s board of director members, members of the

management committee, and heads of independent control functions must have the expertise and

professional integrity required for their positions and are therefore subject to a so-called “fit and

proper” assessment.

In order to organise a fit and proper assessment the NBB must receive duly in advance:

Form duly completed and signed, both by the institution and the person in question

(see annex 6);

Curriculum vitae of the concerned person;

Copy of the ID card of the concerned person;

Recent extract of the criminal record of the concerned person;

New organigram of the institution (including all members of the Board of directors and

Management Committee);

Job description and responsibilities of the concerned person; and

Opinions of the FSMA and/or other Supervisory Authorities

Please note that, as per Belgian law, the NBB only accepts physical persons as part of the Board of

Directors, Management committee and as heads of independent control functions.

Regarding the financial reporting of payment statistics and capital adequacy, the following guidelines

have to be followed.

1. Concerning statistics about payment services, institutions need to report Year-To-Date data. For

example, in Quarter 3 of 2016, companies need to report data on the payment services provided

from Quarter 1 to Quarter 3. Secondly, for institutions that do not make a distinction between IN-

and OUT flows13, the NBB expects institutions to report only the OUT flow.

2. Concerning the calculation of own funds the NBB considers the payment volume to represent the

total amount of payment transactions executed by the payment institution in the preceding

accounting year (as closed on 31/12 preceding year). For example, at the end of Quarter 3 in

2016, the payment volume refers to total amount of payment transaction executed in the

preceding accounting year. For an institution whose accounting year closes on 31/12 this would

mean that of 31/12/2015. Only for start-ups in their accounting first year, we expect the payment

volume to denote the Year-To-Date total amount of payment transactions for that accounting year.

Lastly, the NBB also demands from institutions to only include the OUT flow in the calculation.

Reporting platforms

The NBB has two reporting platforms, OneGate and eCorporate for reporting. The financial prudential

reporting and AML questionnaire are transmitted via OneGate. Other reporting is transmitted via

eCorporate. eCorporate provides also an overview on the reported topics.

As soon as the institution has been authorized, the NBB will contact the responsible person in order to

set up the reporting details.

3.1.6 Non-Exhaustive list of other prudential procedures/notifications/requirements

- At all time the institutions are managed by 2, NBB approved, senior managers.

- In case of outsourcing of significant operational tasks, the institution informs the NBB well in

advance.

- Nomination or reappointment of the accredited auditor is subject to preliminary approval the NBB.

The prudential supervisory team should be well in advance informed by letter or email regarding

this decision.

- Institutions may not acquire participations in other corporate companies then (related) payment

institutions, unless the NBB approves the participation.

- Belgian institutions have to report immediately all changes in name, address and stakeholders to

the supervisory team of the NBB.

3.2 CONTACT BETWEEN NBB AND THE INSTITUTION

Within its responsibilities as a prudential supervisor, the NBB organises on a regular basis meetings

with the board members, senior management, compliance officer, internal auditor and risk manager of

the institutions. At the same time the NBB is in direct contact with the external accredited auditor.

The NBB may invite the external accredited auditor at any meeting with the institution or may organise

bilateral meetings with the external accredited auditor.

The NBB supports good transparent communication and contact between the institution, accredited

auditor and supervisory teams.

Within the NBB there is a specific service that organises on-site inspections on institutions under

supervision of the NBB.

Members of the NBB supervisory teams are represented in the European Banking Authority’s (EBA)

workstreams and task forces. The NBB supervisory team organises bilateral meetings with EU

supervisors and takes part of supervisory colleges.

Accordingly, the NBB welcomes and strongly encourages your feedback, as a market participant,

regarding policy questions to potentially leverage your market concerns at the different European

levels.

4. RELOCATING YOUR INSTITUTION FROM ANOTHER EEA MEMBER STATE TO BELGIUM

A specific approach has been established by the NBB for those institutions that seek to relocate to

Belgium and already have a license as a payment institution or institution for electronic money in

another EEA Member State.

The scope of this particular application procedure is strictly limited to those companies who

have already obtained a license as a payment institution or institution for electronic money in

another EEA Member State and if the institution effectively moves its payment service or e-

money operations to Belgium.

A major attention point for any applicant is that all payment operations (payment and, if applicable,

issue, distribution and redemption of electronic money) should move to Belgium except those activities

specifically developed in the country of origin and offered only there. A move entails that the business

decisions are taken in Belgium by the Belgian institution.

If an agent network is to be passported from Belgium as well, decisions in this context should also be

taken by the Belgian entity.

Specifically, the foreign institution must set up a Belgian company that should belong to the same

‘corporate group’ as the foreign institution (in other words, the same ultimate shareholder).

The applicant must request its license by transferring to the NBB the entire foreign original application

file, together with all the updates submitted to the foreign competent authority since its start of

business.

The NBB will subsequently perform a gap analysis between this foreign application file and the

requirements listed below in order to determine the extent to which the file is complete.

Where there is any reference to the ‘applicant’ below, the new Belgian company set up by the foreign

institution is meant.

GENERAL PRINCIPLES

The information provided by the applicant should be correct, complete, accurate, up to date

and tailored and adjusted to the particular service or services the applicant intends to provide.

1. Identification details

The applicant must provide the following identification details:

- the applicant’s corporate name and, if different, trade name;

- the applicant’s corporate registration number, if applicable;

- the applicant’s legal status and articles of association and/or constitutional document

evidencing the applicant’s legal status;

- the address of the applicant’s head office and registered office;

- the applicant’s electronic address and website, if available; and

- the person(s) in charge of dealing with the application file and authorisation procedure, and

their contact details;

2. Programme of operations A concrete overview of the current business activities of the foreign institution and the legal

qualification of these as either e-money services or the provision of a certain payment service(s).

All payment and e-money activities are to be relocated to Belgium, except those strictly limited to the

country of origin and only offered there.

3. Business Plan

The applicant must submit a business plan that includes a financial planning for the first three financial

years, demonstrating that he is able to employ appropriate and proportionate systems, resources and

procedures that allow the applicant to operate soundly.

The applicant should also submit financial information about the foreign institution going back at least

two years.

4. Evidence of initial capital

See relevant points in Section 3.2. The same requirements apply.

The NBB is of the view that a similar method for calculating own funds should be adopted for the

applicant as is applied to the foreign institution. A motivated request to deviate from this principle may

be submitted by any applicant.

5. Measures to safeguard the funds of payment service users

The applicant must submit evidence demonstrating that the funds of the payment service users are

safeguarded as required by law.

In the case of safeguarding through depositing funds in a separate account in a credit institution, the

description of the safeguarding measures should contain at least a statement by said credit institution

including explicit declaration of compliance with article 22 of the law.

6. Governance arrangements and internal control mechanisms

See relevant points in Section 3.2. The same requirements apply.

It should be noted however that the NBB will verify the provided information while taking into account

the fact that the foreign institution has been active abroad as a licensed or waived institution (a going

concern) and is accordingly subject to foreign prudential supervision (proportionality).

7. Internal control mechanisms to comply with obligations in relation to money

laundering and terrorist financing (AML/CTF obligations)

The description of the internal control mechanisms that the applicant has established in order to

comply, where applicable, with the AML/CTF obligations should demonstrate compliance with the

relevant detailed guidance provided by the NBB.

The NBB has described in two Circular Letters the expectations regarding the Anti Money Laundering

9. Identity and suitability assessment of persons with qualified holdings in the

applicant

All the required information is to be provided through the filling out of the Form labelled ‘Annex 5’. This

form can be found in Section 6 of this Application Guide.

It is important to repeat here that the foreign institution must set up a Belgian company that should

belong to the same ‘corporate group’ as the foreign institution (in other words, the same ultimate

shareholder).

10. Identity and suitability assessment of directors and persons responsible for the

management of the institution

The persons concerned need not be the same as those holding the equivalent functions in the foreign

institution relocating. All persons concerned must be subject to a fit & proper assessment.

See Section 3.1.2. for further details concerning the fit & proper assessment.

11. Identity of statutory auditors and audit firms

The identity of the statutory auditors and audit firms of the applicant as defined in the law should

contain the following information:

- name, address and contact details of auditors; and

- date of the appointment.

The contractual agreement with the external auditor may be submitted as evidence thereof.

Form 1 “New appointment”

Scope Credit institutions, stockbroking firms, payment institutions, electronic money institutions, settlement institutions, institutions equivalent to settlement institutions, (re)insurance companies, (mixed) financial holding companies, insurance holding companies and certain branches.

Any personal data submitted on this form will be processed by the National Bank of Belgium (NBB), Boulevard de Berlaimont 14, 1000 Brussels, in accordance with the Law of 8 December 1992 on the protection of privacy with regard to the processing of personal data.

The NBB will process these data for the purposes of verifying compliance with the legal provisions set out below.

The processed data may be passed on to third parties, where appropriate, only under the conditions set out in Articles 36/13 and 36/14 of the Law of 22 February 1998 establishing the Organic Statute of the National Bank of Belgium.

Within the limits provided for in the regulations concerning the protection of privacy, the natural persons whose personal data have been processed have the right to inspect and correct such data in accordance with Articles 10 and 12 of the aforementioned Law of 8 December 1992.

Preliminary remarks 1) Completeness and accuracy of the information sent

The NBB expects both the applicant in question and the institution to answer the questions below accurately and to provide any relevant and material information of which they are aware. If the NBB finds that any incomplete or inaccurate information has been sent intentionally, this will lead to a negative assessment of the suitability of the person in question. In relation thereto, we refer readers specifically to points 5.1 and 7.3 of circular NBB_2013_02.

In this respect, it is also important to note that the answers to the questions set out below need to deal with all elements relating to the situation of the person in question, both in Belgium and abroad.

VERSLAG AAN DE KONING

Sire,De regels volgens dewelke de Nationale Bank van België (hierna : de

Bank) haar werkingskosten die betrekking hebben op het toezicht opfinanciële instellingen ten laste legt van die instellingen, wordenvastgelegd in het koninklijk besluit van 17 juli 2012 betreffende dedekking van de werkingskosten van de Nationale Bank van Belgiëverbonden aan het toezicht op financiële instellingen, tot uitvoeringvan artikel 12bis, § 4, van de wet van 22 februari 1998 tot vaststellingvan het organiek statuut van de Nationale Bank van België.

Artikel 13 van voormeld koninklijk besluit bepaalt de verschuldigdebijdragen in hoofde van de verrekeningsinstellingen en de vereffening-sinstellingen en artikel 14 de verschuldigde bijdragen in hoofde van debetalingsinstellingen.

De bedoeling van het besluit dat U ter ondertekening wordtvoorgelegd, is tweeledig.

Ten eerste strekken de nieuwe paragrafen 1 en 2 van artikel 13 ertoede verrekeningsinstellingen en de vereffeningsinstellingen aan eenuniforme regeling te onderwerpen. Voortaan is elke instelling ondertoezicht een forfaitaire bijdrage van 200.000 EUR verschuldigd aan deBank tenzij die instelling aan de Bank een bijdrage van minstens200.000 EUR betaalt in haar hoedanigheid van kredietinstelling.

Ten tweede strekt het nieuwe artikel 14 ertoe de betalingsinstellingenen instellingen voor elektronisch geld aan een uniforme regeling teonderwerpen. De noodzaak tot het uitwerken van een dergelijkeuniforme regeling vloeit voort uit de wet van 27 november 2012, totwijziging van de wet van 21 december 2009 betreffende het statuut vande betalingsinstellingen, de toegang tot het bedrijf van betalingsdienst-aanbieder en de toegang tot betalingssystemen, en van andere wetge-ving die betrekking heeft op het statuut van de betalingsinstellingen envan de instellingen voor elektronisch geld en van de kredietverenigin-gen uit het net van het Beroepskrediet, die het statuut van instellingenvoor elektronisch geld heeft herzien.

Sire,Les règles selon lesquelles la Banque Nationale de Belgique (ci-après

″la Banque″) met ses frais de fonctionnement pour le contrôle desétablissements financiers à charge desdits établissements sont fixées parl’arrêté royal du 17 juillet 2012 relatif à la couverture des frais defonctionnement de la Banque nationale de Belgique liés au contrôle desétablissements financiers, en exécution de l’article 12bis, § 4, de la loi du22 février 1998 fixant le statut organique de la Banque Nationale deBelgique.

L’article 13 de l’arrêté royal précité détermine les montants dus parles organismes de compensation et les organismes de liquidation, etl’article 14 les montants dus par les établissements de paiement.

L’objectif de l’arrêté soumis à Votre signature est double.

D’une part, les nouveaux paragraphes 1er et 2 de l’article 13 visent àsoumettre les organismes de compensation et les organismes deliquidation à un régime uniforme. Désormais, chaque organismesoumis au contrôle sera redevable d’une contribution forfaitaire de200.000 EUR à la Banque, sauf si cet organisme paie une contributiond’au moins 200.000 EUR à la Banque en qualité d’établissement decrédit.

D’autre part, l’article 14 nouveau vise à soumettre les établissementsde paiement et les établissements de monnaie électronique à un régimeuniforme. La nécessité de mettre en place ce régime uniforme découlede la loi du 27 novembre 2012 modifiant la loi du 21 décembre 2009relative au statut des établissements de paiement, à l’accès à l’activitéde prestataire de services de paiement et à l’accès aux systèmes depaiement et d’autres législations dans la mesure où elles sont relativesau statut des établissements de paiement et des établissements demonnaie électronique et des associations de crédit du réseau du Créditprofessionnel, qui a révisé le statut des établissements de monnaieélectronique.

Het ontwerp is door de tweede kamer onderzocht op 9 decem-ber 2013.

″Op 23 maart 2012 ontving de Europese Centrale Bank (ECB) eenverzoek van de Nationale Bank van België (BBB), handelend namens deBelgische Minister van Financiën, om een Advies betreffende eenontwerp van koninklijk besluit betreffende de werkingskosten van deNationale Bank van België in verband met toezicht op financiëleinstellingen, ter uitvoering van artikel 12bis, § 4, van de wet van22 februari 1998 tot vaststelling van het organiek statuut van deNationale Bank van België (hierna : het ’ontwerp van koninklijkbesluit’).

En réponse à la remarque du Conseil d’Etat que le présent arrêtéroyal doit être soumis à l’avis de la Banque centrale européenne, il estremarqué qu’il n’est pas considéré comme opportun de soumettre à laBCE des projets de dispositions réglementaires qui apportent unemodification limitée à un arrêté royal exécutant une loi si tant l’arrêtéroyal en question que la base légale ont déjà été évalués positivementpar la BCE (voir CON/2012/35 et CON/2011/5). Avis 54.560/2 du 9 décembre 2013 sur un projet d’arrêté royal‘modifiant l’arrêté royal du 17 juillet 2012 relatif à la couverture desfrais de fonctionnement de la Banque Nationale de Belgique liés aucontrôle des établissements financiers, en exécution de l’article 12bis,§ 4, de la loi du 22 février 1998 fixant le statut organique de la Banquenationale de Belgique’.

Le 22 novembre 2013, le Conseil d’Etat, section de législation, a étéinvité par le Ministre des Finances à communiquer un avis, dans undélai de trente jours, sur un projet d’arrêté royal ‘modifiant l’arrêtéroyal du 17 juillet 2012 relatif à la couverture des frais de fonctionne-ment de la Banque nationale de Belgique liés au contrôle desétablissements financiers, en exécution de l’article 12bis, § 4, de la loi du22 février 1998 fixant le statut organique de la Banque Nationale deBelgique’.

Le projet a été examiné par la deuxième chambre le 9 décembre 2013.

La chambre était composée de Yves Kreins, président de chambre,Pierre Vandernoot et Martine Baguet, conseillers d’Etat, Chris-tian Behrendt et Jacques Englebert, assesseurs, et Anne-Catherine Van Geersdaele, greffier.

Le rapport a été présenté par Jean-Luc Paquet, premier auditeur.L’avis, dont le texte suit, a été donné le 9 décembre 2013.

Comme la demande d’avis est introduite sur la base de l’article 84,§ 1er, alinéa 1er, 1° , des lois coordonnées sur le Conseil d’Etat, tel qu’ilest remplacé par la loi du 2 avril 2003, la section de législation limite sonexamen au fondement juridique du projet , à la compétence de l’auteurde l’acte ainsi qu’à l’accomplissement des formalités préalables,conformément à l’article 84, § 3, des lois coordonnées précitées.

Sur ces trois points, le projet appelle les observations suivantes.

Formalités préalablesAu début de son avis du 10 mai 2012 sur les frais de fonctionnement

liés au contrôle prudentiel (CON/2012/35), donné sur le projet devenul’arrêté royal du 17 juillet 2012 ‘relatif à la couverture des frais defonctionnement de la Banque Nationale de Belgique liés au contrôle desétablissements financiers, en exécution de l’article 12bis, § 4, de la loidu 22 février 1998 fixant le statut organique de la Banque Nationale deBelgique’ qu’il est envisagé de modifier, la Banque centrale européenneindique ce qui suit, s’agissant de l’introduction de la demande et de sonfondement juridique :

″Le 23 mars 2012, la Banque centrale européenne (BCE) a reçu unedemande de consultation de la Banque Nationale de Belgique (BNB),agissant pour le compte du ministère belge des Finances, portant sur unprojet d’arrêté royal relatif aux frais de fonctionnement de la BanqueNationale de Belgique liés au contrôle des établissements financiers,mettant en œuvre l’article 12bis, § 4, de la loi du 22 février 1998 fixantle statut organique de la Banque Nationale de Belgique (ci-après, le‘projet d’arrêté royal’).

De adviesbevoegdheid van de ECB is gebaseerd op artikel 127, lid 4en artikel 282, lid 5 van het Verdrag betreffende de werking van deEuropese Unie (VWEU) en het derde streepje van artikel 2, lid 1 vanBeschikking 98/415/EG van de Raad van 29 juni 1998 betreffende deraadpleging van de Europese Centrale Bank door de nationale autori-teiten over ontwerpen van wettelijke bepalingen, aangezien het ont-werp KB bepalingen betreffende de NBB omvat.″

Het voormelde derde streepje van artikel 2, lid 1, van de beschik-king 98/415/EG van 29 juni 1998 bepaald het volgende :

″De autoriteiten van de lidstaten raadplegen de ECB over elkontwerp van wettelijke bepaling op de gebieden die krachtens hetVerdrag onder de bevoegdheid van de ECB vallen, met name : (...)centrale banken″.

Net zoals over het besluit van 17 juli 2012, waarvan het voorliggendeontwerp de wijziging beoogt, moet de Europese Centrale Bank over ditontwerp worden geraadpleegd en dient in de aanhef naar haar advieste worden verwezen.

Gelet op de wet van 22 februari 1998 tot vaststelling van het organiekstatuut van de Nationale Bank van België, artikel 12bis, § 4, ingevoegdbij artikel 187 van het koninklijk besluit van 3 maart 2011 betreffende deevolutie van de toezichtsarchitectuur voor de financiële sector;

Gelet op het koninklijk besluit van 17 juli 2012 betreffende de dekkingvan de werkingskosten van de Nationale Bank van België verbondenaan het toezicht op financiële instellingen, tot uitvoering van arti-kel 12bis, § 4, van de wet van 22 februari 1998 tot vaststelling van hetorganiek statuut van de Nationale Bank van België;

Gelet op advies 54.560/2 van de Raad van State, gegeven op9 december 2013, met toepassing van artikel 84, § 1, eerste lid, 1°, vande wetten op de Raad van State, gecoördineerd op 12 januari 1973;

Op de voordracht van de Minister van Financiën,

Hebben Wij besloten en besluiten Wij :

Artikel 1. In artikel 13 van het koninklijk besluit van 17 juli 2012betreffende de dekking van de werkingskosten van de Nationale Bankvan België verbonden aan het toezicht op financiële instellingen, totuitvoering van artikel 12bis, § 4, van de wet van 22 februari 1998 totvaststelling van het organiek statuut van de Nationale Bank van België,worden paragrafen 1 en 2, gewijzigd bij het koninklijk besluit van1 oktober 2012, vervangen als volgt :

″§ 1. De Belgische verrekeningsinstellingen en de in België gevestigdebijkantoren van buitenlandse verrekeningsinstellingen die op 1 januariover een vergunning beschikken krachtens artikel 36/25, § 2, van dewet van 22 februari 1998 tot vaststelling van het organiek statuut van deNationale Bank van België, betalen jaarlijks een bijdrage van 200.000 EUR.

De in België gevestigde bijkantoren van buitenlandse kredietinstel-lingen, die voor hun diensten als verrekeningsinstelling op 1 januarionderworpen zijn aan het toezicht bedoeld in artikel 36/25 van de wetvan 22 februari 1998 tot vaststelling van het organiek statuut van deNationale Bank van België, betalen jaarlijks een bijdrage van 200.000 EUR.

De niet in België gevestigde buitenlandse verrekeningsinstellingen,die voor hun diensten als verrekeningsinstelling op 1 januari onder-worpen zijn aan het toezicht bedoeld in artikel 36/25 van de wet van22 februari 1998 tot vaststelling van het organiek statuut van deNationale Bank van België, betalen jaarlijks een bijdrage van 200.000 EUR.Geen bijdrage is verschuldigd indien de betrokken instelling eenbijdrage aan de Bank betaalt voor een bijkantoor in België.

De in deze paragraaf vastgestelde bijdrage is niet verschuldigd doorde in deze paragraaf bedoelde instellingen die een bijdrage vanminstens 200.000 EUR aan de Bank zijn verschuldigd op basis vanhoofdstuk III van dit besluit.

La BCE a compétence pour émettre un avis en vertu de l’article 127,paragraphe 4, et de l’article 282, paragraphe 5, du traité sur lefonctionnement de l’Union européenne, ainsi que de l’article 2,paragraphe 1er, troisième tiret, de la Décision 98/415/CE du Conseildu 29 juin 1998 relative à la consultation de la Banque centraleeuropéenne par les autorités nationales au sujet de projets de réglemen-tation, étant donné que le projet d’arrêté royal contient des dispositionsqui concernent la BNB″.

Suivant l’article 2, paragraphe 1er, troisième tiret, de la Déci-sion 98/415/CE du 29 juin 1998 précitée,

″Les autorités des Etats membres consultent la BCE sur tout projet deréglementation relevant de son domaine de compétence en vertu dutraité, et notamment en ce qui concerne [...] les banques centralesnationales″.

Tout comme l’arrêté du 17 juillet 2012 qu’il tend à modifier, le projetdoit par conséquent faire l’objet d’une consultation de la Banquecentrale européenne et son avis devra être visé dans le préambule.

Vu l’arrêté royal du 17 juillet 2012 relatif à la couverture des frais defonctionnement de la Banque nationale de Belgique liés au contrôle desétablissements financiers, en exécution de l’article 12bis, § 4, de la loi du22 février 1998 fixant le statut organique de la Banque nationale deBelgique;

Nous avons arrêté et arrêtons :

Article 1er. Dans l’article 13 de l’arrêté royal du 17 juillet 2012 relatifà la couverture des frais de fonctionnement de la Banque Nationale deBelgique liés au contrôle des établissements financiers, en exécution del’article 12bis, § 4, de la loi du 22 février 1998 fixant le statut organiquede la Banque Nationale de Belgique, les paragraphes 1er et 2, modifiéspar l’arrêté royal du 1er octobre 2012, sont remplacés par ce qui suit :

″§ 1er. Les organismes de compensation belges et les succursalesétablies en Belgique d’organismes de compensation étrangers quidisposent, au 1er janvier, d’un agrément en vertu de l’article 36/25, § 2,de la loi du 22 février 1998 fixant le statut organique de la BanqueNationale de Belgique, acquittent annuellement une contribution de200.000 EUR.

Les succursales établies en Belgique d’établissements de créditétrangers qui, pour les services qu’elles fournissent en qualité d’orga-nisme de compensation, sont, au 1er janvier, soumises au contrôle viséà l’article 36/25 de la loi du 22 février 1998 fixant le statut organique dela Banque Nationale de Belgique, acquittent annuellement une contri-bution de 200.000 EUR.

Les organismes de compensation étrangers non établis en Belgiquequi, pour les services qu’ils fournissent en qualité d’organisme decompensation, sont, au 1er janvier, soumis au contrôle visé à l’arti-cle 36/25 de la loi du 22 février 1998 fixant le statut organique de laBanque Nationale de Belgique, acquittent annuellement une contribu-tion de 200.000 EUR. Aucune contribution n’est due si l’organismeconcerné acquitte une contribution à la Banque pour une succursaleétablie en Belgique.

La contribution fixée par le présent paragraphe n’est pas due par lesorganismes visés au présent paragraphe qui sont redevables d’unecontribution d’au moins 200.000 EUR à la Banque en vertu duchapitre III du présent arrêté.

§ 2. De Belgische vereffeningsinstellingen en de in België gevestigdebijkantoren van buitenlandse vereffeningsinstellingen die voor hundiensten als vereffeningsinstelling op 1 januari onderworpen zijn aanhet toezicht bedoeld in artikel 36/26 van de wet van 22 februari 1998 totvaststelling van het organiek statuut van de Nationale Bank van België,betalen jaarlijks een bijdrage van 200.000 EUR.

De niet in het eerste lid bedoelde in België gevestigde instellingen,die op 1 januari aan het toezicht bedoeld in artikel 36/26 van de wetvan 22 februari 1998 tot vaststelling van het organiek statuut van deNationale Bank van België, zijn onderworpen, betalen jaarlijks eenbijdrage van 200.000 EUR.

De overeenkomstig artikel 36/26, § 7, van de wet van 22 februari 1998tot vaststelling van het organiek statuut van de Nationale Bank vanBelgië met vereffeningsinstellingen gelijkgestelde instellingen die voorhun diensten als vereffeningsinstelling op 1 januari onderworpen zijnaan het toezicht bedoeld in artikel 36/26 van voormelde wet van22 februari 1998, betalen jaarlijks een bijdrage van 200.000 EUR.

De in deze paragraaf vastgestelde bijdrage is niet verschuldigd doorde in deze paragraaf bedoelde instellingen die een bijdrage vanminstens 200.000 EUR aan de Bank zijn verschuldigd op basis vanhoofdstuk III van dit besluit.″

Art. 2. Artikel 14 van hetzelfde besluit wordt vervangen als volgt :

″§ 1. De op 1 januari in België gevestigde betalingsinstellingen eninstellingen voor elektronisch geld naar Belgisch recht bedoeld inrespectievelijk artikel 9 en artikel 64 van de wet van 21 december 2009op het statuut van de betalingsinstellingen en van de instellingen voorelektronisch geld, de toegang tot het bedrijf van betalingsdienstaanbie-der en tot de activiteit van uitgifte van elektronisch geld en de toegangtot betalingssystemen, betalen jaarlijks een bijdrage van 2.500 EUR.

Deze bijdrage wordt verhoogd tot 10.000 EUR voor de in het eerstelid bedoelde betalingsinstellingen en instellingen voor elektronischgeld met een eigen vermogen van meer dan 1 miljoen EUR, tot15.000 EUR voor de in het eerste lid bedoelde betalingsinstellingen eninstellingen voor elektronisch geld met een eigen vermogen van meerdan 5 miljoen EUR en tot 25.000 EUR voor de in het eerste lid bedoeldebetalingsinstellingen en instellingen voor elektronisch geld met eeneigen vermogen van meer dan 10 miljoen EUR.

Het in aanmerking genomen eigen vermogen is het eigen vermogenop 31 december van het voorafgaande jaar, berekend, voor betalingsin-stellingen, overeenkomstig artikel 6 van het reglement van de CBFAvan 19 januari 2010 op het eigen vermogen van de betalingsinstellingenen, voor instellingen voor elektronisch geld, overeenkomst artikel 5 vanhet reglement van de NBB van 18 juni 2013 op het eigen vermogen vande instellingen voor elektronisch geld en de belegging van degeldmiddelen die in ruil voor het uitgegeven elektronisch geld wordenontvangen.

De op 1 januari in België gevestigde betalingsinstellingen eninstellingen voor elektronisch geld die geheel of gedeeltelijk zijnvrijgesteld op basis van respectievelijk artikel 48 en artikel 105 van dewet van 21 december 2009 op het statuut van de betalingsinstellingenen van de instellingen voor elektronisch geld, de toegang tot het bedrijfvan betalingsdienstaanbieder en tot de activiteit van uitgifte vanelektronisch geld en de toegang tot betalingssystemen, betalen jaarlijkseen bijdrage van 1.500 EUR.

De op 1 januari in België gevestigde bijkantoren van betalingsinstel-lingen en instellingen voor elektronisch geld die ressorteren onder eenandere lidstaat van de EER bedoeld in respectievelijk artikel 39 enartikel 91 van de wet van 21 december 2009 op het statuut van debetalingsinstellingen en van de instellingen voor elektronisch geld, detoegang tot het bedrijf van betalingsdienstaanbieder en tot de activiteitvan uitgifte van elektronisch geld en de toegang tot betalingssystemen,betalen jaarlijks een bijdrage van 2.500 EUR.

§ 2. De Bank stelt de instellingen bedoeld in § 1 jaarlijks uiterlijk op1 september in kennis van het bedrag dat zij overeenkomstig dieparagraaf verschuldigd zijn. De instellingen in kwestie betalen dezebijdragen ten laatste op 30 september van hetzelfde jaar.

§ 2. Les organismes de liquidation belges et les succursales établies enBelgique d’organismes de liquidation étrangers qui, pour les servicesqu’ils fournissent en qualité d’organisme de liquidation, sont, au 1er

janvier, soumis au contrôle visé à l’article 36/26 de la loi du22 février 1998 fixant le statut organique de la Banque Nationale deBelgique, acquittent annuellement une contribution de 200.000 EUR.

Les établissements établis en Belgique et non visés à l’alinéa 1er, quisont, au 1er janvier, soumis au contrôle visé à l’article 36/26 de la loi du22 février 1998 fixant le statut organique de la Banque Nationale deBelgique, acquittent annuellement une contribution de 200.000 EUR.

Les organismes assimilés à des organismes de liquidation conformé-ment à l’article 36/26, § 7, de la loi du 22 février 1998 fixant le statutorganique de la Banque Nationale de Belgique, qui, pour les servicesqu’ils fournissent en qualité d’organisme de liquidation, sont, au 1er

janvier, soumis au contrôle visé à l’article 36/26 de ladite loi du22 février 1998, acquittent annuellement une contribution de 200.000 EUR.

La contribution fixée par le présent paragraphe n’est pas due par lesorganismes visés au présent paragraphe qui sont redevables d’unecontribution d’au moins 200.000 EUR à la Banque en vertu duchapitre III du présent arrêté.″

Art. 2. L’article 14 du même arrêté est remplacé par ce qui suit :

″§ 1er. Les établissements de paiement et les établissements demonnaie électronique de droit belge établis en Belgique au 1er janvier etvisés respectivement à l’article 9 et à l’article 64 de la loi du21 décembre 2009 relative au statut des établissements de paiement etdes établissements de monnaie électronique, à l’accès à l’activité deprestataire de services de paiement, à l’activité d’émission de monnaieélectronique et à l’accès aux systèmes de paiement, acquittent annuel-lement une contribution de 2.500 EUR.

Cette contribution est portée à 10.000 EUR pour les établissements depaiement et les établissements de monnaie électronique visés àl’alinéa 1er dont les fonds propres dépassent 1 million EUR, à15.000 EUR pour les établissements de paiement et les établissementsde monnaie électronique visés à l’alinéa 1er dont les fonds propresdépassent 5 millions EUR et à 25.000 EUR pour les établissements depaiement et les établissements de monnaie électronique visés àl’alinéa 1er dont les fonds propres dépassent 10 millions EUR.

Les fonds propres pris en considération s’entendent de ceux qui serapportent à la situation au 31 décembre de l’année précédenteconformément, pour les établissements de paiement, à l’article 6 durèglement de la CBFA du 19 janvier 2010 relatif aux fonds propres desétablissements de paiement, et, pour les établissements de monnaieélectronique, à l’article 5 du règlement de la BNB du 18 juin 2013concernant les fonds propres des établissements de monnaie électroni-que et le placement des fonds reçus en échange de la monnaieélectronique émise.

Les établissements de paiement et les établissements de monnaieélectronique établis en Belgique au 1er janvier qui bénéficient d’uneexemption en tout ou en partie au titre respectivement de l’article 48 etde l’article 105 de la loi du 21 décembre 2009 relative au statut desétablissements de paiement et des établissements de monnaie électro-nique, à l’accès à l’activité de prestataire de services de paiement, àl’activité d’émission de monnaie électronique et à l’accès aux systèmesde paiement, acquittent annuellement une contribution de 1.500 EUR.

Les succursales établies en Belgique au 1er janvier d’établissementsde paiement et d’établissements de monnaie électronique relevant dudroit d’un autre État membre de l’EEE et visés respectivement àl’article 39 et à l’article 91 de la loi du 21 décembre 2009 relative austatut des établissements de paiement et des établissements de monnaieélectronique, à l’accès à l’activité de prestataire de services de paiement,à l’activité d’émission de monnaie électronique et à l’accès aux systèmesde paiement, acquittent annuellement une contribution de 2.500 EUR.

§ 2. Chaque année, la Banque informe les établissements visés au§ 1er, au plus tard le 1er septembre, du montant dont ils sont redevablesen vertu dudit paragraphe. Les établissements en question acquittentces contributions au plus tard le 30 septembre de la même année.

§ 3. De instellingen die een aanvraag doen in de zin van artikel 7 vande wet van 21 december 2009 op het statuut van de betalingsinstellin-gen en van de instellingen voor elektronisch geld, de toegang tot hetbedrijf van betalingsdienstaanbieder en tot de activiteit van uitgifte vanelektronisch geld en de toegang tot betalingssystemen, betalen naaraanleiding van die aanvraag een bijdrage van 1.500 EUR. Wanneer deBank een vergunning verleent in de zin van artikel 8 van voormeldewet van 21 december 2009, vordert zij naar aanleiding van dievergunning een bijdrage van 1.500 EUR per betalingsdienst waarvooreen vergunning is verleend, zonder dat het bedrag van 4.500 EUR magworden overschreden.

De instellingen die een aanvraag doen in de zin van artikel 62 van dewet van 21 december 2009 op het statuut van de betalingsinstellingenen van de instellingen voor elektronisch geld, de toegang tot het bedrijfvan betalingsdienstaanbieder en tot de activiteit van uitgifte vanelektronisch geld en de toegang tot betalingssystemen, betalen naaraanleiding van die aanvraag een bijdrage van 1.500 EUR. Wanneer deBank een vergunning verleent in de zin van artikel 63 van voormeldewet van 21 december 2009, vordert zij naar aanleiding van dievergunning een bijdrage van 1.500 EUR per voorgenomen betalings-dienst, zonder dat het bedrag van 4.500 EUR mag worden overschre-den.

De instellingen die van de Bank een kennisgeving ontvangen in dezin van artikel 39 of artikel 91 van de wet van 21 december 2009 op hetstatuut van de betalingsinstellingen en van de instellingen voorelektronisch geld, de toegang tot het bedrijf van betalingsdienstaanbie-der en tot de activiteit van uitgifte van elektronisch geld en de toegangtot betalingssystemen, betalen naar aanleiding van die kennisgevingeen bijdrage van 1.500 EUR.

De krachtens deze paragraaf verschuldigde bijdragen worden betaaldbinnen een termijn van één maand na het verzoek tot betaling door deBank.″

Art. 3. Dit besluit treedt in werking de dag waarop het in hetBelgisch Staatsblad wordt bekendgemaakt.

Art. 4. De minister bevoegd voor Financiën is belast met deuitvoering van dit besluit.

Het Akkoord, gesloten door uitwisseling van verbale nota’sgedateerd op 16 oktober 2013 en op 7 november 2013, tot verlengingvan het Verdrag tussen het Koninkrijk België en het Koninkrijk derNederlanden over de terbeschikkingstelling van een penitentiaireinrichting in Nederland ten behoeve van de tenuitvoerlegging van bijBelgische veroordelingen opgelegde vrijheidsstraffen, gedaan te Til-burg (Nederland) op 31 oktober 2009, zal volkomen gevolg hebben.

Art. 3. De akkoorden betreffende de verlenging van hetzelfdeverdrag na 31 december 2014, voorzien in de uitwisseling van verbalenota’s, zullen volkomen gevolg hebben.

§ 3. Les établissements qui introduisent une demande au sens del’article 7 de la loi du 21 décembre 2009 relative au statut desétablissements de paiement et des établissements de monnaie électro-nique, à l’accès à l’activité de prestataire de services de paiement, àl’activité d’émission de monnaie électronique et à l’accès aux systèmesde paiement, acquittent, à la suite de cette demande, une contributionde 1.500 EUR. Lorsque la Banque octroie un agrément au sens del’article 8 de ladite loi du 21 décembre 2009, elle demande, à la suite decet agrément, le paiement d’une contribution de 1.500 EUR par servicede paiement pour lequel un agrément a été octroyé, avec un maximumde 4.500 EUR.

Les établissements qui introduisent une demande au sens del’article 62 de la loi du 21 décembre 2009 relative au statut desétablissements de paiement et des établissements de monnaie électro-nique, à l’accès à l’activité de prestataire de services de paiement, àl’activité d’émission de monnaie électronique et à l’accès aux systèmesde paiement, acquittent, à la suite de cette demande, une contributionde 1.500 EUR. Lorsque la Banque octroie un agrément au sens del’article 63 de ladite loi du 21 décembre 2009, elle demande, à la suite decet agrément, le paiement d’une contribution de 1.500 EUR par servicede paiement envisagé, avec un maximum de 4.500 EUR.

Les établissements qui reçoivent une notification de la Banque ausens de l’article 39 ou de l’article 91 de la loi du 21 décembre 2009relative au statut des établissements de paiement et des établissementsde monnaie électronique, à l’accès à l’activité de prestataire de servicesde paiement, à l’activité d’émission de monnaie électronique et à l’accèsaux systèmes de paiement, acquittent, à la suite de cette notification,une contribution de 1.500 EUR.

Les contributions dues en vertu du présent paragraphe sont acquit-tées dans le mois qui suit l’invitation à payer faite par la Banque.″

Art. 3. Le présent arrêté entre en vigueur le jour de sa publication auMoniteur belge.

Art. 4. Le ministre qui a les Finances dans ses attributions est chargéde l’exécution du présent arrêté.

Art. 6. In artikel 15, tweede lid, van hetzelfde besluit, worden dewoorden « hetzij op 1 december 2004, hetzij op basis van heteerste lid », ingevoegd tussen de woorden « in de weddenschaal 10F »en de woorden « bekomen de weddenschaal 10G ».

Art. 7. In artikel 19 van hetzelfde besluit, worden de volgendewijzigingen aangebracht :

1° In de Nederlandse tekst worden de woorden « aan de anciënni-teitsvoorwaarden » ingevoegd tussen de woorden « in klasse A1of A2 » en de woorden « om bevorderd te worden ».

2° het artikel wordt aangevuld als volgt :

« Desgevallend genieten de in het eerste lid bedoelde ambtenarenvan de bepalingen van artikel 47 van het koninklijk besluit van7 augustus 1939 betreffende de evaluatie en de loopbaan van hetrijkspersoneel. »

Art. 8. Artikel 28 van hetzelfde besluit wordt aangevuld met hetvolgende lid :

« Voor de toepassing van artikel 14bis van het koninklijk besluit van8 augustus 1983 betreffende de uitoefening van een hoger ambt in derijksbesturen zijn de weddeschalen die in aanmerking moeten wordengenomen de weddeschalen die voortvloeien uit de toepassing vanartikel 10, § 1. »

Art. 9. In artikel 30 van hetzelfde besluit, worden de woorden « inartikel 2, § 1, tweede lid » vervangen door de woorden « in artikel 2,§ 1bis ».

HOOFDSTUK III. — Overgangsbepalingen

Art. 10. De verwijzingen naar artikel 226 van het koninklijk besluitvan 5 september 2002 houdende hervorming van de loopbaan vansommige ambtenaren in de Rijksbesturen, in Hoofdstuk III van hetkoninklijk besluit van 7 juni 2007 houdende wijziging van verscheidenereglementaire bepalingen betreffende de loopbaan, dienen gelezen teworden als verwijzingen naar artikel 38 van het koninklijk besluitvan 8 juli 2004 houdende diverse wijzigingen aan de regelgevingbetreffende het toegevoegd vorsingspersoneel en het beheerspersoneelvan de federale wetenschappelijke instellingen.

Art. 11. Dit besluit heeft uitwerking met ingang van 1 decem-ber 2004, met uitzondering van de artikelen 1, 2 en 3, die uitwerkinghebben met ingang van 1 oktober 2002 en artikel 10 dat uitwerkingheeft met ingang van op 1 januari 2007.

Art. 12. Onze Ministers en Onze Staatssecretarissen zijn, ieder wathem betreft, belast met de uitvoering van dit besluit.

Op de voordracht van Onze Minister van Financiën,

Hebben Wij besloten en besluiten Wij :

Artikel 1. Het bij dit besluit gevoegde reglement van de Commissievoor het Bank-, Financie- en Assurantiewezen van 19 januari 2010 ophet eigen vermogen van de betalingsinstellingen wordt goedgekeurd.

Art. 2. Onze Minister van Financiën is belast met de uitvoering vandit besluit.

Art. 6. Dans l’article 15, alinéa 2, du même arrêté, les mots « soit au1er décembre 2004, soit sur la base de l’alinéa 1er » sont insérés entre lesmots « dans l’échelle de traitement 10F » et les mots « obtiennentl’échelle de traitement 10G ».

Art. 7. A l’article 19 du même arrêté sont apportées les modificationssuivantes :

1° Dans le texte néerlandais de l’article 19 du même arrêté, les mots« aan de anciënniteitsvoorwaarden » sont insérés entre les mots« in klasse A1 of A2 » et les mots « om bevorderd te worden ».

2° l’article est complété par l’alinéa suivant :

« S’il y échet, les agents visés à l’alinéa 1er bénéficient des dispositionsde l’article 47 de l’arrêté royal du 7 août 1939 organisant l’évaluation etla carrière des agents de l’Etat. »

Art. 8. L’article 28 du même arrêté est complété par l’alinéa suivant :

« Pour l’application de l’article 14bis de l’arrêté royal du 8 août 1983relatif à l’exercice d’une fonction supérieure dans les administrations del’Etat, les échelles de traitement à prendre en considération sont cellesqui résultent de l’application de l’article 10, § 1er. »

Art. 9. Dans l’article 30 du même arrêté, les mots « à l’article 2, § 1er,alinéa 2 » sont remplacés par les mots « à l’article 2, § 1erbis ».

CHAPITRE III. — Dispositions transitoires

Art. 10. Les références à l’article 226 de l’arrêté royal du 5 septem-bre 2002 portant réforme de la carrière de certains agents desadministrations de l’Etat, dans le Chapitre III de l’arrêté royal du7 juin 2007 portant modification de diverses dispositions réglemen-taires relatives à la carrière, doivent être lues comme des références àl’article 38 de l’arrêté royal du 8 juillet 2004 portant diverses modifica-tions à la réglementation relative au personnel adjoint à la recherche etau personnel de gestion des établissements scientifiques fédéraux.

Art. 11. Le présent arrêté produit ses effets le 1er décembre 2004, àl’exception des articles 1er, 2 et 3, qui produisent leurs effets le1er octobre 2002, et de l’article 10 qui produit ses effets le 1er jan-vier 2007.

Art. 12. Nos Ministres et Nos Secrétaires d’Etat sont chargés, chacunen ce qui le concerne, de l’exécution du présent arrêté.

De Commissie voor het Bank-, Financie- en Assurantiewezen,

Gelet op de wet van 21 december 2009 betreffende het statuut van debetalingsinstellingen, de toegang tot het bedrijf van betalingsdienstaan-bieder en de toegang tot betalingssystemen, inzonderheid op artikel 17;

Gelet op de wet van 2 augustus 2002 betreffende het toezicht op definanciële sector en de financiële diensten, inzonderheid artikel 64,gewijzigd bij koninklijk besluit van 25 maart 2003;

Gelet op het advies van de raad van toezicht van de Commissie voorhet Bank-, Financie- en Assurantiewezen,

Gelet op het advies van de Nationale Bank van België,

Besluit :Afdeling 1. — Algemene bepaling, definities en toepassingsgebied

Artikel 1. Dit reglement heeft de gedeeltelijke omzetting tot doelvan Richtlijn 2007/64/EG van het Europees Parlement en de Raad van13 november 2007 betreffende betalingsdiensten in de interne markt totwijziging van de Richtlijnen 97/7/EG, 2002/65/EG, 2005/60/EG en2006/48/EG, en tot intrekking van Richtlijn 97/5/EG.

Art. 2. Voor de toepassing van dit reglement wordt verstaan onder :

1° « de wet » : de wet van 21 december 2009 op het statuut van debetalingsinstellingen, de toegang tot het bedrijf van betalingsdienstaan-bieder en de toegang tot betalingssystemen;

2° « CBFA » : de Commissie voor het Bank-, Financie- en Assuran-tiewezen;

3° « reglement op het eigen vermogen van de kredietinstellingen ende beleggingsondernemingen » : het besluit van de Commissie voor hetBank-, Financie- en Assurantiewezen van 17 oktober 2006 over hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen.

Art. 3. De bepalingen van dit reglement zijn van toepassing op debetalingsinstellingen naar Belgisch recht.

Afdeling 2. — Eigen vermogen

Art. 4. Het eigen vermogen van de betalingsinstelling moet steedsminstens gelijk zijn aan het bedrag van het aanvangskapitaal dat isvastgesteld overeenkomstig artikel 11 van de wet.

Art. 5. Als eigenvermogensbestanddelen worden de bestanddelenin aanmerking genomen die als dusdanig zijn gedefinieerd in artike-len II.1 en II.2 van het reglement op het eigen vermogen van dekredietinstellingen en de beleggingsondernemingen.

Hierbij wordt voor de bepaling van het eigen vermogen van debetalingsinstellingen de toepassing van artikel II.1, § 4, 1° tot 4°bis, 5°bisen 6° van het reglement op het eigen vermogen van de kredietinstel-lingen en de beleggingsondernemingen uitgebreid met de aldaarvermelde instrumenten en vorderingen die betrekking hebben opbetalingsinstellingen.

Indien een betalingsinstelling andere activiteiten heeft dan deze zoalsin Bijlage I van de wet (hybride karakter) worden de overeenkomstigeelementen voor deze activiteiten niet in het eigen vermogen opgeno-men.

Indien de CBFA voor een instelling overgaat tot het toepassen vaneen geconsolideerd toezicht, worden de artikelen II.4 en II.5 van hetreglement eigen vermogen van de kredietinstellingen en de beleggings-ondernemingen overeenkomstig van toepassing.

Art. 3. Le présent arrêté entre en vigueur le 31 mars 2010.

Annexe à l’arrêté royal du 5 février 2010

Règlement de la Commission bancaire, financière et des Assurancesdu 19 janvier 2010 concernant les fonds propres des établissementsde paiement

La Commission bancaire, financière et des Assurances,

Vu la loi du 21 décembre 2009 relative au statut des établissements depaiement, à l’accès à l’activité de prestataire de services de paiement età l’accès aux systèmes de paiement, notamment l’article 17;

Vu la loi du 2 août 2002 relative à la surveillance du secteur financieret aux services financiers, notamment l’article 64, modifié par l’arrêtéroyal du 25 mars 2003;

Vu l’avis du conseil de surveillance de la Commission bancaire,financière et des Assurances;

Vu l’avis de la Banque Nationale de Belgique,

Arrête :Section 1re. — Disposition générale, définitions et champ d’application

Article 1er. Le présent règlement assure la transposition partielle dela Directive 2007/64/CE du Parlement européen et du Conseil du13 novembre 2007 concernant les services de paiement dans le marchéintérieur, modifiant les Directives 97/7/CE, 2002/65/CE, 2005/60/CEainsi que 2006/48/CE et abrogeant la Directive 97/5/CE.

Art. 2. Pour l’application du présent règlement, il y a lieu d’entendrepar :

1° « la loi » : la loi du 21 décembre 2009 relative au statut desétablissements de paiement, à l’accès à l’activité de prestataire deservices de paiement et à l’accès aux systèmes de paiement;

2° « la CBFA » : la Commission bancaire, financière et des Assurances;

3° « le règlement relatif aux fonds propres des établissements decrédit et des entreprises d’investissement » : l’arrêté de la Commissionbancaire, financière et des assurances du 17 octobre 2006 concernant lerèglement relatif aux fonds propres des établissements de crédit et desentreprises d’investissement.

Art. 3. Les dispositions du présent règlement s’appliquent auxétablissements de paiement de droit belge.

Section 2. — Fonds propres

Art. 4. Les fonds propres de l’établissement de paiement doivent enpermanence être au moins égaux au montant du capital initial fixéconformément à l’article 11 de la loi.

Art. 5. Sont pris en considération comme éléments des fondspropres, les éléments définis comme tels dans les articles II.1 et II.2 durèglement relatif aux fonds propres des établissements de crédit et desentreprises d’investissement.

Pour la détermination des fonds propres des établissements depaiement, l’application de l’article II.1, § 4, 1° à 4°bis, 5°bis et 6°, durèglement relatif aux fonds propres des établissements de crédit et desentreprises d’investissement est étendue aux instruments et créances yvisés qui portent sur des établissements de paiement.

Si un établissement de paiement exerce des activités autres que cellesmentionnées dans l’annexe Ire de la loi (caractère hybride), les élémentscorrespondants afférents à ces activités ne sont pas compris dans lesfonds propres.

Dans le cas d’un établissement de paiement auquel la CBFA a décidéd’appliquer un contrôle consolidé, les articles II.4 et II.5 du règlementrelatif aux fonds propres des établissements de crédit et des entreprisesd’investissement sont applicables par analogie.

Afdeling 3. — Solvabiliteitscoëfficiënten en -normen

Art. 6. § 1. Het eigen vermogen van de betalingsinstelling moetsteeds minstens gelijk zijn aan de solvabiliteitsvereisten zoals berekendvolgens een van de in § 2 bepaalde methodes. De CBFA bepaalt demethode die door een betalingsinstelling mag worden toegepast nahierover overleg gepleegd te hebben met de betrokken betalingsinstel-ling.

§ 2.

Methode A

Het eigen vermogen van de betalingsinstelling is een bedrag van tenminste 10 % van de algemene kosten van het voorgaande jaar. De CBFAmag deze vereiste aanpassen in geval van aanzienlijke wijzigingen inde werkzaamheden van de betalingsinstelling sinds het voorgaandejaar.

Wanneer de betalingsinstelling op de dag van de berekening haarwerkzaamheden niet gedurende een volledig boekjaar heeft uitgeoe-fend bedraagt het vereiste eigen vermogen 10 % van de algemenekosten waarin het bedrijfsplan voorziet, tenzij de CBFA een aanpassingvan dit plan verlangt.

Voor de toepassing van deze methode omvatten de algemene kostendie aanmerking genomen worden :

1° diverse goederen en diensten;

2° de bezoldigingen, sociale lasten en pensioenen;

3° de afschrijvingen, waardeverminderingen en voorzieningen voorrisico’s en kosten;

4° de andere bedrijfskosten, met uitzonderingen van de bedragenwaarvan de betalingsinstelling aantoont dat zij rechtstreeks verbandhouden met het bedrijfsvolume.

Voor betalingsinstellingen met een hybride karakter worden enkel dekosten die verband houden met de betalingsdiensten in aanmerkinggenomen.

Methode B

Het eigen vermogen van de betalingsinstelling is een bedrag datminstens gelijk is aan de som van volgende elementen, vermenigvul-digd met een schaalfactor k, als omschreven in paragraaf 3, waarbij hetbetalingsvolume een twaalfde is van het totale bedrag van debetalingstransacties die de betalingsinstelling het voorgaande jaar heeftverricht :

a) 4,0 % van het deel van het betalingsvolume tot 5 miljoen EUR, plus

b) 2,5 % van het deel van het betalingsvolume boven 5 miljoen EURtot 10 miljoen EUR,

plus

c) 1 % van het deel van het betalingsvolume boven 10 miljoen EURtot 100 miljoen EUR,

plus

d) 0,5 % van het deel van het betalingsvolume boven 100 miljoen EURtot 250 miljoen EUR,

plus

e) 0,25 % van het deel van het betalingsvolume boven 250 mil-joen EUR.

Wanneer de betalingsinstelling op de dag van haar berekening haarwerkzaamheden niet gedurende een volledig boekjaar heeft uitgeoe-fend, wordt er in de berekening rekening gehouden met het totaalbedrag van de betalingstransacties waarin het bedrijfsplan voorziet,tenzij de CBFA een aanpassing van dit plan verlangt.

Methode C

Het eigen vermogen van de betalingsinstelling is een bedrag dat tenminste gelijk is aan de relevante indicator als omschreven onder a),vermenigvuldigd met een multiplicator als omschreven onder b),nogmaals vermenigvuldigd met een schaalfactor k, als omschreven inparagraaf 3.

a) De relevante indicator is de som van het volgende :

— rente-inkomsten;

— rente-uitgaven;

— ontvangen provisies en vergoedingen, en

— overige bedrijfsopbrengsten.

Section 3. — Coefficients et normes de solvabilité

Art. 6. § 1er. Les fonds propres de l’établissement de paiementdoivent en permanence être au moins égaux au montant des exigencesde solvabilité calculées selon l’une des méthodes définies au § 2. LaCBFA détermine la méthode qui peut être appliquée par un établisse-ment de paiement après s’être concertée à ce sujet avec l’établissementde paiement concerné.

§ 2.

Méthode A

Le montant des fonds propres de l’établissement de paiement est aumoins égal à 10 % de ses frais généraux de l’année précédente. La CBFApeut ajuster cette exigence en cas de modification significative del’activité de l’établissement de paiement par rapport à l’année précé-dente.

Lorsque l’établissement de paiement n’a pas enregistré une annéecomplète d’activité à la date du calcul, l’exigence en fonds propres estégale à 10 % du montant des frais généraux prévu dans son pland’affaires, à moins que la CBFA n’exige un ajustement de ce plan.

Pour l’application de cette méthode, les frais généraux pris enconsidération sont constitués :

1° des biens et services divers;

2° des rémunérations, charges sociales et pensions;

3° des amortissements, réductions de valeur et provisions pourrisques et charges;

4° des autres charges d’exploitation, à l’exception des montants dontl’établissement de paiement établit qu’ils sont directement liés auvolume d’activité.

Pour les établissements de paiement à caractère hybride, seuls lesfrais ayant trait aux services de paiement sont pris en considération.

Méthode B

Le montant des fonds propres de l’établissement de paiement est aumoins égal à la somme des éléments suivants, multipliée par le facteurd’échelle k déterminé au § 3, où le volume des paiements (VP)représente un douzième du montant total des opérations de paiementexécutées par l’établissement de paiement au cours de l’année précé-dente :

a) 4,0 % de la tranche du VP allant jusqu’à 5 millions EUR, plus

b) 2,5 % de la tranche du VP comprise entre 5 millions EUR et10 millions EUR,

plus

c) 1 % de la tranche du VP comprise entre 10 millions EUR et100 millions EUR,

plus

d) 0,5 % de la tranche du VP comprise entre 100 millions EUR et250 millions EUR,

plus

e) 0,25 % de la tranche du VP supérieure à 250 millions EUR.

Lorsque l’établissement de paiement n’a pas enregistré une annéecomplète d’activité à la date du calcul, il tient compte dans son calculdu montant total des opérations de paiement prévues dans son pland’affaires, à moins que la CBFA n’exige un ajustement de ce plan.

Méthode C

Le montant des fonds propres de l’établissement de paiement est aumoins égal à l’indicateur applicable défini au point a), après applicationdu facteur de multiplication déterminé au point b), puis du facteurd’échelle k déterminé au § 3.

a) L’indicateur applicable est la somme des éléments suivants :

— produits d’intérêts,

— charges d’intérêts,

— commissions et frais percus, et

— autres produits d’exploitation.

Elk bestanddeel wordt meegeteld met het bijbehorende positieve ofnegatieve teken. Inkomsten uit buitengewone of ongewone postenmogen niet worden meegeteld bij de berekening van de relevanteindicator. De uitgaven aan de uitbesteding van diensten die door eenderde partij worden verricht, kunnen de relevante indicator verlagenals de uitgaven voor rekening komen van een onderneming die onderhet toezicht van de wet valt.

De relevante indicator wordt berekend op basis van de laatstetwaalf-maandelijkse waarneming aan het einde van het boekjaar.

De relevante indicator wordt berekend over het laatste boekjaar.Desalniettemin mag het overeenkomstig methode C berekend eigenvermogen niet onder 80 % van het gemiddelde van de laatste drieboekjaren voor de relevante indicator dalen. Wanneer geen gecontro-leerde cijfers beschikbaar zijn, mogen bedrijfsramingen worden gebruikt.

Wanneer de betalingsinstelling op de dag van haar berekening haarwerkzaamheden niet gedurende een volledig boekjaar heeft uitgeoe-fend, wordt er in de berekening rekening gehouden met de relevanteindicator waarin het bedrijfsplan voorziet, tenzij de CBFA een aanpas-sing van dit plan verlangt.

b) De multiplicator is :

i) 10 % van het deel van de relevante indicator tot 2,5 miljoen EUR,

ii) 8 % van het deel van de relevante indicator boven 2,5 miljoen EURtot 5 miljoen EUR,

iii) 6 % van het deel van de relevante indicator boven 5 miljoen EURtot 25 miljoen EUR,

iv) 3 % van het deel van de relevante indicator boven 25 miljoen EURtot 50 miljoen EUR,

v) 1,5 % boven 50 miljoen EUR.

§ 3. De schaalfactor k die in methode B en methode C wordt gebruikt,is :

a) 0,5 wanneer de betalingsinstelling alleen de in punt 6 van de inBijlage I van de wet vermelde betalingsdienst verricht;

b) 0,8 wanneer de betalingsinstelling een in punt 7 van de in Bijlage Ivan de wet vermelde betalingsdienst verricht;

c) 1,0 wanneer de betalingsinstelling een in de punten 1 tot en met 5van de in Bijlage I van de wet vermelde betalingsdienst verricht.

Art. 7. De CBFA kan, op basis van een evaluatie van de risicobe-heersingsprocessen, het verzamelen en vastleggen van de risicoverlies-gegevens en het internecontrolesysteem van de betalingsinstelling,verlangen dat de betalingsinstelling een eigen vermogen aanhoudt dattot 20 % hoger is dan het vereiste eigen vermogen zoals bepaald inartikel 6, of de betalingsinstelling toestaan een eigen vermogen aan tehouden dat tot 20 % lager is dan het vereiste eigen vermogen zoalsbepaald in artikel 6.

Afdeling 4. — Overige bepalingen

Art. 8. Dit reglement treedt in werking op 31 maart 2010.

v) 1,5 % de la tranche de l’indicateur applicable supérieure à50 millions EUR.

§ 3. Le facteur d’échelle k à utiliser pour appliquer les méthodes Bet C est égal à :

a) 0,5 lorsque l’établissement de paiement ne fournit que le service depaiement mentionné au point 6 de l’annexe Ire de la loi;

b) 0,8 lorsque l’établissement de paiement fournit le service depaiement mentionné au point 7 de l’annexe Ire de la loi;

c) 1,0 lorsque l’établissement de paiement fournit l’un des services depaiement mentionnés aux points 1 à 5 de l’annexe Ire de la loi.

Art. 7. La CBFA peut, sur la base d’une évaluation des processus degestion des risques, de bases de données concernant les risques depertes et des dispositifs de contrôle interne de l’établissement depaiement, exiger que l’établissement de paiement détienne un montantde fonds propres pouvant être jusqu’à 20 % supérieur à l’exigence enfonds propres déterminée à l’article 6, ou autoriser l’établissement depaiement à détenir un montant de fonds propres pouvant être jusqu’à20 % inférieur à l’exigence en fonds propres déterminée à l’article 6.

Section 4. — Autres dispositions

Art. 8. Le présent règlement entre en vigueur le 31 mars 2010.

het prudentieel toezicht op de werkzaamheden van instellingen voor elek-tronisch geld, tot wijziging van de Richtlijnen 2005/60/EG en 2006/48/EGen tot intrekking van Richtlijn 2000/46/EG.

Art. 2. Voor de toepassing van dit reglement wordt verstaan onder :

1° ″de wet″ : de wet van 21 december 2009 op het statuut van debetalingsinstellingen en van de instellingen voor elektronisch geld, detoegang tot het bedrijf van betalingsdienstaanbieder en tot de activiteitvan uitgifte van elektronisch geld en de toegang tot betalingssystemen;

2° ″de Bank″ : de Nationale Bank van België;

3° ″het reglement op het eigen vermogen van de betalingsinstellin-gen″ : het koninklijk besluit van 5 februari 2010 tot goedkeuring van hetreglement van de Commissie voor het Bank-, Financie- en Assurantie-wezen op het eigen vermogen van de betalingsinstellingen;

4° ″het reglement op het eigen vermogen van de kredietinstellingenen de beleggingsondernemingen″ : het koninklijk besluit van19 maart 2012 tot goedkeuring van het reglement van 15 november 2011van de Nationale Bank van België op het eigen vermogen van dekredietinstellingen en de beleggingsondernemingen.

Art. 3. De bepalingen van dit reglement zijn van toepassing op deinstellingen voor elektronisch geld naar Belgisch recht.

Afdeling 2. — Eigen vermogen en solvabiliteitsnormen

Art. 4. Het eigen vermogen van een instelling voor elektronisch geldis samengesteld uit de bestanddelen die als dusdanig gedefinieerd zijnin artikel II.1 van het reglement op het eigen vermogen van dekredietinstellingen en de beleggingsondernemingen.

Indien de Bank besloten heeft op geconsolideerde basis toezicht tehouden op een instelling voor elektronisch geld, is artikel II.4. van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen van overeenkomstige toepassing.

Art. 5. Het eigen vermogen als omschreven in artikel 4 moet te allentijde minstens gelijk zijn aan het kapitaal dat vereist is met toepassingvan artikel 66 van de wet, of, indien die hoger is, de som van deeigenvermogens die vereist zijn op grond van de punten a) en b) van ditartikel :

a) met betrekking tot de werkzaamheden bedoeld in artikel 77, § 2, 1°van de wet, die geen verband houden met de uitgifte van elektronischgeld, wordt het vereiste eigen vermogen berekend aan de hand van eenvan de drie methoden (A, B of C) van artikel 6, § 2 van het reglementop het eigen vermogen van de betalingsinstellingen. De Bank bepaaltde methode die door een instelling voor elektronisch geld mag wordentoegepast na hierover overleg te hebben gepleegd met de betrokkeninstelling.

b) met betrekking tot de uitgifte van elektronisch geld is het vereisteeigen vermogen ten minste gelijk aan 2 % van het gemiddeld uitstaandelektronisch geld.

Art. 6. Mits hiervoor voorafgaandelijk toestemming is verleenddoor de Bank, mag een instelling voor elektronisch geld die werkzaam-heden verricht als bedoeld in artikel 77, § 2, 1° van de wet, die geenverband houden met de uitgifte van elektronisch geld, of die werk-zaamheden verricht als bedoeld in artikel 77, § 2, 2°, 3° en in artikel 77,§ 3 van de wet, waarvan het uitstaande bedrag aan elektronisch geldniet van tevoren is gekend, haar vereist eigen vermogen op grond vanhistorische gegevens berekenen op basis van een representatief gedeeltedat geacht wordt voor de uitgifte van elektronisch geld te wordengebruikt.

Wanneer een instelling voor elektronisch geld haar activiteiten nietlang genoeg heeft uitgeoefend, wordt haar vereist eigen vermogenbeoordeeld op basis van het uitstaande bedrag aan elektronisch geld alsgeraamd in haar bedrijfsplan, rekening houdend met de eventueleaanpassingen in dit plan die de Bank heeft verlangd.

Art. 7. Indien een instelling voor elektronisch geld rechtstreeks ofonrechtstreeks andere werkzaamheden dan de uitgifte van elektronischgeld verricht, kan de Bank bepalen welke maatregelen die instellingmoet nemen ter voorkoming van het meervoudige gebruik vanelementen die voor de berekening van het eigen vermogen inaanmerking komen.

Wat meer specifiek het verlenen van kredieten in verband metbetalingsdiensten betreft, indien die kredietverleningsactiviteit voldoetaan de voorwaarden van artikel 77, § 3 van de wet, ziet de Bank eroptoe, overeenkomstig artikel 21, § 3, d) van de wet, dat de instelling voorelektronisch geld aan deze activiteit een eigen vermogen toewijst datminstens gelijk is aan 8 % van het gewogen risicovolume berekend

monnaie électronique et son exercice ainsi que la surveillance pruden-tielle de ces établissements, modifiant les Directives 2005/60/CEet 2006/48/CE et abrogeant la Directive 2000/46/CE.

Art. 2. Pour l’application du présent règlement, il y a lieu d’entendrepar :

1° ″la loi″ : la loi du 21 décembre 2009 relative au statut desétablissements de paiement et des établissements de monnaie électro-nique, à l’accès à l’activité de prestataire de services de paiement, àl’activité d’émission de monnaie électronique et à l’accès aux systèmesde paiement;

2° ″la Banque″ : la Banque Nationale de Belgique;

3° ″le règlement relatif aux fonds propres des établissements depaiement″ : l’arrêté royal du 5 février 2010 portant approbation durèglement de la Commission bancaire, financière et des Assurancesconcernant les fonds propres des établissements de paiement;

4° ″le règlement relatif aux fonds propres des établissements de créditet des entreprises d’investissement″ : l’arrêté royal du 19 mars 2012portant approbation du règlement du 15 novembre 2011 de la BanqueNationale de Belgique relatif aux fonds propres des établissements decrédit et des entreprises d’investissement.

Art. 3. Les dispositions du présent règlement s’appliquent auxétablissements de monnaie électroniques de droit belge.

Section 2. — Fonds propres et normes de solvabilité

Art. 4. Les fonds propres d’un établissement de monnaie électroni-que sont composés des éléments définis comme tels dans l’article II.1du règlement relatif aux fonds propres des établissements de crédit etdes entreprises d’investissement.

Dans le cas d’un établissement de monnaie électronique auquel laBanque a décidé d’appliquer un contrôle consolidé, l’article II.4. durèglement relatif aux fonds propres des établissements de crédit et desentreprises d’investissement est applicable par analogie.

Art. 5. Les fonds propres tels que définis à l’article 4 doivent enpermanence être supérieurs ou égaux au plus élevé du montant decapital requis en application de l’article 66 de la loi ou de la somme desfonds propres requis au titre des points a) et b) du présent article :

a) pour ce qui concerne les activités visées à l’article 77, § 2, 1° de laloi qui ne sont pas liées à l’émission de monnaie électronique, les fondspropres requis sont calculés conformément à l’une des trois méthodes(A, B ou C) énoncées à l’article 6, § 2 du règlement relatif aux fondspropres des établissements de paiement. La Banque détermine laméthode qui peut être appliquée par un établissement de monnaieélectronique après s’être concertée à ce sujet avec l’établissementconcerné.

b) pour ce qui concerne l’activité d’émission de monnaie électronique,les fonds propres requis s’élèvent à 2 % au minimum de la moyenne dela monnaie électronique en circulation.

Art. 6. Moyennant autorisation préalable de la Banque, un établis-sement de monnaie électronique qui exerce des activités visées àl’article 77, § 2, 1° de la loi, qui ne sont pas liées à l’émission de monnaieélectronique ou des activités visées à l’ article 77, § 2, 2°, 3° et àl’article 77, § 3 de la loi, dont le montant de la monnaie électronique encirculation ne peut être déterminé à l’avance, peut, sur base de donnéeshistoriques, calculer ses fonds propres requis sur la base d’une partiereprésentative des fonds qui est présumée utilisée dans le cadre del’émission de monnaie électronique.

Lorsqu’un établissement de monnaie électronique n’a pas accompliune période d’activité suffisante, ses fonds propres requis sont calculéssur la base de l’estimation de la monnaie électronique en circulationrésultant de son plan d’entreprise et sous réserve d’un éventuelajustement de ce plan exigé par la Banque.

Art. 7. Si un établissement de monnaie électronique exerce, directe-ment ou indirectement, d’autres activités que l’émission de monnaieélectronique, la Banque est habilitée à déterminer les mesures à prendrepar cet établissement aux fins d’éviter l’utilisation multiple d’élémentséligibles pour le calcul des fonds propres.

Pour ce qui concerne plus spécifiquement l’activité d’octroi de créditsliés aux services de paiement répondant aux conditions de l’article 77,§ 3 de la loi, la Banque veille, conformément à l’article 21, § 3, d) de laloi, à ce que l’établissement de monnaie électronique y alloue unmontant de fonds propres au moins équivalent à 8 % du volumepondéré des risques calculé selon la méthode standard, conformément

volgens de standaardmethode, overeenkomstig titel V van het regle-ment op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen.

Wanneer de instelling er na goedkeuring van de Bank voor kiest omhet gewogen volume van de kredietrisico’s niet op basis van destandaardmethode te berekenen, wordt op de risicopositiewaarde alsgedefinieerd in hoofdstuk 2 van titel V van het reglement op het eigenvermogen van de kredietinstellingen een risicoweging van 100 %toegepast.

Art. 8. Op basis van een evaluatie van de risicobeheersingsproces-sen, de databases betreffende risico’s op verliezen en het internecon-trolesysteem van de instelling voor elektronisch geld, kan de Bank eisendat de instelling een eigen vermogen aanhoudt dat tot 20 % hoger isdan het in artikel 5 bepaalde eigenvermogensvereiste, of de instellingvoor elektronisch geld toestaan een eigen vermogen aan te houden dattot 20 % lager is dan het in artikel 5 bepaalde eigenvermogensvereiste.

Art. 9. Onverminderd de bepalingen van de artikelen 5 tot 8 van ditreglement, beoordeelt de Bank de solvabiliteit van de instelling voorelektronisch geld rekening houdend met al haar werkzaamheden, inhet kader van haar opdracht als prudentiële toezichthouder als bedoeldin artikel 77, § 1, tweede lid van de wet.

Wat meer specifiek de kredietverleningsactiviteit betreft die nietvoldoet aan de voorwaarden van artikel 77, § 3 van de wet, beoordeeltde Bank de solvabiliteit op grond van de bepalingen van titel V van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen.

Afdeling 3. — Belegging van de geldmiddelen die in ruilvoor het uitgegeven elektronisch geld worden ontvangen

Art. 10. Voor de toepassing van artikel 78, § 1, b), (ii) van de wet, zijnveilige activa met een lage risicograad activa die behoren tot een van decategorieën die opgenomen zijn in de tabel van artikel IX.25 van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen en waarvoor het eigenvermogensvereistevoor het specifieke risico niet hoger ligt dan 1,60 %, terwijl andere inaanmerking komende activa, als gedefinieerd in artikel IX. 26 van hetgenoemde reglement, worden uitgesloten.

Deelnemingsrechten in een instelling voor collectieve belegging ineffecten die enkel belegt in activa als bedoeld in het eerste lid, zijn ookveilige activa met een lage risicograad.

In uitzonderlijke omstandigheden en mits dit gerechtvaardigd wordt,kan de Bank, op basis van een evaluatie van de veiligheid, de looptijd,de waarde of andere risicofactoren van de activa als bedoeld in heteerste en tweede lid, bepalen welke van de activa geen veilige activamet een lage risicograad zijn voor de toepassing van artikel 78, § 1, b),(ii) van de wet.

Afdeling 4. — Overige bepalingen

Art. 11. In artikel I.1. van het reglement van 15 november 2011 vande Nationale Bank van België op het eigen vermogen van dekredietinstellingen en de beleggingsondernemingen wordt het derdelid opgeheven.

Art. 12. In artikel II.1, § 5, 1°, eerste lid van het reglement van15 november 2011 van de Nationale Bank van België op het eigenvermogen van de kredietinstellingen en de beleggingsondernemingenworden de woorden ″vereffeningsinstellingen en de met vereffenings-instellingen gelijkgestelde instellingen″ vervangen door de woorden″vereffeningsinstellingen en met vereffeningsinstellingen gelijkgesteldeinstellingen, betalingsinstellingen, instellingen voor elektronisch geld″.

Art. 13. In artikel 5 van het reglement van de Commissie voor hetBank-, Financie- en Assurantiewezen van 19 januari 2010 op het eigenvermogen van de betalingsinstellingen, worden de volgende wijzigin-gen aangebracht :

1° in het eerste lid wordt de verwijzing naar artikel II.2 van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen geschrapt.

2° het tweede en het derde lid worden vervangen als volgt :

″Indien een betalingsinstelling rechtstreeks of onrechtstreeks anderewerkzaamheden verricht dan die vermeld in bijlage I van de wet, kande Bank bepalen welke maatregelen die instelling moet nemen tervoorkoming van het meervoudige gebruik van elementen die voor deberekening van het eigen vermogen in aanmerking komen.

Wat meer specifiek het verlenen van kredieten in verband metbetalingsdiensten betreft, indien die kredietverleningsactiviteit voldoetaan de voorwaarden van artikel 21, § 3 van de wet, ziet de Bank erop

au titre V du règlement relatif aux fonds propres des établissements decrédit et des entreprises d’investissement.

Lorsque l’établissement choisit, moyennant accord de la Banque, dene pas calculer le volume pondéré des risques de crédit sur base de laméthode standard, la pondération appliquée à la valeur exposée aurisque telle que définie au chapitre 2 du titre V du règlement relatif auxfonds propres des établissements de crédit est de 100 %.

Art. 8. La Banque peut, sur la base d’une évaluation des processusde gestion des risques, de bases de données concernant les risques depertes et des dispositifs de contrôle interne de l’établissement demonnaie électronique, exiger que l’établissement détienne un montantde fonds propres pouvant être jusqu’à 20 % supérieur à l’exigence enfonds propres déterminée à l’article 5 , ou autoriser l’établissement demonnaie électronique à détenir un montant de fonds propres pouvantêtre jusqu’à 20 % inférieur à l’exigence en fonds propres déterminée àl’article 5.

Art. 9. Sans préjudice des dispositions prévues aux articles 5 à 8 duprésent règlement, la Banque apprécie la solvabilité de l’établissementde monnaie électronique, au regard de l’ensemble de ses activités, dansle cadre de sa mission d’encadrement prudentiel visée à l’article 77,§ 1er, alinéa 2 de la loi.

Pour ce qui concerne plus spécifiquement l’activité d’octroi de créditsne répondant pas aux conditions de l’article 77, § 3 de la loi, la Banquefonde son appréciation de la solvabilité sur les dispositions du titre Vdu règlement relatif aux fonds propres des établissements de crédit etdes entreprises d’investissement.

Section 3. — Placement des fonds reçus en échangede la monnaie électronique émise

Art. 10. Aux fins de l’article 78, § 1er, b), (ii) de la loi, des actifs àfaible risque et sûrs sont des éléments d’actifs relevant de l’une descatégories figurant au tableau de l’article IX.25 du règlement relatif auxfonds propres des établissements de crédit et des entreprises d’inves-tissement pour lesquels l’exigence de fonds propres pour risquespécifique ne dépasse pas 1,60 % mais à l’exclusion d’autres élémentséligibles tels que définis à l’article IX.26 dudit règlement.

Des parts dans un organisme de placement collectifs en valeurmobilières qui n’investit que dans des actifs visés au premier alinéasont aussi des actifs à faible risque et sûrs.

Dans des circonstances exceptionnelles et moyennant justification, laBanque peut, après évaluation de la sécurité, de l’échéance, de la valeuret d’autres facteurs de risque des actifs visés aux premier et deuxièmealinéas, établir lesquels des actifs ne constituent pas des actifs à faiblerisque et sûrs aux fins de l’article 78, § 1er, b), (ii) de la loi.

Section 4. — Autres dispositions

Art. 11. Dans l’article I.1. du règlement du 15 novembre 2011 de laBanque Nationale de Belgique relatif aux fonds propres des établisse-ments de crédit et des entreprises d’investissement, le 3e alinéa estabrogé.

Art. 12. Dans l’article II.1, § 5, 1°, alinéa 1er du règlement du15 novembre 2011 de la Banque Nationale de Belgique relatif aux fondspropres des établissements de crédit et des entreprises d’investisse-ment, les mots ″d’organismes de liquidation et organismes assimilés″sont remplacés par les mots ″d’organismes de liquidation et organismesassimilés d’établissements de paiement, d’établissements de monnaieélectronique″.

Art. 13. Dans l’article 5 du règlement de la Commission bancaire,financière et des Assurances du 19 janvier 2010 concernant les fondspropres des établissements de paiement, les modifications suivantessont apportées :

1° dans l’alinéa 1er, la référence à l’article II.2 du règlement relatif auxfonds propres des établissements de crédit et des entreprises d’inves-tissement est abrogée.

2° les 2e et 3e alinéas sont abrogés et remplacés comme suit :

″Si un établissement de paiement exerce, directement ou indirecte-ment, des activités autres que celles mentionnées à l’annexe Ire de la loi,la Banque est habilitée à déterminer les mesures à prendre par cetétablissement aux fins d’éviter l’utilisation multiple d’éléments éligi-bles pour le calcul des fonds propres.

Pour ce qui concerne plus spécifiquement l’activité d’octroi de créditsliés aux services de paiement répondant aux conditions de l’article 21,§ 3 de la loi, la Banque veille, conformément à l’article 21, § 3, d) de la

toe, overeenkomstig artikel 21, § 3, d) van de wet, dat de betalingsin-stelling aan deze activiteit een eigen vermogen toewijst dat minstensgelijk is aan 8 % van het gewogen risicovolume berekend volgens destandaardmethode, overeenkomstig titel V van het reglement op heteigen vermogen van de kredietinstellingen en de beleggingsonderne-mingen.

Wanneer de instelling er na goedkeuring van de Bank voor kiest omhet gewogen volume van de kredietrisico’s niet op basis van destandaardmethode te berekenen, wordt op de risicopositiewaarde alsgedefinieerd in hoofdstuk 2 van titel V van het reglement op het eigenvermogen van de kredietinstellingen een risicoweging van 100 %toegepast”.

3° in het vierde lid wordt de verwijzing naar artikel II.5 van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen geschrapt.

Art. 14. In hetzelfde reglement wordt een artikel 7/1 ingevoegd,luidende :

Art. 15. 1. Onverminderd de bepalingen van de artikelen 6 en 7 vandit reglement, beoordeelt de Bank de solvabiliteit van de betalings-instelling rekening houdend met al haar werkzaamheden, in het kadervan haar opdracht als prudentiële toezichthouder als bedoeld inartikel 21, § 1, tweede lid van de wet.

Wat meer specifiek de kredietverleningsactiviteit betreft die nietvoldoet aan de voorwaarden van artikel 21, § 3 van de wet, beoordeeltde Bank de solvabiliteit op grond van de bepalingen van titel V van hetreglement op het eigen vermogen van de kredietinstellingen en debeleggingsondernemingen.

Art. 16. Dit reglement treedt in werking op de datum van bekend-making van het koninklijk besluit tot goedkeuring ervan.

Gelet op de wet betreffende de politie over het wegverkeer gecoör-dineerd op 16 maart 1968, artikel 1, eerste lid;

Gelet op het koninklijk besluit van 11 juli 2011 betreffende deveiligheidsinrichtingen aan overwegen op de spoorwegen, artikel 11,§ 1;

Art. 14. Dans le même règlement un article 7/1 est inséré, libellécomme suit :
