Services for Asset Management Companies: Business Strategy

Asset management business models need to be well considered and robust. They will need to reflect

carefully thought out business objectives and define how these are to be implemented. The current

climate opens up interesting opportunities for investment businesses which have developed clear

strategies and which can demonstrate a clear value proposition.

Strategic imperatives for business success in this new but changing world order will include:

•A clear operating business model

•Clear definition of the target market(s) and client base

•High quality investment, distribution and operational platforms

•Establishment of an organisational structure to reflect the operating business model

•Implementation of an operational plan based on sound objectives

•Effective communication of the business aims, both internally and externally

Services for Asset Management Companies: Product DevelopmentAsset managers have a wide selection of structures that can be used to deliver their investment offerings

to their clients. These include the choice between open-ended and closed-ended funds, the use of multi

share class (umbrella) or single share class funds and the suitability of a corporate or unit trust type

structure. Further, there is the decision as to whether a fund needs to be listed on a stock exchange.

There are a number of areas that asset managers need to consider, including:

•Investment focus

•Product domicile

•Service providers

•Product features

In addition, many asset managers package their products in different formats for different client groups.

Some examples are:

•Discretionary portfolio management services

•Insurance wrappers

•Structured products

11

Services for Asset Management Companies: Distribution & PlacementApache Advisors has relationships with a number of placement agents in all the major financial centres around the

world, such as the United States, Europe, the Gulf Region, India and Asia Pacific.

We work with our clients to determine the most appropriate distribution strategy to reflect their business aspirations and

product offerings. Frequently, we advise on product modification for different markets, but most importantly our analysis

of the structure of individual markets provides real added value. We structure distribution strategies for the retail,

wholesale and institutional marketplaces ensuring that our clients’ products are directed to the most relevant investors.

We recognize that the retail, wholesale and institutional segments have different product requirements. The retail

segment seeks the latest fashion in fund of funds, single manager funds, funds focused towards specific markets or

sectors, top performers and funds packaged through structured products. The wholesale sector looks for innovative and

exclusive solutions, single manager funds and structured products. The same demand comes from the institutional

segment but here there is the requirement to offer managed accounts as well as conventional “off the shelf” products.

Apache Advisors has extensive experience, from a practical point of view, of the issues of segmenting the market by

client type.

Services for Asset Management Companies: Branding & MarketingBranding

Whichever market an asset management operates within – be it global, regional or national – it is vital that the business

establishes clear brand recognition that defines its position in the minds of its clients and future customers. Strong brands

drive price premiums, by providing a reason for customer preference and loyalty. Brands are a core piece of equity for a

business. A strong brand represents a major intangible asset.

An asset mangement business needs a clear brand vision that is both a short, succinct statement of how the business wants

to be perceived in the marketplace and how it must develop to achieve its goals. There are anumber of elements which

contribute to the establishment and development of a successful brand and Apache Advisors can assist clients in this process.

Communication and Marketing Services

Any business communication strategy needs to be managed carefully. This extends to both internal as well as external

communication. Key elements of a sound communication and marketing strategy include:

•Client Seminars, Investment Conferences

•Advertising, PR

•CRM Systems

•Client Services, Sales Support

•Literature – Fact sheets, multi lingual, Website

13

Services for Asset Management Companies: Independent DirectorshipsOffshore funds which are established as corporate entities are controlled by a board of directors. A fund board

frequently includes:

•Representatives of the fund promoter or investment manager

•Representatives of the service providers

•The fund’s external legal counsel

•An independent director

However, in practice, the promotor/investment manager “have called the shots“ and other board representatives

have simply paid lip service. This process must change and is changing. The role of the Independent Non-

Executive Director (‘INED’) has traditionally involved attending board meetings. This is changing. Investors now

expect funds boards to feature experienced INEDs, who should provide a strategic overview together with

experienced, intelligent advice. Regulatory requirements facing funds in many jurisdictions require a much more

active hands-on approach from INEDs. The onus on the INED is increasing, and INEDs are now expected to

monitor specific areas of fund activity.

Our principals offer an independent service as INEDs for international offshore funds and asset management

companies. We have experience of serving on the boards of companies domiciled in the UK, Dubai (DIFC),

Switzerland, Singapore, Hong Kong, South Africa and Jersey.

Corporate Advisory Services: Marketing & Branding

It is vital that businesses, whether they are at the emerging or growth stage establish a clear brand

recognition that defines its position in the minds of its clients and future customers. Strong brands drive

Corporate Advisory Services: Capital Raising

Apache Advisors are specialists in structuring and arranging private equity for growth businesses. This can involve

introducing companies to suitable venture capital or other capital providers, and providing services in advising on:

•The structure of the transaction

•Timing and the nature of the offer

•Assisting in preparing an information memorandum and investor presentation

Businesses frequently reach a stage in their development where the introduction of external capital by way of

debt and/or equity is necessary to take the business to its next growth phase.

As part of our capital raising services, our team will appraise the potential of the business to attract external

capital. We will then work with the management of the business to build a business plan (or refine an existing

one) and associated financial projections that will examine possible funding structures. The purpose of this plan is

to present the business concisely to potential funders, in order to attract capital.

We will then introduce the management to capital providers and, thereafter, manage negotiations with these

capital providers through to a successful funding. Our goal is to manage the capital raising project, allowing the

management to continue managing the business.
