    Message from the Ernst & Young LLP Managing Partner and the Assurance Leader

    Welcome to the 2016 Transparency Report of Ernst & Young LLP (EY US). We appreciate that our stakeholders want to understand

    how we advance audit quality, manage risk and maintain our independence as auditors. This report is one of the ways in which we

    share with our stakeholders what we are doing in each of these areas. Regular dialogue is important to us and we welcome the

    opportunity to engage with our stakeholders on a range of matters.

    Our work in Assurance is rooted in our commitment to EYs purpose of helping to build a better working world. Executing high-quality audits continues to be our number one priority. It is at the heart of our ability to serve the public interest and grow the

    global EY network successfully and responsibly, while achieving our purpose of building a better working world. Auditors play a

    vital role in the functioning of capital markets by promoting transparency and supporting investor confidence. Companies,

    regulators and other stakeholders count on us to deliver excellence in every engagement.

    EY is focused on investing in tools to improve what we do, creating the highest-performing teams and building trust and confidence

    in the audits we perform. Our reputation is based on and grounded in providing high-quality, professional audit services objectively

    and ethically to every company we audit.

    We continue to embrace the transparency objectives of the European Unions 8th Company Law Directive, which requires US

    statutory auditors of public interest entities to publish annual transparency reports.

    The 2016 EY US Transparency Report complies with the directive and covers the Fiscal Year 2016. In this report, you can learn

    more about our internal quality control system: how we instill professional values, how we perform an audit, our review and

    consultation processes, our approach to audit quality reviews and our independence practices.

    The quality of the audits we perform is a key component of instilling trust in our capital markets.EY US is focused on enhancing

    audit quality and maintaining our independence, informed through several channels, including external and internal inspection

    findings. We embrace the challenge of continuing to improve audit quality, which requires us to critically assess approaches to

    audit execution, and we focus on this by evaluating all inspection findings and taking responsive actions. Our commitment to

    quality starts at the top of our organization and we are keenly aware that we need to execute high-quality audits independently,

    objectively and with professional skepticism to serve the public interest, promote transparency and support investor confidence.

    We live in an increasingly complex and interconnected world and we are experiencing rapid transformation in our industry through

    the use of technology in our audits. The application of new tools in the data analytics and performance improvement categories is

    significantly enhancing our ability to deliver consistent, high-quality audits. EY has developed two new audit tools EY Canvas and

    EY Helix which help us align audit risk with the procedures that address them, and leverage client data to pinpoint higher risk

    audit areas. With technology as an enabler, our auditors can now focus more effectively on risk and their response to it, while

    challenging the audit in a way that simply was not possible before. What this will mean for our clients and the capital markets is

    that EY has the ability to identify areas of risk with a forward-looking perspective and to deliver higher-quality audits. These

    technologies support our industrys highly-skilled and well-trained professionals, and will usher us into a new frontier in audit. It is

    an exciting time for those of us who have been here to see the industry evolve, as well as those who are just starting their audit

    careers.

    We know that our role as auditors is to serve the public interest and provide confidence to the capital market through high quality

    audits. Our shared values guide our people to do the right thing. The EY Code of Conduct provides a clear set of standards that

    guide our actions and our business conduct. Our people understand that performing high-quality audits means upholding these

    standards ethically and with integrity. We encourage all our stakeholders including investors, audit committee members,
